1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesWhen a private-credit fund opens to retail investors, access usually arrives through a new fund structure—not through a change in the loans themselves. An interval fund, perpetual-life business development company (BDC), or exchange-traded fund (ETF) can let individuals buy exposure, but the underlying loans may still be difficult to sell and value. Your ability to get money back depends on the vehicle’s repurchase rules, caps, valuation process, fees and portfolio liquidity—not simply on the word “retail.”
What “opening to retail” actually changes
Private credit consists of loans negotiated directly between borrowers and nonbank lenders rather than bonds traded continuously in public markets. Historically, much of this lending was financed through private funds that accepted institutional commitments and locked capital for roughly seven to 10 years. Investors generally could not demand a redemption during the fund’s life.

Retail distribution changes who may be eligible to buy an interest and how that interest is packaged. It does not turn a privately negotiated loan into a publicly traded security, guarantee a return, or remove credit losses. The structure is therefore as important as the loan portfolio.

- Liquidity: The fund may offer periodic repurchases or exchange trading, but neither feature guarantees that every investor can exit immediately or in full.

The main retail-access vehicles
| Vehicle | How investors enter | How investors may exit | Important limitation |
|---|---|---|---|
| Interval fund | Buy shares from the fund, often through a brokerage or adviser | Periodic repurchase offers, commonly every three, six or 12 months | Each offer generally covers only 5% to 25% of outstanding shares; oversubscribed requests can be prorated |
| Perpetual-life BDC | Shares are offered continuously by a non-traded or continuously offered BDC | Usually quarterly redemption opportunities subject to a stated cap and the manager’s procedures | A request may exceed the cap, and the manager may not accept the full amount |
| Private-credit ETF | Buy and sell shares on an exchange during market hours | Sell ETF shares in the market at the available trading price | An exchange price does not eliminate the opacity, valuation and liquidity risks of the underlying loans |
| Traditional private fund | Commit capital under a private-fund agreement, typically for eligible investors | Often no routine redemption during the fund’s life | Seven-to-10-year lockups have been typical for this format, although terms differ by fund |
These are category descriptions, not promises about every fund. The prospectus, subscription documents and shareholder reports for the particular vehicle control its eligibility, fees, leverage, valuation and redemption terms.

Interval funds
An interval fund is a registered closed-end fund whose shares generally do not trade on an exchange. Instead, it announces repurchase offers at specified intervals. The Securities and Exchange Commission (SEC) describes common schedules of every three, six or 12 months, but the fund’s own disclosure determines the actual schedule and notice deadline.
The fund normally offers to buy back only a limited percentage of outstanding shares. If investors request more than the offer amount, the fund can prorate the acceptance. For example, if a fund with $100 million of NAV offers to repurchase 5% ($5 million) and receives $10 million of requests, an investor requesting $20,000 might have only half, or about $10,000, accepted. The remaining interest stays invested until a later offer unless another permitted transfer is available.
Perpetual-life BDCs
A perpetual-life BDC raises capital continuously rather than ending on a fixed liquidation date. Retail-oriented versions commonly provide quarterly redemption opportunities. Those opportunities are generally subject to a percentage cap, notice procedures and other conditions described in the offering documents. A quarterly date is therefore an opportunity to submit a request, not a promise that the request will be paid in full.

Managers may need cash, loan repayments, liquid securities or borrowing capacity to meet accepted redemptions. If requests are unusually large, a manager can cap the amount, apply proration or use other remedies disclosed in the documents.
Private-credit ETFs
ETFs add an exchange-traded share price to a market whose underlying loans may have limited public price discovery. During market hours, an investor can place a sell order, but the execution price is determined by buyers and sellers in the ETF market. That price can move away from the fund’s reported NAV, especially when investors question the value or liquidity of the underlying loans. An exchange listing changes the trading wrapper; it does not make every portfolio loan readily saleable.
How you get your money back
The practical question is not merely whether a fund is “open” to retail investors. It is when you can submit a sale or repurchase request, how much the fund is required to accept, and what valuation will be used.

- Identify the exit mechanism. Confirm whether shares trade on an exchange, are repurchased at intervals, or are subject to a private-fund lockup.
- Read the calendar and notice deadline. An interval fund may require a request weeks before the repurchase date. Missing the deadline can move the request to the next period.
- Check the cap. Record the percentage of shares or NAV the fund will offer to repurchase and whether the manager may accept more.
- Understand oversubscription treatment. The documents should explain proration or other allocation rules when requests exceed the offer.
- Verify the pricing date. Determine when NAV is calculated, how long payment takes and whether the price can be adjusted for valuation changes.
- Plan for an incomplete redemption. If only part of the request is accepted, the unaccepted portion remains exposed to the portfolio and a later repurchase cycle.
For an ETF, replace these steps with an examination of the bid-ask spread, trading volume, market price versus NAV and the order type you use. A market order can execute at a price materially different from the last quoted price in a stressed market.
Why the loans can remain hard to sell
Limited secondary-market price discovery
Private loans are negotiated instruments rather than standardized exchange securities. Valuations may rely on models, comparable transactions, borrower information and judgments by the fund or an outside valuation provider. The reported NAV is an estimate under the fund’s policy, not a continuously observed market-clearing price.
Sales may require a discount
The SEC warns that less-liquid investments can be difficult to sell or may need to be sold at a discount. A fund meeting repurchases by selling loans quickly could realize less than the carrying value used in the prior NAV. That loss affects remaining shareholders as well as investors receiving payment.

Redemption pressure can arrive in waves
The Federal Reserve reported that redemption requests at perpetual-life BDCs accelerated during the first quarter of 2026. Several funds received requests well above 5% of NAV, and most managers capped redemptions at 5% of NAV. This episode illustrates why a contractual cap matters: investors can ask for more than the vehicle is designed to return at one time.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to compare a retail private-credit fund
| Comparison area | Questions to answer in the documents |
|---|---|
| Redemption mechanics | How often are offers or windows provided? What is the notice deadline, cap and settlement period? Is proration required when demand exceeds capacity? |
| Valuation | How often is NAV struck? Who performs or reviews valuations? Which loans use models, and what happens when a loan becomes distressed? |
| Portfolio liquidity | How much is held in cash or liquid securities? What loan repayments are expected? Are credit lines available, and could loans be sold to fund repurchases? |
| Fees and expenses | What are management fees, performance-related charges, distribution costs and other fund expenses? Are fees charged on gross assets or another base? |
| Leverage | How much borrowing does the vehicle use, what does it cost, and how could leverage affect losses or the ability to meet redemptions? |
| Credit and concentration | What are the borrower-quality standards, default experience, covenant protections, sector exposures and largest positions? |
| Investor suitability | Could you tolerate losses and leave the money invested if a repurchase is limited, delayed or unavailable? |
Interval funds can carry higher fees and expenses than some other fund types. Diversification across many borrowers may reduce the impact of one default, but it does not ensure superior returns or prevent a loss of principal.
What the latest U.S. figures show
The Board of Governors of the Federal Reserve System estimated private-credit loans at about $1.4 trillion, equal to roughly 10% of U.S. nonfinancial corporate debt. The estimate uses private-credit loan data from the second half of 2025 and defines private credit as loans originated by nonbanks and negotiated bilaterally between borrowers and lenders.
Best Value
The same 2026 Federal Reserve analysis combined perpetual BDCs and credit-focused interval funds into an estimate of $425 billion in gross assets and $241 billion in net assets for semi-liquid private-credit funds. It described that group as about 20% of net assets under management in private-credit vehicles. These are market-level, dated estimates; they are not the terms, size or liquidity of a particular fund.
The first-quarter 2026 redemption figures likewise describe an aggregate episode, not a forecast that every fund will impose a 5% limit. Always check the current prospectus for the vehicle you are considering.
Regulation does not make all retail routes equivalent
The SEC Investor Bulletin on interval funds is staff investor education, not a rule, regulation or Commission statement. Its explanation of periodic repurchases is useful, but the fund’s governing documents determine the enforceable terms.
A September 30, 2026 statement by SEC Commissioner Hester M. Peirce discussed proposals intended to facilitate retail access to private investments. A discussion of proposals does not establish that they became final rules. Regulatory status should be confirmed before relying on any proposed change.
The SEC’s Regulation D guidance concerns unregistered private placements and warns that such offerings may be highly illiquid, difficult to resell and potentially held indefinitely. That warning should not be applied automatically to registered interval funds, perpetual-life BDCs or ETFs, which have different legal and operating structures.
A practical decision checklist
- Read the current prospectus and latest shareholder report before investing.
- Write down the next repurchase date, notice deadline, cap and expected payment date.
- Assume a request could be prorated and decide whether you can keep the balance invested.
- Review the valuation policy, including how distressed or non-performing loans are priced.
- Check total fees, leverage, borrowing costs and performance-related charges.
- Look for borrower, industry and geographic concentration rather than relying only on the fund’s number of positions.
- Compare the fund’s liquidity promises with the liquidity you personally need for emergencies or near-term spending.
- Recheck terms after material changes, because caps, fees, leverage and portfolio composition are fund-specific and can change.
The bottom line for a retail investor
Opening a private-credit fund to retail investors broadens distribution through a wrapper designed for individual accounts. It does not make the underlying loans public, liquid or risk-free. Interval funds and perpetual-life BDCs generally provide scheduled, capped opportunities to request repurchases; ETFs provide exchange trading but can trade away from NAV; traditional private funds may still lock capital for years. The decisive question is whether the vehicle’s exit rules, valuation process, costs and portfolio risks fit your need for access to cash. If you cannot tolerate waiting, proration or a sale below stated NAV, retail availability alone is not a sufficient reason to invest.
