When a company sells a business unit, it transfers the assets, shares, or operations defined in the deal to a buyer in exchange for agreed consideration. When it spins off a unit, it separates that business into an independent company and distributes shares of the new company to the parent’s shareholders, usually pro rata. The transaction documents—not the label alone—determine what happens to people, contracts, liabilities, taxes, and investors.
The practical effects differ by transaction structure, jurisdiction, and each person’s role. A shareholder may receive new shares in a spin-off but usually does not receive a buyer’s payment in a sale; an employee may transfer, stay with the parent, or face a changed role; and a business that leaves a corporate group must replace shared systems and services.

Sale and spin-off: the essential difference
A sale has a buyer. The seller transfers the specified business, assets, or stock and receives cash, securities, debt assumption, or another form of consideration negotiated in the purchase agreement. A spin-off has no outside buyer for the distributed shares. The parent distributes ownership of a separated subsidiary or business to its existing shareholders, creating a separately owned company.
| Question | Sale of a business unit | Spin-off of a business unit |
|---|---|---|
| Who receives the business? | A buyer named in the transaction documents. | A newly independent company owned by the parent’s shareholders. |
| Who receives consideration or shares? | The seller or its shareholders receive value according to the deal and corporate approvals; shareholders do not automatically receive the buyer’s payment. | Eligible parent shareholders generally receive shares in the separated company according to the stated record-date ratio. |
| What moves? | The agreement specifies assets, stock, contracts, employees, intellectual property, and liabilities that transfer or remain. | The parent allocates the business and its obligations to the new company and establishes stand-alone operations. |
| Tax result | It can be taxable or partly tax-deferred; purchase-price allocation and assumed liabilities matter. | It is not automatically tax-free. A tax-free treatment depends on legal requirements and transaction-specific conditions. |
| Continuity | The buyer may integrate the unit, keep it independent, or close parts of it. | The new company may use temporary or continuing agreements with the parent while building its own capabilities. |
Those are structural distinctions, not guarantees about performance, employment, or investor returns. A particular deal can include earn-outs, transitional services, retained liabilities, minority ownership, or other terms that change the practical outcome.

What happens in a sale
The parties choose an asset deal, stock deal, or another structure
In an asset purchase, the buyer acquires listed assets—such as equipment, inventory, customer contracts, facilities, intellectual property, or selected permits—and assumes only the liabilities identified in the agreement. The seller may keep excluded assets and obligations. The purchase price is commonly allocated among the acquired assets, which can affect tax reporting for both parties.
In a stock purchase, the buyer acquires the shares of a subsidiary or legal entity. The entity generally keeps its assets and liabilities, including obligations that may not be obvious from its balance sheet. Representations, warranties, indemnities, insurance, escrow, and purchase-price adjustments allocate some of that risk between the parties.
Consideration is paid according to the agreement
Consideration can include cash at closing, debt assumption, buyer shares, contingent payments, or a combination. The seller’s board and, where required, shareholders or regulators approve the transaction. A parent company may use proceeds to repay debt, invest in remaining operations, return capital, or fund another strategy; the use of proceeds is not determined by the word “sale.”

Before closing, the parties identify which employees, contracts, licenses, data, facilities, and intellectual-property rights can legally move. Contracts may require customer, supplier, lender, landlord, or regulator consent. Some permits cannot be assigned and must be reissued. If a contract is not transferred, the parties may use a subcontracting or transitional arrangement until a replacement is available.
Shareholders usually experience an indirect effect
Unless the deal is a merger, tender offer, liquidation, or another structure that specifically pays shareholders, the buyer’s consideration goes to the selling company or its owners under the corporate transaction documents. The parent’s share price can change when investors reassess the value of the remaining company, the proceeds, debt reduction, future growth, and risks retained by the seller.
How a spin-off works, step by step
- The parent defines the business to be separated. It identifies the legal entity or assets, financing, employees, contracts, intellectual property, liabilities, and shared services that will belong to the new company.
- Boards and advisers establish the terms. The plan sets the distribution ratio, record date, distribution date, capitalization, governance, debt arrangements, and any transitional or commercial agreements with the parent.
- Investors receive disclosure. A U.S. public-company spin-off commonly uses an information statement and may require registration or other Securities and Exchange Commission filings. The disclosure explains eligibility, tax considerations, fractional shares, trading, risks, and financial statements.
- The record date determines eligibility. The document states which holders qualify. The relevant date and broker-settlement rules matter, so an investor should not rely on a general description of a past spin-off.
- Shares are distributed. Eligible holders may receive book-entry shares in their brokerage or other registered account without submitting an order. The ratio can be any number specified by the transaction; it is not a universal formula.
- Fractional interests are handled. The company may sell fractional shares and distribute cash, round holdings under stated rules, or use another method. Cash received instead of a fractional share can have different tax treatment from the shares themselves.
- The separated company begins trading and operating independently. It may initially rely on transitional services for information technology, finance, human resources, legal, procurement, facilities, or other functions while it builds or contracts for replacements.
Some spin-offs require a shareholder vote; others do not. The information statement and governing corporate documents control that question. A distribution can also be accompanied by debt exchanges, special dividends, or other capital actions, so investors should read the complete filing rather than infer terms from a headline.

What shareholders should expect
Do shareholders get shares in a spin-off?
Often, yes. In a conventional pro-rata spin-off, shareholders who hold the parent on the specified record date receive shares of the separated company in the published ratio. In the BorgWarner–PHINIA transaction, the parent stated that eligible holders would receive one PHINIA share for every five BorgWarner shares held on the record date. The filing described a book-entry distribution and said holders did not need to pay or take action. That ratio and those mechanics are an example, not a general rule.

Read the transaction information statement for the exact record date, distribution date, eligibility rules, treatment of fractional shares, account-crediting process, and whether any vote or election is required. A broker may show the position on a different date because of settlement or administrative processing.
Can the investment value change?
Yes. After a spin-off, the parent and the new company trade as separate securities, and their prices can move independently. PHINIA’s information statement cautioned that the combined equity value of the parent and separated company could be lower than the parent’s equity value before the spin-off. That is a stated possibility, not a forecast or a conclusion about every separation.
What happens in a sale?
Shareholder treatment depends on the legal structure. A sale of a subsidiary may leave parent shareholders holding the same parent shares while the company receives proceeds. A merger or tender offer may instead exchange or cash out shares. The definitive agreement, proxy or tender materials, and board disclosures identify what a shareholder receives and when.
What happens to employees
Employment can transfer, remain, or change
Employees may move to the buyer or separated company, stay with the parent, or be offered a new position after closing. The result depends on the employment agreement, collective-bargaining arrangements, local employment law, immigration status, and the transaction’s staffing plan. A legal transfer of a business does not by itself guarantee the same job, pay, location, reporting line, or working conditions.
Benefits and equity awards require separate decisions
The parties must decide how to handle health and welfare plans, retirement plans, payroll, paid leave, bonuses, stock options, restricted awards, service dates, and employee records. Awards may convert into parent or new-company securities, vest under special rules, or be replaced with cash or new awards. Plan documents and employee notices—not a general announcement—control the result.

For certain U.S. pension, profit-sharing, and deferred-compensation plan spin-offs or transfers of plan assets or liabilities, the Internal Revenue Service instructions for Form 5310-A describe when notice is required and list exceptions. Employees should ask the plan administrator how a specific transfer affects credited service, vesting, contributions, and beneficiary records.
Communication and retention are operational issues
Separations require accurate lists of transferring employees, payroll cutovers, benefits enrollment, access credentials, and data-transfer controls. Companies may offer retention payments or temporary assignments because specialist employees are needed to recreate finance, information-technology, legal, manufacturing, or customer-support capabilities. A planned separation can still produce uncertainty, departures, or delayed hiring.
How operations, customers, and suppliers are separated
A business unit that leaves a corporate group must have a workable operating model on day one. The separation plan commonly addresses:

Pick the symptom - the matching free tool is one click away.
- Facilities, machinery, inventory, vehicles, laboratories, and other physical assets.
- Patents, trademarks, software, source code, trade secrets, data, and licenses.
- Customer, supplier, distributor, lease, financing, and government contracts.
- Manufacturing capacity, quality systems, logistics, insurance, and regulatory compliance.
- Shared information technology, cybersecurity, enterprise-resource-planning systems, finance, tax, human resources, legal, sales, marketing, and procurement.
- Historical records, personal data, environmental obligations, product warranties, litigation, and other liabilities.
The separated company may sign transitional service agreements that set a service scope, price, security requirements, service levels, and end date. It may also keep a longer-term supply, licensing, manufacturing, or distribution relationship with the former parent. These arrangements can preserve customer continuity, but they also create dependencies that must eventually be replaced or renegotiated.
A 2026 Flex filing discussing a planned separation identified possible costs, production interruption, required consents, disputes, and employee-retention challenges. Those are transaction-specific risks to evaluate, not outcomes that occur in every sale or spin-off.
Tax treatment: neither structure has an automatic answer
A spin-off is not automatically tax-free
In a 2023 information statement, PHINIA said its distribution was expected to be tax-free for U.S. federal income-tax purposes, subject to stated conditions. The same disclosure noted that cash paid instead of fractional shares could be taxable. The word “spin-off” does not itself create tax-free treatment; the parent must satisfy applicable requirements, and a change in facts or a failure of a condition can alter the result.

A sale can create several layers of tax consequences
An asset sale can produce gain or loss based on the seller’s tax basis and the allocation of the purchase price among assets. A stock sale has different consequences for the seller and buyer. Debt assumption and other liabilities can affect the amount treated as consideration. State, local, foreign, and indirect taxes may apply in addition to U.S. federal income tax.

IRS Publication 544 explains that, under specified rules, liabilities assumed in a property-for-stock exchange may be treated as money when assumed liabilities exceed basis, or when there is no good business reason for the assumption or tax avoidance is the main purpose. That rule is fact-specific and does not determine every sale or spin-off. Investors, employees, and companies should obtain advice for their own jurisdiction and filing position.

Significance can trigger accelerated disclosure
U.S. Securities and Exchange Commission staff guidance uses investment, asset, and income tests to assess the significance of a disposed business. The guidance states that if any of the three tests exceeds 10%, the business is significant. The 10% figure is a regulatory threshold in that guidance, not a statistic about how frequently companies divest.
The SEC Financial Reporting Manual, Topic 2, section 2120.1, states: “Form 8-K, reporting the disposition is required to be filed within four business days if either an asset disposition or a business disposition exceeds 10% significance.” The manual identifies that section as last updated June 30, 2013; companies must confirm current requirements before relying on the procedure.
Spin-offs may require registration and separate financial statements
A public-company spin-off may require registration of the new company’s securities, audited or otherwise specified financial statements for the separated business, pro forma information, and periodic reporting after distribution. The exact filings depend on the issuer, transaction structure, significance, and applicable SEC rules.
SEC Staff Accounting Bulletin Topic 5, section 7, addresses whether a reporting company may ordinarily treat a spin-off as a change in reporting entity and restate historical financial statements as though it never owned the subsidiary. The staff’s answer is “Not ordinarily”; periodic-reporting companies generally reflect the disposition under ASC Topic 360 rather than simply erasing the subsidiary from history.

How to read the transaction documents
| Document or section | Questions it should answer |
|---|---|
| Purchase or separation agreement | What is transferred, what is excluded, who assumes each liability, how the price is calculated, and what indemnities or closing conditions apply? |
| Information statement, proxy, or tender materials | Who is eligible, what approvals are needed, what is the distribution or exchange ratio, and how are risks, taxes, fractional shares, and trading explained? |
| Employee notices and benefit-plan materials | Which employer is responsible, what happens to pay, benefits, service credit, equity awards, retirement assets, and personal records? |
| Transitional service and commercial agreements | Which shared functions continue, how much they cost, what service levels apply, and when the arrangement ends? |
| SEC filings and financial statements | How significant is the transaction, what historical results belong to the business, what pro forma effects are shown, and what reporting will continue? |
Use the signed or filed documents rather than an early announcement. Announcements often describe strategic intent while leaving the legally decisive details to later agreements and filings.
Common pitfalls and practical checks
- Assuming every spin-off is tax-free: Check the tax opinion, conditions, jurisdiction, and fractional-share treatment.
- Assuming shareholders must do nothing: Some distributions are automatic, but elections, broker instructions, votes, or special procedures can apply.
- Ignoring settlement timing: The record date, ex-distribution trading, and broker processing can affect who is credited and when.
- Expecting all contracts to move automatically: Assignment restrictions and consent requirements can delay or prevent transfer.
- Overlooking shared systems: A new legal entity still needs payroll, cybersecurity, accounting, licenses, customer support, and regulatory controls.
- Treating “employee transfer” as a guarantee: Staffing depends on local law, contracts, business needs, and the final employment plan.
- Reading the 10% threshold as a performance measure: It determines a reporting significance test in cited SEC guidance; it does not predict whether a deal succeeds.
- Confusing a parent’s proceeds with a shareholder payout: In a sale, follow the corporate structure and approvals to see who receives consideration.
Illustrative example: BorgWarner and PHINIA
The BorgWarner–PHINIA materials show how a public-company spin-off can work without establishing a universal template. BorgWarner stated that eligible shareholders would receive one PHINIA share for every five BorgWarner shares held on the record date. The shares were to be distributed through book-entry records, and holders were told they did not need to pay or take action. PHINIA was presented as an independent, publicly traded company after the distribution.
The same type of disclosure can warn that the combined value of the parent and separated company may fall below the parent’s pre-transaction equity value. That warning illustrates why a distribution ratio answers how many shares are delivered, not what those shares will ultimately be worth.
What the transaction means for each audience
If you are a shareholder
Find the filed information statement or merger materials, confirm the record and distribution dates, understand fractional-share treatment, and check your brokerage account and tax records after completion. In a sale, determine whether the structure is a merger, tender offer, asset sale, or subsidiary sale before assuming any cash or shares are due to you.
If you are an employee
Ask which legal entity will employ you, whether your service date carries over, how benefits and equity awards are handled, and which plan administrator or human-resources contact will issue the formal notice. Keep copies of pay, benefits, award, and retirement records during the transition.
If you are a customer or supplier
Confirm the contracting entity, invoicing details, purchase orders, warranties, support contacts, data-processing terms, payment instructions, and any required consent. Do not redirect payments or disclose data based only on an informal announcement.
Bottom line
A sale changes who owns and controls the defined business in return for negotiated consideration. A spin-off changes the ownership structure by distributing a separated company to the parent’s shareholders. In either case, the real consequences are found in the transaction documents: they allocate assets, liabilities, employees, benefits, contracts, taxes, reporting duties, and temporary support. Treat examples such as the PHINIA distribution and SEC significance guidance as illustrations, and use qualified legal, tax, and investment advice for a specific deal.
