What Happens When a Company Can’t Repay Its Private Credit Loans?

A company that cannot repay a private-credit loan does not automatically lose its assets or have to file for bankruptcy. The next step depends on the loan documents, the company’s finances, who else has claims on its assets, and applicable law. The borrower and lenders may negotiate a workout; a secured lender may pursue rights in specified collateral; or the company may seek court-supervised restructuring or a sale.

When does financial trouble become a default?

Having too little cash to make a payment is a warning sign, but the loan agreement determines when a missed payment becomes an event of default and what follows. The contract may provide notice, a grace period, or a chance to cure the breach. A company that expects trouble may ask lenders for a waiver or amendment before a payment is due.

Payment failure is not the only possible trigger. Depending on the agreement, an event of default may also include a financial-covenant breach, a default on other debt, failure to deliver financial statements, or another specified event. An SEC-filed loan exhibit illustrates how such triggers can be written; it is an example, not a standard definition for every private-credit loan.

That contractual definition is separate from the convention used to calculate a market default rate. Proskauer’s index methodology counts specified payment, covenant, and bankruptcy defaults, certain continuing defaults, and some loans amended in anticipation of default. It dates a default from the earliest qualifying event. That is the index’s measurement rule, not the legal definition in a particular borrower’s documents.

What can the company and lenders do before going to court?

If the business is still viable, the borrower and lenders may try to preserve its operating value through an out-of-court workout. Depending on the loan terms and the parties’ agreement, possible measures include:

  • Waiver or forbearance: lenders agree to waive a particular breach or temporarily refrain from exercising specified rights.
  • Amendment or extension: the parties change payment terms, covenants, or the loan’s maturity date.
  • Refinancing or new capital: the company replaces or supplements existing debt, potentially with sponsor capital.
  • Debt-for-equity exchange: lenders accept an ownership interest in place of some debt.
  • Change of control: the business changes ownership as part of a negotiated solution.

These are possible tools, not guaranteed outcomes. The agreement’s consent rules matter: one lender may not be able to bind other creditors, and a proposed deal may require approval from borrowers, guarantors, or multiple lender groups. Proskauer’s 2025 review describes out-of-court outcomes as common in its review period, while noting that some situations require court remedies; it does not establish a universal success rate.

Can private-credit lenders take company assets?

A secured lender may have rights in the collateral identified in its loan documents, but default does not make every company asset the lender’s property. The scope and order of any remedy depend on the collateral description, other liens, intercreditor arrangements, guarantees, and applicable law. An SEC registration filing warns that other secured debt can impair recovery and that an unsecured borrower may prioritize other obligations.

Proskauer identifies Article 9 foreclosure and strict foreclosure among the tools used in private-credit restructurings. In a strict foreclosure, a lender may accept collateral in full or partial satisfaction of defaulted debt, subject to applicable process and consent requirements. It is not an automatic consequence of nonpayment, and the transfer can raise legal and operational complications.

Even when collateral is available, a lender’s recovery can be affected by the value of that collateral and claims with priority or competing rights. Guarantees may provide another source of recovery if they apply, but their scope also depends on the relevant documents. The borrower’s other debts and obligations can therefore affect both what a lender can pursue and how much it ultimately recovers.

What changes if the company files for bankruptcy?

In the United States, a bankruptcy filing generally triggers an automatic stay that halts collection actions. Creditors generally cannot continue collection without court approval. The stay is an immediate procedural protection; it does not itself decide how the company’s debt will be resolved.

A bankruptcy case may provide a court-supervised path to restructure the business or sell assets. The restructuring practice overview identifies Chapter 11, debtor-in-possession financing, exit financing, and a sale under section 363 among the possible routes. Which route is used—and whether the company continues operating, restructures, sells, or winds down—depends on the case and the court process.

Some internationally structured companies may have additional options. A 2026 Proskauer alert describes English restructuring tools as a possible route for certain U.S.-governed debt, with potential recognition by U.S. courts through Chapter 15. That is a specialized, fact-dependent possibility, not a general alternative for every U.S. borrower.

What does the latest private-credit default rate show?

Proskauer Rose LLP reported a U.S. Private Credit Default Index rate of 2.51% for April 1–June 30, 2026, down from 2.73% in Q1 2026. The Q2 index covered 716 loans representing $195.6 billion in original principal amount. Proskauer announced the result on July 28, 2026.

The 2.51% figure is a dated index result, not the probability that a particular company will default or a forecast of its lender’s recovery. The index’s definition includes specified events beyond missed payments, such as certain distressed restructurings and amendments made in anticipation of default. Proskauer partner Stephen A. Boyko characterized the quarterly decline as evidence of market resilience despite economic uncertainty; that is his assessment, not a guarantee about an individual borrower.

What should a company or lender check first?

For an actual distressed loan, the most useful first questions are document- and situation-specific:

  • What event, if any, has occurred under the loan agreement, and do notice, grace, or cure periods apply?
  • Which assets are pledged, and what do the documents say about guarantees and enforcement?
  • Who else has liens or claims, and do intercreditor terms affect the order or timing of remedies?
  • What lender and borrower approvals are needed for a waiver, amendment, or restructuring?
  • Can the business continue operating while the parties negotiate, or is court protection or a sale process needed?

Because the answers turn on contracts, creditor priority, and applicable law, parties dealing with a real default should get advice from restructuring or bankruptcy counsel familiar with the relevant documents and jurisdiction.
