What Happens to Vested and Unvested ESOPs After Resignation in India

In an India-governed employee stock-option plan, unvested options normally expire on your resignation or termination date. Vested options do not automatically become shares: you keep only the contractual right to exercise them during the post-employment period written in your scheme and grant documents. That period is not universally 30, 60 or 90 days. Before leaving, identify the exact deadline for each vested tranche, the exercise price, payment and tax requirements, and any restrictions on the shares you would receive.

This explanation is India-focused. A grant issued by an overseas parent, a plan governed by another country’s law, or an individual tax situation can produce a different result.

What happens to your ESOPs on the resignation date?

Your employment-end date creates two separate outcomes based on vesting status. The distinction is recorded as of the date defined by your plan, which may be your last working day, formal resignation date, or another stated date.

Option status on the relevant date Typical result under the cited India rule What you must check
Unvested Expires when employment ends. Whether any special plan clause or jurisdictional rule changes the treatment.
Vested but not exercised Remains exercisable only for the period specified by the scheme and grant documents. Last exercise date, exercise procedure, price, taxes and restrictions.
Already exercised shares You hold shares, subject to the plan, company articles and any lock-in or transfer limits. Share issuance confirmation, restrictions, liquidity and tax records.

Unvested options expire

For schemes covered by Rule 12 of the Companies (Share Capital and Debentures) Rules, 2014, Rule 12(8)(f) states: “In the event of resignation or termination of employment, all options not vested in the employee as on that day shall expire.” Expiry means the option right ends; there is no later exercise of that unvested portion merely because you completed the notice period or remained available for handover.

Ask the company for a written vesting statement as of the plan’s employment-end date. A portal balance can include future vesting and should not be treated as the final amount you retain after departure.

Vested options remain options, not shares

A vested option gives you a right to buy shares at the predetermined exercise (or strike) price. It is not itself a shareholding. Until you submit a valid exercise and the company issues the shares, you generally do not have shareholder voting, dividend or other shareholder benefits in respect of that option under the cited rules.

Vesting therefore preserves an opportunity, not guaranteed value. You may decide not to exercise if the cash, tax or liquidity risk is unattractive, but allowing the contractual exercise window to close normally ends the opportunity.

How Indian rules and your plan fit together

Listed and unlisted issuers use different regulatory frameworks

SEBI’s investor guide explains that listed-company employee share benefits are addressed by the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, while unlisted-company schemes operate under the Companies Act, 2013 and related rules. The practical answer still comes from the specific plan and grant letter, because those documents set vesting, exercise and post-employment administration.

Do not assume that a rule you saw for an unlisted Indian company applies unchanged to a listed issuer, a foreign parent or a plan administered through a group entity. Confirm the issuer, the legal employer and the governing-law clause for each grant.

The scheme must state the vested-option exercise period

Rule 12(1)(l) requires an eligible scheme to specify the period in which vested options may be exercised after proposed termination or resignation. That requirement explains why there is no single India-wide deadline. One employer may provide a short period; another may allow a longer period or use different windows for resignation, retirement, death, disability or termination for cause. Only the wording applicable to your event controls.

Look for terms such as “cessation of employment,” “last exercise date,” “good leaver,” “bad leaver,” “resignation,” “termination,” and “exercise period.” Read amendments and schedules as well as the headline grant letter. If documents conflict, ask the plan administrator to identify the controlling clause in writing before you pay.

Transfer, shareholder rights and lock-in

The cited rules generally prohibit transferring an option to another person. You cannot normally sell, gift or assign an unexercised option to a colleague or family member. The scheme may also impose a lock-in on shares issued after exercise. A lock-in can prevent a sale for a stated period even after you have paid the exercise price and received the shares.

How to find your real deadline

  1. Collect the governing documents. Obtain the signed grant letter, complete ESOP scheme, every amendment, vesting schedule and any resignation or exercise notice. Save a copy outside the company portal before access is disabled.
  2. Confirm the effective employment date. Ask HR or the administrator which date the plan uses and whether garden leave, notice pay, retirement or termination classification changes it.
  3. Reconcile each tranche. Request a table showing grant date, number granted, number vested on the effective date, exercise price and the post-employment deadline for that tranche.
  4. Ask how the deadline is calculated. Clarify whether the period runs in calendar days or months, whether the final day is extended when the portal is closed, and what time zone applies.
  5. Confirm what counts as exercise. Some plans require an online election, signed form, cleared funds and tax withholding before the deadline. A draft instruction or unpaid request may not preserve the option.
  6. Obtain written confirmation. Ask the administrator to acknowledge receipt and state the number of options accepted, the price due and the expected share-issuance date.

A verbal statement that you have “90 days” is not a substitute for the clause governing your grant. If the documents are unclear, obtain legal advice before the deadline rather than relying on a customary period from another company.

What exercising vested options costs

Exercise price and payment

Exercising requires paying the stated price for the number of options you choose. Calculate the full amount, not just the per-share figure: exercise price multiplied by options exercised, plus any stated fees and withholding. Confirm whether partial exercise is allowed, whether shares must be exercised in whole lots and which payment methods the company accepts.

Tax at exercise

SEBI’s investor guide says employees are taxed when they exercise options and again when they sell the shares. The Income Tax Department describes the general ESOP perquisite value as the fair market value of the shares on the exercise date minus the amount recovered from the employee. The employer may collect tax through withholding or another process specified in the plan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

This is a general valuation description, not a personal tax computation. The result can depend on the tax year, your residence and status, the employer and issuer structure, the valuation method, and whether the shares are listed. Ask the company for the fair-market-value basis and expected withholding, then consult an India-qualified tax adviser about your circumstances.

Tax and cash are separate from share value

You may need cash for both the purchase price and tax before you can sell anything. A private-company share may have no immediate buyer, and a listed share can still be subject to a lock-in or trading restriction. The available value after exercise is therefore uncertain. Do not assume that a paper valuation equals cash you can access by the deadline.

Decision checklist before you exercise

  • Deadline: What is the final valid exercise date for every vested tranche?
  • Quantity: How many options are vested as of the correct employment-end date?
  • Price: What is the strike price and total purchase amount for the quantity you may exercise?
  • Tax: What fair-market value will be used, how much withholding is expected, and when must it be paid?
  • Procedure: Which portal, form, signature, bank transfer or approval completes an exercise?
  • Settlement: When will shares be issued, and what document proves issuance?
  • Restrictions: Is there a lock-in, transfer approval, trading window or company right of first refusal?
  • Liquidity: Are the shares listed, or is there a realistic and permitted way to sell them?
  • Jurisdiction: Does a foreign issuer, foreign exchange rule or overseas securities law apply?
  • Records: Do you have copies of the grant, exercise confirmation, valuation and tax withholding?

Comparing multiple grants or vesting tranches

Treat every grant as a separate decision. A single employee can have different prices, vesting dates and deadlines. Use a worksheet like the one below and fill it from the governing documents rather than from a consolidated portal balance.

Comparison item Question to answer Why it matters
Vested status How many are vested on the employment-end date? Unvested options are subject to expiry under the cited rule.
Exercise deadline What is the last date for this grant? Deadlines can differ by grant or event.
Exercise price What total cash is required? Determines the upfront funding need.
Exercise tax What valuation and withholding apply? Tax may be due before any sale.
Share restrictions Is there a lock-in or transfer approval? Limits when and how you can sell.
Liquidity Is there a permitted market or buyer? Paper value may not be immediately realizable.
Issuer and law Which entity issued the grant and which law governs? Indian baseline rules may not cover a foreign plan.

Worked examples

Example: unvested portion at resignation

Suppose 1,000 options were granted, 600 vested before your effective resignation date and 400 remained unvested. Under the cited Rule 12(8)(f) baseline, the 400 unvested options expire on that date. The 600 vested options are not shares; they are available only during the exercise period in the scheme.

  • Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft

Example: a short exercise window

If a plan allows exercise for a stated period after resignation, count that period from the date and in the manner the plan specifies. Submit the exercise, payment and required tax steps before the final valid time. Waiting until the last day creates a risk if the portal, bank transfer or approval fails.

Example: exercise is affordable but shares are restricted

You might have enough cash to pay the strike price and tax, yet still be unable to sell because the company is private or the shares are locked in. In that case, the decision depends on your willingness to hold an illiquid investment, not merely on the difference between a valuation and the strike price.

Foreign parent companies and unusual employment events

A grant from a foreign parent may be administered under a plan written outside India. The Indian unlisted-company rule cannot by itself answer the post-resignation deadline, tax withholding, foreign-exchange reporting, securities-law or share-settlement questions. Read the foreign plan’s governing-law and employment-termination clauses and obtain advice on both jurisdictions.

Plans may also distinguish resignation, retirement, redundancy, death, disability and termination for cause. A SEBI-hosted company filing describing an ESOP Scheme 2000 illustrates this variation: it allowed resigning employees to exercise options vested before resignation, while unvested options lapsed, and described a jurisdiction-specific reinstatement of deferred options in one jurisdiction but not others. That filing is an example of company-specific administration, not a general right to reinstatement or a standard deadline.

Common mistakes and how to avoid them

Assuming vesting means ownership

Vesting does not issue shares. Confirm that you completed exercise and received an issuance record before treating the holding as stock.

Using a standard 30-, 60- or 90-day rule

No universal window is established by the cited sources. Use the deadline in your plan and grant documents.

Ignoring tax until after exercise

Ask for the valuation and withholding estimate first. A tax bill can make an apparently attractive exercise unaffordable.

Relying on a portal after departure

Download records and obtain a former-employee contact route before access ends. Keep evidence of every submission and payment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming a buyer exists

Check listing status, lock-in and transfer approvals. Neither the cited rules nor the SEBI guide guarantees a market or appreciation.

What to ask HR, the plan administrator and your adviser

  • “What date is used to determine vesting and the exercise deadline?”
  • “Please provide the vested and unvested count for each grant as of that date.”
  • “What is the last date and time on which a completed exercise is accepted?”
  • “What payment, tax withholding and documents must be received before then?”
  • “Can I exercise partially, and how will fractional or residual options be handled?”
  • “When will shares be issued, and what lock-in or transfer restrictions apply?”
  • “Which entity issued the grant and which law governs it?”

Use the answers to decide whether the exercise price, possible tax and restricted liquidity justify exercising. For personal tax or cross-border legal questions, use a qualified adviser who can review your documents and facts.
