A fall in Bitcoin does not automatically cancel an STRC dividend or mechanically reset its rate. Strategy describes STRC as a perpetual preferred stock with a variable annualized dividend rate that it reviews monthly. Bitcoin price and volatility are among the inputs to that review, alongside STRC trading levels, market yields, credit spreads, reserve coverage, capital-market conditions and the company’s overall capital structure. The cash dividend is not guaranteed, and expected record and payment dates remain subject to board declaration.
Why a Bitcoin drop is relevant—but not an automatic trigger
STRC is not a fixed-coupon bond. Strategy describes it as perpetual preferred stock with a variable annualized dividend rate. The company says the rate can be adjusted monthly and could be significantly lower than a previously announced rate. Its published terms do not state a one-for-one formula in which a particular percentage fall in Bitcoin produces a matching percentage cut to STRC’s dividend.

Therefore, Bitcoin weakness can be part of the information Strategy weighs when setting the next rate, but it does not by itself establish what that rate will be.

Three possible outcomes after Bitcoin falls
1. The announced rate stays in place
A Bitcoin decline could occur while Strategy leaves the current STRC rate unchanged. The company’s policy lists several inputs, so a change in one input does not dictate the result. Reserve coverage, STRC’s market trading, credit conditions and the company’s capital structure could all point toward maintaining the rate.
2. Strategy lowers the variable rate
Strategy could set a lower annualized rate at a later monthly review. Its description of the security expressly says the rate is variable and could be significantly lower. A lower rate would reduce the amount earned per share for future declared periods; it would not retroactively rewrite a dividend that had already been declared for a completed record date.
3. A payment is not declared for a period
Strategy states that cash dividends are not guaranteed. Expected record and payout dates on its dividend page are subject to board declaration. A Bitcoin decline does not automatically create a missed payment, but neither does a prior rate announcement guarantee that a later payment will be declared.

Strategy says its preferred securities, including STRC, are not collateralized by the company’s Bitcoin holdings. That distinction matters during a Bitcoin sell-off. Owning STRC does not give a holder a pledge over a specified quantity of Bitcoin, and the terms do not say that a drop in Bitcoin automatically liquidates collateral or transfers coins to preferred holders.

Strategy describes STRC as having a preferred claim on the company’s residual assets. That is a claim-priority description, not a promise that the assets will cover the security’s market value or every future dividend. The company’s ability to pay depends on its financial condition, available liquidity, board declarations and the governing terms of the preferred stock.
What the 2026 announced rate and payments actually show
Strategy’s June 29, 2026 announcement said the annual regular rate would be 12% for STRC semi-monthly periods with record dates on or after July 1, 2026. Strategy’s dividend history lists $0.50 per STRC share for each semi-monthly period shown from July through September 2026.

These are dated issuer-reported terms and historical listings. They do not establish the rate, amount or payment schedule for periods after those announcements. The annual percentage and the per-share amount are related but not interchangeable: the percentage is the stated annualized rate, while the dollar figure is the amount listed for a particular semi-monthly period.
How the reserve and Bitcoin sales fit into payment capacity
Strategy has described a USD Reserve intended to support preferred dividends and debt interest. In its June 29, 2026 policy announcement, the company reported a reserve of $2.55 billion as of June 28, 2026, representing about 17.4 months of coverage at the then-current expected preferred dividends and interest.

In its July 30, 2026 second-quarter release, Strategy reported that the reserve had grown to $3.75 billion as of July 26, 2026, representing more than 2.1 years of coverage for preferred dividends and interest. The same release reported approximately $218.4 million of Bitcoin sales year to date to fund a portion of preferred stock dividends.
Those figures describe the company’s reported funding position and actions on the stated dates. They are not a guarantee that a specific future STRC dividend will be declared or paid. Reserve balances can change, expected obligations can change and the variable rate can be reset.
Why the STRC share price can move differently from its dividend
Dividend terms and market price are separate questions. Even if a payment is declared at the same rate, STRC’s trading price can move as investors reassess Bitcoin, interest rates, credit spreads, liquidity or the company’s capital structure. Conversely, a change in the trading price does not itself change the contractual amount for a period that has already been declared.
Strategy has stated an objective for STRC to trade near $99 to $100. That is a company objective, not a guaranteed price, floor or investor return. A Bitcoin decline can affect market expectations about the issuer and therefore STRC trading, but the published policy does not promise that the stock will remain within that range.

What to check when Bitcoin is falling
Investors trying to determine the effect on an upcoming STRC payment should follow the issuer’s documents in sequence rather than infer an answer from Bitcoin’s daily chart.
- Check the latest monthly rate announcement. Look for the newly stated annualized rate and the record-date period it covers. The review is monthly, so an old rate should not be treated as permanent.
- Confirm board declaration. A rate discussion is not the same as a declared cash dividend. Verify that Strategy has declared the relevant record and payment dates.
- Read the dividend history for the exact period. Match the listed per-share amount to the record date. The July–September 2026 entries are examples of dated history, not a standing promise.
- Review reserve and funding disclosures. Compare the date and stated coverage of any USD Reserve update with the company’s current preferred-dividend and interest obligations.
- Separate Bitcoin exposure from collateral rights. Because Strategy says STRC is not collateralized by its Bitcoin, do not assume a coin-price move creates a direct claim on a fixed pool of BTC.
- Check the security’s trading conditions. STRC’s market price, liquidity and spreads are among the factors Strategy says it may consider, and they can change independently of the declared dividend.
Questions this framework can answer—and questions it cannot
Does every Bitcoin decline reduce STRC’s rate?
No. Strategy names BTC price and volatility as factors in a monthly evaluation, not as an automatic trigger or formula.
Can the rate be lower than 12%?
Yes. The 12% rate was announced for specified semi-monthly periods beginning with record dates on or after July 1, 2026. Strategy describes STRC’s rate as variable and says it could be significantly lower in a later review.

Does a reserve guarantee the next payment?
No. The reserve figures are company-reported coverage measures as of particular dates. Strategy also says cash dividends are not guaranteed and that expected dates are subject to board declaration.
Does STRC give holders Bitcoin collateral?
No. Strategy says STRC and its other preferred securities are not collateralized by its Bitcoin holdings. They have a preferred claim on residual assets under the company’s description.
Is the 2026 $0.50 amount a permanent payment?
No. Strategy listed $0.50 per share for each shown semi-monthly period from July through September 2026. Future amounts depend on later rate decisions and declarations.
Tax and personal-decision limits
The amount and tax treatment of a preferred-stock distribution can depend on the issuer’s current tax reporting and the holder’s circumstances. Strategy’s tax-information materials state that their information is not a substitute for advice from the holder’s own tax adviser. Do not assume that a future STRC payment will receive a particular tax characterization without checking the current issuer filing and obtaining advice appropriate to your jurisdiction.

For the same reason, the published rate, reserve and Bitcoin-sale figures should be used to understand the security’s stated mechanics, not as a forecast of Bitcoin, a prediction of the next STRC rate or individualized investment advice.
