What Happens to Strategy (Formerly MicroStrategy) Stock When Bitcoin Falls?

When bitcoin falls, Strategy Inc. (formerly MicroStrategy, ticker MSTR) usually comes under heavier selling pressure because bitcoin is the company’s main balance-sheet exposure. The stock is not a one-for-one bitcoin tracker, however. Its move also reflects debt and preferred-stock obligations, potential dilution, the premium or discount investors assign to its bitcoin holdings, financing conditions, and the value of its enterprise-software business. In a sharp or prolonged decline, MSTR can fall more than bitcoin; in other conditions, it can hold up better.

Why a bitcoin decline normally pushes MSTR lower

Strategy’s stated strategy is to acquire bitcoin with equity and debt capital and maintain a leveraged position in its bitcoin holdings. Its 2024 results release reported 471,107 BTC held at December 31, 2024. That makes the market value of bitcoin a central input into how investors value the company, even though Strategy is a listed operating company rather than a bitcoin wallet or exchange-traded bitcoin unit.

Strategy’s own risk disclosure is direct: “If bitcoin prices were to decline or our bitcoin strategy otherwise proves unsuccessful, our financial condition, results of operations, and the market price of our listed securities would be materially adversely impacted.” The statement describes the direction of risk, not a fixed percentage relationship. A 10% bitcoin decline does not mechanically require a 10%, 20% or any other specific MSTR move.

The treasury value falls

A lower bitcoin price reduces the market value of the coins on Strategy’s balance sheet. Investors then reassess the value attributable to common shareholders. The effect is especially visible when bitcoin represents most of the company’s perceived economic value. The software operation still contributes revenue and cash generation, but it does not remove the company’s large exposure to bitcoin price changes.

The stock’s valuation multiple can change

MSTR can trade above or below the estimated value of its bitcoin and software assets. That difference is often described as a premium or discount to net asset value. During a bitcoin selloff, investors may pay less for expectations that Strategy will continue increasing bitcoin per share, raise capital skillfully, or benefit from future bitcoin appreciation. A shrinking premium can make the stock fall faster than the underlying coins. Conversely, a premium can widen during renewed enthusiasm and cushion a bitcoin decline.

Why MSTR is not a one-for-one bitcoin tracker

Buying MSTR means buying common stock in a financed company. The shareholder does not own a fixed quantity of bitcoin directly, and the bitcoin-per-share amount can change when Strategy issues shares, converts securities, buys more bitcoin, or uses cash for corporate obligations.

Driver How a bitcoin decline can affect MSTR What it does not establish
Bitcoin holdings Reduces the market value of the treasury and usually lowers the equity value investors assign to it. A guaranteed percentage move in the stock.
Valuation premium or discount A falling premium can add to the decline; a discount can deepen or, if it narrows, offset part of it. That MSTR will always trade at a premium.
Debt, convertibles and preferred stock Fixed claims and dividend obligations leave common equity more sensitive to changes in asset value and refinancing conditions. That the company must sell bitcoin after every decline.
New equity issuance A lower share price can make future fundraising more dilutive and may reduce bitcoin growth per existing share. That every issuance is immediately value-destructive.
Software operations Operating earnings and cash flow can provide a separate valuation anchor. That software results will offset a major bitcoin drawdown.
Market sentiment and liquidity Risk aversion can compress the multiple and make capital more expensive or harder to obtain. A permanent trading ratio against bitcoin.

How leverage and financing amplify downside

Strategy has funded bitcoin purchases with common stock, debt, convertible notes and preferred stock. Those instruments have different rights, maturities, conversion features and dividend or interest requirements, but they all matter to common shareholders when bitcoin weakens.

Debt and fixed claims

Debt holders have contractual claims that rank ahead of common equity. Interest and principal requirements continue even if bitcoin’s market value falls. A prolonged downturn therefore raises questions about cash reserves, refinancing dates and the terms available for new borrowing. The issue is not simply the accounting value of bitcoin; it is whether the company can meet obligations while preserving its strategy.

Convertible notes

Convertible notes combine debt characteristics with a potential future share issuance. If the stock price falls, conversion may become less likely at the original terms, leaving more debt outstanding. If the company later issues shares or restructures financing, existing holders must evaluate the resulting dilution and priority claims.

Preferred stock

Preferred securities can carry dividend obligations and seniority over common stock. During weakness, investors may focus on the cash needed for those dividends as well as on debt service. That can increase the discount applied to common equity even when Strategy continues to hold its bitcoin.

Equity fundraising

Issuing common shares can raise cash to buy bitcoin or meet corporate needs, but a lower share price means more shares may be required for the same amount of capital. More shares can reduce each existing holder’s percentage ownership and alter bitcoin per share. Financing access itself is cyclical: Strategy says its ability to obtain equity or debt funding depends partly on bitcoin’s value, investor sentiment and the strength of its value proposition.

What happens in a sharp bitcoin crash

A crash usually reaches MSTR through several linked repricing steps rather than one accounting entry.

  1. Bitcoin’s market value drops. The estimated value of Strategy’s treasury falls immediately with the market price.
  2. Investors revalue common equity. Analysts update net asset value, expected bitcoin purchases, and the value of the software business.
  3. The premium can compress. Speculative demand for future bitcoin-per-share growth may fade, reducing the multiple investors are willing to pay.
  4. Financing assumptions worsen. New equity may be more dilutive, while debt or preferred financing may require higher returns or become unavailable.
  5. Liquidity risk receives more attention. Investors examine cash, maturities, interest, preferred dividends and any restrictions on asset sales.
  6. Trading volatility increases. Forced selling, options positioning and changing sentiment can make MSTR move more than the underlying bitcoin over short intervals.

This sequence can work in reverse during a bitcoin rally, but the upside path is not symmetrical. A rally can expand the premium and improve financing access; a falling market can compress both at once.

Does MSTR fall more than bitcoin?

Sometimes, but not as a permanent rule. A 2025 arXiv working paper examining 39 corporate bitcoin firms found average bitcoin beta of 0.62 across its sample and identified Strategy among firms with beta above 1. Beta in that context is sample-specific evidence that sensitivity varies across companies and periods; it is not a standing promise that MSTR will move by a particular multiple.

MSTR can underperform bitcoin when several negative forces coincide: the treasury value falls, the equity premium contracts, financing becomes expensive, and investors assign more weight to debt or preferred claims. It can outperform bitcoin when the premium expands, Strategy raises capital on favorable terms, or investors expect continued growth in bitcoin per share. The relevant comparison also depends on the measurement window: an intraday move, a monthly return and a multi-year result can produce very different relationships.

Accounting losses are not the same as selling bitcoin

Under Accounting Standards Update 2023-08, qualifying crypto assets are measured at fair value, with changes recognized in net income. Consequently, a bitcoin decline can create a large reported loss even if Strategy has not sold a single coin. The 2024 Form 10-K warns that the fair-value model can produce larger losses in falling markets than the previous impairment approach.

That reported loss affects earnings and may influence investor sentiment, debt covenants or valuation models, but it is not itself a cash payment. Cash changes when bitcoin is sold, when financing is raised or repaid, when interest and preferred dividends are paid, or when operating activities generate or consume cash. A reader should therefore separate three questions: what happened to the market value of bitcoin, what accounting loss appeared in net income, and whether liquidity changed.

What the recent figures show—and what they do not

Strategy’s 2026 Form 10-K reported an approximately $8.92 billion BTC Gain for 2025, compared with approximately $13.13 billion for 2024. The same filing listed bitcoin at $87,515 on December 31, 2025, versus $93,390 on December 31, 2024. These are dated, year-end figures rather than a live measure of MSTR’s current exposure or share-price relationship.

The figures illustrate why a single headline number can mislead. BTC Gain is an accounting or performance measure defined by the company’s reporting, while year-end bitcoin price is only one market observation. Neither figure tells you the exact premium or discount on MSTR today, the current bitcoin-per-share amount, or how the stock will react to the next bitcoin move. Those items must be checked against the latest filing and market data.

How the software business changes the picture

Strategy retains an enterprise analytics software business. Its revenue, margins, cash generation and competitive position can support a valuation independent of bitcoin. If software results improve while bitcoin falls, that business may cushion part of the equity decline. If software performance weakens at the same time, investors lose that separate support.

The software operation does not turn MSTR into a diversified technology stock. Company disclosures identify bitcoin value and the bitcoin strategy as material drivers of the listed securities. For valuation, treat software as a secondary operating asset whose contribution must be assessed separately from the treasury.

MSTR versus buying bitcoin directly

Question MSTR common stock Direct bitcoin exposure
What you own An equity claim on a company that holds bitcoin, operates a software business and has debt and preferred obligations. Bitcoin itself or an instrument designed to track its price, depending on the chosen custody method.
Price relationship Bitcoin is a major driver, but the stock can trade at a premium or discount and can move more or less than bitcoin. Primarily the market price of bitcoin, less custody, trading or product costs.
Leverage Corporate debt, convertibles and preferred securities can amplify common-equity sensitivity. No corporate leverage unless the investor separately borrows.
Dilution New shares or conversions can change each holder’s ownership and bitcoin per share. No company share issuance changes the investor’s coin balance.
Cash obligations Interest, principal, preferred dividends and operating expenses must be monitored. Personal custody, platform and transaction costs apply instead.
Accounting Fair-value changes can flow through the company’s reported net income under ASU 2023-08. Tax and reporting treatment depends on the investor’s jurisdiction and product.
Business exposure Includes the enterprise-software operation and corporate execution risk. Does not include Strategy’s software business.

Questions to check during a prolonged downturn

  • How much bitcoin does the latest filing report? Do not rely on an old figure such as 471,107 BTC at December 31, 2024 after a later filing has been published.
  • What is the maturity schedule? Review principal, interest, conversion terms and any secured or senior claims.
  • Are preferred dividends current? Cash obligations can matter before common shareholders receive any residual value.
  • Is the company issuing shares? Compare proceeds, new share count and the effect on bitcoin per share.
  • What is the stock’s premium or discount? Use current market capitalization and the latest disclosed assets; do not assume yesterday’s multiple still applies.
  • How much cash does the software business generate? Operating cash can help fund obligations, but it should not be confused with the market value of bitcoin.
  • Has financing access changed? Look for offering terms, credit-market conditions and management’s discussion of liquidity.

Common mistakes when interpreting a bitcoin selloff

Assuming a fixed “two-times bitcoin” rule

No fixed multiplier is supported. The relationship changes with the premium, capital structure, dilution, financing and sentiment.

Calling every reported loss a cash loss

Fair-value accounting can reduce reported net income without a bitcoin sale. Check the cash-flow statement and financing activity separately.

Ignoring dilution

A larger bitcoin treasury does not automatically mean more bitcoin per share. New equity and conversions can increase the denominator.

Using stale holdings or prices

Bitcoin balances, debt terms and the premium or discount change over time. Dated figures should remain labeled with their reporting date.

Treating debt as irrelevant because bitcoin is still held

Asset ownership does not eliminate maturity, interest or dividend obligations. During a long downturn, liquidity and refinancing can dominate the valuation discussion.

Bottom line for an MSTR holder

When bitcoin falls, MSTR usually falls because the company’s principal asset is worth less. The stock can decline further if its premium contracts, leverage and preferred claims become more concerning, or financing access deteriorates. It can fall less if the premium holds, software results remain resilient, or investors expect successful capital raising. The defensible conclusion is that MSTR is a variable-sensitivity, leveraged corporate bitcoin exposure—not a guaranteed tracker and not a substitute for owning bitcoin directly.
