A security-services contract does not automatically end when the provider is bought. The result depends first on the transaction structure and the legal entity named in your agreement. In a stock purchase, the same company normally remains your contracting party. In an asset sale, merger into a different entity, or transfer of the service business, the buyer may need an assignment, customer consent, or a formal novation. Your change-of-control, assignment, termination, subcontracting, security, audit, insurance and data-processing clauses then determine what you can demand, renegotiate or cancel.
Before accepting a takeover notice, verify who is legally responsible for monitoring, incident response, confidentiality, insurance, staff clearances, service levels and your logs. Regulated financial, defence and government contracts can add approvals and advance-notice duties that do not apply to an ordinary private agreement.

Start with the transaction: did your contracting party change?
“Acquired” can describe several legally different deals. Identify the exact company name, registration details and governing law in your signed agreement, then compare them with the buyer’s notice and proposed paperwork.

For U.S. federal contracts, Federal Acquisition Regulation (FAR) Subpart 42.12 draws a clear distinction: “A novation agreement is unnecessary when there is a change in the ownership of a contractor as a result of a stock purchase, with no legal change in the contracting party.” That rule governs federal procurement, not every commercial security agreement, but it illustrates why ownership and legal-entity analysis comes first.

Read the clauses that control your rights
Do not rely on a general “business as usual” email. Pull the signed agreement, schedules, order forms, data-processing addendum, security exhibit, service-level agreement and incorporated policies. Search for these provisions together because one clause may qualify another.
Assignment and novation
An assignment may transfer contractual rights, while a novation replaces one party and transfers both rights and obligations with the required approvals. Some contracts prohibit assignment without prior written consent; others allow it to an affiliate or a buyer of substantially all assets. Check whether consent must be reasonable, whether a deadline applies, and whether an unapproved transfer is void or merely a breach.
Change of control
This clause can treat a share sale as a triggering event even though the legal entity is unchanged. Common consequences include advance notice, a right to approve the buyer, a short window to terminate, or a duty to negotiate replacement terms. Read the definition of “control”: it may cover voting power, board appointment, merger, sale of substantially all assets or indirect ownership.
Termination and convenience rights
Determine whether you can terminate for an unapproved assignment, material adverse change, loss of required authorisations, repeated service-level failure, insolvency or convenience. Note notice periods, cure periods, minimum terms, early-termination charges and obligations to pay for transition assistance.
Subcontracting and personnel
Monitoring often depends on a security operations centre, cloud host, field technicians or incident-response specialists. A buyer may change those suppliers or move work to another country. Your contract may require approval, disclosure, equivalent controls and continued liability for subcontractors.

Security, audit and insurance
Check obligations for access control, encryption, vulnerability management, background checks, certifications, breach notification, audit evidence and cyber or professional-liability insurance. Confirm that certificates remain valid after the acquisition and that the named insured and policy limits still satisfy the agreement.
Can the new owner change your price or terms?
An acquisition by itself does not normally rewrite a signed contract. The buyer inherits the deal if the original entity remains bound or if a valid assignment or novation preserves it. Price, renewal, service levels and liability limits can change only through a contractual mechanism or an amendment you accept.

- Fixed term: The existing rate and scope generally continue until expiry, subject to indexed increases or stated adjustment events.
- Renewal: The provider may be able to propose new pricing at renewal if the agreement permits notice before an auto-renewal date.
- Change control: A service description may be altered through a signed change order, but a unilateral policy-update clause should be read for limits and notice requirements.
- Change-of-control remedy: Some agreements give you a termination option or allow renegotiation when ownership changes; others give the provider only a notice duty.
- Regulatory or cost pass-through: Clauses may allow documented increases tied to taxes, mandated controls or third-party costs. Check whether they require evidence and a cap.
Do not treat a new invoice, portal terms or privacy notice as proof that you accepted a replacement agreement. Ask the buyer to identify the legal basis for each proposed change and whether your continued use is being presented as acceptance.
When do you have to sign a new agreement?
You may need a replacement agreement when a new legal entity will perform or invoice, when the original contract bars assignment, or when a regulator or public customer requires a formal successor instrument. A novation should identify the outgoing party, incoming party, effective date, transferred liabilities, accrued claims, warranties, confidentiality duties, data responsibilities and dispute forum.
In some regulated sectors, consent is more than a private-contract formality. The UK Financial Conduct Authority (FCA) says firms acquiring clients through a transfer or takeover generally must give each acquired client the new firm’s terms and obtain evidence that clients consented. That is a sector-specific investment-business example, not a universal rule for commercial security services.

- Request the buyer’s proposed assignment, novation or amendment in an editable format.
- Compare every definition, service level, liability cap, audit right, data term, renewal date and termination trigger with your current contract.
- Obtain evidence that licences, certifications, insurance, staffing and subcontractor commitments continue on the effective date.
- State in writing that no consent is given until the document is signed by authorised representatives and all conditions are satisfied.
- Keep the original agreement, notices, approvals and transition records together with the final executed document.
Who controls your logs, credentials and personal data?
Security operations generate sensitive material: camera footage, access records, identity data, alert histories, administrator credentials, investigation notes and incident reports. An acquisition can require sharing that information with the buyer or another group company, but the transfer still needs a documented legal and security basis.

The UK Information Commissioner’s Office states: “You may need to share personal data with another organisation as part of a takeover or other situation involving a change in organisational structure such as an acquisition, merger or insolvency.” Its guidance calls for due diligence, a lawful basis, compliance with lawfulness, fairness and transparency principles, documented decisions and notice when the controller situation changes.
Questions to put to the buyer
- Which entity is the data controller, processor or equivalent under the governing privacy law after closing?
- What categories of data and logs will move, where will they be stored, and will any new country or subcontractor receive access?
- What retention, deletion, legal-hold and export duties apply to historical records?
- How will privileged credentials, encryption keys, API tokens and administrator accounts be rotated?
- When will customers, employees or other people be notified, and what wording will they receive?
- Who will investigate a pre-closing incident discovered after closing, and who bears notification and remediation costs?
Require a transfer inventory, access-control plan, chain-of-custody record for investigative material and a written deletion or return process when the contract ends. Preserve your own copies of reports and evidence where the contract and law allow; do not export data in a way that violates privacy, secrecy or retention duties.
Extra rules for regulated and public-sector work
Financial services
The FCA says a person acquiring or increasing control of an authorised firm must notify the FCA and obtain approval before the transaction. Its current process provides a 60-working-day assessment after a complete notification. The FCA’s 2025 submission guidance describes an assessment period of 60 business days that can be interrupted for up to 30 business days when the regulator requests information. These timelines concern the change in control of an authorised firm, not an automatic deadline for every customer contract. Ask whether approval is a closing condition and whether your provider’s authorisation, permissions and responsible officers remain unchanged.
Defence and national security
UK government guidance says DEFCON 566 requires defence-supply-chain companies, including relevant subcontractors, to give the Ministry of Defence prior notice of a contractor change of control. The National Security and Investment regime can separately require notification before completion for qualifying acquisitions. Confirm whether facility, personnel or export clearances transfer, whether classified systems remain segregated and whether the buyer has an approved incident-reporting channel.

Government and public contracts
Canadian federal privacy-procurement guidance recommends requiring advance advice of ownership or control changes so the government can assess information, privacy and security impacts. NSW Communities and Justice reviews whether a merger or acquisition changes objectives, creates conflicts or threatens delivery, and may terminate when it reasonably believes the change materially affects performance. Public contracts may therefore contain notice, approval, step-in, audit or termination rights that are stronger than those in private-sector agreements.

Use this sequence before signing a consent, accepting new terms or allowing privileged access to move.
- Map the parties: Record the provider named in the agreement, the buyer, the proposed service entity, invoicing entity, parent and subcontractors. Check registration numbers and addresses.
- Classify the deal: Determine whether it is a share purchase, asset transfer, merger, internal reorganisation or subcontracting change. Ask for the effective date and closing conditions.
- Extract trigger clauses: Mark assignment, change-of-control, termination, renewal, subcontracting, security, audit, insurance, confidentiality, data processing and regulatory-notice language.
- Test operational continuity: Obtain a plan covering personnel, clearances, monitoring tools, escalation contacts, incident response, backups, service-level ownership and subcontractor oversight.
- Verify compliance: Confirm licences, regulator approvals, government notices, certificates, insurance limits and required customer consents.
- Lock down data: Document controller or processor roles, lawful basis, transfer locations, access changes, retention, deletion, credential rotation and customer notices.
- Define transition support: Set deadlines for data exports, runbooks, audit evidence, knowledge transfer and cooperation with a replacement provider if termination occurs.
- Record remedies: Preserve rights to service credits, cure notices, indemnities, audit, suspension of access and termination if confidentiality, security, insurance or performance deteriorates.
What if the buyer’s performance gets worse?
Continue to use the contract’s existing escalation path rather than assuming the acquisition excuses non-performance. Measure response times, alert coverage, staffing, patching, reporting and incident handling against the signed service levels. Give any required notice and cure opportunity. If a material breach, unauthorised assignment, loss of insurance or security failure occurs, document the facts and invoke the specified remedy.
Prepare a controlled exit before you need it. Identify an alternative monitoring or guarding arrangement, preserve evidence, rotate credentials, retrieve equipment, revoke physical and logical access, and coordinate handover without interrupting protection. Check whether termination requires assistance, payment of undisputed charges, return or deletion of data, or a final audit.
Common scenarios
The provider is bought through a share deal
The same company remains on the contract, so services and pricing normally continue. You still review the change-of-control clause, new subcontractors, insurance, data access and any right to terminate for a control change.
The buyer purchases only the monitoring division
This is an asset or business transfer. Demand an assignment or novation identifying the new operator, and do not assume that service levels, liability protections or data duties followed automatically.
The buyer sends new online terms
Compare them with the signed agreement. Reject or negotiate any unilateral price increase, lower security standard, broader data use, shortened notice period or reduced liability unless you deliberately agree to the amendment.
A regulator or government customer must approve the deal
Treat approval, notice and clearance as conditions to continuity. Obtain written confirmation of status and keep evidence in the contract file; a commercial promise cannot replace a required regulatory or departmental approval.
Bottom line for customers
An acquisition is a contract review event, not an automatic cancellation or automatic acceptance of new terms. Establish whether the legal party changed, apply the assignment and change-of-control language, obtain a properly documented successor agreement when required, and verify that security operations, insurance, clearances and data governance remain intact. The signed agreement and governing jurisdiction decide whether you can consent, renegotiate or exit.
