It also does not permit a business to keep all input tax credit (ITC) connected with its remaining stock and capital assets without an adjustment. Under the Central Goods and Services Tax (CGST) framework, you must measure specified inputs and capital goods on the day immediately before the effective cancellation date, treat the prescribed amount as output-tax liability, and file a final return. The exact amount depends on your invoices, inventory, asset history, cancellation date and applicable tax values.
What cancellation changes—and what it does not
Cancellation ends the registration from the effective date stated in the cancellation order. It is not a settlement of the period during which the registration was active. Section 29(3) of the CGST Act expressly preserves liability for tax and other dues, and for every obligation under the Act and Rules, for periods before cancellation. That remains true whether an amount is determined before or after the cancellation date.

Separately, section 29(5) requires a calculation for specified inputs and capital goods held at cancellation. The result is not automatically the balance in the electronic credit ledger and is not a blanket reversal of every credit ever claimed. It is a statutory comparison applied to the goods and assets covered by the provision.
| Issue | What the law requires | Relevant authority |
|---|---|---|
| Earlier-period dues | Tax, interest, penalties and other obligations for periods before cancellation remain payable, even if assessed later. | CGST Act, section 29(3) |
| Inputs in stock, including inputs in semi-finished or finished goods | Determine the prescribed ITC amount and compare it with output tax payable; the higher amount is used for the section 29(5) liability. | CGST Act, section 29(5); CGST Rules, Rule 44 |
| Capital goods or plant and machinery | Apply the prescribed reduction and residual-life method to ITC, then compare that amount with tax on transaction value; the higher amount is used. | CGST Act, section 29(5), proviso; CGST Rules, Rule 44 |
| Final return | A person required to file a section 39 return must furnish a final return within three months of the cancellation date or cancellation order, whichever is later. | CGST Act, section 45 |
Why the day before cancellation matters
The stock-and-asset calculation is tied to the day immediately preceding the effective cancellation date. Do not use the date on which you submit the application unless the order makes that the effective date. Read the cancellation order, record the effective date, and freeze an inventory statement at the preceding day.

For example, if the order makes cancellation effective on 30 September, the relevant stock and capital-goods position is 29 September. A later sale, purchase or disposal belongs to a different period and should not be silently mixed into that snapshot. If the order contains a retrospective date, obtain professional advice before finalising the schedule because the date changes which invoices, movements and asset balances are relevant.
How the ITC and stock amount is calculated
Inputs in stock and inputs contained in other goods
Section 29(5) covers inputs lying in stock and inputs contained in semi-finished or finished goods. For these items, the statutory comparison is between the relevant ITC amount and the output tax payable on the goods; the higher amount is the amount connected with the cancellation liability.
Rule 44 supplies the mechanics. Use the corresponding invoices on which credit was availed and calculate the ITC proportionately for the quantities remaining at the relevant date. Your working papers should connect each stock category to the invoices, quantities and tax components used. Where goods are embedded in work-in-progress or finished products, identify the input portion rather than treating the entire selling price as input credit.

Capital goods and plant or machinery
Capital goods use a different basis. The proviso to section 29(5) compares the ITC taken, reduced by the prescribed percentage points, with the tax on the transaction value determined under section 15. The higher of those two values is used. This means you cannot apply the input-stock method to machinery, equipment or other capital assets.
Rule 44 calculates ITC for the remaining residual life of capital goods on a pro-rata basis. The rule treats residual life as five years for this purpose. List each asset, its original invoice and credit, the period already elapsed, and the remaining months used in your computation. An asset that has been partly used therefore does not receive the same treatment as a newly purchased asset.
Keep plant and machinery schedules separate from ordinary inventory. The comparison with transaction-value tax can produce a different result from the reduced ITC figure, and the higher result controls for section 29(5).

When an input invoice is missing
If an input invoice is unavailable, Rule 44 directs an estimate based on the prevailing market price of the goods on the effective date. Document how you established that market price and why it corresponds to the goods in the closing stock. Preserve supplier records, inventory reports, valuation workings and any contemporaneous evidence supporting the estimate. A missing invoice is not a reason to omit the item from the schedule.

What the calculation is not
Do not describe cancellation as an automatic repayment of the entire electronic credit ledger. The statutory language addresses specified stock and capital goods, and the comparison differs between ordinary inputs and capital assets. Credits unrelated to those categories still need to be reviewed for other legal or return-related issues, but section 29(5) itself is not a demand for every rupee ever credited.
Old GST dues survive cancellation
Section 29(3) states that cancellation does not affect liability to pay tax and other dues or to discharge obligations under the Act and Rules for any period before cancellation. The protection works in both directions: an amount already known remains payable, and an amount discovered later can still be determined and recovered.
Accordingly, cancellation does not provide a tax-debt amnesty. Outstanding periodic returns, tax payments, interest, late fees, assessments, audits and other proceedings must be checked independently. A cancellation order may direct payment of arrears of tax, interest or penalty, and it may specifically include the amount arising under section 29(5).

Final return: deadline and reporting
Section 45 requires a registered person who was required to furnish a return under section 39 and whose registration has been cancelled to submit a final return. The deadline is three months from the cancellation date or the date of the cancellation order, whichever is later. This statutory period is distinct from deadlines for any earlier periodic returns that remain outstanding.
Rule 44 treats the cancellation-related amount as output tax liability and provides for reporting it in FORM GSTR-10. Use the stock and capital-goods schedules to support the figures entered in the final return. Filing the final return does not, by itself, discharge unrelated arrears or replace a return that was due for an earlier tax period.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Information in the application and cancellation order
The cancellation application requires prescribed details of stock, capital goods, liability and payments. Those disclosures should agree with your inventory count, invoice reconciliation and tax-ledger review. Inconsistencies can prompt clarification or an order with additional directions.
Read the final order for four items: the effective date, the stated reason and scope of cancellation, any amount identified under section 29(5), and any direction to pay tax, interest or penalty. The order may determine arrears separately from the figures you reported in the application. Keep the application, notices, replies, order and proof of payment together.

A practical closeout process
- Extract the effective date. Save the cancellation order and mark the day immediately before that date as the measurement date.
- Freeze the inventory record. Count inputs, work-in-progress and finished goods containing inputs, and record quantities and locations as at the measurement date.
- Build the invoice trail. Match each category to invoices on which ITC was taken. Flag missing invoices for the Rule 44 market-price method rather than leaving unexplained gaps.
- List capital assets. Identify capital goods and plant or machinery still held, with invoice credit, acquisition date and months of remaining residual life.
- Calculate two schedules. Prepare the ordinary-input calculation and the capital-goods calculation independently. Apply the relevant section 29(5) comparison to each.
- Review tax-period arrears. Check every return, payment, interest, late fee, assessment and proceeding up to the cancellation date. Compare your list with directions in the order.
- Report the output-tax liability. Include the prescribed cancellation amount in the output-tax liability and prepare FORM GSTR-10 in accordance with Rule 44.
- File within the later-of rule. Count three months from the cancellation date and from the order date; use whichever date is later for the section 45 final-return deadline.
- Retain evidence. Keep the order, stock count, invoices, valuation support, asset register, calculations, filed return and payment challans for the period required under applicable law.
Common mistakes that create avoidable exposure
- Using the application date instead of the effective date: the wrong date produces the wrong stock snapshot.
- Applying one formula to everything: ordinary inputs and capital goods have different Rule 44 mechanics and section 29(5) comparisons.
- Reversing the entire credit ledger: section 29(5) concerns specified goods and assets, not an automatic surrender of every historical credit.
- Ignoring work-in-progress: inputs contained in semi-finished and finished goods are expressly within the stock calculation.
- Dropping items with missing invoices: Rule 44 provides a market-price estimate basis; document it instead of omitting the goods.
- Treating GSTR-10 as the only remaining filing: the final return does not replace overdue periodic returns or settle old tax and interest.
- Overlooking the order: an officer can direct payment of arrears, interest, penalty and the section 29(5) amount even after cancellation.
CGST, SGST and jurisdiction limits
This explanation is based on the CGST Act, 2017 and CGST Rules in the Central Board of Indirect Taxes and Customs materials. State GST and Union Territory GST laws operate alongside the central provisions. Forms, portal workflows, notifications and amendments can change, and a state authority may issue instructions affecting the practical closeout.
Before submitting a calculation, verify the current law for the registration’s jurisdiction and the wording of the cancellation order. A qualified Indian GST practitioner is especially important where the effective date is disputed, invoices are missing, capital assets have mixed use, or notices and proceedings are pending.
The statutory rule in plain language
Section 29(3) captures the central point: “The cancellation of registration under this section shall not affect the liability of the person to pay tax and other dues under this Act or to discharge any obligation under this Act or the rules made thereunder for any period prior to the date of cancellation whether or not such tax and other dues are determined before or after the date of cancellation.” Read with section 29(5), Rule 44 and section 45, that means cancellation closes the registration but not the taxpayer’s historical liabilities, the stock-and-asset adjustment, or the final-return requirement.
