What Happens to Gift Cards, Preorders, and Unshipped Orders When a Retailer Goes Into Administration?

Do not assume your voucher will work or that a paid order will arrive. When a UK retailer enters administration, the appointed administrator (or a buyer of the business) decides whether stores and online trading continue, which orders are shipped and whether gift cards are accepted. They may preserve those commitments to keep the business valuable, but they are generally not obliged to do so. Check the retailer’s formal notices, keep every payment and order record, ask your card provider about possible remedies and register a claim with the administrator for anything still owed. If no other remedy applies, you are usually an unsecured creditor and may recover little or nothing.

What administration means for a customer

Administration is a formal UK insolvency procedure. An administrator takes control of a company’s affairs, business and property with objectives such as rescuing the company as a going concern or achieving a better result for creditors than an immediate winding-up. The procedure itself does not answer the practical question facing a shopper: a retailer might keep trading, sell the business, close some channels or stop immediately.

The administrator must act for creditors as a whole, not simply for individual shoppers. A purchaser may acquire the trading business, brand or stock on different terms from the old company. That is why a new owner can choose to continue customer service without automatically taking on every liability of the old retailer.

The Law Commission published Consumer prepayments on retailer insolvency on 14 July 2016. The subsequent government response describes several possible routes for consumers who paid in advance: a card-issuer remedy, a commercial decision by an administrator or buyer, protection arranged by the retailer, or—sometimes—a claim to goods whose ownership has already passed. If none succeeds, the customer can be left with an unsecured insolvency claim.

Will a gift card still work?

The administrator can suspend or continue vouchers

A gift card is a promise by the retailer to provide goods or services later. Once administration starts, the administrator may continue accepting it, impose conditions, suspend it or reject it. A buyer may also honour vouchers to encourage shoppers to keep using the business. Neither the administrator nor the buyer is generally required to honour every voucher.

The government response puts the general position plainly: “Administrators or purchasers of the new business are under no obligation to fulfil orders or honour gift vouchers, but it is reasonably common for them to do so, especially if they are attempting to retain value in the business name for example because there is the possibility of continuing or restarting the business as a going concern.” This describes a commercial possibility, not a promise about a particular retailer.

Find the policy before attempting a purchase

Look for a dated announcement on the retailer’s website, in-store notices, Companies House-related insolvency notices or the administrator’s own communications. The notice should say whether vouchers are accepted, whether only part of a balance can be used, whether a minimum spend or new expiry date applies, and whether online and physical-store use differ. Save a copy or screenshot because terms can change as stores close or a sale completes.

If the voucher is refused

Identify how you bought the voucher. A direct credit-card purchase may support a statutory claim in some circumstances; a debit-card payment may be considered through chargeback. Eligibility depends on the actual transaction, not simply on the fact that the card is called “credit” or “debit”. A voucher bought with cash, bank transfer or an intermediary’s wallet normally requires a different analysis.

You can also submit the voucher balance as a claim in the retailer’s insolvency. That claim does not put you ahead of secured or preferential creditors and does not guarantee a dividend. Keep the voucher number, receipt, purchase date, remaining balance and any refusal message.

What happens to a preorder or an order you paid for but have not received?

Delivery may continue, stop or be selective

An administrator can keep the retailer trading and may decide to ship some or all customer orders. A buyer may fulfil orders as part of acquiring the business. Alternatively, warehouses may stop dispatching while stock and contracts are reviewed. A delivery estimate shown before administration is not a guarantee after the appointment.

Read the administrator’s notice before buying a replacement. It may explain that only orders paid by a certain date will be shipped, that orders are cancelled with a claim form, or that dispatch resumes from a new company. Do not infer a policy from social-media comments or from another retailer’s insolvency; each administration has its own arrangements.

Preserve evidence for an undelivered order

Save the confirmation email, order number, item description or model, price, tax and delivery charge, promised delivery date, tracking information, payment statement and every message with customer service. If the item was customised or part of a bundle, retain those details too. This evidence supports both a card-provider request and an insolvency claim.

Register a claim for the shortfall

If the retailer has not delivered and no card remedy resolves the loss, submit the amount owed through the administrator’s stated creditor-claim process. Citizens Advice advises consumers to register a claim, while warning that other creditors may be paid first. A claim records your legal position; it is not an assurance that money or replacement goods will be provided.

Which payment route might help recover the money?

The payment path can change the available remedy. Explain the complete transaction to the bank or provider rather than relying on a general rule.

How you paid Potential route Important qualification
Credit card used directly with the retailer Section 75 may apply; chargeback may also be considered Section 75 has legal conditions, including the price range and the required debtor–creditor–supplier relationship. Intermediaries and marketplaces can break that connection.
Debit card used directly with the retailer Chargeback request Chargeback is a card-scheme process, not a guaranteed statutory refund. The provider can reject it and may impose evidence or time limits.
Credit or debit card through a marketplace or payment intermediary Ask the card provider and the intermediary about their separate processes The intermediary’s role and contract may affect Section 75 eligibility and the evidence required.
Buy-now-pay-later arrangement Contact the finance provider about its insolvency and non-delivery process Do not assume the rules are identical to a direct credit-card purchase; explain the finance agreement and merchant path.
PayPal or another wallet Use the wallet’s dispute process and ask the underlying bank about any card route Deadlines and duplicate-recovery rules can apply. Keep the wallet transaction ID as well as the retailer order number.
Cash or bank transfer Usually an insolvency claim, unless a separate protection applies There is no automatic card-scheme process. Contact the bank promptly if fraud or an unauthorised payment, rather than ordinary insolvency, is involved.

Section 75: when a credit-card claim may be available

Citizens Advice says Section 75 may cover an eligible credit-card purchase when the relevant single item costs more than £100 and no more than £30,000. The legal requirements include a sufficient connection between the credit provider and the supplier. A marketplace, booking agent or other intermediary can mean that connection is absent.

Use the price of the individual item for the threshold analysis, not automatically the total checkout amount. For example, a basket containing several lower-priced items should be described item by item to the card provider. Explain whether the card paid the retailer directly, whether another company processed the payment and what exactly was not supplied. The provider, not the retailer’s advertisement, decides whether the statutory conditions are met.

Section 75 is not a promise that every credit-card purchase is protected. Submit the retailer’s administration notice, your order and payment records, and any cancellation or non-delivery evidence the provider requests. Continue to observe any instructions about account payments while the claim is assessed.

Chargeback: a possible but discretionary card-scheme process

Chargeback can be requested for eligible debit- or credit-card transactions, including cases where Section 75 does not apply. It operates under card-scheme rules rather than as a direct statutory right. The bank or card provider may decline the request, and the relevant scheme can set a deadline or require proof that the retailer failed to deliver.

Contact the provider promptly, state the transaction date and amount, and ask which reason code and documents apply to a retailer in administration. Keep the case reference, the date you made the request and copies of every document. Do not describe chargeback as guaranteed or wait for the insolvency to finish before asking about a scheme deadline.

Could you already own the specific goods?

Payment alone does not conclusively prove that a particular unshipped item belongs to you. In some circumstances, ownership may have passed before administration, especially where the goods were specifically identified and set aside. If the item can be distinguished from the retailer’s general stock, you may be able to assert a proprietary claim rather than compete as an unsecured creditor.

The Law Commission describes this area as legally complex. Terms of sale, identification of the item, segregation in the warehouse, payment status and the parties’ intention can all matter. Ask the administrator what evidence is needed and whether the item has been allocated to your order. Keep serial numbers, photographs, a bespoke specification, warehouse or collection notices and any message saying the goods were ready for dispatch. Do not remove stock yourself or assume that a product with your name on an order label is legally yours.

A practical action plan

  1. Confirm the formal insolvency. Identify the appointed administrator and the date of appointment from an official company or insolvency notice. Distinguish administration from rumours, a temporary website closure or a normal refund delay.
  2. Secure your records. Download invoices, order confirmations, gift-card receipts, account statements, delivery promises, tracking data and correspondence. Keep the original payment instrument details and any wallet or marketplace transaction ID.
  3. Read the case-specific policy. Check whether the administrator or buyer will accept vouchers, continue taking orders, dispatch existing orders, issue refunds or provide a claim form. Note restrictions and effective dates.
  4. Ask the card or finance provider promptly. Describe the payment route and the individual item price. Ask specifically about Section 75, chargeback or the provider’s process for buy-now-pay-later and wallet transactions. Request the deadline and required evidence in writing.
  5. Submit an insolvency claim. Claim the undelivered value or voucher balance through the administrator even if a card remedy is pending. Update the administrator if the provider later reimburses you; you cannot recover the same loss twice.
  6. Raise an ownership question where appropriate. If a paid item is specific and identifiable, ask whether ownership passed and how to assert that interest. Supply documents rather than treating payment as conclusive.
  7. Use the right national advice. The cited Citizens Advice insolvency guidance covers England and directs readers in Scotland, Wales and Northern Ireland to separate advice. Follow the procedure for the UK nation governing your consumer claim.

Common pitfalls and how to avoid them

  • Assuming a familiar brand name means the same company. A buyer may operate under the old name while buying only selected assets. Check which legal entity accepted your payment and which entity is now communicating.
  • Waiting for a promised delivery date. Administration can interrupt fulfilment without updating every order. Monitor official notices and ask the provider about claim deadlines now.
  • Relying on a social-media assurance. A post by a store employee or an unofficial account may not bind the administrator. Save and act on formal policy notices.
  • Claiming the whole basket under Section 75 automatically. The £100–£30,000 test concerns an eligible single item, and the supplier connection must exist. Give the provider the actual transaction structure.
  • Expecting an insolvency claim to behave like a refund. Unsecured customers rank behind creditors with stronger security or priority and may receive only a small dividend or none.
  • Buying a duplicate before checking fulfilment. You could end up with two products while still having to prove the first loss. Confirm whether the administrator has cancelled the order and whether a replacement purchase is necessary.
  • Discarding the voucher or order evidence. A card number, balance record, receipt and refusal message can be decisive when systems are taken offline.

Which UK guidance applies?

Insolvency law is UK-wide in broad outline, but consumer-advice procedures and court or complaint routes can differ among England, Wales, Scotland and Northern Ireland. Citizens Advice’s page cited for company failures is expressly for England and links readers to separate guidance for the other nations. Use the administrator’s instructions for the company and the consumer service for the nation where your rights are being pursued; do not treat an England checklist as exhaustive everywhere in the UK.
