What Happens to Employees When a Company Is Acquired by Private Equity?

There is no single employee outcome after a private-equity (PE) acquisition. Some sites lose jobs while a company opens or buys other sites; pay can rise or fall; work may move between plants; and employees may gain new skills and career options. Large U.S. studies find different results for private-to-private, secondary, public-to-private and divisional buyouts. Those figures are historical averages for groups of transactions—not a prediction of whether you, your team or your location will keep its jobs.

The practical question is therefore not simply “Will private equity cut jobs?” It is: What kind of deal is this, which locations and roles are affected, and what is management changing? The evidence below shows how to answer that question without mistaking an average for an individual forecast.

What a private-equity acquisition actually changes

A PE firm raises a fund, buys a stake in an operating company and seeks to increase the value of that investment before selling it—often after several years. The fund may leave the existing management team in place, replace executives, merge the company with another holding, sell divisions, acquire competitors or finance expansion. Debt, ownership percentage and operating plans differ from one transaction to another.

Studies use several labels for the seller and the target because the structure is associated with different employment patterns:

  • Private-to-private: a privately held company is sold to a PE-backed buyer.
  • Secondary buyout: one PE owner sells the company to another PE owner.
  • Public-to-private: a publicly traded company is taken private.
  • Divisional buyout: a business unit is separated from a larger corporation and bought.

These are not just financial classifications. A public company may have many reporting layers to remove, while a divisional buyout may begin with a business already scheduled for separation. A secondary buyout has already passed through one ownership transition. The starting conditions help explain why employment effects are not uniform.

Why a job count can fall at your site while the company grows

An establishment is an individual physical business location, such as a factory, warehouse, store or office. A firm is the entire company, including every establishment it owns. Those two units answer different questions.

After a buyout, an owner can close or downsize an existing plant, open a new facility, acquire another company or sell a division. Employment at the original sites can therefore decline even if the whole firm adds jobs elsewhere. Conversely, a growing total can hide severe losses at one location.

What the large 2011 study measured

Steven J. Davis, John C. Haltiwanger, Ron S. Jarmin, Josh Lerner and Javier Miranda tracked about 3,200 U.S. buyout targets and roughly 150,000 establishments in transactions from 1980 through 2005 (NBER Working Paper 17399, September 2011). They compared target outcomes with similar control firms.

At target establishments, employment was 3% lower relative to controls after two years and 6% lower after five years. When the researchers also counted jobs at new establishments and the effects of acquisitions and divestitures, the net relative job loss was less than 1% of initial employment after two years. That is not a tally of individual layoffs, and it does not mean every target lost fewer than 1% of its jobs. It is a statistical comparison of employment across establishments and firms.

The authors concluded that PE buyouts “catalyze the creative destruction process in the labor market, with only a modest net impact on employment.” In plain terms, ownership changes can produce substantial movement of jobs while the overall number of jobs at the firm changes only modestly.

Transaction type matters more than a single average

A later study by Davis, Haltiwanger, Kyle Handley, Ben Lipsius, Lerner and Miranda examined U.S. buyouts from 1980 through 2013 (NBER Working Paper 26371, October 2019; revised April 2024). It reported the following employment changes in the first two years, each measured relative to similar control firms:

Buyout type Relative employment change How to read it
Private-to-private +13% Targets grew faster than controls on average.
Secondary buyout +10% Targets grew faster than controls on average.
Public-to-private -13% Targets shrank relative to controls on average.
Divisional buyout -16% Targets shrank relative to controls on average.

The estimated overall average employment impact across all transaction types was statistically insignificant. The percentages are not probabilities that an employee will be hired or fired, and they are not raw headcount changes for every company in the sample. They describe average differences from controls under the conditions and methods of that study.

The 2019 study found that tighter credit after a buyout or slower GDP growth reduced employment growth and job reallocation. A highly leveraged deal closing during a weak economy can therefore produce a different result from a similarly structured deal with available financing and strong demand.

Does private equity cut wages?

Compensation is a separate outcome from headcount. A company can keep employment steady while changing base pay, bonuses, benefits, hours or the mix of high- and low-paid jobs.

An NBER Digest summary of the 2019 study reported a 1.7% decline in compensation per worker at target firms relative to controls, with substantial variation by buyout type. “Compensation per worker” is an average; it can move because individual pay changes, because the workforce composition changes, or both. It does not establish that every employee received a 1.7% pay cut.

A 2025 NBER working paper by Kyle F. Herkenhoff, Josh Lerner, Gordon M. Phillips, Francisca Rebelo and Benjamin Sampson examined whether PE-backed firms varied wages and employment according to local labor-market-power measures. The authors reported no evidence of such variation on those proxies, and wage losses were similar for managers and top earners. They also found that less productive plants were downsized relative to more productive plants and that high-wage workers were reallocated toward more productive plants. Because this 2025 paper is not yet settled consensus, its findings should be treated as an important estimate rather than settled consensus.

For an employee, the relevant questions are narrower than “Does PE cut wages?” Ask whether your employer is changing salary bands, overtime rules, bonus targets, benefits, staffing levels or job classifications, and whether the changes apply to your site or to the whole company.

Job movement, reallocation and worker transitions

Headcount statistics do not show how people move through the labor market. A role can disappear at one establishment while a similar role opens at another. Employees may transfer, leave voluntarily, be laid off, be rehired by a new owner or move to a different industry.

The 2011 establishment-level analysis specifically captured the firm’s opening of new locations and its acquisitions and divestitures. That is why its net firm-level result was smaller than the decline at existing establishments. It also means a headline about “jobs lost” may be describing a plant-level measure rather than the company’s entire workforce.

When reading an announcement, identify the unit being counted:

  • Establishment employment: jobs at specified physical sites.
  • Firm employment: all jobs under the company’s ownership, including new and acquired sites.
  • Worker transitions: who stays, transfers, exits or finds another job.
  • Net employment: jobs added minus jobs removed over a stated period.

These measures cannot be substituted for one another. A net-zero firm-level result can coexist with a major closure and a major expansion somewhere else.

What the evidence says about workplace safety

Safety is not a proxy for employment or pay. A 2021 peer-reviewed study of buyouts of publicly traded U.S. firms reported a persistent decline in establishment-level workplace injury rates and fewer OSHA safety violations after buyouts. Employment reductions in that study were concentrated in establishments with relatively low injury risk.

That finding does not mean every acquired workplace becomes safer. It covers a particular population—buyouts of publicly traded firms—and a particular set of methods. Safety can improve because procedures, equipment or reporting change; measured injuries can also reflect which sites remain open and which workers or tasks are present. Treat safety statistics as their own outcome, not proof that a deal is good or bad for employees overall.

Can a buyout create career opportunities?

Yes, in some circumstances. A 2016 study by Ashish Agrawal and Prasanna Tambe found that some employees of acquired companies gained transferable, IT-complementary human capital. Relative to the authors’ counterfactual, those workers had better long-run employability and wages. The result points to a possible upside when an acquisition introduces new systems, digital processes, training or broader customer exposure.

That opportunity is not automatic. Training may be concentrated in technical, operational or managerial roles, while other positions may be consolidated. A useful signal is whether the new owner is funding systems implementation and skills development, or merely reducing overlapping work. Ask which certifications, software skills and internal postings will be available and whether training time is paid.

How economic conditions change the outcome

Deal structure interacts with the economy. The 2019 study found that post-buyout credit tightening and slower GDP growth curtailed employment growth and job reallocation. Financing costs, customer demand and access to working capital can affect whether management expands, sells a division, pauses hiring or closes a site.

This is why two companies bought by PE firms in different years can experience opposite results. A transaction made during a credit contraction may prioritize cash preservation; one made during strong demand may support new facilities and hiring. The purchase announcement alone cannot reveal the operating plan.

What employees should look for after an acquisition announcement

Aggregate studies cannot tell you whether your position is safe. You can, however, collect the facts that determine your local risk.

  1. Confirm the transaction scope. Find out whether the buyer is acquiring the whole company, a division or selected assets, and whether the deal is a first-time or secondary PE buyout.
  2. Identify your employing entity. Your payroll company, worksite and reporting line may change even if the brand and job title remain the same.
  3. Ask for the operating plan. Request information on site closures, relocations, planned acquisitions, hiring freezes, capital spending and expected timing.
  4. Separate announced changes from speculation. Treat a formal staffing plan, revised policy or written notice differently from rumors about leverage or a possible sale.
  5. Review compensation and benefits documents. Compare salary, bonus formulas, overtime rules, health coverage, retirement contributions and vesting terms before and after the change.
  6. Track transfer and training options. New sites, systems projects and internal postings may create alternatives even when your current role is being redesigned.
  7. Keep personal records. Save pay statements, benefits notices, performance records and written communications you are entitled to retain under company policy.
  8. Use appropriate professional advice for individual decisions. Employment rights and severance rules depend on jurisdiction, contract and facts; population averages are not legal or financial advice.

How to read a PE employment statistic without being misled

Before drawing a conclusion, check five labels:

  • Deal population: private-to-private, secondary, public-to-private or divisional.
  • Unit: establishment, whole firm or individual worker.
  • Outcome: employment, compensation, transitions or safety.
  • Horizon: two years, five years or a longer career period.
  • Comparison: raw change or change relative to matched controls.

Also check the geography and date. The major studies summarized here use historical U.S. transactions, mainly from 1980 through 2013. A 2008 U.S. Government Accountability Office review (GAO-08-885) cautioned that causal attribution was difficult because targets can differ from non-target firms before acquisition and because the evidence available to the GAO at that time was limited. Later studies use larger datasets and more detailed methods, but they still estimate population-level effects rather than individual job security.

The most accurate answer to the employee questions

“Will I lose my job if my company is bought by private equity?”

It is possible, but the acquisition does not determine the answer by itself. Historical averages show both employment growth and decline, with especially different results by transaction type. Your site, role, deal scope, management plan and economic conditions matter more than the PE label alone.

“Does private equity cut wages?”

Average compensation per worker fell 1.7% relative to controls in the NBER summary of the 2019 study, but effects varied and the average does not describe every worker. Pay, benefits, hours and workforce mix must be examined separately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“Can a buyout create new jobs?”

Yes. The 2011 study found that targets opened new establishments and made acquisitions and divestitures, reducing the net firm-level loss compared with the decline at existing sites. The 2019 study found relative employment growth for private-to-private and secondary buyouts. New jobs may be in another location, division or occupation, so they may not replace a particular employee’s role.
