A company shutdown does not automatically cancel wages you already earned, retirement rights, or access to every employment record. The result depends on the state where you worked, the employer’s size, whether a health or retirement plan still exists, and whether the business is operating in bankruptcy or being liquidated. Federal law sets a baseline, but state deadlines and plan documents can provide different answers.
What to do immediately
Act while the company’s payroll, benefits, and human-resources contacts are still identifiable. Save personal copies of:

- Health-plan cards, benefit notices, COBRA materials, and premium information.
- 401(k) or other defined-contribution statements, pension statements, beneficiary designations, and the summary plan description.
- The employer’s last known address, telephone number, website, payroll contact, plan administrator, and tax-identification details.
Keep the files somewhere you control. Federal retention rules require employers to preserve certain records, but those rules do not guarantee that a former worker can retrieve files after the business disappears.
Final paycheck and other money owed
Federal timing is not necessarily immediate
Federal law does not require an employer to hand over the final paycheck on the day the business closes or the day employment ends. Under the federal baseline, the next regular payday for the last pay period remains the key date. A state may require payment sooner, including immediately, within a short number of days, or on the next scheduled payday.

Identify the state where you performed the work, the final pay-period end date, and the employer’s normal payday. If that regular payday has passed and you are still unpaid, contact the U.S. Department of Labor’s Wage and Hour Division or the state labor department. Those agencies can explain whether the missing amount is covered by wage law and what recovery process is available.
Separate wages from other claims
A closure can leave several kinds of money unpaid, and they do not all follow the same rules. A federal wage claim may involve straight-time wages or overtime, while commissions, accrued vacation, expense reimbursement, severance, bonuses, and other payments may depend on state law, a contract, a commission plan, or an employer policy.
| Amount you are owed | What determines payment | What to verify |
|---|---|---|
| Regular wages and overtime | Federal wage law plus the law of the work state | Hours worked, rate, overtime records, and the regular payday |
| Commissions or bonuses | Commission agreement, plan terms, contract, and state law | When the payment is considered earned and any post-sale conditions |
| Vacation or paid time off | Primarily state law and the employer’s written policy | Accrual records, forfeiture language, and the state’s payout rule |
| Severance | Contract, written plan, collective-bargaining agreement, or voluntary offer | Eligibility, payment schedule, and any release requirement |
| Expense reimbursement | State law, contract, and the employer’s reimbursement policy | Receipts, approvals, and submission deadlines |
Do not describe every unpaid benefit as a federal wage claim. The governing document and state law may send different types of claims to different agencies or procedures.
Steps if the paycheck does not arrive
- Write down the final workday, last pay-period dates, normal payday, hourly or salary rate, and every unpaid category.
- Compare the normal payday with the final-pay deadline in the state where you worked.
- Send a written request to the employer’s last known payroll or management contact and keep a copy.
- If the applicable deadline has passed, contact the Wage and Hour Division or the state labor department and provide pay statements, time records, and the written request.
- Continue preserving evidence even if the company’s telephone number, email, or website stops working.
Health insurance after a shutdown
When COBRA can apply
COBRA is a federal continuation mechanism for certain people who lose employer group health coverage after a qualifying event, including job loss other than for gross misconduct. Eligibility generally requires three things: a group health plan subject to COBRA, a qualifying event, and coverage as a beneficiary immediately before the event. The employer normally has notice duties when coverage is lost because of termination, reduced hours, or an employer bankruptcy.

Why a complete closure can end COBRA
COBRA is not a replacement insurer. If the company no longer offers a group health plan at all, the Department of Labor says COBRA is typically unavailable because there is no plan to continue. Coverage may still be possible when an affiliated company in the same corporate group maintains the plan or when a union plan applies under a collective-bargaining agreement.
State continuation laws can matter, especially for workers at smaller employers that are outside federal COBRA. The available option depends on the state, the insurer, the plan document, and whether the group plan remains active.
What continuation coverage costs
A person who elects COBRA usually pays the full premium, meaning both the former employee share and the former employer share, plus a two-percent administrative charge. An employer may subsidize that cost as part of severance, but federal law does not require a subsidy.
| Situation | Likely result | Question to ask |
|---|---|---|
| Employer continues its group plan | COBRA may be available if the event and beneficiary meet the legal conditions | Has a formal election notice been issued, and what is the full monthly premium? |
| Employer’s plan ends in a total shutdown | COBRA is generally unavailable because no group plan remains | Is an affiliated company or union plan still providing coverage? |
| Small employer outside federal COBRA | A state continuation rule may apply | Does the work state or insurer provide a mini-COBRA option? |
| Severance includes health coverage | The employer may pay some or all premiums for a stated period | What dates, conditions, and termination events are written in the severance terms? |
Health-coverage checklist
- Confirm whether the group health plan is still operating or has been terminated.
- Read every continuation notice and compare the full premium with other coverage available to you.
- Ask whether an affiliated company, union plan, or state continuation law provides another route.
- Keep proof of coverage, premium notices, election forms, and the date coverage ended.
Retirement accounts and pensions
Defined-contribution plans such as 401(k) accounts
An employer closing does not by itself erase money in a defined-contribution account. Obtain the latest account statement, summary plan description, plan-administrator name, investment and beneficiary information, and any termination or distribution notice. Employer bankruptcy generally should not place retirement assets held in the plan at risk. The employer must also forward employee contributions deducted from pay to the plan promptly; missing deductions should be documented and reported.

Partial plan termination and vesting
If a plant or division closure causes a substantial percentage of plan participants to lose employment, the event may be a partial termination of the retirement plan. Affected employees must then become immediately 100 percent vested to the extent the plan is funded. This rule can increase the amount of employer contributions that belongs to a departing worker, but the exact application depends on the plan and the facts of the shutdown.
Defined-benefit pensions
A traditional pension promises a benefit calculated under a formula rather than displaying an individual account balance. If a terminated defined-benefit plan lacks enough money, the Pension Benefit Guaranty Corporation may guarantee eligible vested benefits within legal limits. Whether PBGC is involved, and how much is protected, depends on the plan type, funding status, and applicable limits.
| Plan type | What closure usually means | Who to contact |
|---|---|---|
| Defined-contribution plan | Your vested account generally remains yours; investigate missing contributions and distribution procedures | Named plan administrator or recordkeeper; the Employee Benefits Security Administration if unreachable |
| Defined-benefit pension | The promised benefit follows plan rules; an underfunded terminated plan may be covered by PBGC within legal limits | Plan administrator and, where applicable, PBGC |
| Plan affected by a substantial closure | A partial termination may require immediate full vesting for affected participants to the extent funded | Plan administrator and EBSA |
If the named administrator cannot be reached, contact the Department of Labor’s Employee Benefits Security Administration. Keep statements showing account balances, contribution dates, and vested percentages.

When the federal rule generally applies
The federal Worker Adjustment and Retraining Notification Act, commonly called WARN, generally covers employers with 100 or more employees, subject to specified exclusions. It generally requires at least 60 calendar days of written notice for a covered plant closing or mass layoff affecting 50 or more employees at a single site.

Coverage is fact-specific. Employee counts, the location affected, the duration and amount of the employment loss, and statutory exclusions can change the result. States may impose their own closure or mass-layoff laws with different thresholds, notice periods, or employer-size rules.
Exceptions and bankruptcy
Federal WARN recognizes exceptions for certain faltering-company situations, unforeseeable business circumstances, and natural disasters. An employer relying on an exception still has to meet the legal conditions and provide the notice required by the statute as soon as practicable.
Bankruptcy is not a blanket exemption. WARN may still apply when the employer knew of the closure before filing or continues operating as a debtor in possession. The Department of Labor generally distinguishes a bankruptcy trustee whose sole role is winding up the business; WARN generally does not apply to that trustee in the same way. Bankruptcy can also affect where a WARN claim is filed and when collection occurs.

| Shutdown status | WARN question | Why it matters |
|---|---|---|
| Large employer still operating before closure | Were the employee-count, single-site, and employment-loss thresholds met? | A 60-day written-notice obligation may apply |
| Debtor in possession continuing operations | Did the business know of the closing and fail to give required notice? | Bankruptcy does not automatically remove WARN duties |
| Trustee only liquidating assets | Is the trustee’s sole role winding up the business? | WARN treatment can differ from an operating debtor |
| State mini-WARN law | Does the work state have a separate notice statute? | State thresholds and remedies may be broader or different |
Employment and payroll records
What federal retention rules require
For covered employers, the Fair Labor Standards Act requires accurate wage-and-hour records. Department of Labor guidance says payroll records generally must be kept for at least three years, while records used to calculate wages—such as time cards—generally must be kept for two years. Records may be stored at the workplace or at a central records office.
Best Value
These are employer retention requirements, not a guarantee that a former employee can obtain a copy after the company closes. A defunct employer may have no functioning records office, payroll contact, or secure method for releasing files.
Build your own employment file
Save pay stubs, schedules, time sheets, offer letters, policy acknowledgments, benefit-plan documents, contribution statements, separation notices, tax forms, and correspondence about unpaid amounts. If your records show different hours or pay than the employer reported, preserve both versions and note when and how each was created.
For missing wages or wage-related records, contact the Wage and Hour Division or the relevant state labor department. For a missing retirement-plan administrator, contact EBSA. State law may separately govern access to a personnel file, vacation records, or other documents, so the correct request depends on the state where you worked.
A practical sequence for the first weeks
- First 48 hours: Download every accessible payroll, benefits, retirement, and tax document; photograph paper notices; and record contact details.
- Before the normal payday: Calculate wages, overtime, commissions, expenses, and other amounts separately. Check the state’s final-pay rule.
- When health coverage is ending: Determine whether the group plan still exists, review any continuation notice, and compare the full premium with other coverage options.
- For retirement plans: Contact the named administrator, verify contributions and vesting, and ask whether the plan is being terminated or affected by a partial termination.
- For a large worksite: Check federal WARN thresholds and the work state’s notice law. A bankruptcy filing alone does not answer the notice question.
- If contacts disappear: Send written requests to the last known addresses, keep proof of delivery, and contact the appropriate federal or state agency with your records.
The decisive facts are the state where you worked, the employer’s size, the plan documents, the date and reason coverage ended, and whether the company is still operating under bankruptcy protection or has moved to liquidation. Preserve evidence first, then match each problem—pay, health coverage, retirement, notice, or records—to the rule and agency that actually governs it.
