There is no single outcome. A quantum-computing startup may end service in an ordinary wind-down, keep operating temporarily under bankruptcy protection, or sell selected assets to a buyer that offers service under new terms. Whether you keep access, receive a refund, retrieve your data, or get migration help depends on your contract, the company’s operating status, applicable law, and any court-approved transaction.
Do not assume that a bankruptcy filing guarantees continued access, that every contract ends immediately, or that an acquirer automatically takes every customer obligation. Treat the shutdown as a continuity incident: identify the legal event, preserve evidence, secure your workloads and data, and obtain written answers about dates and responsibilities.

Start by identifying what kind of shutdown is occurring
The phrase “shuts down” can describe very different events. Check the provider’s notice, court docket, corporate filings and customer agreement before deciding what you are entitled to receive.
Ordinary wind-down without bankruptcy
A company can stop operating without filing a bankruptcy case. There is no general rule that resolves every customer’s position in that situation. Your service agreement and the notice control practical questions such as the final service date, renewal, refunds, service credits, data export, retention and deletion, support availability, and the process for moving workloads.

A wind-down notice may provide a short retrieval window and then disable accounts. It may instead offer a transition to a partner, or it may provide little operational detail. Preserve the notice and ask for firm dates in writing. If the provider has stopped responding, use the contractual notice address and any formal dispute or termination procedure rather than relying only on a sales or support contact.
Bankruptcy
Bankruptcy changes the legal environment, but it is not a service-continuity plan. The Northern District of Georgia Bankruptcy Court explains that a petition generally triggers an automatic stay of most proceedings against the debtor or property of the estate, giving the debtor breathing room. The stay usually limits collection and other actions; it does not require the debtor to keep a quantum platform, hardware cluster or support desk running.
Hosted service agreements can be “executory contracts,” meaning both sides still have material obligations. A Northern District of Iowa Bankruptcy Court FAQ explains that the debtor must timely assume such an agreement to continue its rights under it; without timely action, the agreement may be deemed rejected. The exact deadlines, exceptions, notices and remedies depend on the case and governing law, so treat the court FAQ as general information, not individualized legal advice.

A debtor may continue selected operations while deciding what to do with contracts, or a trustee, debtor-in-possession or buyer may set new operating limits. An account that works today can still have a scheduled termination later. Check the official case docket and court notices for motions involving customer contracts, assets, sale procedures and deadlines.
Acquisition or asset sale
An acquisition can preserve a service, but only the actual transaction documents and successor’s customer communications establish the result. A stock purchase may leave the contracting entity in place; an asset purchase may transfer only specified assets and assumed liabilities. A buyer can also discontinue a product after closing or offer it under different pricing, service levels, security terms or support contacts.
For example, a Plurilock customer FAQ about a proposed acquisition by Quantum eMotion stated that existing customer contracts, service levels, invoices and contacts would remain as announced, with an expected closing in the fourth quarter of 2026 subject to approvals. That is a company-specific statement about a proposed transaction, not a rule for other deals; transaction status and terms can change.

A January 12, 2026 Form 8-K filed with the U.S. Securities and Exchange Commission described a proposed asset purchase in Luminar’s Chapter 11 process. The filing identified the assets to be purchased and the liabilities to be assumed, subject to court approval and competing bids. The example shows why a buyer may select particular obligations instead of automatically taking every customer contract.

What your contract can tell you
Before negotiating or moving workloads, save the signed master agreement, order forms and any service-specific terms. Read the clauses below together; a refund clause may be limited by termination language, and an assignment clause may affect a sale.
| Contract area | Questions to answer | Why it matters during a shutdown |
|---|---|---|
| Termination and renewal | Who may terminate, with what notice, and what happens to an active term? | Establishes the contractual end date and whether a provider can stop early. |
| Service levels and credits | Are uptime remedies credits, refunds or exclusive remedies? Is there a claim deadline? | Shows what remedy may exist for outages and whether credits are automatic. |
| Fees, prepayments and refunds | How are unused amounts calculated? Are prepaid balances refundable or only creditable? | Determines what to request, while insolvency may affect collectability. |
| Data export and deletion | Which formats, tools, fees and retrieval windows apply? When are backups deleted? | Defines the practical path to recover data and the final deletion date. |
| Retention and security | How long are logs, credentials, job results and backups retained? | Helps you preserve evidence and meet your own regulatory or customer duties. |
| Assignment and change of control | Can the provider transfer the agreement, and is consent required? | May determine whether a buyer can take the contract or must offer a replacement. |
| Support and migration | Are transition services, documentation or engineering assistance promised? | Identifies any contractual help available while you move. |
Keep invoices, support tickets, usage records, security attestations and notices with the contract. These records can establish what was ordered, paid for and promised if a claim or dispute follows.

Why quantum-computing services have extra continuity dependencies
Quantum providers do not all use the same architecture, but the service may involve more than the startup itself. A company SEC filing describing quantum-computing-as-a-service, consulting, co-development and specialized-system sales also warned about reliance on public-cloud and other third-party infrastructure. In practice, your access may depend on the startup’s software layer, a cloud account, a hardware operator, networking, identity services and classical storage.
That dependency creates several possible failure points:
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →- The startup may stop scheduling jobs even while an underlying quantum processor remains online.
- A cloud or operating partner may keep infrastructure available but refuse access without the startup’s authorization or a new agreement.
- Job results, notebooks, credentials and billing records may be stored in separate systems with different retention rules.
- Code may not run unchanged on another provider because of SDK versions, compiler behavior, device topology, queue policies or data formats.
A shutdown does not automatically mean that data has been destroyed. It does mean that continued access is uncertain. Export permitted copies of source code, circuits, job results, configuration, calibration assumptions and relevant classical data while the account still works. Confirm that the export is complete and readable outside the provider’s portal.

What to do as soon as you receive a shutdown notice
- Classify the event. Determine whether the notice describes a normal closure, a bankruptcy filing, a sale, a merger, a temporary suspension or merely a product retirement. Record the legal entity named in the agreement and the entity sending the notice.
- Freeze your evidence. Download the agreement, amendments, order forms, invoices, usage reports, support history, security documents and every shutdown or transaction notice. Preserve email headers and timestamps.
- Ask for written operating dates. Request the last date for submitting jobs, the last date for retrieving results, the account-disable date, the data-deletion date, support coverage and the contact responsible for escalations.
- Export and verify workloads. Retrieve code, notebooks, circuit definitions, job identifiers, results, metadata, credentials that you are allowed to retain, configuration and billing records. Test a sample locally and document what cannot be exported.
- Request migration details. Ask whether the provider or successor will supply an export tool, engineering assistance, compatibility notes, replacement access or a grace period. Obtain fees and deadlines in writing.
- Protect dependent systems. Rotate credentials that may be retired, update applications that call the provider, preserve audit logs and notify internal owners whose projects rely on the service.
- Check the official court record if bankruptcy is involved. Find the case number, notices, claims bar date and motions concerning contracts or a sale. Do not treat an automatic stay as confirmation that your service will continue.
- Secure a replacement path. Evaluate another platform or an on-premises simulator for development, but verify language support, result formats, hardware availability, queue access and licensing before promising that workloads will run identically.
Likely outcomes for different customer situations
| Customer situation | Possible result | Immediate priority |
|---|---|---|
| Active pay-as-you-go account | Access may continue until a stated cutoff, be suspended, or move to a successor’s terms. | Export code and results; stop submitting nonessential jobs until dates are clear. |
| Prepaid subscription or credits | The contract may promise a refund or credit, but recovery can be affected by insolvency and claim procedures. | Calculate the unused balance and preserve payment evidence; monitor claims instructions. |
| Critical production workload | Interruption can affect your own customers or compliance obligations even if the provider later resumes service. | Activate your continuity plan and validate a technically compatible fallback. |
| Pilot or co-development project | Source code, milestones and jointly created intellectual property may be split across contracts and systems. | Review ownership, confidentiality, publication and deliverable clauses; collect permitted copies. |
| Specialized hardware purchaser | Delivery, warranty, maintenance and spare-parts duties may be handled by the original entity, a buyer or neither. | Record serial numbers, acceptance status, warranties and support contacts; seek a written service position. |
Questions to put to the provider or successor
- What is the exact legal entity responsible for my agreement today?
- Is service continuing, and what are the final submission and retrieval times in UTC?
- Will my current service levels, prices, credits, invoices and support contacts remain unchanged?
- Which entity will hold my data after the shutdown or closing?
- What export formats are available, and are there charges or minimum lead times?
- When will primary data, logs and backups be deleted, and can deletion be paused for a dispute or legal hold?
- Does a proposed buyer assume my specific agreement, or only selected assets and liabilities?
- Where should I submit a refund request, proof of claim or other formal notice?
Ask for answers from an authorized legal or operations contact, not only an informal promise in a chat. Keep the response with your contract records.
Common mistakes that make a shutdown worse
- Waiting for a final outage. Export windows often close before a platform disappears completely.
- Assuming the automatic stay protects uptime. The stay generally pauses many actions against the debtor; it does not fund staff, hardware, cloud capacity or support.
- Assuming a buyer inherits everything. Asset deals can identify only selected liabilities and contracts.
- Relying on a portal export without testing it. A downloaded file may omit metadata, dependencies, calibration information or permissions.
- Moving sensitive data casually. Confirm that a replacement platform has appropriate security, privacy, residency and retention terms before uploading.
- Destroying records after receiving a credit. Keep invoices, notices and usage evidence until contractual, tax and dispute periods have passed.
When professional advice is warranted
Obtain advice tied to your contract and jurisdiction when a prepaid balance is significant, a production workload is at risk, personal or regulated data is involved, hardware has been delivered or a bankruptcy case is active. Counsel can help interpret termination and assignment clauses, file or preserve a claim, address an executory contract and evaluate whether a proposed sale changes your rights. A court FAQ or company announcement cannot substitute for advice about your particular agreement.
Practical bottom line
A quantum-startup shutdown is a contract-and-continuity problem before it is a technology problem. Separate an ordinary wind-down from bankruptcy and from an acquisition, then verify the service cutoff, export window, data-deletion plan, refund process and successor’s obligations in writing. Preserve portable copies of your work and do not assume that a stay, a buyer or an online account guarantees continued access.
