When an archaeology contractor closes, its records and unfinished duties do not automatically disappear, become the contractor’s property, or transfer to a successor. The outcome is controlled by the project’s jurisdiction, land status, permit, client contract, repository agreement and any signed transfer instrument. For collections covered by U.S. federal rules, preservation and curation duties continue; for projects elsewhere, completion and deposit requirements may be set by local authorities or the contract.
The immediate priority is to secure the entire archive, identify who has legal authority over it, confirm an approved repository, and document every handover. Do not move, sell, destroy or disclose material until those questions are answered.

The rule is project-specific, not automatic
There is no single closure rule that decides the fate of every archaeological archive. A closing company may have possession of artefacts and files without owning them. Ownership and control can belong to a federal agency, landowner, permitting authority, client, tribal government, museum or another party, depending on the governing instruments.
Start with five questions:
- What country, state or local jurisdiction governs the work?
- Was the site on federal, state, tribal, municipal or private land?
- Which permit, licence or statutory authority allowed excavation?
- What does the signed contract, scope of work and data-management plan say about title, completion and termination?
- Which repository was named or has agreed to accept the archive?
Those answers determine whether the contractor must finish cataloguing, deliver an interim archive, pay storage costs, provide data to a successor, or obtain approval before any transfer. A successor company is not automatically liable for the predecessor’s obligations unless an assignment, novation, acquisition agreement or other legal mechanism says so.

What U.S. federal rules require
Collections covered by 36 CFR Part 79
U.S. federal curation rules apply to collections within the regulation’s statutory scope, including certain material recovered through federal actions, assistance, licences, permits and specified federal authorities. The regulation places preservation and curation responsibilities on federal agencies and requires suitable repositories capable of long-term care. It does not turn every private or local excavation into a federal collection. The National Park Service’s overview of the rule is available at 36 CFR 79: Curation of Federally-Owned and Administered Archeological Collections.
A closure does not cancel those duties. The agency, permit terms and curation agreement remain the reference points for deciding who must secure the material, pay for continued care and complete the transfer. Federal agreements are expected to state responsibilities, the agreement term, termination procedures, costs and handling requirements.

ARPA resources remain U.S. property
Under the Archaeological Resources Protection Act, archaeological resources excavated or removed from public lands remain U.S. property. The statute also provides for the resources and copies of associated archaeological records and data to be preserved by a suitable university, museum or other scientific or educational institution. See 16 U.S.C. § 470cc.

This rule is specific to the statutory circumstances described by ARPA. It should not be generalized to objects from every land type or jurisdiction. A private-land collection, a state-permitted project or a collection held under a client contract may have different title and transfer rules.
“Records” means the whole project archive
A final technical report is only one part of an archaeological record. Under 36 CFR Part 79, associated records are originals or copies documenting efforts to locate, evaluate, record, study, preserve or recover a resource. The National Park Service examples include:
- field notebooks, context sheets and site forms;
- drawings, plans, maps, survey data and measured sections;
- photographs, films, video and oral-history material;
- artefact inventories, databases, accession and catalog records;
- laboratory reports, specialist studies and conservation documentation;
- manuscripts, correspondence, permits and reports;
- computer media, born-digital files, metadata and backup copies.
Separate handling of digital data can break the link between an object and the evidence needed to interpret it. The inventory should therefore identify both physical and digital components and show where each will be held.

The following sequence is a practical closeout method. It is not a universal statutory checklist; the signed project instruments and the relevant authority control.

- Stabilize the archive. Restrict access to a named custodian. Keep artefacts, paper records, digital media and environmental or security controls together where possible. Do not discard duplicates, temporary files or “working” notebooks until the authority or repository confirms they are non-record material.
- Create an auditable inventory. List boxes, bags, samples, registers, photographs, databases, reports, correspondence, passwords or encryption keys held under an approved process, and repository receipts. Record identifiers, condition, location and any gaps.
- Find the governing documents. Assemble the permit, contract, amendments, scope of work, research design, data-management plan, repository agreement, ownership clauses, insurance terms and written transfer or termination provisions. Federal curation agreements specifically contemplate responsibilities and termination procedures.
- Notify the responsible parties. Contact the commissioning party or land manager, permitting authority where required, and intended repository. State that the contractor is closing, identify the archive’s current location and request written instructions on custody, transport, funding and completion work.
- Confirm repository acceptance before shipping. Obtain the repository’s acceptance, packaging specifications, catalogue format, environmental requirements, data-transfer method, access restrictions and fee arrangements. A repository that has not agreed to accept the archive is not a safe destination.
- Agree the completion plan. Define who will finish washing, stabilising, cataloguing, digitising, reporting or correcting metadata; which deliverables are still due; and which costs remain payable. Put dates and responsible organisations in a written variation, assignment or handover agreement.
- Transfer with a receipt. Use an itemised packing list and record the transfer authority, date, sender, recipient, accession or catalogue numbers, transport details and condition. Obtain a signed or electronic receipt and preserve it with the project’s administrative records.
- Keep a continuity copy. Where permitted, retain a read-only copy of essential project records and the handover log so later researchers can identify what moved, when and under whose authority. Follow the repository’s rules for security and personal data.
Digital records need their own handover plan
Digital material can be lost even when boxes are safely delivered. Identify file formats, software dependencies, database relationships, coordinate systems, naming conventions, checksums where used, and the metadata needed to understand each file. Include photographs at their original resolution, GIS layers, spreadsheets, instrument exports, scanned field records and versioned reports when they form part of the project record.
Follow the project data-management plan and the receiving repository’s technical requirements. Devon County Council’s specification, for example, distinguishes an artefactual archive from a digital archive containing born-digital data and digital copies of primary site records and images, and calls for a data-management plan and early contact with the collecting museum. Its local guidance is at Archaeological Excavation.
Do not rely on a contractor’s ordinary office backup as the long-term repository. Backups may be incomplete, encrypted, dependent on discontinued software or subject to deletion when accounts are closed. The receiving institution should confirm the accepted preservation format and the person responsible for future access.
How completion duties can survive a closure
A project can be unfinished in several different ways: fieldwork may have stopped, analysis may be incomplete, the final report may be overdue, or the archive may exist but not have been deposited. Each situation calls for a document-based decision rather than an assumption that the work is abandoned.

Fieldwork finished, archive not deposited
The client or authority can require completion of cataloguing, packaging and transfer under the contract or permit. Payment milestones, retention amounts and planning conditions may be tied to those deliverables. The closing contractor should provide all working files and identify a qualified organisation to finish the deposit if the original company cannot.
Fieldwork stopped partway through
Secure the excavation area, samples and records first. The land manager or permitting authority may require a new method statement, an amended permit or a successor contractor. A handover should distinguish completed contexts from unexcavated areas and explain any safety, conservation or monitoring risks.
Report delivered but underlying data missing
A report without context sheets, registers, photographs or analytical data may not satisfy the archive requirement. The commissioning party should compare the delivered material with the scope and repository checklist and document any irretrievable gap rather than silently treating the report as a complete archive.

Contractor acquired by another organisation
An acquisition can make transfer easier, but it does not by itself prove that title, permits, confidentiality duties or repository agreements have moved. Obtain written confirmation of assignment or novation and update the repository’s named contact and billing information.

England: examples of explicit deposit and continuity requirements
Devon’s completion model
Devon County Council states that completion depends on compiling an ordered, integrated archive and transferring it for long-term curation. Its specification says, “The archive must also be transferred for long-term curation to a recognised, accredited or trusted repository.” The normal expectation described there is deposition within six months after fieldwork completion. That is a Devon project specification, not a universal deadline for every English excavation.
London guidance on multiple contractors
Historic England’s Managing Archaeology in London Part 2: Appendices – Practical Considerations emphasizes that archive integrity must be maintained when different archaeological organisations undertake different stages. It recommends agreeing title-transfer or deposit arrangements as far as possible before fieldwork. A closure therefore should not sever the links between earlier survey records, later excavation records and the final archive.
Choosing a lawful transfer route
When more than one destination appears possible, compare the routes against the same questions:
| Decision point | What to verify |
|---|---|
| Authority and title | Who owns the artefacts and records, and who can authorise movement, copying, access or disposal? |
| Repository capability | Can the institution provide long-term care, security, conservation, access controls and the required documentation, and has it accepted the archive in writing? |
| Physical and digital alignment | Will artefacts, paper records, born-digital files and digital images remain linked through common identifiers and documented handovers? |
| Continuity | Will records from all project phases and contractors remain one interpretable site archive? |
| Schedule and cost | What deadlines, transport or storage costs, conservation work and remaining contract payments apply? |
If no repository can accept the material immediately, obtain written interim-custody instructions. Record environmental conditions, access limits and the event that will trigger permanent deposit. Do not treat temporary storage as a final disposition.
Indigenous lands, human remains and sensitive information
Extra controls apply where the archive involves tribal or Indigenous lands, human remains, funerary objects, sacred or culturally sensitive items, or precise information about vulnerable sites. Consult the relevant tribal government, land manager, permitting authority and repository before transfer or disclosure. Applicable consent, repatriation, confidentiality and access rules may limit who can inspect, copy or publish the material.
Federal rules recognise that sensitive site-location information may not be open to the public and that consent requirements can apply to disposition on Indian lands. A closing contractor should preserve the restrictions and the decision records with the archive rather than sending an unrestricted copy to a successor.
What to ask when a contractor announces closure
- Where are the artefacts, samples, paper files and digital files today?
- Who is the named custodian during wind-down, and who has access credentials?
- Which permit and contract clauses govern title, completion, termination and costs?
- Has an approved repository accepted the archive in writing?
- What deliverables, cataloguing or conservation tasks remain incomplete?
- Has the commissioning party authorised a transfer, and is there a signed receipt?
- Are any tribal, human-remains, confidentiality or sensitive-location restrictions attached?
If the contractor cannot answer these questions, notify the commissioning agency or land manager promptly and preserve evidence of the archive’s last known condition and location. A lawyer or records specialist may be needed for a dispute over title or insolvency, but the practical preservation steps should begin immediately.
