What Happens to a Company’s Bitcoin When Its Share Price or Finances Fall?

A falling share price does not, by itself, force a company to sell or transfer its Bitcoin. The coins remain on the company’s balance sheet unless management sells them, a financing contract requires action, or insolvency and creditor proceedings determine how assets are handled.

The practical risk is indirect: a lower share price can make new equity expensive and dilutive, while weaker finances can limit refinancing. If cash is needed, the company may raise capital, borrow, sell Bitcoin, use holdings in a cash-generating strategy, restructure obligations, or eventually enter insolvency. The outcome depends on its contracts, debt, custody arrangements, cash needs and decisions.

The key distinction: share-price decline versus Bitcoin sale

Shares represent ownership interests in a company; they are not a direct claim on a fixed number of coins. When investors sell the stock, the market value of those shares falls, but ownership of the company’s assets does not automatically change. There is no general rule that a stock-price decline triggers liquidation of corporate Bitcoin.

A stock can fall because investors expect weaker operating results, dislike the company’s Bitcoin policy, anticipate dilution, doubt future financing, or reduce the premium they are willing to pay over the value of the underlying assets. Those expectations can affect management’s choices, but they do not create a mechanical sale requirement.

Strategy (formerly MicroStrategy) describes its capital-markets program as involving common stock and preferred securities and says it evaluates its Bitcoin strategy against market conditions, capital structure, contractual obligations and anticipated cash needs. That is a company-specific policy statement, not a universal threshold that applies to every Bitcoin-holding issuer.

Why a low share price can still matter

  • Issuing common stock may raise less cash for each new share and cause greater dilution.
  • Convertible or preferred financing can become more expensive or harder to place.
  • Lenders may view the company as riskier and demand tighter terms or additional collateral.
  • A weak market can close refinancing channels just as debt, interest or preferred-dividend payments come due.

These effects can leave Bitcoin untouched, but they reduce the company’s room to respond if it needs cash.

What happens when Bitcoin’s own price falls

A lower Bitcoin price reduces the market value of the company’s holdings. That can weaken liquidity ratios, reduce borrowing capacity where Bitcoin is collateral, and make the company’s asset-backed strategy less attractive to investors.

Accounting can make the decline visible in reported earnings as well. FASB Accounting Standards Update 2023-08 requires in-scope crypto assets to be measured at fair value, with changes recognized in net income each reporting period. Strive’s 2025 annual report warns that a Bitcoin-price decline or a failure of its strategy could adversely affect financial condition, results and the market price of its common stock. The accounting policy and reporting period must be checked in the issuer’s own filing; not every digital asset or reporting situation is identical.

Strive’s report also states that Bitcoin traded below $51,800 and above $106,000 on Coinbase during the 12 months before that 2025 annual report. That is a historical lookback range, not a current quote or forecast.

The stock does not have to move one-for-one with Bitcoin. Operating revenue and costs, debt principal, interest, preferred dividends, stock issuance, custody arrangements and investor expectations all affect the equity value. Treating a share as a fixed fraction of the company’s coins can produce a misleading estimate.

How a company can obtain cash during a downturn

When obligations or operating expenses exceed available cash, management normally considers several routes. They have different costs and may not all be available when markets are stressed.

Raise equity or other securities

A company can issue common shares, preferred stock, convertible notes or another security. This preserves Bitcoin ownership but may dilute existing shareholders, add dividends or interest, or impose conversion and redemption terms. A falling share price usually makes an equity raise more dilutive, although the company may still choose it to avoid selling coins.

Borrow or refinance

New debt, a renewed credit facility or a private financing can provide cash without an immediate Bitcoin sale. The trade-off is a larger fixed obligation and, often, security over assets. If lenders are unwilling to refinance, a company can lose this option quickly.

Sell Bitcoin

Management may sell unrestricted holdings to pay operating expenses, interest, preferred dividends, taxes or maturing debt. MARA Holdings says it sells Bitcoin to support operating expenses and may sell balance-sheet Bitcoin subject to market conditions and capital-allocation priorities. Its example shows that a stated long-term holding approach does not necessarily mean “never sell.”

Use holdings to generate cash

Bitcoin itself does not pay interest or dividends. Strive says a company can generate cash by selling Bitcoin or by implementing strategies intended to create income or otherwise produce cash, while warning that those strategies can fail or add risk. A cash-generating program may involve fees, counterparty exposure, market volatility or restrictions on access to the coins.

No filing establishes a universal order in which companies must use these options. If equity markets close and refinancing is unavailable, selling may become more likely, but a company could instead restructure, seek new capital, negotiate with creditors or enter insolvency.

Pledged Bitcoin: when a loan contract can force action

Bitcoin pledged as collateral is different from unencumbered Bitcoin that management can sell at its discretion. A secured loan normally includes maintenance requirements tied to collateral value, borrowing levels or both.

MARA reported 5,938 Bitcoin pledged against $350 million of outstanding line-of-credit borrowings at December 31, 2025. Its filing says the facility requires collateral to be balanced against borrowings and requires additional collateral, or permits excess collateral to be withdrawn, when value crosses an agreed threshold. Those figures and terms apply to that historical facility, not to every Bitcoin-backed loan.

What a collateral shortfall can require

  • Post additional Bitcoin or another permitted asset.
  • Repay part of the loan.
  • Sell collateral and use the proceeds to reduce the balance.
  • Negotiate a waiver, amendment or cure period.
  • Face enforcement remedies specified in the agreement if the shortfall is not cured.

The Bitcoin price at which a margin call occurs is contract-specific. Read the maintenance ratio, valuation method, permitted collateral, cure period, notice provisions and lender remedies. The reviewed filings do not support a universal margin-call price, liquidation percentage or grace period.

Company insolvency is different from custodian insolvency

If the company itself becomes insolvent

Corporate Bitcoin becomes part of the company’s asset pool considered in the applicable insolvency or restructuring proceeding. The result depends on whether coins are pledged, the priority of secured claims, other creditor obligations, jurisdiction and court orders. A general statement cannot promise that shareholders or any creditor will receive a particular amount of Bitcoin.

Unrestricted coins may still be sold by a debtor or trustee to fund operations or repay claims. Pledged coins may be subject to a secured lender’s rights. The company’s capitalization table, debt documents and proceeding-specific orders determine the practical outcome.

If a custodian fails

Custodian failure creates a separate risk even when the corporate issuer remains solvent. Strategy’s first-quarter 2026 Form 10-Q warns that custodially held Bitcoin could be treated as property of a custodian’s insolvency estate. In that case, Strategy could be treated as a general unsecured creditor, with impaired ownership rights, delayed access or loss. The filing also says available insurance covers only a small fraction of its Bitcoin holdings and that its custodians are not FDIC or SIPC members.

Those are Strategy’s disclosed risks, not a conclusion about every custody contract. Legal treatment depends on segregation language, control of private keys, applicable law, insurance and the custodian’s records.

Keys and cyber incidents

Loss or compromise of private keys can prevent access to coins even without a market or financing crisis. Strategy warns that a cyberattack affecting the company or its custodian could disrupt access or operations. Key-management and cyber risks can therefore compound financial stress but are not caused by a falling share price.

A practical framework for analysing any Bitcoin-holding company

Use the latest annual and quarterly filings, then read the underlying loan and custody agreements. Review each item separately rather than relying on the company’s headline Bitcoin total.

  1. Map the holdings. Separate unrestricted Bitcoin from coins pledged as collateral, loaned to counterparties or held through custodians. Note the reporting date for every figure.
  2. Measure near-term liquidity. Check cash, operating cash flow, expected expenses, debt maturities, interest, preferred dividends and any stated cash reserve.
  3. List financing access. Identify available credit, unused commitments, equity programs, conversion terms and refinancing dates. Consider whether a lower share price would make each source more dilutive or costly.
  4. Read collateral clauses. Record maintenance thresholds, valuation times, permitted assets, cure periods, notice requirements and enforcement rights.
  5. Check sale authority and policy. Determine whether management may sell holdings and what capital-allocation priorities govern a sale.
  6. Review custody and insurance. Identify who controls keys, whether assets are segregated, what insurance covers, and what happens if the custodian enters insolvency.
  7. Separate accounting from cash. Fair-value losses can reduce reported net income without creating an immediate cash outflow; a debt maturity or margin call creates a cash or collateral requirement.
  8. Read the newest filing. Historical balances from a 2025 Form 10-K or a 2026 Form 10-Q can change materially after the reporting date.

Issuer examples and figures to interpret carefully

Issuer and period Reported fact How to interpret it
MARA Holdings, December 31, 2025 5,938 Bitcoin pledged; $350.0 million outstanding under a line of credit Collateral maintenance terms can require additional collateral or permit withdrawal of excess; the figures are historical and facility-specific.
MARA Holdings, December 31, 2025 $5.3 billion combined cash and cash equivalents plus digital assets The combined amount is not entirely cash and does not establish that all assets were unrestricted or immediately available.
Strive, 2025 annual report Bitcoin traded below $51,800 and above $106,000 on Coinbase during the preceding 12 months A historical range used in that report, not a live market range, target or forecast.
Strategy, 2025 Form 10-K and 2026 first-quarter Form 10-Q Strategy evaluates its Bitcoin approach against market conditions, capital structure, contractual obligations and anticipated cash needs; it also discloses custody, insurance and key risks. The statements describe Strategy’s policy and risks, not a rule for other issuers.

Common misconceptions to avoid

  • “The stock fell, so the company must liquidate.” A share-price decline is not a contractual liquidation trigger by itself.
  • “Every Bitcoin-backed loan has the same margin call.” Thresholds, cure periods and remedies come from the individual agreement.
  • “A Bitcoin treasury company’s stock tracks Bitcoin exactly.” Debt, operating performance, issuance and investor expectations create additional variables.
  • “A reported digital-asset total is spendable cash.” Some coins may be pledged, loaned, custodied or otherwise restricted.
  • “Custody insurance protects the entire balance.” Strategy reports insurance covering only a small fraction of its holdings; coverage differs by contract.
  • “A fair-value loss means the company already paid cash.” Fair-value accounting changes reported earnings; cash consequences arise when assets are sold, collateral is posted or obligations mature.

What can and cannot be predicted

The available issuer filings support a conditional answer, not a single forecast. They do not establish a Bitcoin price at which every company must sell, a stock-to-Bitcoin tracking ratio, an automatic liquidation rule or a universal creditor recovery in insolvency. Those questions require the named issuer’s current filings, loan documents, custody terms and, for insolvency, the governing legal proceeding.

Strategy states: “We evaluate our bitcoin strategy on an ongoing basis in light of market conditions, our capital structure, our contractual obligations, and our anticipated operating needs for cash resources.” That wording captures the central point: a company responds to its own liquidity and contractual situation. A falling share price can make the response harder, but it does not decide the response on its own.
