Its Bitcoin balance changes when the company buys, sells, transfers, or otherwise disposes of coins. A share-price drop can create indirect pressure—particularly if it makes new financing less attractive—but whether the company sells Bitcoin depends on its cash needs, financing options, obligations, and treasury policy.
Share price and Bitcoin price affect different things
A company’s share price reflects the market value of its equity. Bitcoin’s market price affects the marked value of the company’s Bitcoin assets. A decline in one does not, by itself, cause a decline in the other.

- If the share price falls: The company’s equity is worth less at market prices, but its Bitcoin units do not automatically change.
- If Bitcoin’s price falls: The company can still own the same number of coins while their market value falls. For example, MARA Holdings reported that the fair value of its Bitcoin holdings decreased by approximately $343.0 million for the three months and $1.4 billion for the six months ended June 30, 2026, due to Bitcoin’s market-price decline. Those figures describe Bitcoin-price exposure, not a loss caused by MARA’s share price. MARA Holdings’ 2026 quarterly filing
- If both prices fall: The company may have a lower equity valuation and a less valuable Bitcoin asset at the same time. The share-price movement itself does not mean the company has lost coins.
Accounting treatment is also issuer-specific. One issuer’s 2026 annual-report excerpt says it measures Bitcoin at fair value and recognizes changes in fair value in net income each reporting period. That example should not be assumed to describe every company; check the issuer’s own reporting basis. Issuer annual-report excerpt, 2026

How a weak share price can matter indirectly
A lower share price may make raising money by issuing shares less attractive or more difficult. That can matter to a company that relies on capital raising to fund Bitcoin purchases, operations, or other obligations. Strategy’s 2025 annual filing describes a Bitcoin acquisition strategy funded in part through capital raising. It is an example of one issuer’s approach, not a rule for other companies. - BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
If a company needs cash and cannot obtain it on acceptable terms, it may consider selling assets—including Bitcoin—depending on its policy and circumstances. A stock decline alone is not a sale trigger, and there is no universal share-price threshold that requires a Bitcoin treasury company to sell.
Why a company might sell Bitcoin
Possible reasons include funding operations, meeting debt service or other obligations, responding to liquidity needs, or changing treasury strategy. Companies can set different policies. MARA says it retains most Bitcoin holdings as a treasury asset while allowing sales of Bitcoin generated from operations. Strategy’s filing describes using equity and debt capital raising to support its Bitcoin approach. Neither example establishes a universal policy or forced-sale trigger. For a particular issuer, review its latest annual and quarterly filings for:
- Cash, operating liquidity, and stated treasury policy
- Debt maturities, covenants, collateral arrangements, and other obligations
- Preferred dividends and claims senior to common stock
- Recent Bitcoin purchases, sales, or transfers
These details help distinguish an actual sale from a possible financing pressure or a change in asset valuation. A share-price chart alone cannot establish whether the company has sold Bitcoin or must do so.

What the decline may mean for shareholders
A lower stock price reduces the market value of a shareholder’s equity stake. It does not, by itself, change the company’s Bitcoin quantity or guarantee that Bitcoin’s value will support the share price. The company’s debts, preferred securities, operating needs, and other senior claims can affect liquidity decisions and what may remain for common shareholders.
Some investors compare a company’s market value with its Bitcoin treasury using a net asset value multiple, or mNAV. An SEC-filed proxy exhibit describes an mNAV below 1.0 as meaning the Bitcoin in treasury is more valuable than the company itself. That is issuer-specific valuation language, not a guaranteed liquidation value or a universal standard; definitions can differ, including in how debt and preferred claims are counted. If using an mNAV figure, identify the source, formula, and date. SEC-filed proxy exhibit

How to assess a specific company
- Separate the price moves. Establish whether the company’s share price fell, Bitcoin’s price fell, or both.
- Check the Bitcoin quantity. Compare the holdings reported in dated filings; do not infer a sale from a fall in marked value.
- Read the latest filings. Look for liquidity, debt and covenant terms, preferred obligations, treasury policy, and recorded purchases or sales.
- Check valuation definitions. If an mNAV comparison is cited, use its stated formula and date, and note what claims it includes.
- Label the conclusion precisely. Distinguish a confirmed sale, a possible financing constraint, and a change in market valuation.
Treasury policies, capital structures, accounting treatment, and market valuations can change. The relevant company’s latest filings are the basis for assessing its current position; this general explanation does not determine what any one issuer will do.
