Losing a wallet’s private key does not automatically erase ownership of tokenized fund shares. In the September 2026 prospectus for the Grayscale Ethereum Covered Call ETF, the Digital Transfer Agent’s official book-entry records—not control of a wallet or possession of a token by itself—determine who is the record owner. An eligible record holder may ask the agent to burn tokens at the inaccessible address and issue an equivalent number of tokenized shares to a replacement wallet. That process is conditional: identity checks, compliance status, ownership evidence, allowlisting and approval are required, and the request can be delayed or denied.
This is not a universal rule for tokenized funds. Each fund’s prospectus and transfer procedures control. A blockchain transaction, wallet balance or token display may not by itself establish shareholder rights.

What happens if I lose access to my wallet?
The result depends on which record is legally authoritative for your fund. In the Grayscale Ethereum Covered Call ETF structure described in its September 2026 prospectus, tokenized shares are represented in an official book-entry system integrated with the Digital Transfer Agent. The record holder shown in that system owns the underlying shares, even if the holder can no longer control the wallet where the tokenized representation resides.

1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsIf the holder satisfies the fund’s Lost Key Policy, the Digital Transfer Agent can remove the inaccessible address from the allowlist, burn the tokens associated with that address and issue the same number of tokenized shares to a replacement address. The filing characterizes this as changing the wallet in which the same shares are recorded, not as a new purchase, redemption or creation of additional shares.

The agent does not retrieve the old private key. It changes the official record after completing its review. Until that review is complete, the position may be restricted, and the outcome is not guaranteed.
Does losing my wallet mean I lose my shares?
Not necessarily. A private key controls the ability to sign transactions from an address; it is not automatically the same thing as the fund’s shareholder register. The Grayscale prospectus expressly says that loss or compromise of a private key does not extinguish ownership when the Digital Transfer Agent’s book-entry records identify the person as the record holder.
That distinction applies only within the structure and documents that establish it. Some arrangements may treat the blockchain address, a custodian’s ledger, an intermediary’s records or another registered-wallet system differently. A token visible in a wallet that is not recognized by the fund may not provide voting, distribution or redemption rights.

1. Confirm the exact fund and your holder status
Find the fund’s complete legal name, share class and Digital Transfer Agent. Check the current prospectus, supplement and any digital-share or transfer procedures. Ask whether you are the record holder or a beneficial owner whose position is recorded through a broker, custodian or other intermediary. The procedure for a direct record holder may not be available to someone whose shares are registered in an intermediary’s name.

2. Contact the transfer agent through a verified channel
Use the investor portal or contact details published in the fund’s official documents. Never send a seed phrase, private key, recovery phrase or signing credentials to a person who claims to recover the shares. A legitimate review should rely on identity and account records, not disclosure of secrets that could let someone drain other assets.
3. Ask what evidence and screening are required
For the Grayscale procedure, the requester must be the record holder, remain in good standing under the agent’s know-your-customer and anti-money-laundering program, identify a replacement address through the investor portal and complete identity and address screening. Ask the agent to specify the acceptable ownership evidence, whether an address must be newly registered, and whether the position can be frozen while the review is pending.
4. Nominate and allowlist the replacement wallet
Use the fund’s prescribed process to provide the replacement address. Do not assume that any Ethereum-compatible address is acceptable. The fund may restrict transfers to allowlisted wallets, and a replacement address can be rejected if it fails screening, is technically incompatible or does not meet the fund’s rules.

5. Provide the ownership attestation and authorization
The Grayscale filing says the holder must attest to ownership and authorize the burn. The Chief Compliance Officer approves requests, while fund-services personnel coordinate the records. Approval therefore involves a compliance decision rather than an automatic smart-contract recovery function.

6. Wait for the record update and confirm the result
If approved, the agent burns the tokens at the inaccessible address and issues an equivalent number of tokenized shares to the replacement address. Confirm both the updated transfer-agent record and the replacement wallet balance. Keep the written approval, transaction hash and updated account statement with your records.
What the transfer agent cannot do
The September 2026 Grayscale prospectus is explicit about three limits:
- The Digital Transfer Agent cannot recover or reset a private key.
- It cannot reverse a burn after the burn has been executed.
- It may delay or deny a request under the Lost Key Policy, including when it sees fraud or account-compromise concerns.
Burning is therefore an irreversible operational step. Verify the replacement address character by character through the fund’s approved workflow before authorizing it. A typo, compromised device or fraudulent request can create a new loss that the agent cannot undo.
What if someone disputes ownership or the wallet was compromised?
When ownership is contested, the prospectus says the position may be frozen until the dispute is resolved by agreement, court order or another legal process. The agent is not required to decide a complex ownership dispute solely from wallet-control evidence.

An executed blockchain transfer is not simply rolled back. Where the policy and applicable law permit, remediation may instead immobilize the affected tokens and reissue them to the rightful record holder. That approach changes the official record or restricts the representation; it does not rewrite Ethereum’s transaction history.
Report suspected compromise immediately. Preserve the address, transaction hashes, account statements and communications, and ask whether the agent can place a temporary restriction while it investigates. Do not move related assets or approve a burn until you understand which address the fund will recognize as the replacement.
What records establish ownership?
For the cited Grayscale fund, finality on Ethereum causes a transfer between two allowlisted wallets to be reflected in the holder-level record. The controlling evidence is still the integrated book-entry record maintained by the Digital Transfer Agent. A blockchain explorer can help document what happened, but it is not necessarily the fund’s shareholder register.

Are tokenized shares protected like ordinary brokerage shares?
The Grayscale prospectus states that tokenized shares held directly on the agent’s records, or in a self-hosted or third-party non-broker wallet, are not covered by SIPC or similar protection. That disclosure is specific to the holding arrangements described for that fund. Protection can differ when shares are held through a broker, custodian or another legally recognized account, so read the governing documents for your exact arrangement.
Why another fund may handle a lost wallet differently
Tokenization is not a single legal or technical model. The November 2025 prospectus for the WisdomTree Digital Trust describes integrated transfer-agent records, registered wallets and smart-contract controls that restrict transfers. It also discusses potential clawback of digital representations that do not match the official book-entry records.
That disclosure illustrates the questions to ask; it does not establish the same lost-key policy for every product from that issuer or for the market as a whole. One fund may offer a written burn-and-reissue process, another may require an intermediary to act, and another may immobilize a representation while ownership is investigated.
What to do immediately after losing access
- Stop guessing. Do not repeatedly attempt transactions from a device you suspect is compromised, and do not expose recovery phrases to a third party.
- Identify the account structure. Determine whether the shares are direct, broker-held, custodied or recorded through another intermediary.
- Collect evidence. Save purchase confirmations, account statements, wallet addresses, transaction hashes, allowlist notices and previous transfer-agent messages. These records may support verification, but the filings do not promise that any single item will be sufficient.
- Verify the official contact route. Use the fund prospectus or authenticated investor portal, not a social-media message, search advertisement or unsolicited recovery service.
- Request a written procedure. Ask about record-holder status, identity documents, address screening, replacement-wallet requirements, temporary freezing and the approval authority.
- Check every detail before authorization. Confirm the replacement address, network and share quantity in the agent’s written instructions before any burn is approved.
- Keep the final records. Retain the approval, burn transaction, reissuance transaction and updated book-entry statement.
Questions to compare before choosing a tokenized fund
Prospectuses can reveal materially different recovery and control arrangements. Compare the following items for the exact fund and share class:
| Question | Grayscale Ethereum Covered Call ETF disclosure | WisdomTree Digital Trust example | Why it matters |
|---|---|---|---|
| Which record determines ownership? | Digital Transfer Agent’s official book-entry records | Integrated official records are described; product-specific details must be checked | A wallet balance alone may not establish shareholder rights. |
| Are self-hosted wallets permitted? | The filing discusses self-hosted and third-party non-broker wallets; exact allowlist rules apply | Registered wallets and transfer controls are described | Unsupported or unregistered addresses may not receive shares. |
| Is there a lost-key procedure? | Written Lost Key Policy with possible burn and reissuance | Not stated in the cited material as the same policy | Do not assume a recovery route exists. |
| Who approves a replacement? | Identity and address screening, compliance review and Chief Compliance Officer approval | Not stated in the cited material | Recovery may be discretionary rather than automatic. |
| What happens during a dispute? | The position may be frozen; resolution may require agreement, court order or another legal process | Smart-contract controls and potential clawback of mismatched representations are described | Disputes can restrict transfers without reversing blockchain history. |
| What investor protection applies? | Direct, self-hosted and third-party non-broker wallet holdings are disclosed as outside SIPC or similar protection | Not stated in the cited material | Protection depends on the legal holding arrangement. |
Preventing a future access failure
Before purchasing, read the fund’s wallet and transfer sections rather than relying on a token interface or exchange description. Confirm the supported network, allowlist process, approved wallet types, record-holder definition and procedure for a lost or compromised key. Ask how quickly a freeze can be requested and whether a replacement requires a new identity review.
A hardware wallet or another key-protection method can reduce the chance of accidental key loss, but it cannot recover a key that has already been destroyed and does not restore fund shares by itself. The cited filings do not endorse a particular device or confirm compatibility with any model. Verify the exact token and network support before using one, and maintain a secure, tested backup process that does not place the recovery phrase in cloud notes, email or a photograph.
Bottom line for a lost-wallet incident
For the Grayscale structure described in the September 2026 prospectus, losing wallet access can be recoverable because the official transfer-agent record, not wallet control alone, determines record ownership. Recovery requires a verified record holder, compliance screening, an approved replacement address and authorization for an irreversible burn-and-reissue operation. Other tokenized funds may use different records, controls or remedies, so the current prospectus and transfer agent for the exact fund are the only reliable starting points.
