If you do not file a petition with the U.S. Tax Court by the deadline printed on a statutory IRS Notice of Deficiency, the IRS generally may assess the proposed tax and send you a bill. The balance can include applicable penalties and interest. The usual petition period is 90 days; certain taxpayers outside the United States receive 150 days. Mailing documents to the IRS or negotiating with an IRS employee does not stop or extend that court deadline.
First, identify what kind of IRS notice you received
The consequences described here apply to a statutory Notice of Deficiency (sometimes called a 90-day letter). It is the IRS’s formal proposed determination that you owe additional tax. The notice states the proposed deficiency, related penalties, and the last date to file a Tax Court petition.

Not every IRS letter is a Notice of Deficiency. Collection notices, examination letters, and other correspondence can have different response periods and rights. Check the notice title and the deadline printed on the document before relying on the rules in this article.

Why the notice matters
A statutory notice gives you a prepayment opportunity to challenge the proposed deficiency in Tax Court. You generally do not have to pay the proposed amount before filing a timely petition. That opportunity is tied to a statutory deadline, not to an informal exchange of letters with the IRS.

What happens when the petition deadline passes
The IRS can assess the proposed amount
If no timely Tax Court petition is filed, the IRS may assess the amount shown in the notice. The IRS describes the result this way: “If you do not timely file a petition, the IRS will assess the amount proposed in the statutory notice and you will receive a bill.” The assessment changes the proposed liability into an amount the IRS can formally bill and collect.
Your bill may be higher than the notice’s tax figure
The amount due can include applicable additions to tax, penalties, and interest. Interest generally continues to accrue under the rules applicable to the liability. The exact total depends on the tax year, type of adjustment, payment history, and any penalty or interest provisions that apply to your case.
Collection may follow
A late response does not guarantee that the IRS will pause assessment or collection. After an assessment, the IRS can issue balance-due notices and pursue ordinary collection procedures if the account remains unpaid. Contacting the IRS after the deadline may help you understand the balance or discuss payment options, but it does not recreate the preassessment Tax Court right.

How long you normally have to file
| Situation | General period | What controls |
|---|---|---|
| Notice addressed to a taxpayer in the United States, or ordinary domestic circumstances | 90 days from the statutory notice date | The exact deadline printed on your notice |
| Specified circumstances involving a taxpayer outside the United States | 150 days | The notice and the facts about where it was addressed and where the taxpayer was when it was mailed |
| Last day is Saturday, Sunday, or legal holiday | Next day that is not a weekend or legal holiday | The applicable filing and holiday rules |
The 90-day period is not counted from the day you happen to open the envelope. Use the statutory notice date and the deadline printed on the notice. Keep the complete notice and envelope because delivery facts can matter if the date is disputed.

The 150-day rule is fact-sensitive
The IRS describes a 150-day period when the notice is addressed outside the United States or the taxpayer is outside the country when the notice is mailed. Tax Court interpretations have also applied the longer period in some situations where the notice went to a U.S. address but the taxpayer was abroad. Because the result can turn on the mailing address and your location on the mailing date, follow the deadline printed on your own notice and obtain case-specific advice when those facts are unusual.
Weekend and legal-holiday deadlines
If the final day falls on a Saturday, Sunday, or legal holiday, Taxpayer Advocate Service guidance says the petition may be filed on the next day that is not a weekend or legal holiday. Confirm the applicable court filing instructions rather than assuming that any later mailing is timely.
Where the challenge must be filed
A petition must be filed with the United States Tax Court, not merely mailed, uploaded, or hand-delivered to an IRS office. The IRS cannot extend the statutory petition period. An IRS employee’s promise to review documents, an open audit discussion, or a pending request for reconsideration does not substitute for a Tax Court petition.

What does not preserve the deadline
- Mailing an explanation or supporting records to the IRS.
- Calling the number on the notice and asking for more time.
- Opening an audit-reconsideration request.
- Waiting for an IRS response to a proposed settlement.
- Sending a payment without filing the required Tax Court petition.
Those actions may be relevant to later administration of your account, but none should be treated as an extension of the court deadline.

What to do before the deadline expires
- Read the entire notice. Locate the notice date, the last day to petition, tax year, proposed deficiency, penalties, and the address or electronic instructions provided by the Tax Court.
- Calculate the deadline independently. Mark the printed date on a calendar and check whether the 150-day rule or a weekend/legal-holiday adjustment could apply.
- Preserve evidence. Save the notice, envelope, account transcripts, returns, schedules, payment records, and documents supporting your position.
- Decide whether to petition. A Tax Court petition protects the prepayment forum even when you are still gathering records or discussing the dispute with the IRS.
- Follow Tax Court filing instructions exactly. Use the court’s current instructions, required fee or fee-waiver process, service requirements, and accepted filing method. Do not assume that an IRS submission counts.
- Seek qualified help quickly when needed. A tax attorney, enrolled agent, or other qualified tax professional can assess jurisdiction, deadlines, the proposed adjustments, and filing strategy. Professional help cannot promise that a late petition will be accepted.
If you already missed the deadline
Audit reconsideration may be available
Taxpayer Advocate Service guidance identifies audit reconsideration as a possible post-deadline administrative avenue when you have new information that could change the assessed liability. It is separate from a Tax Court case and does not restore the missed petition period. The IRS may review documents, but you should not assume that reconsideration will be granted or that it will stop collection automatically.
Gather the specific records that address the adjustment: corrected income statements, basis records, expense substantiation, dependency documents, filing-status evidence, or other information tied to the disputed items. Explain which notice adjustments each document supports and keep proof of delivery.
Late Tax Court petitions are not automatically accepted
The Tax Court’s jurisdiction is generally dependent on a timely petition. A taxpayer who files after the statutory period should not assume the court can hear the case. Questions about the date, mailing, incapacity, disaster, or other unusual circumstances require immediate advice from a practitioner familiar with Tax Court procedure.

Special case: CP3219N notices for an unfiled return
A CP3219N notice is a specific type of statutory notice issued when the IRS did not receive a tax return. For that notice, the IRS says you can still file the past-due return. If you file after the 90-day period expires, processing may be significantly delayed.
Do not generalize this instruction to every Notice of Deficiency. CP3219N procedures concern an unfiled-return situation, while other deficiency notices may involve examination adjustments to a return that was filed. Follow the instructions for the notice you actually received and retain proof that a past-due return was submitted.
Common mistakes and how to avoid them
Confusing an IRS response with a Tax Court petition
The most consequential mistake is sending a detailed protest to the IRS and believing that it preserves court rights. It does not. The petition must reach the Tax Court under the applicable filing rules by the deadline.

The statutory period is tied to the notice date and the legal rules governing the notice, not simply the day you read it. If mail was delayed, keep the envelope and obtain advice rather than unilaterally adding days.

Assuming an IRS representative can grant an extension
The IRS cannot extend the statutory deficiency-petition deadline. A representative may document your call or explain account procedures, but that does not change the court’s jurisdictional time limit.
Ignoring penalties and interest
Budgeting only for the proposed tax can leave you short when the assessment includes penalties and accrued interest. Request an updated account balance and review whether a penalty-relief request is legally available for your facts; relief is not automatic.
Waiting for perfect documentation
If the deadline is approaching, do not let an ongoing document search cause you to lose the petition opportunity. File according to the Tax Court’s requirements and continue developing the factual record through the proper process.

- Deadline still open: Calculate the final date, prepare a Tax Court petition, and obtain prompt professional advice if the issues or filing facts are complex.
- Deadline uncertain: Treat the earliest plausible date as controlling until the Tax Court or a qualified practitioner confirms otherwise. Preserve the notice and envelope.
- Deadline passed, assessment not yet understood: Request an account transcript or balance explanation, and ask whether audit reconsideration is appropriate based on new information.
- CP3219N for an unfiled return: Prepare and submit the past-due return using the notice’s instructions, understanding that late processing may be delayed.
- Assessment already billed: Verify tax, penalties, interest, and credits, then address payment or collection issues separately from any request to reconsider the audit.
Questions to take to a tax professional
Bring the complete notice, envelope, tax return for the year at issue, IRS account transcripts, correspondence, and a timeline of every contact with the IRS. Ask specifically:
- Is this a statutory Notice of Deficiency, and what is the legally controlling petition deadline?
- Could the 150-day rule or a weekend/legal-holiday rule apply to my mailing and location facts?
- Does the proposed adjustment require a Tax Court petition, an amended return, audit reconsideration, or more than one step?
- What penalties and interest are included or continuing, and is any relief request supportable?
- If the deadline has passed, what administrative remedies remain and what collection deadlines are running?
Bottom line
Missing a statutory Notice of Deficiency deadline usually allows the IRS to assess the proposed tax and bill you, with applicable penalties and interest. A letter, phone call, payment, or negotiation with the IRS does not extend the Tax Court deadline. Check the notice’s exact date, consider the 90-day or fact-specific 150-day rule and any next-business-day adjustment, and file with the U.S. Tax Court before the deadline. Afterward, audit reconsideration or notice-specific steps such as filing a past-due return for CP3219N may still be possible, but they are separate from—and do not recreate—the missed petition right.
