There is no single outcome. Your rights depend on what the token legally represents, which firm failed, where the underlying asset is held, and the contracts and insolvency law governing the arrangement. A token may be an issuer-sponsored share, an indirect custodial interest, or a synthetic product issued by a third party. A trading-platform shutdown can freeze access and withdrawals without deciding ownership; a token-issuer or custodian failure can put the value and recovery of the token itself at issue. The blockchain entry alone does not establish your legal claim.
Why the label “tokenized stock” is not enough
Two tokens can follow the same company’s share price while giving investors completely different rights. The U.S. Securities and Exchange Commission (SEC) staff describes issuer-sponsored and third-party-sponsored securities. Investor.gov also explains custodial and synthetic arrangements. In each case, the legal documents—not the marketing label, ticker symbol, or blockchain record—determine whether you own a share, hold an intermediary claim, or have only a contractual promise tied to a reference stock.
Before assessing a failure, identify four separate parties:
- The referenced company: the business whose stock price the token follows.
- The token issuer or sponsor: the entity that creates, promises, or records the token.
- The custodian or intermediary: the firm that may hold the underlying shares and maintain customer records.
- The trading platform: the service that provides an account, market, wallet, transfers, or withdrawals.
One company can perform several of these roles, or different companies can perform each role. If the same business issues the token, holds the shares, and operates the platform, one insolvency can affect issuance, custody, trading, and withdrawals at once.

The three main structures and their failure exposure
| Structure | What the token may represent | What failure usually puts at risk |
|---|---|---|
| Issuer-sponsored | The company or its agent issues a security on a blockchain. The token may correspond to a specified class of that company’s shares. | A platform outage can block trading or transfers. If the company itself fails, the holder faces ordinary equity-issuer risk. Confirm that the token is actually a share, its class, and the ownership records. |
| Custodial | A third party holds traditional shares while the token records an indirect interest, such as a security entitlement or beneficial interest. | Recovery depends on the custodian’s records, segregation arrangements, contracts, and the insolvency law that applies. Access, transfer, and possession can become uncertain when an intermediary fails. |
| Synthetic | An unaffiliated firm issues a linked security or derivative-like exposure to a referenced stock without giving the holder the company’s share. | The holder generally has a claim against the token issuer or counterparty. Investor.gov says a synthetic holder has no claims or rights against the issuer of the referenced security, so the token issuer’s solvency is central. |
Even tokens associated with the same company can have different share classes, voting rights, dividend treatment, transfer restrictions, or redemption terms. Tokenization does not automatically preserve every right attached to a conventional share.
What happens in each failure scenario?
If the company named by the token fails
If the token is a genuine equity interest, the investment has the same basic economic exposure as other equity in that company. Financial distress can reduce the share value, and bankruptcy treatment follows ordinary corporate and securities law. Tokenization does not give the holder priority over creditors, guarantee a payout, or make the equity safer.

If the token is synthetic, the company’s collapse can drive down the referenced price, but your legal claim remains against the separate token issuer under the token contract. You do not become a shareholder merely because the token tracked the company’s stock.
If the token issuer fails
First determine whether the token issuer is the referenced company or an unaffiliated third party. If it is a third party, its bankruptcy is an additional risk that a holder of the underlying share would not necessarily face. The SEC’s Division of Corporation Finance, Division of Investment Management, and Division of Trading and Markets stated on January 28, 2026: “Further, holders of the crypto asset may be exposed to risks with respect to the third party, such as bankruptcy, to which a holder of the underlying security would not necessarily be exposed.”
Your position could be an ownership interest, a security entitlement, a claim for delivery of shares, or a derivative-like payment obligation. Those categories can receive different treatment in an insolvency proceeding. Read the offering document, token terms, and account agreement to determine which one applies.

If the custodian fails
A custodian failure raises questions that cannot be answered from the token balance alone: Were the underlying shares actually purchased? Where were they held? Were customer assets segregated? Do the custodian’s books identify each customer’s beneficial interest? Which entity controls the accounts and corporate-action instructions?
Public regulator materials do not establish one universal recovery rule for every tokenized-stock custody arrangement. The result is specific to the custody contract, records, segregation practices, governing law, and the facts of the proceeding. A token may remain visible on-chain while the practical ability to deliver or redeem the underlying asset is disputed.
If a trading platform fails
A shutdown can halt trading, withdrawals, transfers, customer support, or account access. Investor.gov warns that customers of crypto-asset intermediaries may lose access to deposited assets, be unable to withdraw them, and face uncertainty about what they can recover in bankruptcy. That is general intermediary guidance, not a guaranteed result for every securities platform.

Platform failure does not by itself answer who owns the token or underlying shares. If the platform merely provided an interface while a separate regulated custodian maintained the asset and records, the legal analysis may differ from a platform that also issued tokens and commingled customer property. You need the account terms and the identity of every entity in the custody chain.
If the blockchain or token infrastructure fails
An outage, cyberattack, lost signing key, defective records, or transfer restriction can make the token unusable even when a legal claim still exists. The SEC Investor Advisory Committee identifies infrastructure, transferability, and redemption as material risks. Operational availability and legal ownership are separate questions: restoring a wallet or displaying a balance does not automatically prove ownership, and an unavailable chain does not automatically extinguish a contractual claim.
Will you still own the underlying shares?
Only the documents and applicable law can answer that question for a particular token.

- Issuer-sponsored share: you may have the rights of the specified share class if the issuer’s records recognize you as the holder or beneficial owner. Verify the class, registration method, and transfer process.
- Custodial token: you may have an indirect entitlement recorded by an intermediary rather than direct title in your own name. Your ability to recover depends on the intermediary’s records and protections.
- Synthetic token: you normally have a contractual exposure to the token issuer, not ownership or shareholder rights in the referenced company.
A price chart, wallet balance, or transaction hash cannot substitute for the governing ownership and custody records.
What to do if a platform stops withdrawals
Act methodically, but do not assume that a rushed transfer will improve your legal position. Preserve evidence and establish which entity controls each part of the arrangement.
- Record the interruption. Save account statements, token balances, transaction IDs, trade confirmations, withdrawal requests, notices, and the platform’s terms as they existed before the shutdown.
- Identify the roles. Write down the legal names of the token issuer, referenced company, custodian, broker or other intermediary, and platform operator. Check whether any entity is acting in more than one capacity.
- Read the failure provisions. Look for clauses covering insolvency, segregation, redemption, conversion to traditional shares, transfer restrictions, setoff, and the claims process.
- Find the official proceeding information. Use notices from the company, court, administrator, trustee, or regulator rather than relying on social-media posts. Note filing deadlines and approved communication channels.
- Separate disputed issues. Determine whether the dispute concerns access to an account, delivery of an underlying share, valuation of a synthetic contract, or ownership of customer property. These are different claims.
- Obtain qualified advice for a material loss. Cross-border custody, securities law, and bankruptcy priorities are jurisdiction-specific. A lawyer or licensed adviser can review the actual documents and proceeding.
What to check before buying or holding a tokenized stock
- Legal issuer: Is the token issued by the company whose stock it references, or by an unrelated firm?
- Legal form: Does the token itself constitute a share, a security entitlement or beneficial interest, or a synthetic contractual exposure?
- Share class and rights: Check voting, dividends, corporate actions, conversion, and any difference from the company’s conventional classes.
- Custody chain: Identify where underlying shares are held, who controls the account, and how customer interests are recorded and segregated.
- Redemption and transfer: Find the precise route for converting the token, receiving a share, or selling the exposure. Note minimums, delays, eligibility rules, and restrictions.
- Insolvency treatment: Read what happens if the issuer, custodian, platform, or a service provider becomes insolvent. Do not infer protection from the words “backed,” “reserved,” or “on-chain.”
- Regulatory capacity: Determine which entities are regulated, in which jurisdiction, and in what capacity. Investor.gov notes that crypto platforms may combine activities normally performed by separately registered intermediaries.
- Records you can access: Confirm that you can download statements and transaction history independent of the platform’s continued operation.
How to compare two tokenized-stock offerings
Use the same questions for each offering rather than comparing only fees or price tracking.
Best Value
| Comparison axis | Questions to answer | Why it matters in a failure |
|---|---|---|
| Ownership versus exposure | Is it direct stock ownership, an indirect entitlement, or a synthetic promise? | It identifies whether your claim is against the company, an intermediary, or a counterparty. |
| Issuer and counterparty | Who minted the token and who owes performance? | A third-party bankruptcy can add risk beyond ordinary stock ownership. |
| Custody and records | Who holds the shares, are assets segregated, and how are interests recorded? | Records and segregation can determine whether assets or only a general claim are available. |
| Investor rights | Are voting, dividends, corporate actions, and class terms identical to the referenced share? | Different rights can change both value and the remedy available after a failure. |
| Transfer and redemption | Can you transfer, redeem, or convert, and under what restrictions? | A market price is less useful if the exit route disappears during an outage. |
| Jurisdiction and process | Which law applies, where are entities registered, and what insolvency process is specified? | Recovery procedures and priorities vary by entity, country, and proceeding. |
What regulators do—and do not—establish
The SEC’s January 28, 2026 statement describes variation among tokenized securities and highlights third-party, infrastructure, transferability, and rights risks. Investor.gov’s educational material warns about interrupted access, halted withdrawals, uncertain ownership, and unclear bankruptcy recovery at crypto-asset intermediaries. The SEC Investor Advisory Committee likewise identifies custody, records, transferability, and redemption as key structural questions.
These materials explain risks; they do not decide the outcome of a particular insolvency case. Investor.gov states that its warning is staff material and does not itself change the law. The exact result requires the offering and account documents, the firms’ legal status, asset and custody records, governing law, and the facts of the failure proceeding.
A separate Federal Reserve, FDIC, and OCC statement says an eligible tokenized security with identical legal rights should generally receive the same regulatory-capital treatment as its non-tokenized form. That is a banking-capital rule, not a promise of retail ownership, deposit insurance, or bankruptcy recovery.
The practical bottom line for investors
Treat a tokenized stock as a legal arrangement with several possible failure points, not as a conventional share merely recorded on a blockchain. Before buying, establish exactly what you own, who owes you performance, where any underlying shares are held, and how redemption or insolvency claims work. If a firm fails, preserve records, identify the responsible entity, follow the formal claims process, and avoid assuming that a visible token balance guarantees delivery of shares or repayment.
