The outcome depends on what legal right the token represents, which issuer or intermediary is responsible, where the authoritative ownership record sits, and whether anyone has both the ability and legal authority to act.
A token, the asset or claim it represents, the issuer or intermediary, and the blockchain are separate parts of the arrangement. One can fail while the others keep working: a blockchain may still process transfers even when an issuer cannot redeem tokens, and a network outage does not by itself decide who owns an off-chain asset.

What can fail—and what does that failure mean?
“Tokenized asset” describes a digital token associated with an asset or a legal or contractual claim. It does not, on its own, establish that the token holder directly owns the referenced asset or can claim against its issuer. A token may represent direct rights, an interest recorded through an intermediary, a claim against a token issuer, or a contractual promise to deliver something. Those arrangements can have different outcomes in insolvency.
The U.S. Securities and Exchange Commission staff’s January 28, 2026 statement distinguishes issuer-sponsored tokenized securities from third-party-sponsored arrangements. In some issuer-sponsored structures, a network transfer updates the issuer’s master securityholder file. In others, the token signals that an off-chain ownership file should be updated. The staff statement describes U.S. securities-law treatment; it is not a worldwide rule. The practical question is therefore not simply whether a token appears in your wallet, but which record and legal documents establish your rights.
The SEC’s taxonomy also makes clear that rights can differ between a token and the underlying security. A third-party-issued token may expose its holder to that third party’s bankruptcy risk without giving the holder the same rights as a holder of the underlying security. SEC Commissioner Hester M. Peirce put the general point plainly in a July 9, 2025 statement: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” She also wrote, “Tokenized securities are still securities.”

Failure scenarios and the questions that matter
| What fails | What may happen | What to check first |
|---|---|---|
| Issuer or intermediary | Redemption or performance may stop. Depending on the legal structure, the holder might have rights to segregated assets, a direct claim, or only a contractual claim against a failed company. | Who owes the obligation? Do the terms establish ownership, custody, segregation, or a claim against an intermediary? What happens in insolvency? |
| Smart contract | A defect or exploit may disrupt transfers, redemption, or software-encoded controls. Whether a contract can be paused, repaired, upgraded, or migrated depends on the arrangement’s design and disclosed governance. | Do authoritative project documents identify anyone with those powers, and are those powers legally authorized? |
| Private key or custodian | A lost key can prevent its holder from authorizing transfers; a stolen key can enable unauthorized transfers. An intermediary may have other operational or legal powers, but a self-custody holder may have few options if the key is unavailable. | Who controls the key, and what incident, custody, or recovery procedures apply? |
| Blockchain, bridge, oracle, or service provider | A disruption in a component on which the arrangement relies can block platform functions or affect valuation even if other components remain available. | Which operators and services are dependencies? Are incident, continuity, or migration procedures published? |
| Redemption or market liquidity | A token may trade away from the value of its reference asset, or redemptions may be delayed or restricted. A successful transfer does not prove the issuer has enough liquid assets to meet all requests. | Who owes redemption, under what terms, and can the underlying asset be sold or delivered promptly? |
| Network governance or consensus | A dispute or change in network governance can affect access, operation, security, or the meaning of a transfer’s finality. Effects depend on the network and the asset documents. | Who governs access and changes? What do the terms say about records, finality, and disputes? |
The Bank for International Settlements’ Financial Stability Institute discussed operational fragilities—including smart-contract errors and dependencies on custodians, oracles, bridge operators, developers, and maintainers—in an executive summary dated August 28, 2025. It also noted that opaque code can make valuation and price discovery harder. These are risk factors to investigate, not evidence that every token or network has the same weakness.
Can you get your money back if the issuer fails?
Possibly, but the token label alone cannot answer that question. Start by identifying the legal instrument and the party that owes you a duty. If you own a legally recognized interest in assets held in custody, your position may differ from that of someone who holds only a contractual promise from a tokenizing company. The governing documents, custody arrangements, insolvency rules, and jurisdiction determine how those rights are treated.

An IMF legal working paper from 2023 explains one important risk: where a token gives only an in personam right—an obligation owed by a particular person—to deliver an asset, insolvency may leave the holder with an unsecured claim. That analysis describes a possible legal treatment, not a determination that applies to every token or jurisdiction. An unsecured creditor may not receive full or prompt payment if the debtor’s available assets are insufficient, but the result depends on the specific case and applicable law.
For a tokenized security, distinguish the security’s issuer from a third party that created or distributes a token linked to it. The SEC staff’s January 2026 statement warns that third-party structures can leave holders exposed to the third party’s bankruptcy risk and may not give them rights against the issuer of the underlying security. A ledger entry showing a token transfer does not by itself resolve that counterparty question.

What if the blockchain stops, forks, or becomes unreliable?
A network failure can prevent a token transfer from being recorded or confirmed, but it does not by itself establish who owns an underlying asset. The answer depends partly on whether the blockchain is the authoritative ownership register or one component in a system with linked records. In an arrangement where the network is a notification mechanism and an off-chain file controls ownership, an issuer or intermediary may need to reconcile that file after an incident. Whether it can do so depends on the governing documents and its authority.
Some issuer-sponsored arrangements described by the SEC staff use a network transfer to change the issuer’s master securityholder file; in other structures, a token transfer prompts an update to an off-chain file. If a network becomes unreliable, find out which record the relevant documents treat as authoritative, who can amend it, and how conflicting records are resolved. Do not assume that a wallet display, an explorer entry, or a proposed replacement chain settles a legal ownership dispute.

A blockchain outage is also different from a transaction reversal. A court may issue an order directed at people who control tokens, and legal proceedings might seek a reverse transfer or damages. That is not the same as a general technical facility that rolls back a confirmed transaction across every blockchain. The IMF’s 2023 paper discusses court orders and enforcement limits, including the practical difficulty of acting where a court cannot access the relevant private keys. Any remedy is fact- and jurisdiction-dependent.

What recovery options exist?
| Possible route | What it can address | Key limitation |
|---|---|---|
| Issuer or administrator continuity action | Keeping essential services running, restoring functions or data, or following a published incident plan. | A plan does not create assets that are missing, establish a holder’s legal rights, or guarantee full or immediate repayment. |
| Redemption or other issuer measures | Managing a redemption or liquidity stress under the applicable terms and regulatory framework. | Fees, daily limits, or suspension may be among the measures available under rules for covered asset-referenced tokens. |
| Off-chain record reconciliation | Correcting or reconciling ownership records when the relevant arrangement uses an off-chain master file or linked records. | It depends on which record is authoritative and whether the issuer or intermediary has the power to act. |
| Court or insolvency process | Asserting a claim, seeking an order against a person controlling tokens, or pursuing damages through the applicable legal process. | Rights, timing, and enforcement depend on the documents, jurisdiction, available assets, and practical access to keys. |
There are specific regulatory examples, but they must not be mistaken for a general guarantee. Under MiCA, Article 34 requires covered asset-referenced-token issuers to plan for ICT interruption, including preserving or timely recovering essential data and functions. Article 46 describes recovery measures for that covered category, including redemption fees, daily limits, and suspension; it also empowers competent authorities to require measures in specified circumstances. These requirements concern covered asset-referenced-token issuers, not every tokenized security, deposit, token, or blockchain.
The European Commission’s overview dated April 21, 2026 says MiCA has applied fully since December 2024 to crypto-asset service providers and crypto-asset issuers, including stablecoin issuers. It says tokenized deposits and securities remain subject to existing banking and securities legislation. The same overview describes the EU DLT Pilot Regime as allowing market participants to test trading and settlement of tokenized shares, bonds, and UCITS under targeted exemptions. These are European regulatory distinctions, not universal recovery rules. The Basel Framework’s cryptoasset chapter, effective January 1, 2026, likewise treats some DLT-issued dematerialized securities as tokenized traditional assets and emphasizes legal rights, insolvency claims, and liquidity characteristics when banks assess exposures. It is a prudential framework for bank exposures, not a retail repayment promise.

What to do if a token or network has an incident
- Preserve the evidence. Save the token terms, offering or issuer documents, custody agreement, transaction identifiers, wallet records, platform messages, and incident notices. Record the date and time of failed or disputed actions. Do not share a private key or recovery phrase with anyone claiming to investigate.
- Identify which component failed. Determine whether the issue is with the issuer, a trading or custody platform, a smart contract, the network, a bridge, an oracle, or your own key access. Check official incident communications for the specific service and network rather than assuming a visible token balance means all functions work.
- Find the right and the responsible party. Read the documents to establish what the token represents, who owes redemption or delivery, who holds the underlying asset or keys, and which ownership record governs. If the token came from a third party, do not assume the underlying asset’s issuer is responsible for that third party’s promise.
- Check the stated recovery and dispute process. Look for continuity, reconciliation, pause, upgrade, migration, redemption-suspension, complaint, and dispute provisions. Verify that a stated technical power is actually disclosed and legally authorized; do not infer that an administrator can intervene merely because the software might permit it.
- Get advice suited to the transaction and jurisdiction. If the amount or ownership is material, a qualified legal or insolvency professional can assess the documents, applicable law, and available process. A court remedy or claim may be impractical where there is no identifiable responsible party, no accessible key, or no sufficient asset pool.
How to assess recovery risk before acquiring a token
Use the following questions to evaluate the arrangement rather than trying to rank blockchain technology as safe or unsafe in the abstract:
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →- Nature of the right: Is the token linked to direct ownership, a security entitlement, a claim against an issuer, or a contractual promise? Which instrument states that right?
- Authoritative record: Is ownership registered on-chain, off-chain, or in linked records? Who resolves inconsistencies and what process applies after an incident?
- Counterparties and custody: Which issuer, custodian, intermediary, platform, bridge, or service provider must perform for the arrangement to work? What do the documents say about segregation and insolvency?
- Control and recovery powers: Who holds the relevant keys? Who can pause, upgrade, redeem, or migrate the token or contract, and where are those powers disclosed?
- Redemption and liquidity: Who is obligated to redeem, what conditions or limits apply, and can the underlying asset be delivered or sold when requested?
- Law and enforcement: What governing law and dispute forum apply? How would an insolvency claim or court order be enforced in the relevant jurisdiction?
No published statistic in the cited sources establishes the probability that a tokenized asset or blockchain will fail, or the proportion of holders who recover their assets. The useful assessment is therefore arrangement-specific: identify the right, the record, the dependencies, and the recovery authority before relying on a token as if it were the underlying asset itself.
