Growth-stage funding is not simply a check at a higher valuation. Before signing, a founder must know what the money will accomplish, how much ownership will be sold after every SAFE, note and option-pool change, which governance rights the investor receives, how proceeds would be divided in a weak exit, what practical help the investor provides, and which securities-law exemption makes the offering lawful. The guidance below is general and primarily US-focused; it is not individualized legal, tax or investment advice.
Why the valuation headline is only one part of the deal
A term sheet can advertise a pre-money or post-money valuation, but that number does not tell you the transaction’s full price. Effective dilution, board control, veto rights, liquidation economics, future-round constraints and legal obligations can materially change the outcome.

Y Combinator’s Series A term-sheet materials use a 2–1 board as a founder-control example and warn that a liquidation preference above 1x gives the investor more than its invested capital before the remaining proceeds are divided. Those are negotiation examples, not universal market standards. A clause described as “standard” still needs to be modeled in the complete contract.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Evaluate an offer across these dimensions:
- Ownership sold immediately and after all outstanding convertibles convert.
- Any option-pool increase and which holders bear that dilution.
- Board appointment, voting, protective and information rights.
- Liquidation preference, participation, seniority, conversion and anti-dilution terms.
- Runway and operating milestones the proceeds actually fund.
- Investor expertise, working style and ability to support later rounds.
- The exemption, disclosures, filings and investor-eligibility rules that apply.
What should founders know before taking growth-stage funding?
Start with a financing plan rather than a percentage target. Write down the operating milestone the round is meant to buy: for example, a product launch, a revenue threshold, regulatory approval, international expansion or a hiring plan. Tie each use of proceeds to a cash schedule and a next-round assumption.

Set the amount from the plan
- Build a monthly cash forecast that includes payroll, taxes, contractors, infrastructure, sales costs, compliance and one-time transaction expenses.
- Define the milestone that should be reached before the next financing and the evidence that will demonstrate it.
- Stress-test slower sales, delayed hiring and a down-round valuation. Decide how much runway remains in each case.
- Raise enough to execute the plan with a sensible buffer, but do not accept unnecessary dilution merely to hold excess cash.
The amount should be tested against the fully diluted capitalization table, not only the current founder percentage. Include issued shares, promised and unissued options, warrants if any, every SAFE or note, and the pool required by the hiring plan.
How much equity will I give up in a Series A?
There is no reliable answer from the round label alone. Calculate ownership after the new preferred shares are issued, then recalculate after each convertible instrument and any pool increase. Use the company’s actual capitalization definitions and the negotiated documents.
Post-money SAFE math
Y Combinator’s post-money SAFE overview describes a simple relationship: ownership sold is the amount invested divided by the post-money valuation cap. Its illustration of a $1 million investment at a $6.7 million post-money cap produces approximately 15% before later priced-round dilution. A $500,000 investment at the same cap produces approximately 7.5%. These are illustrations, not market averages or recommendations.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesA valuation cap is the highest valuation at which the SAFE converts. If the priced-round valuation is higher, the cap can give the SAFE holder a lower conversion price than the new investors receive. A discount instead reduces the conversion price by the stated percentage relative to the next round. An MFN SAFE can adopt later SAFE terms as its document defines. Pro-rata rights usually give an investor the option, not the obligation, to invest in a future round to maintain its ownership; Y Combinator describes those rights as residing in a separate side letter.

Model every instrument and the option pool
Y Combinator’s SAFE calculator models multiple SAFEs, caps, discounts, MFNs and an option pool through a priced round. In the calculator’s described mechanics, a new or increased pool in the priced round dilutes founders and SAFE holders, while the new-money investors are not diluted by that increase. Confirm the definition of capitalization and the treatment of unissued options in your own documents before relying on the result.
| Item | What to calculate | Why it changes the result |
|---|---|---|
| New preferred shares | Shares issued to the round divided by the post-closing fully diluted total | Sets the immediate ownership transfer |
| Outstanding post-money SAFEs | Each investment divided by its applicable cap, then conversion under the financing terms | Consumes ownership before or alongside the priced round, depending on the documents |
| Discount or MFN terms | Conversion price under the actual next-round price and adopted terms | May produce more shares than a cap-only calculation |
| Option-pool increase | New pool shares and the pre- or post-money point at which they are counted | Can shift dilution to founders and existing SAFE holders |
| Pro-rata side letters | Shares an investor may purchase in later rounds | Does not force participation, but affects future allocation and dilution planning |
Show founders, employees and earlier investors the ownership and proceeds implications in several scenarios rather than quoting one percentage. A cap-table model is a decision aid, not a substitute for counsel’s review of the financing documents.
SAFE, convertible note or priced round: what is different?
These instruments create different rights and obligations. The U.S. Securities and Exchange Commission (SEC) explains that common stock is more commonly issued to founders, while preferred stock is more commonly issued to outside investors; the classes can have different voting and economic rights.
| Instrument | Core legal/economic feature | Questions to resolve |
|---|---|---|
| SAFE | A contingent right to future equity. Y Combinator states that its SAFE is not debt or a loan, has no interest and no maturity date, and is not stock until it converts into preferred shares when an equity financing occurs. | Post- or pre-money cap, discount, MFN, conversion triggers, capitalization definition, pro-rata side letter and treatment in a sale or dissolution. |
| Convertible note | Debt: an amount owed for borrowed money, generally due at maturity and typically carrying interest. | Principal, interest, maturity, default rights, conversion cap or discount, ranking and what happens if no qualified financing occurs by maturity. |
| Priced equity round | Shares are issued at closing, usually preferred stock for outside investors, with negotiated governance and economic rights. | Price per share, fully diluted denominator, board and protective provisions, liquidation preference, anti-dilution and investor information rights. |
The SEC’s distinction matters operationally: a SAFE holder does not have an ownership interest until a triggering event converts the instrument, while a debt holder has a repayment claim under the note. Read the actual instrument and every side letter; labels alone do not settle the outcome.

What should I look for in a venture capital term sheet?
Read the term sheet as a map of the definitive documents. It should let you identify the rights that can change control, proceeds and future financing flexibility.
Board composition and founder control
Check who appoints each seat, whether an independent seat is required, what happens if a founder leaves an executive role, and whether an investor can replace its director. A founder may lose a board seat under specified employment or ownership conditions even while retaining shares. The 2–1 example in Y Combinator’s Series A materials is an example to negotiate, not a promised norm.
Voting and protective provisions
List matters requiring a separate preferred-stock vote or investor consent: issuing senior securities, changing the charter, selling the company, taking on major debt, changing the option plan, paying dividends, or altering board size. Ask whether one investor, a class majority or a broader preferred majority holds the veto. A narrow consent right can become a practical operating constraint if it covers ordinary financing or hiring decisions.

Information and participation rights
Specify the financial statements, budgets, inspection rights and reporting schedule. Pro-rata rights generally permit an investor to maintain ownership in a later round but do not require that investor to fund it. Confirm whether the right is in the preferred-stock documents or a separate side letter and how it interacts with allocation limits.

What does a 1x liquidation preference mean?
In a sale or liquidation, a 1x non-participating preference generally means the investor receives its invested capital before the remaining proceeds are shared, unless it chooses to convert to common stock for a larger return. The exact result depends on seniority, the conversion mechanics and the contract’s definitions.
Terms to model in exit and downside cases
- Preference multiple: A preference above 1x returns more than the original investment before the residual split.
- Participating preference: The investor may receive its preference and then share in the remaining proceeds; whether participation is capped is document-specific.
- Seniority: Later or earlier preferred classes may be paid before another class, changing who bears a shortfall.
- Conversion: Investors often compare the preference return with the common-stock return and take the better contractual outcome.
- Anti-dilution: A down round can adjust the conversion price under the negotiated formula, increasing the protected holder’s share; the formula and triggers must be read in full.
- Dividends: Cumulative or accruing dividends can add to the amount paid before common holders, if the documents provide for them.
Model at least three outcomes: a modest sale, a large exit and a financing down round. In each, calculate proceeds for founders, employees, earlier investors and the new investor. A high valuation can coexist with poor founder proceeds if preferences and seniority consume most of a modest exit.

Capital is only one deliverable. Ask what the investor will do in the first 90 days, which introductions or operating expertise are relevant to the milestone plan, and how the firm behaves when targets are missed. Request references from companies at a similar stage and ask specifically about difficult periods, follow-on decisions and board interactions.
Confirm whether the investor can participate in later rounds if your plan depends on follow-on capacity. Also identify existing agreements that could affect future rounds, including another investor’s pro-rata or anti-dilution rights. The SEC’s later-stage capital guidance specifically encourages companies to consider investor services, existing agreements, who will be diluted and whether shareholders such as founders, employees or earlier investors may sell securities in the financing.

Do I need accredited investors to raise venture capital?
In the United States, a company may not offer or sell securities unless the offering is registered with the SEC or qualifies for an exemption. The SEC notes that Rule 506(b) is commonly used, but multiple exemptions exist. Calling a financing “Series A” or “growth-stage” does not select the exemption or remove its conditions.
Before soliciting commitments, counsel should identify:
- The specific exemption and whether general solicitation is permitted.
- Which disclosures, notices and state filings are required.
- Whether each investor meets the applicable eligibility standard and how that status will be documented.
- Restrictions on advertising, intermediaries and compensation.
- Any resale, transfer or reporting limits that affect the securities after closing.
The SEC’s June 12, 2024 accredited-investor guidance describes several individual qualification routes, including net worth over $1 million excluding a primary residence, or income over $200,000 individually or $300,000 jointly in each of the prior two years with a reasonable expectation of the same income in the current year. It also describes certain professional-license routes. These are US criteria that can change and must be applied to the actual exemption and investor; they are not a universal test for every private offering.
A practical diligence and closing checklist
- Document the plan: tie the raise to milestones, monthly uses of proceeds and a downside runway case.
- Reconcile capitalization: verify issued shares, promised options, pool size, SAFEs, notes, warrants and any secondary sales.
- Model dilution: run cap-only, discount, MFN, pool-increase and down-round cases using the negotiated definitions.
- Map control: list board seats, appointment and removal rules, voting thresholds, protective provisions and information rights.
- Model proceeds: calculate modest-sale, large-exit and downside outcomes with preference, participation, seniority, dividends and anti-dilution included.
- Check investor value: obtain comparable-company references, define expected support and confirm follow-on capacity.
- Confirm legal path: have US securities counsel identify the exemption, solicitation limits, filings, disclosures and investor checks; obtain local advice for any other jurisdiction.
- Read definitive documents: compare the charter, stock-purchase agreement, investors’ rights agreement, voting agreement, side letters and amended option plan with the term sheet.
- Approve and close: secure the required board and shareholder approvals, deliver notices and filings, and retain a final capitalization table showing every holder and right.
The book Venture Deals: Be Smarter Than Your Lawyer and Venture Capitalist by Brad Feld and Jason Mendelson, 4th edition (2019), offers additional background on term-sheet economics and control. It is educational reading, not a replacement for advice on your transaction.
For a live financing, qualified startup-securities counsel and an experienced cap-table professional should review the documents and model. The correct terms depend on the company’s jurisdiction, existing contracts, capitalization and objectives.
