India does not have one universal foreign-ownership rule. Market access depends on the precise business activity, the investor’s ownership and control, the sectoral cap, the entry route, and conditions imposed under India’s foreign-exchange and sector-specific regimes. A sound entry plan therefore starts with classification and ownership analysis, then confirms approvals, operating licences, reporting and continuing compliance.
India market access is a classification exercise, not a single percentage
The first question is not “Can a foreign company own 100% of an Indian business?” It is “What exactly will the Indian entity do, and how is that activity treated under the current foreign direct investment (FDI) policy?” Broad descriptions such as “technology,” “services” or “manufacturing” can cover activities with different ceilings, approval requirements and operating rules.

- Sectoral cap: Identify the maximum foreign investment permitted, including whether the limit applies to ownership, voting rights or another measure.
- Entry route: Determine whether investment is permitted under the automatic route or requires prior government approval.
- Conditions: Review capitalization, lock-in, performance, control, security, local-content or other conditions attached to that sector.
- Operating permissions: Confirm licences and approvals needed to conduct the underlying business. Permission to invest does not itself authorize commercial operations.
The Department for Promotion of Industry and Internal Trade (DPIIT) policy and Reserve Bank of India (RBI) directions provide the framework, while the Foreign Exchange Management Act (FEMA) and the non-debt investment rules govern the foreign-exchange aspects of the transaction.

The regulatory stack foreign investors must coordinate
DPIIT policy
DPIIT’s consolidated FDI policy sets sectoral caps, entry routes and conditions. It also addresses how direct and indirect foreign investment is calculated, downstream investment through Indian entities, and consequences of non-compliance.
FEMA and non-debt investment rules
FEMA governs how capital enters or leaves India and the permitted instruments, pricing, transfers and reporting. The Non-Debt Instruments Rules and related regulations should be read with the current RBI directions rather than treated as a separate checklist.
RBI and the authorised dealer bank
RBI administers foreign-investment reporting and operational requirements through the banking system. The investor and Indian company normally work with an authorised dealer bank to confirm payment, issue or transfer mechanics, valuation and filings.

Sector regulators may impose additional ownership, licensing, fit-and-proper, data, infrastructure or security requirements. State and local authorities can separately regulate land, construction, environmental permissions, labour, utilities, shops and establishments, and other operational matters. An automatic FDI route removes a prior central approval for the investment only where the activity qualifies; it does not disapply these other laws.
A practical sequence for deciding whether and how to invest

Define the activity precisely
Write a detailed description of what the Indian entity will produce, sell or provide, who its customers are, where activity will occur and which licences it expects to hold. Map each material activity to the current sector entry. If the entity will conduct several activities, analyse each one instead of relying on the label of the parent group.

Trace ownership, control and beneficial ownership
Identify the immediate investor, every relevant parent and intermediate holding company, voting rights, board rights, vetoes and contractual control. Review beneficial owners and any connection to a country sharing a land border with India. The policy requires attention to indirect foreign investment and downstream investment, so an Indian holding company cannot automatically be treated as entirely domestic merely because the immediate shareholder is incorporated in India.

Identify the route, cap and conditions
For the classified activity, record the foreign-ownership ceiling, whether the automatic or government route applies, and every attached condition. Check whether a financial-services activity or another specially regulated category has rules that displace the general framework. RBI’s direction describes a broad rule under which sectors not listed in its schedule and not prohibited may generally receive up to 100% foreign investment through the automatic route, subject to applicable law and conditions. That is a starting principle, not a universal answer for every business.

Separate investment permission from operating permission
Prepare a second approval map for the business itself. It may include a sector regulator, security clearance, an industrial or environmental consent, a state registration, a local building or land approval, or a licence for a regulated product or service. A company can be allowed to receive foreign capital and still be unable to launch until these requirements are met.

Plan instruments, funding and reporting before closing
Confirm whether the proposed security is permitted, how money will be paid, the valuation and pricing rules for an issue or transfer, and the order in which corporate and regulatory steps must occur. The Indian company should coordinate with its authorised dealer bank on RBI filings and retain the documents supporting ownership, valuation, approvals and payment.

Build post-investment monitoring
Schedule reviews for ownership changes, transfers, downstream investment, new business lines and licence renewals. Downstream investments must comply with the relevant sector conditions and may carry notification and funding requirements. A structure that was compliant at incorporation can become non-compliant after a new round, an acquisition or a change in control.
Automatic route versus government route
The route affects how the investment is approved, but it does not determine whether the underlying business is lawful. Use the following comparison when evaluating alternatives:

Land-border-country investment: what the March 10, 2026 announcement says
On March 10, 2026, the Press Information Bureau reported Cabinet approval of changes to guidelines for investment from countries sharing a land border with India. The announcement is important for ownership structuring, but it should be treated as an announced policy change until the operative DPIIT notification and application procedure are confirmed.

Up to 10% non-controlling beneficial ownership
The announcement says that beneficial ownership from a land-border country of up to 10%, where it is non-controlling, may use the automatic route, subject to the applicable sector cap, entry route, conditions and reporting of information to DPIIT by the investee company. Beneficial ownership is assessed at the investor-entity level using the definition and criteria in the Prevention of Money Laundering Rules, 2005.
The 10% figure is not a general permission to avoid review. Investors must establish that the holding is non-controlling, test the ownership chain and confirm that the relevant sector is otherwise open under the applicable route. A structure with contractual control, board control or a different beneficial-ownership outcome may not fit the announced treatment.
Specified manufacturing proposals and the 60-day statement
The release states: “Proposals for LBC investments in specified sectors/activities of manufacturing in capital goods, electronic capital goods, electronic components, polysilicon and ingot-wafer, shall be processed and decided within 60 days.” This is the announced decision timeline for defined proposals, not a general service standard for all foreign-investment applications or a guarantee that a transaction will close within 60 days.

The announcement also says majority shareholding and control must remain with resident Indian citizens and/or qualifying Indian entities at all times for these specified manufacturing proposals. Verify the final notification, forms, evidence requirements and effective date before relying on the announcement in a transaction.
Ownership, indirect investment and downstream structures
Ownership analysis should cover more than the percentage held by the foreign subscriber at closing. Trace the full chain through intermediate companies, funds, nominee arrangements and other vehicles. Review voting rights, reserved matters, appointment rights and agreements that could confer control without majority equity.
Where an Indian company with foreign investment makes a further investment in another Indian entity, the downstream transaction must be tested against the relevant sector cap and conditions. Funding source, notification duties and the status of the investing Indian entity can affect the result. Re-run this analysis after each acquisition, share transfer, conversion, merger or change in control.

RBI reporting and transaction implementation
Reporting is part of market entry, not an administrative task to leave until after funds arrive. The consolidated policy identifies RBI’s FIRMS platform and its Single Master Form for foreign-investment reporting under the applicable regulations. Forms, supporting documents and filing deadlines can change, so the live RBI instructions and the authorised dealer bank’s current process should be checked for the specific transaction.

Before signing or funding, establish:
- Which party is responsible for each filing and who will certify the information.
- Whether the transaction is an issue of new securities, a transfer, a conversion or another permitted instrument.
- What valuation methodology and pricing rule applies to the issue or transfer.
- Which corporate resolutions, shareholder records, beneficial-owner documents and bank evidence must be retained.
- How any government approval, security review or condition will be reflected in the closing sequence.
Late, incomplete or inconsistent reporting can create FEMA exposure even where the ownership percentage itself is permitted. Keep a transaction file that ties the cap-table, beneficial-ownership analysis, valuation, payment trail, approvals and filings together.

Using a broad sector label
Risk: “Technology” or “manufacturing” may conceal a regulated activity with a different cap.
Safeguard: Describe the actual product, service and revenue stream, then map every material activity to the current policy entry.
Treating automatic entry as a blanket exemption
Risk: The investor assumes that no prior approval means no other restrictions.
Safeguard: Check sector conditions, security rules, operating licences and state or local permissions separately.

Looking only at the immediate shareholder
Risk: Indirect ownership, control rights or a beneficial owner connected to a land-border country is missed.
Safeguard: Document the complete ownership and control chain and update it whenever the structure changes.
Relying on an announcement without its implementing procedure
Risk: The March 2026 land-border measures are applied before the operative notification, forms or evidence standards are available.
Safeguard: Confirm the effective notification and application procedure with current DPIIT and RBI materials before signing or filing.
Assuming approval equals permission to operate
Risk: Capital is approved but the business lacks a sector or local licence.
Safeguard: Maintain a separate operating-permissions register with an owner and deadline for each approval.
A document checklist for an initial assessment
- Detailed description of each Indian business activity and expected revenue source.
- Current group chart showing direct, indirect and beneficial ownership.
- Voting, board appointment and reserved-matter rights.
- Proposed sector, ownership percentage, instrument and investment amount.
- Automatic or government route analysis with every sector condition listed.
- Land-border-country connection and non-controlling-beneficial-ownership analysis where relevant.
- Sector-regulator, security, state and local approval register.
- Valuation, pricing, payment and closing sequence.
- FIRMS/Single Master Form responsibility matrix and filing calendar.
- Post-closing plan for downstream investment, transfers, reporting and licence renewals.
Keeping the analysis current
India’s sector limits, forms and procedures can change. The RBI Master Direction used for the framework carries an “updated as on” date of January 12, 2018 even though it refers to the Non-Debt Instruments Rules, 2019. Treat it as framework material and verify current consolidated amendments before relying on a provision.
For technical background, the National Law School of India University library catalogue records Taxmann’s FEMA & FDI Ready Reckoner, 23rd edition: 573 pages, updated through May 20, 2025, covering FEMA, FDI, NRI/OCI rules and allied legislation. It predates the March 2026 Cabinet announcement, so it cannot substitute for current notifications and filing instructions.
For a transaction-specific conclusion, obtain advice from counsel or a compliance adviser experienced in Indian FEMA, FDI and sector regulation. The decisive work is the activity classification, ownership and control tracing, route and condition analysis, operating-licence review, and accurate reporting.
