What Financial Records Should a Small Business Owner Keep?

A U.S. small-business owner should keep a clear transaction summary plus the original documents that prove income, expenses, deductions, credits, payroll taxes and business-property costs. That usually means journals or ledgers, sales records, invoices and receipts, proof of payment, payroll files, asset and depreciation records, travel substantiation and copies of filed returns.

This is based on federal IRS guidance. State and local tax rules, employment laws, industry regulations, lenders, insurers and contracts may require different records or longer retention. Keep records in paper or electronic form if they remain complete, accurate, secure and retrievable.

Start with a complete transaction record

Your bookkeeping system must show what the business earned and spent, not merely the balance in its bank account. The IRS describes journals and ledgers as ordinary ways to summarize transactions. Entries should capture gross income, deductions and credits in a consistent manner and tie back to source documents.

Transaction books

Use a general ledger, cashbook, accounting application or another method that records each transaction by date, amount, account and business purpose. A monthly bank reconciliation helps identify omissions, but a bank feed is not a substitute for invoices, receipts or explanations supporting the entry.

Sales and gross receipts

For every revenue stream, retain evidence of both the amount and its source. Depending on how you sell, that can include:

  • Cash-register tapes, point-of-sale reports and customer receipts
  • Sales invoices and receipt books
  • Credit-card charge slips and processor statements
  • Deposit records and bank deposit slips
  • Relevant Forms 1099-MISC or 1099-NEC
  • Online marketplace or payment-platform reports that identify the underlying sales

Match deposits to the related sales records. A single deposit can combine several customers, refunds, fees or sales-tax amounts, so retain the detail needed to explain the reconciliation.

Purchases and operating expenses

Keep invoices, paid bills, receipts, canceled checks, electronic-funds-transfer confirmations, account statements and credit-card receipts or statements. The IRS says support for a deductible expense should identify the payee, amount, proof of payment, date incurred and the item or service’s business purpose.

Often, no single document contains every element. For example, an invoice may describe the service and date, while a card statement proves payment. Preserve both and add a note when the business purpose is not obvious from the vendor description. Personal and business charges should be separated; if a mixed expense is unavoidable, document the allocation method.

Keep separate files for payroll and employment taxes

Payroll records require more than a total wage figure. Retain employee names and employment dates, wage and tip details, withholding certificates, tax-deposit confirmations, filed employment-tax returns and records supporting benefits, reimbursements and employment-related credits.

What belongs in a payroll file

  • Forms W-4 and other withholding or eligibility certificates
  • Time, wage, overtime, commission and tip records
  • Payroll registers and records of employer and employee tax amounts
  • Deposit confirmations and copies of filed federal employment-tax returns
  • Benefit, reimbursement and accountable-plan substantiation
  • Documents supporting any payroll or employment credit claimed

The IRS employment-tax guidance generally requires at least four years of retention. Publication 583 describes the period as running after the later of when the tax becomes due or when it is paid; the IRS employment-tax recordkeeping page describes retaining records at least four years after filing the fourth-quarter return for the year. Records tied to certain historical paid-leave and employee-retention credits require at least six years. Check the rule for the particular tax or credit rather than applying one period to every payroll document.

Track business property from purchase through disposition

Asset records support depreciation, other deductions, adjusted basis and the gain or loss reported when property is sold, exchanged or otherwise disposed of. Create an asset file as soon as the business acquires equipment, vehicles, buildings, software or other depreciable property.

Include these asset details

  • Purchase invoice, closing statement or other acquisition document
  • Payment evidence and acquisition date
  • How the property was acquired, such as purchase, contribution or exchange
  • Original cost and separately tracked improvements
  • Date placed in service and percentage of business use
  • Depreciation method, deduction amounts and other basis adjustments
  • Sale or disposition date, proceeds and related expenses

Keep the records until the limitation period expires for the tax year in which the property is disposed of in a taxable transaction. In a nontaxable exchange, basis can carry into replacement property, so records for the old asset may need to remain until the replacement property is eventually disposed of.

Give special expenses the substantiation they require

Travel, transportation, gifts and similar categories have additional substantiation rules. A bank or card statement can show that money left the account, but it may not establish the business destination, business relationship, dates, mileage, attendees or purpose required for the deduction.

Travel and transportation

Keep contemporaneous information that identifies the date, destination, business purpose and amount. For vehicle use, maintain mileage or other usage records and retain receipts for fuel, parking, tolls, repairs and lease or loan costs as applicable to the method used.

Apply the category-specific IRS substantiation rule to the expense instead of assuming that a monthly statement alone is sufficient.

Retain copies of filed tax returns

Save complete copies of every filed federal return, schedules, elections, information returns and confirmation of electronic filing or payment. Returns make future preparation easier, support amended-return calculations and help connect current depreciation, net operating loss or credit figures to earlier years.

Choose a system that keeps records complete and retrievable

The IRS does not prescribe one bookkeeping product or format for most businesses. Paper journals and ledgers are acceptable, as are accounting applications, spreadsheets and other electronic systems, provided they accurately reflect income and expenses and preserve the supporting documents.

Questions to answer before choosing a method

  • Does it capture every sales, refund, purchase, payroll and transfer transaction?
  • Can each ledger entry be linked to its invoice, receipt, contract or payment proof?
  • Can you search and export records quickly by year, vendor, customer, account or asset?
  • Are access controls, backups and retention procedures in place?
  • Can it retain payroll details and an asset register with basis and depreciation history?

These are practical decision criteria derived from IRS recordkeeping principles, not an IRS ranking of products.

Paper system

A bound journal, numbered receipt book and clearly labeled folders can work for a low-volume operation. Use one sequence for income and another for expenses, record transactions promptly, reconcile totals to the bank and store originals in a dry, secure location. A paper system becomes risky when receipts are loose, entries cannot be traced to payment, or the owner has no reliable backup.

Electronic system

Electronic records are subject to the same basic requirements as paper records. Scan or export source documents in a readable format, use consistent file names, restrict editing rights and maintain backups in more than one location. Test that an older file can still be opened and that a complete record can be produced when requested.

Decision criterion Paper ledger and folders Electronic bookkeeping and document storage
Captures transactions Manual entry; requires disciplined updates and arithmetic checks Can import bank or processor data, but imports still need review and classification
Links to support Use numbered folders or cross-references to invoices and receipts Attach scans or PDFs to entries and preserve the original file path or identifier
Search and retrieval Depends on an index and orderly year/category folders Searchable by date, vendor, amount, account or document name when configured properly
Protection and backup Physical security and duplicate copies are essential Requires access controls, tested backups and a plan for software or hardware failure
Payroll and assets Separate schedules and registers must be maintained manually Can retain payroll reports and asset registers, subject to accurate setup and exportability

Use a retention schedule instead of “three years for everything”

Federal tax retention depends on the record, the return, filing and payment dates, property disposition and possible exceptions. The following periods come from current IRS Topic 305 guidance, Publication 583 (December 2024) and the IRS employment-tax recordkeeping guidance accessed in 2026.

Record or situation Federal IRS period or trigger Important qualification
General income-tax support Generally through the applicable period of limitations; the usual assessment period is three years from filing This is not a universal three-year rule. Keep longer when an exception or another obligation applies.
More than 25% of gross income omitted Six years The extended period applies to the return with the omission.
Certain foreign-financial-asset omissions Six years under the specified IRS rule involving more than $5,000 Apply the rule to the particular filing and asset disclosure.
Fraudulent return or no valid return No limitation period Records should be preserved because the IRS limitation does not expire in the ordinary way.
Refund claim Later of three years from filing or two years from payment Certain bad-debt or worthless-security overpayment claims have a seven-year period.
Employment taxes At least four years Publication 583 uses the later of tax due or payment; the employment-tax page references four years after the fourth-quarter return is filed.
Certain historical paid-leave and employee-retention credits At least six years Verify the retention rule for the specific credit.
Business property Through the limitation period for the year of taxable disposition Nontaxable exchanges can carry basis forward, extending the need to keep old-asset records.

Before destroying records that are no longer needed for federal tax administration, check state and local rules and any longer requirement imposed by an insurer, creditor, investor, contract or industry regulator.

Common recordkeeping failures and how to correct them

Relying only on bank statements

Statements prove that money moved, but often not what was purchased, who was paid or why it was used for business. Retrieve invoices and receipts, annotate the business purpose and attach the documents to the corresponding entry.

Mixing personal and business spending

Open and use a dedicated business account and card where practical. For existing mixed transactions, identify the business portion, retain the underlying receipt and record the allocation rather than deducting the entire charge.

Recording income only when cash reaches the bank

Reconcile invoices, card settlements, marketplace reports, refunds, fees and deposits. This prevents timing differences or processor netting from hiding gross receipts.

Keeping payroll totals but not payroll evidence

Store wage detail, withholding forms, deposit confirmations and filed returns together by employee and reporting period. Preserve credit-substantiation records separately so they can be retrieved for the applicable extended period.

Deleting digital files after scanning

Confirm that scans are readable, complete and backed up before disposing of paper. Keep a consistent naming convention such as year, vendor, date and amount, and periodically restore a backup to verify it works.

A practical setup plan for a small business

  1. List every income channel, bank account, card, payment processor and payroll provider.
  2. Create ledger categories for gross receipts, refunds, cost of goods, operating expenses, payroll, taxes, assets, loans and owner transactions.
  3. Choose paper, electronic or hybrid storage and define who may create, approve and edit entries.
  4. Save each invoice, receipt, contract and payment confirmation with a unique date and category reference.
  5. Reconcile bank and processor activity monthly, investigate unmatched items and document corrections.
  6. Maintain a payroll file and an asset register apart from ordinary operating expenses.
  7. Save filed returns, schedules, payment confirmations and credit elections in a tax folder for each year.
  8. Review a retention calendar before deleting anything, considering federal exceptions and non-tax obligations.

Well-organized records make tax preparation easier and provide answers if a return is examined or an IRS notice arrives. The right system is the one that lets you produce a complete, dated, understandable trail from the original transaction to the tax return.
