What Fees and Taxes to Check Before Investing in an IPO Across Borders

Before subscribing to a foreign IPO, calculate the complete cost of buying, holding and eventually selling the investment. That means more than the advertised share price: request the broker’s commission and subscription charges, foreign-exchange spread, custody and settlement costs, depositary or handling fees, transaction taxes, dividend withholding and taxes on any eventual gain. The applicable rules depend on your tax residence, the issuer’s country, the listing venue, the security’s legal form and whether you subscribe to newly issued shares or buy in the market later.

Why cross-border IPO costs cannot be reduced to one percentage

An IPO can involve several jurisdictions at once. Your residence country may tax dividends and capital gains; the issuer’s country may withhold tax from dividends or impose a transfer tax; the listing exchange may use a different currency and settlement system; and your broker may route the order through another market or a depositary structure.

There is no reliable universal “all-in” fee or tax rate. Brokerage pricing depends on the provider and account, while tax treatment changes with investor status, residence, treaty eligibility, the type of security and the transaction route. Treat any quoted percentage as a rule for a specific country and transaction, not as a forecast of your total cost.

Exchange-rate movements can increase or reduce your return independently of the share price. Some markets also impose foreign-exchange controls or restrictions on moving proceeds out of the country.

First identify exactly what you are buying

Tax and fee analysis starts with the legal transaction, not the marketing name of the offering.

Primary subscription for newly issued shares

The company creates and sells new shares. Some jurisdictions exempt new issues from transfer or stamp taxes, while others charge issuance or financial-transaction taxes. Your application may also have a separate subscription, allocation or bank-transfer fee.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Offer for sale by existing shareholders

Existing holders sell shares in the IPO. Because ownership is transferred rather than created, a transaction tax that does not apply to a new issue may apply here. Ask the prospectus and broker to classify the transaction explicitly.

Depositary receipt

A depositary receipt represents an interest in shares held by a custodian. You may face depositary creation, cancellation, conversion or annual service fees, plus custody charges in both the receipt market and the underlying market. The receipt’s dividend and capital-gains treatment can differ from that of a direct share.

Secondary-market purchase after listing

Buying after the IPO is a separate trade. It may have a different commission, bid–ask spread, settlement charge and transaction-tax treatment from the original subscription. You also lose the certainty of an IPO allocation and may pay a market price above or below the offer price.

Build an all-in fee schedule

Ask the broker for written amounts or formulas for every stage. A low headline commission can be outweighed by currency conversion, custody or local-market charges.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Cost category What to ask When it is charged
Application or subscription fee Is there a fee to submit the IPO order, even if no shares are allocated? On application or debit
Trading commission Is pricing per order, per share or a percentage of value? Is there a minimum? Subscription or sale
Foreign-exchange conversion What spread over the reference rate and separate conversion fee apply? Can you fund in the settlement currency? When cash is converted
Custody and account charges Are there annual, monthly, per-position or minimum-balance fees? While shares are held
Local-market and settlement fees Are exchange, clearing, regulatory, stamp, broker-routing or settlement charges passed through? Trade settlement
Depositary or handling fees Does the receipt issuer or custodian charge for issuance, cancellation, corporate actions or dividends? As events occur
Transfer and repatriation costs What does it cost to move sale proceeds to your home bank and convert them back? After sale or withdrawal

Also ask what happens to unallocated cash: when it is released, in which currency, and whether the refund itself incurs a transfer or conversion charge.

Check transaction and stamp taxes for the specific route

United Kingdom example

HM Revenue & Customs says UK share purchases are generally subject to Stamp Duty or Stamp Duty Reserve Tax (SDRT) at 0.5%, subject to detailed rules and exceptions. Its overview says subscribing for a new issue is exempt. It also says UK stamp duty or SDRT normally does not apply when foreign shares are bought outside the UK, although other taxes may apply. These are UK rules, not a general answer for foreign IPOs or non-UK investors.

Confirm whether the offer is a new issue or a sale by existing holders, where the purchase is treated as occurring, and which intermediary is responsible for collecting any tax.

Depositary and clearance arrangements

HMRC’s stamp-tax manual describes a higher 1.5% SDRT charge for certain transfers of chargeable securities to depositary receipt issuers or clearance services. The same guidance excludes some transfers connected with exempt capital-raising or listing arrangements and excludes issues of chargeable securities. The manual was updated on 2 September 2026. A foreign IPO or depositary receipt does not automatically attract 1.5%; the exact legal arrangement must be checked against current rules.

Other jurisdictions

Another market may impose a stamp duty, securities-transfer tax, financial-transaction tax, exchange levy or withholding at purchase or sale. Rates can differ for residents, non-residents, primary issues, secondary trades and different security types. Obtain the rule for your transaction from the prospectus, broker or tax authority rather than applying a rate from a similar-looking market.

Estimate dividend withholding before you subscribe

Dividends can be taxed first in the issuer’s country and again in your residence country. Ask four questions:

  • What is the statutory withholding rate for this issuer and security?
  • Can a tax treaty reduce the rate at source?
  • Which form, residence certificate or beneficial-owner declaration must be filed, and before what deadline?
  • If excess tax is withheld, is a refund claim available, who files it and how long does it take?

As a U.S. example, Internal Revenue Service guidance says U.S.-source fixed, determinable, annual or periodical income paid to a nonresident alien is generally subject to 30% withholding unless a lower treaty rate or exemption applies. The investor’s status, income classification, source rules and forms determine whether that default applies. It should not be used to predict the dividend rate for a foreign IPO merely because the shares trade in the United States.

Check whether your broker can apply treaty relief at source. If not, budget for the full withholding and keep the tax certificate needed to claim a credit or refund in your home-country return.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Work out tax on a later sale

Separate the tax on disposal from the tax withheld on dividends. Your residence country may tax the capital gain even when the issuer’s country does not. The issuer’s country may also tax a non-resident’s gain in particular circumstances, such as sales of local real-estate-rich companies, substantial holdings or business-connected investments.

Determine:

  • Which country has taxing rights over the gain under domestic law and any treaty.
  • How your country calculates basis, including the IPO price, commissions, transaction taxes and currency conversion.
  • Whether gains are taxed as capital, income or a special securities category.
  • Whether losses can offset gains and how long records must be kept.
  • Whether foreign tax paid can be credited, and the credit’s limitation or carry-forward rules.

IRS guidance illustrates why status matters: a nonresident alien who is present in the United States for fewer than 183 days during the tax year generally is not taxed by the United States on capital gains, subject to exceptions including effectively connected income and certain specified gains; treaties can change the result. This is a U.S.-specific rule for a particular taxpayer category, not a global residency test and not a rule for U.S. citizens or residents.

Compare direct shares, depositary receipts and later purchases

Route Potential advantages Costs and questions to verify
Direct IPO subscription Access to the offer price and primary allocation process Eligibility, allocation uncertainty, subscription fee, local custody, settlement currency, lockups and repatriation
Depositary receipt Trading and settlement may use a more familiar market and currency Depositary creation or cancellation fees, custody chain, conversion rules, dividend handling and different tax characterization
Secondary-market purchase Immediate trading after listing and transparent market price Market spread, volatility, possible transaction tax, no IPO allocation and potentially different investor protections

No route is universally cheaper or more tax-efficient. Compare the same investment amount, expected holding period, currency exposure and exit method.

Read the prospectus and broker terms for operational risks

Before sending money, verify the practical terms that can create unexpected costs or prevent an exit.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Eligibility: Confirm that your residence, investor classification and account type are permitted under the prospectus and broker rules.
  2. Allocation: Find out whether allocations are proportional, discretionary or capped, and when the broker confirms the number of shares.
  3. Cash timing: Note the deadline for funds, the currency required, and the date unallocated money is returned.
  4. Settlement: Record the settlement date, custody location, account registration and any required local tax identification number.
  5. Restrictions: Check lockups, minimum lot sizes, transfer limits, shareholder-registration requirements and corporate-action procedures.
  6. Exit: Confirm how to sell, convert the proceeds and transfer them home, including any currency controls or bank documentation.
  7. Protection: Understand which entity holds the shares and cash, what regulation applies to the broker, and whether compensation or dispute schemes in your home country apply.

U.S. investors should verify registration and understand that an unregistered foreign broker may not provide the same protections as a U.S.-registered broker.

A practical pre-order worksheet

Get written answers to these questions and save the replies with the prospectus:

  • What is the total fee for applying, receiving an allocation, holding the shares, converting currency and selling?
  • Is this a new issue, an offer for sale, a depositary receipt or a later secondary-market trade?
  • Which transaction, stamp, securities-transfer or financial-transaction taxes apply, who collects them and at what stage?
  • What dividend withholding applies, and can treaty relief be claimed at source or refunded later?
  • How will your residence country tax dividends and disposal gains, and what documents support a foreign-tax credit?
  • What charges or restrictions apply when converting and moving proceeds back to your home currency?
  • What happens to unallocated cash, and what are the settlement, custody, transfer and exit terms?

Calculate the result in your home currency using a conservative exchange-rate assumption. Show the share price, every fee, each tax, expected withholding and the amount you would actually receive after a sale.

Common mistakes and how to avoid them

Assuming the listing country determines all tax

A listing venue does not by itself establish dividend source, capital-gains treatment or treaty eligibility. Identify the issuer, security, payer, investor status and residence separately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Using the IPO price as the total cost

Include subscription, FX, custody, settlement, depositary and eventual repatriation charges before deciding whether the allocation is worthwhile.

Confusing a new issue with a share transfer

Ask whether the company or existing holders receive the proceeds. The answer can change transaction-tax treatment, as the UK examples demonstrate.

Ignoring paperwork deadlines

A treaty rate or refund may require a form before the dividend is paid. Obtain residence certificates and beneficial-owner declarations early, and retain withholding statements.

Failing to track currency-adjusted basis

If your tax return is in another currency, record the exchange rate and date for the purchase, each fee and the sale. Your broker’s base-currency statement may not be sufficient for local tax rules.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming repatriation is automatic

Check whether the market requires local bank accounts, tax-clearance documents, sale confirmations or limits on converting and exporting foreign currency.

When professional advice is justified

Individual advice is especially valuable when you are tax-resident in one country, the issuer is incorporated in another and the shares or receipts trade in a third; when you hold the investment through a company, trust, pension or other wrapper; when treaty relief or a foreign-tax credit is material; or when the issuer is a real-estate-heavy company or you expect a large disposal gain.

Give a qualified cross-border tax adviser the prospectus, broker fee schedule, expected allocation, residence details, account type and intended holding period. Ask for a written explanation of withholding, reporting, basis, credits and the documents you must keep.

Records to retain

  • The final prospectus and allocation confirmation
  • Broker confirmations showing price, commission, FX rate and settlement
  • Depositary, custody and corporate-action statements
  • Dividend vouchers and withholding certificates
  • Exchange-rate evidence used for tax calculations
  • Forms, residence certificates, treaty claims and refund correspondence
  • Sale confirmations and proof of taxes paid abroad

Keep records for the longer of your broker’s retention period and the limitation period in every jurisdiction that may tax the investment.

The Bottom Line

Do not judge a foreign IPO by its offer price alone. Confirm the transaction type, obtain the complete fee schedule, identify withholding and disposal taxes in each relevant jurisdiction, prepare treaty paperwork and document how proceeds can be converted and repatriated before you place the order.
