Energy Transfer’s announced Vaquero Midstream purchase could add fee-based Delaware Basin cash flow and downstream opportunities, but it does not yet establish a higher distribution or a specific improvement in leverage. The agreement is expected to close in the fourth quarter of 2026, subject to regulatory approval and customary conditions. Until Energy Transfer discloses the financing mix, acquired earnings and pro forma debt, investors should treat management’s claim of immediate DCF-per-common-unit accretion as a forward-looking expectation rather than a measured result.
What Energy Transfer agreed to buy
On October 6, 2026, Energy Transfer announced a definitive agreement to acquire Vaquero Midstream for approximately $2.625 billion. The announced consideration combines cash and newly issued common units:

| Item | Announced detail |
|---|---|
| Transaction value | Approximately $2.625 billion |
| Cash consideration | $1.95 billion |
| New equity consideration | Approximately 33.3 million newly issued Energy Transfer common units |
| Expected closing | Fourth quarter of 2026, subject to regulatory approval and customary closing conditions |
The agreement is not the same as a completed acquisition. The assets, financing, unit issuance and expected benefits could change before closing, and the transaction could fail to close if required conditions are not met.
Vaquero’s operating footprint
Vaquero operates approximately 300 miles of pipeline in the Southern Delaware Basin and the Caymus complex. Its system includes three processing trains with approximately 675 MMcf/d of current capacity. Vaquero says its acreage position could support two additional trains, potentially increasing total capacity to approximately 1.2 Bcf/d. That higher figure is a future expansion possibility, not capacity that Energy Transfer is acquiring today.

Why Energy Transfer says the combination matters
Existing network connectivity
Energy Transfer says Vaquero’s gathering and processing assets already connect with its downstream natural-gas and NGL infrastructure. That connection is important because the value of a midstream asset can extend beyond its gathering fee. Volumes entering an interconnected system may create additional opportunities for transportation, fractionation, terminalling and exports.
Delaware Basin growth
Vaquero’s dedicated acreage and available processing capacity give Energy Transfer exposure to production growth without relying solely on a new-build project. If producers increase output on the connected acreage, existing trains and pipelines could handle more throughput before expansion capital is required. Conversely, weak drilling or slower production growth would reduce the benefit of that operating leverage.
Management’s accretion statement
Energy Transfer said it “expects the Vaquero assets to be immediately accretive to DCF per common unit.” This is management’s forward-looking expectation. The announcement does not provide incremental EBITDA, incremental DCF, an accretion percentage, a dollar-per-unit estimate or a purchase multiple, so investors cannot independently calculate the claim from the release alone.

How the transaction could affect debt and liquidity
The cash portion creates a funding requirement, but it should not automatically be treated as new debt. Energy Transfer could use cash on hand, borrowings, available revolver capacity or a combination. Each choice produces a different balance-sheet result.
Possible funding outcomes
| Funding approach | Likely balance-sheet effect | What investors should check |
|---|---|---|
| Cash on hand | Less cash and no direct increase in principal debt | Remaining liquidity, restricted cash and near-term maturities |
| New borrowing | Higher debt and interest expense | Debt instrument, interest rate, maturity and covenant terms |
| Revolver draw | Higher drawn debt and lower undrawn capacity | Revolver balance, pricing and covenant headroom |
| Mixed funding | Combination of lower cash and higher debt | How management allocates the cash requirement among sources |
The remaining consideration is equity rather than cash. Issuing approximately 33.3 million common units avoids funding that portion with cash, but it increases the number of units sharing in distributable cash flow. That dilution is why total DCF growth is not enough to establish per-unit accretion.
The pre-deal balance-sheet reference point
Energy Transfer’s August 4, 2026 second-quarter release reported $68.393 billion of long-term debt less current maturities at June 30, 2026, and $3.76 billion of available revolving-credit capacity. Those figures are the latest pre-announcement reference point in the reviewed official materials. They are not pro forma for Vaquero and should not be presented as the company’s post-closing debt or liquidity.

What “accretive to DCF per common unit” means
Distributable cash flow per unit measures cash available to common unitholders after operating costs, financing costs, maintenance needs and other relevant adjustments, divided by the common-unit count. In simplified form:
DCF per unit = DCF attributable to common unitholders ÷ weighted-average common units
For Vaquero to improve that measure, the acquired assets’ incremental cash flow must exceed the combined effect of:
Quick wins for a faster PC:

- Operating, maintenance and administrative costs required to run the assets.
- Maintenance capital and any near-term reliability or compliance spending.
- The additional units issued in the transaction.
- Taxes, reserves and other partnership-level uses of cash.
The company’s release supplies none of the incremental figures needed to quantify that bridge. An investor should therefore separate the strategic logic from the arithmetic that will appear in closing filings and subsequent earnings reports.

Cash-flow drivers that could help
- Approximately 10 years of average remaining contract life can provide a starting level of fee visibility.
- Approximately 100,000 dedicated acres may support throughput growth if production develops as expected.
- Three existing processing trains and 675 MMcf/d of capacity can generate cash flow before any expansion is completed.
- Connections with Energy Transfer’s downstream natural-gas and NGL network could add transportation, fractionation, terminalling and export activity.
- Additional trains could raise total capacity toward approximately 1.2 Bcf/d, but that would require future investment, permits, construction and sufficient producer commitments.
Factors that could reduce accretion
- Lower-than-expected drilling or production on the dedicated acreage.
- Underutilized plants or pipelines, lower fees or contract renegotiations.
- Higher interest rates if debt is used for the cash portion.
- Integration costs or delays in capturing operating and commercial synergies.
- Capital spending needed to expand, maintain or comply with the acquired system.
- More common units outstanding than assumed in an internal forecast.
Does the deal imply a higher Energy Transfer distribution?
No specific post-deal increase was announced. In July 2026, Energy Transfer declared a $0.3400 quarterly common-unit distribution, or $1.36 annualized, describing it as the partnership’s nineteenth consecutive increase. That is the latest distribution declaration identified in the official materials reviewed for this announcement.
Energy Transfer’s 2025 Form 10-K describes quarterly distributions of available cash after reserves and other partnership requirements. A higher DCF per unit could improve the partnership’s capacity to raise distributions, but it does not require a raise. Management must also weigh debt service, capital projects, liquidity reserves, unit issuance and its distribution policy.
The distinction is important: an expected operating benefit is not a distribution declaration. Investors should rely on a formal board-approved distribution announcement, not on the word “accretive,” when assessing the next payment.

Financial context before Vaquero closes
The following figures provide context for scale, but each predates the acquisition announcement and is not a forecast of post-closing performance.
Best Value
| Metric | Reported figure | Date or period | How to use it |
|---|---|---|---|
| Long-term debt less current maturities | $68.393 billion | June 30, 2026 | Pre-deal debt baseline, not pro forma debt |
| Available revolving-credit capacity | $3.76 billion | June 30, 2026 | Pre-deal liquidity reference |
| Adjusted EBITDA | $5.07 billion | Second quarter of 2026 | Quarterly operating context |
| Adjusted DCF attributable to partners | $2.59 billion | Second quarter of 2026 | Quarterly cash-flow context |
| 2026 adjusted EBITDA guidance | $18.8–$19.1 billion | Full-year 2026 guidance | Company-wide outlook, not a Vaquero forecast |
| 2026 growth capital guidance | $5.6–$5.9 billion | Full-year 2026 guidance | Shows competing capital demands across the partnership |
Because the baseline includes Energy Transfer before ownership of Vaquero, it cannot answer whether leverage, coverage or DCF per unit improves after closing. That requires a new consolidated balance sheet and operating results.
What remains unknown
The announcement leaves several decision-critical items open:
- Whether the cash consideration will come from cash on hand, new debt, the revolver or a combination.
- The acquired business’s EBITDA, DCF, operating expenses and maintenance capital.
- The purchase multiple and expected return on invested capital.
- Any incremental interest expense and the maturity profile of new borrowings.
- The precise closing date and final number of units issued.
- The amount and timing of integration costs or expected synergies.
- Producer commitments, permits, cost and schedule for any additional processing trains.
- The effect on distribution coverage and future capital-allocation decisions.
Risks that could change the outcome
Closing risk
Completion requires regulatory approval and customary conditions. Energy Transfer has warned that the transaction may not close as anticipated. Until closing occurs, neither the assets nor the expected financial benefits should be included in the partnership’s reported results.

The value proposition depends partly on combining Vaquero with Energy Transfer’s existing network. Integration may cost more, take longer or produce less commercial benefit than expected. A connection on a map does not by itself guarantee incremental transportation, fractionation, terminalling or export revenue.
Expansion risk
The potential to reach approximately 1.2 Bcf/d is an option, not an acquired cash-flow fact. Expansion would depend on producer demand, financing, construction execution, permitting and returns that justify the additional capital.
Commodity and customer exposure
Fee-based contracts can reduce direct commodity-price exposure, but throughput still depends on producer activity and customer performance. Investors should examine contract provisions, minimum volume commitments, concentration and renewal terms when those details become available.
How to evaluate the first post-closing reports
- Confirm completion and consideration. Check the closing announcement for the actual cash paid, units issued and any changes from the announced terms.
- Reconcile financing. Compare debt, cash, revolver borrowings and interest expense with the June 30 pre-deal baseline.
- Measure acquired contribution. Look for reported Vaquero revenue, EBITDA, DCF, operating costs and maintenance capital, rather than relying on total-company growth alone.
- Calculate the per-unit effect. Divide DCF attributable to common unitholders by the updated weighted-average unit count and compare with the pre-deal period on a consistent basis.
- Check operating utilization. Track volumes through the 675 MMcf/d system, plant utilization, contract coverage and progress toward any additional trains.
- Read the distribution declaration separately. Confirm the declared quarterly rate and compare it with coverage, debt reduction, growth capital and reserves.
Bottom line for investors
Vaquero gives Energy Transfer a sizable Southern Delaware Basin platform, long-duration contracts and potential downstream cross-selling opportunities. The equity component limits the cash needed for the purchase, while the cash component still requires a financing decision that could affect debt, liquidity and interest expense. Management expects immediate DCF-per-common-unit accretion, but no dollar amount or percentage has been disclosed and the new units raise the hurdle for that claim. The latest declared distribution remains $0.3400 per quarter, and nothing in the acquisition announcement promises an increase. The decisive evidence will come from closing disclosures showing the funding mix, acquired cash flow, unit count, integration results and subsequent distribution decisions.
