Earnings depend on the spread between refined-product prices and crude costs, multiplied by throughput and adjusted for refinery configuration, regional crude discounts, utilization, maintenance and operating reliability. Renewable diesel and ethanol add separate feedstock, commodity and policy risks. The dividend is supported by through-cycle operating cash flow after sustaining investment, debt needs and other capital-allocation decisions.
Valero’s business model in one view
Valero reports three operating segments. Refining is by far the central earnings engine, while renewable diesel and ethanol can either add to or subtract from consolidated results depending on commodity prices, input costs and regulation.

| Segment | What it sells | Main earnings variables | Distinctive risks |
|---|---|---|---|
| Refining | Gasoline, diesel, jet fuel and other petroleum products | Product margins, crude costs and differentials, throughput, utilization, product mix, operating costs and downtime | Crack-spread compression, weak demand, outages, turnarounds and unfavorable regional pricing |
| Renewable Diesel | Low-carbon diesel and related environmental-credit value | Renewable-diesel selling prices, tax and low-carbon credits, feedstock costs and plant utilization | Policy changes, tariffs, scarce feedstocks and volatile credit values |
| Ethanol | Ethanol and coproducts | Ethanol prices, corn and other input costs, production rates and coproduct economics | Agricultural price swings, oversupply and changing fuel demand |
That mix explains why Valero’s share price and dividend cannot be analyzed from the crude benchmark alone. Two quarters with the same average oil price can produce very different results if gasoline and diesel margins, refinery availability or renewable-fuel credits differ.

Refiners purchase crude and sell products. Their economically important measure is the product margin left after feedstock and operating costs, often discussed through crack spreads. A lower crude price can help or hurt:

- Margin expansion: If gasoline and diesel prices decline more slowly than crude, the spread widens and refining profitability can improve.
- Margin compression: If product prices fall faster than crude, the spread narrows even though the absolute oil price is lower.
- Inventory effects: Rapid price moves change the value of crude and product inventories. Accounting gains or losses can make reported earnings diverge from the economics of processing current barrels.
- Working capital: Lower commodity prices usually reduce the cash tied up in inventories and receivables, while rising prices can require more cash even when margins are healthy.
Market crack spreads are only a starting point. Valero’s refineries process different crude grades and produce different product mixes in locations with different transportation costs and regional prices. Its realized margin therefore will not match a single headline market spread exactly.
What moves refining earnings
Product margins and crack spreads
Gasoline, diesel and jet-fuel prices respond to demand, inventories, exports, seasonal specifications, refinery outages and global trade. The gap between those prices and Valero’s feedstock basket determines the gross margin available per barrel. Diesel and jet-fuel strength can matter more than gasoline strength when the product slate is weighted toward middle distillates.
Throughput and utilization
A wide margin is valuable only if Valero can run enough barrels through available units. Throughput is the volume processed; utilization compares actual processing with available capacity. High utilization spreads fixed costs over more barrels, while weak demand or equipment constraints can leave capacity idle. Valero reported fourth-quarter 2025 refining operating income of $1.7 billion on throughput of 3.1 million barrels per day, illustrating how volume and margin combine in a strong quarter.

Crude quality, location and differentials
Refineries are engineered for particular feedstocks. A complex refinery may economically process heavier or higher-sulfur crude that trades at a discount to a light, sweet benchmark. Pipeline access, marine terminals and proximity to product markets also affect the realized result. A favorable crude differential can lift margin even when benchmark crack spreads are unchanged; a narrowing differential can remove that benefit.

Maintenance and mechanical availability
Planned turnarounds temporarily reduce production and require cash spending. Unplanned outages can be more damaging because they remove capacity without the same scheduling flexibility and may force purchases of replacement products. Valero said heavy maintenance reduced first-quarter 2025 results. Conversely, the company described 2025 as its best year for mechanical availability and reported record throughput, showing how reliability improves the amount of market margin it can capture.
Operating costs and product mix
Energy, labor, catalyst, transportation and environmental-compliance costs reduce the margin retained after selling products. A refinery’s configuration determines how much gasoline, diesel, jet fuel, asphalt or other products it can make. Seasonal specifications can raise costs or increase the value of compliant production. These details are why a peer’s reported margin is not a precise proxy for Valero’s.
What 2025 results reveal about the earnings mix
Valero reported $2.3 billion of net income attributable to its stockholders in 2025 and $3.3 billion of adjusted net income. Those figures include all three segments and the effects of commodity-price accounting, so segment trends are essential for interpretation.
| Reported item | Figure | How to read it |
|---|---|---|
| Fourth-quarter 2025 refining operating income | $1.7 billion | Shows the scale of refining in a strong operating period |
| Fourth-quarter 2025 refining throughput | 3.1 million barrels per day | Volume processed across the refining system |
| 2025 net income attributable to Valero stockholders | $2.3 billion | Reported GAAP-style bottom-line result for the year |
| 2025 adjusted net income | $3.3 billion | Management’s adjusted measure; compare its definition across periods |
Strong fuel demand and constrained product supply supported 2025 refining results. The operational lesson is as important as the margin result: availability and throughput determine whether a refiner can monetize favorable market conditions.

Renewable diesel: a policy-and-feedstock business
Renewable diesel should be analyzed separately from petroleum refining. Its margin combines the selling price of the fuel, the value of low-carbon-fuel credits and tax incentives, and the cost of feedstocks such as vegetable oils and animal fats. Government rules can change the credit value or eligible feedstock economics even when diesel demand is stable.
In 2025, feedstock costs created an approximately $940 million headwind, and the renewable-diesel segment margin fell $703 million year over year. Tariffs, domestic feedstock scarcity and changes in credit markets can all move this business rapidly. A high diesel price does not guarantee a high renewable-diesel margin if feedstock costs or policy credits move against the producer.
When assessing this segment, separate physical operating performance from market and policy effects. Check production rates and plant availability, then examine feedstock prices, credit values and any new regulations or tariffs. Do not combine its margin with a conventional crack spread.

Ethanol: smaller, but still cyclical
Ethanol earnings depend on the selling price of ethanol relative to corn and other inputs. Plant utilization, natural-gas costs and coproduct prices such as distillers grains and corn oil can materially change the result. Demand is influenced by gasoline blending requirements and transportation-fuel consumption.

Valero’s second-quarter 2025 ethanol operating income was $54 million, while renewable diesel reported a $79 million operating loss in the same quarter. The contrast demonstrates why consolidated earnings can hide opposite trends in the low-carbon businesses. Ethanol is smaller than refining, but a prolonged margin downturn can still reduce cash available for dividends and buybacks.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How the dividend is funded and tested
Dividend safety starts with cash generated over a full commodity cycle, not with one quarter’s earnings. Management must fund sustaining capital, growth projects, debt maturities, working-capital needs and liquidity before deciding how much cash to distribute. Buybacks are another flexible use of cash and can be reduced before a regular dividend is cut, although that is a capital-allocation choice rather than a promise.
Valero returned $4.0 billion to stockholders in 2025, equal to a 67% payout ratio of adjusted net cash from operating activities. On January 22, 2026, it announced a 6% increase in the quarterly dividend to $1.20 per share. The payout ratio is more informative than earnings alone because it compares distributions with operating cash generation after the effects of working capital and other cash items used in the company’s measure.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems| Balance-sheet or allocation measure | Year-end 2025 figure | Why it matters in a downturn |
|---|---|---|
| Debt | $8.3 billion | Scheduled maturities and interest must be covered even when margins weaken |
| Cash | $4.7 billion | Provides liquidity for working capital, maintenance and obligations |
| Net debt-to-capitalization | 18% | Indicates leverage relative to the capital base at December 31, 2025 |
| 2025 stockholder returns | $4.0 billion | Shows the scale of dividends and repurchases combined |
| Quarterly dividend announced January 22, 2026 | $1.20 per share, up 6% | Current declared rate at that announcement date, not a forecast of future increases |
An 18% net debt-to-capitalization ratio and substantial cash balance provide a cushion, but neither guarantees the dividend. A prolonged margin contraction would reduce operating cash flow. Maintaining a higher payout in that environment would require drawing on liquidity, reducing buybacks, delaying capital spending or accepting more leverage. Those are analytical consequences of the cash-flow framework, not management guidance.
Best Value
What happens when refining margins fall
- Gross profit per barrel declines. Product prices weaken relative to crude and other feedstocks.
- Operating leverage appears. Labor, maintenance and other largely fixed costs are spread over fewer profitable dollars per barrel.
- Cash flow tightens. Working-capital needs, turnaround spending and debt service continue even as margin cash falls.
- Capital allocation becomes more defensive. Management can reduce repurchases, moderate discretionary projects or preserve cash for maturities and reliability work.
- Dividend coverage is reassessed over the cycle. A single weak quarter does not determine the policy, but a sustained downturn tests liquidity, leverage and the payout ratio.
Refining margins can also rebound quickly when outages remove supply or demand strengthens. Therefore, investors should distinguish a temporary crack-spread dip from a downturn accompanied by falling utilization, poor reliability and weakening balance-sheet metrics.
A practical dashboard for investors
Review these indicators together rather than relying on the crude price or dividend yield alone:
- Realized refining margin: Compare Valero’s reported product-margin references with benchmark crack spreads, while allowing for its crude slate and product mix.
- Throughput and utilization: Look for volume changes caused by demand, planned turnarounds or unplanned outages.
- Mechanical availability: Improving availability supports margin capture; recurring reliability problems can erase favorable market conditions.
- Regional differentials: Track discounts or premiums for the crude grades Valero can process and the prices in its output markets.
- Cash operating costs: Energy, labor, transportation and compliance costs determine how much gross margin reaches operating income.
- Renewable-diesel credits and feedstocks: Watch policy values and input costs independently of petroleum crack spreads.
- Ethanol margins: Compare ethanol and coproduct prices with corn, natural gas and other operating inputs.
- Operating cash flow and payout ratio: Judge distributions against cash generation, not only reported net income.
- Debt, cash and capital spending: Check maturities, liquidity and sustaining-investment requirements before assuming a dividend is secure.
Questions to ask in different market scenarios
| Scenario | Likely first-order effect | What could change the outcome |
|---|---|---|
| Crude falls, products hold up | Refining spreads may widen; inventory and working-capital effects can be favorable | Product demand, regional supply and the speed of the price move |
| Crude and products fall together | Margins may remain stable or compress, with lower nominal revenue | Relative movement matters more than the absolute oil price |
| Products fall faster than crude | Refining margin and cash generation weaken | Outages, exports, seasonality and inventory levels can cushion or amplify the decline |
| Strong margins but heavy maintenance | Higher market margin may not translate into full earnings because throughput is reduced | Turnaround timing, duration and mechanical execution |
| Renewable credits fall while feedstocks rise | Renewable-diesel profitability can deteriorate sharply | Plant efficiency, feedstock availability and policy changes |
| Weak margins across several quarters | Operating cash flow and payout flexibility are pressured | Starting liquidity, debt maturities, buyback reductions and capital-spending decisions |
Limits of any dividend forecast
Historical figures describe what happened, not what will happen next. Future earnings and distributions remain sensitive to oil and product prices, crack spreads, fuel demand, refinery outages, tariffs, renewable-fuel policy and tax credits. The January 2026 dividend declaration confirms the amount announced at that date; it does not establish a permanent growth rate. Likewise, 2025’s strong mechanical availability may not repeat in every operating year.
Valero Chairman, CEO and President Lane Riggs said, “2025 was our best year for mechanical availability, personnel safety, and environmental performance, building on the personnel and process safety records we set in 2024.” That statement is relevant to execution, but investors still need to test whether reliability, margins and cash generation persist under different market conditions.
The Bottom Line
Valero’s earnings are driven primarily by realized refining margins multiplied by reliable throughput, not by the level of crude oil alone. Renewable diesel and ethanol add distinct policy, feedstock and commodity cycles. The dividend is strongest when those businesses generate cash through a cycle while leverage and capital spending remain manageable; a sustained margin downturn would test payout flexibility through lower operating cash flow, not through the crude price in isolation.
