Choosing an EU headquarters means deciding where a company’s management and control will actually be based, but it does not automatically mean the company is incorporated there. In European company law, three locations can differ: the registered office recorded in a national company register, the statutory seat stated in the articles, and the real headquarters where administration and strategic decisions occur.
The practical effect depends on the company’s legal form, the country’s connecting rules, and the facts of the business. An “EU headquarters” is not a single EU-wide corporate status, tax label or licence.

What an EU headquarters actually describes
Headquarters is an operational concept. It usually points to the place from which directors and senior managers run the company: where board decisions are organised, strategy is set, key records are maintained and central control is exercised. European Commission terminology often calls this the real seat, central administration or head office.

That location can be different from the company’s registered office. The registered office is the official address recorded in the register of the state where the company is incorporated. It is used for formal notices, filings and other statutory purposes. A company might keep a registered office in one Member State while its executives work primarily in another, although the legal consequences of that arrangement depend on national rules and the company’s legal form.

The statutory seat is another concept. It is the place specified in the company’s statutes or constitutional documents. In some systems it aligns with the registered office; in others, the legal documents and the real centre of management may not point to exactly the same place. Treating all three terms as interchangeable can lead to the wrong conclusion about which law governs the company.
Registered office, statutory seat and real seat compared
| Concept | What it identifies | Typical evidence | Why it matters |
|---|---|---|---|
| Registered office | Formal address in the incorporation state’s register | Company-register entry, constitutional filing and official correspondence address | May be a national connecting factor for company law and determines where statutory notices are served |
| Statutory seat | Place named in the company’s statutes | Articles of association or equivalent constitutional document | Can determine which legal system the company’s formation documents identify, subject to national rules |
| Real seat or head office | Actual centre of administration and control | Where directors meet, executives work and central decisions are made | May affect how authorities and courts assess the company’s genuine management location |
| Principal place of business | Where the main business activity is carried on | Operations, facilities, workforce and customer-facing activity | Article 54 TFEU lists it alongside registered office and central administration for establishment purposes |
A headquarters decision therefore answers only one part of a larger question: where is the company genuinely managed, and how does that fact interact with the place and law of incorporation?
Does an EU headquarters mean the company is registered there?
No. A headquarters and a registered office can be in different Member States. Registration is a formal legal act under a particular national company law; headquarters is where management and control are located in practice.
There are, however, situations in which the two addresses must align. The European Company, known by its Latin abbreviation SE (Societas Europaea), must have its registered office and head office in the same Member State. That is a requirement of the SE legal form, not a general rule for every company operating in the EU.
For an ordinary national company, the answer comes from the incorporation country’s law and the facts of the arrangement. A company should not assume that renting an address, appointing a local service provider or moving executives will, by itself, transfer the company’s legal seat or change the law governing it.

What Article 54 TFEU says—and what it does not say
Article 54 of the Treaty on the Functioning of the European Union treats a company as formed under a Member State’s law when it has its registered office, central administration or principal place of business within the Union. This wording supports the treaty’s freedom-of-establishment framework. It does not create a corporate form called an “EU headquarters company,” and it does not prescribe one location test for every national company-law question.
The distinction matters because establishment rights and domestic incorporation rules operate together. The Court of Justice of the European Union has stated, in materials concerning case C-276/22, that where EU law has not supplied a uniform connecting-factor rule, Member States may define the link required for incorporation under their law and for maintaining that status. One country may give greater weight to the registered office; another may examine the real seat or another statutory connection.

Those questions require the specific legal form, the incorporation state’s legislation and the company’s actual pattern of management and activity.
How choosing a headquarters can change the company’s position
Corporate registration and governance
The selected headquarters can influence where directors perform their duties, how meetings are convened, which filings are practical and which authorities expect access to corporate records. If the real administration moves while the registered office stays put, the company should check whether its national law permits that structure and whether constitutional documents, board procedures or disclosures need updating.
Applicable company law
A country’s connecting factor determines how it links a company to its company-law system. The relevant rule may focus on the registered office, the statutory seat, central administration, or a combination. Because the EU does not impose one universal test, a cross-border move should be reviewed under both the origin state’s rules and the destination state’s rules.

Cross-border restructuring
Moving management can be part of a broader operation such as converting a legal form, transferring a registered office, merging entities or creating a European Company. These transactions have their own notice, creditor-protection, employee-participation and filing requirements. The headquarters decision is not a substitute for the formal restructuring procedure.

Where employees work, where executives sign contracts, where records are kept and where services are delivered may all be relevant facts. They can create obligations separate from company formation, including employment, payroll, immigration, licensing or data-governance duties. The headquarters label alone does not settle those obligations.
The European Company (SE) option
An SE is a specific EU legal form for businesses with a cross-border dimension. It is not a default wrapper for any company that wants an EU presence.
- Same Member State: the SE’s registered office and head office must be in the same Member State.
- Cross-border element: formation and use of the form involve cross-border conditions or activity requirements set by the SE framework and national implementing rules.
- Capital: European Commission guidance states a minimum subscribed capital of €120,000 for an SE. That figure applies to the SE form, not to every company incorporated in the EU.
- Governance: an SE can involve different board structures and employee-participation arrangements from a domestic company, so the governance design must be assessed before formation.
Choosing an SE may simplify a group’s ability to operate through one recognisable European legal form, but it also introduces formal eligibility and governance work. A business that merely needs managers in an EU city may not need, or qualify for, an SE.

- Describe the intended management reality. Identify where directors, chief executives and other decision-makers will work; where board meetings will occur; and where strategic records and central systems will be maintained.
- Map the existing legal structure. Record the current registered office, statutory seat, legal form, subsidiaries, branches and any shareholder or employee-participation arrangements.
- Read the incorporation state’s connecting rule. Determine whether its company law relies primarily on the registered office, real seat, statutory seat or another combination, and whether management can be outside the state.
- Test the destination state’s formation rules. If a new entity or redomiciliation is planned, check minimum capital, directors, local filings, language, accounting, publication and beneficial-ownership requirements under current national law.
- Check legal-form constraints. For an SE, verify the same-country registered-office/head-office rule and the cross-border conditions. For a national company, apply that country’s own requirements rather than assuming SE rules.
- Separate company law from other subjects. Commission and Court of Justice materials do not establish a universal answer for tax residence, employment duties or sector regulation. Obtain country-specific advice on those questions.
- Plan the move or dual-location model. Set out which address will receive official notices, where records will be available, how board authority will be documented and what filings or approvals are needed before management changes.
This method keeps the legal description tied to observable facts instead of treating a mailing address as proof of headquarters.

A European Commission summary of an Ernst and Young study estimated that a harmonised cross-border transfer procedure could reduce costs by approximately €12,000 to €19,000, depending on company size and the Member States involved. The estimate dates from 2018; it is not a current quoted fee, a guaranteed saving or a forecast for a particular relocation.
Current expenses can include legal and accounting work, translations, notarisation, registry charges, employee consultation, publication, new premises, director travel and systems changes. The amount and timetable depend on whether the company is incorporating a new entity, moving a registered office, relocating actual management, converting into an SE or carrying out a merger. A country comparison without those facts would be misleading.
Common mistakes and how to avoid them
Assuming an address creates headquarters
A virtual office or registered-agent address may satisfy an administrative requirement, but it does not prove that central administration occurs there. Keep board records, executive responsibilities and operational evidence consistent with the stated structure.

Confusing an SE with a normal company
The €120,000 capital threshold and same-country office rule belong to the SE framework. They should not be presented as requirements for all EU companies.
Declaring tax or employment results too early
The headquarters decision may be relevant to tax residence or employment compliance, but the available EU company-law sources do not determine those outcomes for a specific country. Analyse management, workforce, contracts and local rules separately.
Using old cost estimates as present prices
The €12,000–€19,000 figure is a 2018 study estimate for a particular harmonised procedure. Obtain a current, written estimate for the exact transaction and countries involved.
When to obtain local professional advice
Country-specific corporate counsel or a qualified incorporation adviser is appropriate when the company is choosing between jurisdictions, moving its management, establishing an SE, or restructuring across borders. Ask for advice limited to the countries and legal forms under consideration, and request separate treatment of company law, tax, employment, immigration and regulatory licensing. That scope prevents a generic “EU headquarters” answer from being mistaken for a complete legal opinion.
Before signing a lease, appointing directors or announcing a relocation, have the adviser confirm the proposed registered office, statutory seat, real management location, filing sequence and any employee or creditor protections. Keep the resulting analysis with the company’s governance records so future decisions match the structure reported to authorities.
