The director scrutinizes board-level decisions and information, contributes to evaluating the board and its leadership, and challenges where needed—but does not run the company’s daily operations.
What the role involves
Independent directors take part in the board’s collective work while bringing a perspective intended to be independent of management. Their contribution is active scrutiny and judgment, not simply attendance. The SEBI Guidance Note on Board Evaluation reproduces Schedule IV of the Companies Act, 2013, which says independent directors bring an objective view to evaluating the performance of the board and management.

Scrutinize board-level decisions
Board matters can include corporate strategy and major plans, risk policy, budgets and performance, financial reporting, internal controls, legal compliance, disclosures, conflicts of interest, and stakeholder interests. Independent directors contribute their judgment to these matters as members of the board; responsibility for board decisions is collective.
Review the board and its leadership
Independent directors consider how the board and non-independent directors are performing, as well as the chairperson’s performance. This scrutiny helps the board examine whether it is functioning effectively rather than simply approving management’s work.

Assess whether information reaches the board in time
Directors need information that is relevant, sufficient, and timely to deliberate effectively. Independent directors assess the quality, quantity, and timing of information management provides to the board. If information is inadequate or late, the board may be unable to discharge its oversight role properly.
Take part in evaluation and learning
Board evaluation covers the board, its committees, and individual directors. SEBI’s guidance also identifies induction and continuing director training as considerations in evaluation, supporting directors’ ability to contribute effectively as their responsibilities and the company’s needs evolve.
What happens at the independent directors’ annual meeting?
Schedule IV, as reproduced in the SEBI guidance, provides for independent directors to hold at least one meeting each year without non-independent directors or members of management present. All independent directors should strive to attend. The meeting provides a setting for candid review of board effectiveness and the information directors receive.

- Review the chairperson’s performance, taking account of the views of executive and non-executive directors.
- Assess whether management provides information of adequate quality and quantity, and does so in time for the board to perform its duties effectively.
How are independent directors evaluated?
Under the SEBI guidance, the board evaluates an independent director’s performance without that director participating in their own evaluation. The guidance assigns the Nomination and Remuneration Committee responsibility for formulating evaluation criteria and evaluating the performance of every director. Annual evaluation and related reporting or disclosure requirements are also addressed in the applicable sources.

What the role does not mean
An independent director is not a substitute for the company’s executives and does not manage routine operations. Nor does the title alone mean that a director guarantees compliance or has no legal responsibility. Independent judgment is part of the board’s oversight; it does not remove the board’s collective role or settle questions about an individual director’s duties or liability.

The role described here is a general account of board oversight and evaluation, not a complete statement of the current law on eligibility, appointment, term limits, liability, or applicability thresholds. Requirements can differ between listed and unlisted companies and may depend on applicable rules and amendments. For a compliance or legal decision, check the current Companies Act and rules, SEBI’s listing regulations where applicable, and the facts of the particular company. The SEBI guidance cited above is useful for the board-evaluation provisions it reproduces, but should not be treated as a complete consolidated statement of every current requirement.
