A contractor employee who sits on a Pentagon advisory committee does not automatically create a problem for themselves or their employer. Two separate legal questions apply, and they have different tests and different decision-makers. First, individual ethics: which federal ethics rules bind the person, which depends on how they were appointed. Second, organizational conflicts of interest: whether the company’s contract work or information access raises an issue under federal acquisition rules. The answer to each depends on the specific role, matter, financial interests and procurement. This article explains how to sort them out and who to ask.
Start with the appointment: Special Government Employee or representative?
“Adviser” is not a legal category. Before anything else, find out how the person was formally appointed. The U.S. Office of Government Ethics (OGE) says federal advisory committee members are frequently appointed as Special Government Employees (SGEs). SGEs are subject to federal ethics requirements, with certain exceptions and modifications. Members chosen as representatives of an interest group are not Government employees and are not subject to those employee ethics requirements (OGE, “For Ethics Officials: Federal Advisory Committees,” current guidance page, accessed October 7, 2026; OGE’s August 18, 2005 guidance, “05×4: Federal Advisory Committee Appointments,” corroborates the distinction).

| Question | Appointed as an SGE | Appointed as a representative |
|---|---|---|
| Government employee for ethics purposes? | Yes, as a special category of employee | No, per OGE |
| Federal employee ethics requirements apply? | Yes, with exceptions and modifications | Not those requirements |
| Financial interest rule (18 U.S.C. § 208) | Applies to SGEs | Not as an employee rule |
| Who can confirm the status? | Designated Federal Officer (DFO), appointing office or agency ethics official | Same |
Three cautions apply:
- Not everyone called an adviser is an SGE. Not every SGE is there to speak for their employer. And an advisory appointment does not by itself bar an employer from contracts.
- Representative status is a classification, not a free pass. Other legal, contractual, confidentiality and committee-specific rules can still apply.
- Do not rely on a title or invitation letter. Ask the DFO or appointing office to confirm the actual appointment instrument and designation.
Individual rules for an SGE: the financial conflict statute
What 18 U.S.C. § 208 prohibits
According to the Department of Defense Standards of Conduct Office, § 208 bars a federal employee from participating personally and substantially, in an official capacity, in a particular matter that, to the employee’s knowledge, has a direct and predictable effect on the financial interest of the employee or of a person or organization whose interests are imputed to them. SGEs are included. DoD’s January 2024 training for SGE advisory committee members puts it this way:
“The primary financial conflict of interest statute, 18 U.S.C. § 208, prohibits all employees, including SGEs, from participating personally and substantially in an official capacity in any particular matter in which, to his knowledge, he, or any person whose interests are imputed to him under this statue [sic] has a financial interest.”

DoD’s guidance on conflicts of interest (current page, accessed October 7, 2026) describes imputed interests as including those of:

- a spouse or minor children;
- a general partner;
- an organization where the employee serves in specified roles, or as an employee;
- a person or organization with whom the employee is negotiating, or has an arrangement, for prospective employment.
What this means for contractor personnel
For a contractor employee serving as an SGE, the employer’s interests can become the person’s own for § 208 purposes. Salary, equity, an officer or board role, and prospective-employment talks may all be relevant, depending on the facts. But the test is matter-specific. Being employed by a defense contractor does not, on the sources reviewed, automatically bar all committee participation. The question is whether the particular matter would have a direct and predictable effect on a relevant interest. The outcome may be participation, recusal from that matter, or another authorized resolution, and the ethics official makes that call with the person.

Financial disclosure
DoD’s January 2024 SGE training says most SGEs must file a Confidential Financial Disclosure Report (OGE Form 450), and in some cases a DoD alternate form. Do not assume every member files the same report. Confirm the form and timing with the appointing office.

Other individual restrictions to ask about
Section 208 is not the only statute. The same DoD training lists rules on representational activity and post-government representation, identifying 18 U.S.C. §§ 203, 205 and 207 alongside § 208. For a contractor employee, this matters most when the person later communicates with the Government on the company’s behalf, or moves to different work after service. The sources reviewed do not set out how those sections apply to any particular fact pattern, so get written ethics advice before the first contact with DoD on a matter that touches committee work, and again before a post-service role begins.
The company’s separate issue: organizational conflicts of interest
An organizational conflict of interest (OCI) concerns the company, not the individual. It is governed by FAR Subpart 9.5 (Acquisition.gov) and, for DoD, DFARS Subpart 209.5. FAR Subpart 9.5 addresses organizational and consultant conflicts of interest, including situations where a contractor’s work may:

FAR explains that significant potential conflicts can be handled with restraints appropriate to the conflict, including limits on eligibility for future contracts or subcontracts. DFARS Subpart 209.5 adds DoD-specific requirements and describes mitigation and other resolution approaches.

An employee’s advisory service can be one fact in a company’s OCI analysis, for example if the role gives access to information relevant to a competition or touches requirements the company might later bid on. But the authorities reviewed do not support saying that the appointment automatically disqualifies the employer. The answer turns on the contract, the type of work, the information involved and the acquisition decisions of the contracting officer.

Why the two analyses must not be merged
- Different subject. Section 208 asks whether this person may take part in this matter. FAR/DFARS ask whether the company’s contract position creates an objectivity, access or competitive problem.
- Different decision-makers. Ethics officials and the DFO advise on the individual. Contracting officers decide on acquisition conflicts, with company counsel representing the contractor.
- Different fixes. A recusal may resolve an individual issue without answering whether the company needs mitigation, and the reverse is also true.
An ethics clearance for the individual is not a finding that the company has no OCI. A company OCI conclusion does not clear the individual either.
Practical checklist for a contractor
- Confirm status. Ask the DFO or appointing office whether the member is an SGE, a representative or something else.
- Ask about disclosure. Find out which financial disclosure form applies (OGE Form 450 or a DoD alternate form) and when it is due.
- Map interests. List employment, equity, board or officer roles, family interests and any prospective-employment discussions that could relate to committee matters.
- Raise matters early. Ask the agency ethics official which matters are restricted before the committee takes them up.
- Screen company work. Before accepting work that overlaps with advisory duties, ask company counsel and the contracting officer whether the facts raise a FAR/DFARS organizational conflict or a contract-specific restriction.
- Document resolutions. Keep a record of any agency-approved recusal, mitigation or other resolution. An informal assumption is not an ethics clearance.
- Plan for the end of service. Seek advice on the representational and post-government restrictions (18 U.S.C. §§ 203, 205, 207) before contacting the Government on company matters or changing roles.
Limits of this guidance
This article is general information, not legal advice. Appointment status, financial interests, the specific matter, the contract facts and agency determinations all drive the result, and the sources reviewed do not support one outcome across all roles and procurements. The agency ethics official or DFO is the right contact for the individual’s questions, and company counsel and the contracting officer are the right contacts for acquisition exposure.
