“On-site” describes where equipment sits, not who carries the risk. A behind-the-meter plant can still require utility studies, network upgrades, air and water permits, standby tariffs, fuel logistics, environmental compliance and a detailed end-of-term plan.

Define the transaction before comparing prices
Put the commercial structure and operating purpose in writing first. A proposal can look inexpensive simply because it leaves capacity, fuel, interconnection or replacement costs outside the quoted energy rate.
| Structure | Who normally owns the plant | Questions to settle before signing |
|---|---|---|
| Physical behind-the-meter PPA | Third-party provider | Is payment based on metered energy, reserved capacity or both? Who pays fuel, major maintenance and replacement? |
| Lease | Usually the lessor during the term | Who operates the equipment, guarantees output and pays for overhauls, insurance, taxes and removal? |
| Energy-services agreement | Often the service company | Which services are guaranteed: energy, dependable capacity, backup, efficiency or all of them? |
| Utility service or tariff arrangement | Utility or contracted generator | How do standby, demand, export and exit charges interact with the utility tariff? |
| Self-owned plant | Data-center operator | Can the operator finance, permit, staff, fuel and maintain the asset for its full life? |
Document the load the plant must serve
Record annual megawatt-hours, peak megawatts, average megawatts, critical-load megawatts, ramp profile, power-quality requirements, planned expansion and any period in which generation could exceed site demand. Distinguish total facility load from the portion that must remain energized during a grid outage. Include cooling, pumps, controls, security and network equipment rather than counting only computing halls.

State whether the plant will operate in parallel with the grid, island during an outage, export power, run only as an emergency generator, provide continuous baseload, or firm intermittent resources. These choices change protection settings, permits, fuel requirements, tariffs and the value of the contract.
Require an independent production and load model
Have the seller provide an hourly model and an independent engineer review it. The model should disclose assumptions for availability, degradation, ambient temperature, fuel quality, maintenance outages, startup time, minimum loading, ramp rate and planned expansion. Ask for guaranteed net dependable capacity, not nameplate capacity, and define how it is measured.
Contractual guarantees should cover availability, start time, black-start and islanding performance where relevant, heat rate or efficiency, emissions limits and response time. Tie payments to revenue-grade meters, agreed test procedures, reporting frequency and liquidated damages or service credits. A capacity guarantee that excludes fuel shortages, ordinary heat, maintenance and auxiliary loads may provide little protection in practice.

Treat interconnection as a gate, not an assumption
Federal Energy Regulatory Commission guidance describes interconnection as “initially, and often extensively, a matter of conducting technical studies.” Those studies examine reliability impacts, protection, power flow, required network upgrades and their costs. A site cannot be treated as ready merely because a generator fits on the property.

- Obtain the utility or ISO record. Request the completed feasibility, system-impact and facilities studies, the queue position, executed interconnection agreement or equivalent written approval, protection settings, metering design and energization milestones.
- Map every physical interface. Identify switchgear, transformers, controls, fuel systems, easements, transmission equipment and utility-access rights. Confirm who owns and maintains each item.
- Price the upgrades. Allocate network upgrades, distribution work, study fees, relay changes, communications, construction management and testing. State whether the customer or seller pays if the utility changes its requirements.
- Confirm operating limits. Put import limits, export rights, reverse-power protection, ramp restrictions, synchronization requirements and curtailment instructions in the agreement.
- Check schedule dependencies. Separate the seller’s equipment delivery date from the utility’s approval and energization date. Define what happens if a queue delay or utility redesign postpones commercial operation.
- Prove site control. FERC’s process requires evidence of control through a purchase, lease or equivalent right. Make sure the contract covers land, switchgear pads, fuel storage, access roads and utility easements for the entire term.
Ask the serving utility to confirm current standby, demand, export, exit and supplemental-service charges in writing. A contract that assigns equipment costs but says nothing about a future tariff change leaves a major operating risk unresolved.
Build a permit and community-impact matrix
On-site equipment still needs regulatory approvals. California’s energy regulator states that backup diesel generators require permits to construct and operate, and larger thermal facilities may fall under state certification. Under the current California program description, the California Energy Commission has exclusive certification authority over certain thermal generating facilities at 50 MW or more. Do not assume that a “backup” label avoids review.
Air, fuel and environmental permits
- Air-construction and operating permits, generator-specific emergency-use limits, emissions testing and reporting.
- Fuel-storage, spill-prevention, hazardous-material and fire-code approvals.
- Water withdrawal, cooling-water, wastewater and stormwater permits.
- Noise, vibration, lighting, traffic and operating-hour conditions.
- Zoning, building, electrical and fire-code approvals, environmental review and decommissioning obligations.
EPA guidance issued July 27, 2026, says it “expands opportunities for companies to develop and operate islanded power generation facilities for data centers” under an Acid Rain Program clarification. That guidance does not eliminate state and local obligations. Obtain written conclusions from qualified state and local counsel about whether an islanded design qualifies, which emissions rules still apply and what monitoring is required.
Prepare for community and resource questions
Large projects increasingly face scrutiny beyond air permits. ERCOT’s 2026 request for information targets developers pursuing 25 MW or more of interconnection to the ERCOT System and asks about on-site generation, water, cooling, noise, traffic, ownership and public assistance. Even where an information request is not itself a permit, its topics are a practical checklist for stakeholder and regulator questions.

Make the seller responsible for supplying permit applications, agency correspondence, emissions calculations, water balances, acoustic studies, traffic plans and compliance records. Assign the risk if a permit is denied, restricted or conditioned after financial close.
Calculate delivered cost, not just the energy rate
Compare every proposal on delivered cost per megawatt-hour and per dependable megawatt. EPA explains that physical-PPA rates may be fixed or escalating and may include an end-of-term purchase option. DOE identifies operations and maintenance and replacement allocation as core benefit-and-risk issues.
| Cost or exposure | What to require in the contract |
|---|---|
| Energy and capacity payments | Separate the $/MWh charge from fixed capacity, reservation or minimum-take payments; define the meter and settlement period. |
| Escalators and inflation | State the index, base date, cap, floor and frequency. Reject undefined “market adjustment” language. |
| Fuel | Specify fuel quality, delivery responsibility, storage days, pass-through formula, hedging rights and who pays for emergency deliveries. |
| Utility charges | Allocate demand, standby, supplemental, export, exit and tariff-change charges, including charges caused by the plant’s operating profile. |
| Interconnection | List study fees, network upgrades, protection, metering, communications and construction overruns. |
| Operations and maintenance | Set preventive-maintenance scope, staffing, consumables, response times, planned-outage limits and audit rights. |
| Major replacement | Name responsibility for engines, turbines, inverters, batteries, controls, stack equipment and overhaul reserves. |
| Insurance, taxes and compliance | Assign property, liability, pollution, business-interruption insurance, property tax, sales tax and permit fees. |
| End of term | Price purchase, removal, disposal, contamination cleanup, site restoration and transfer of warranties. |
Stress-test the model for fuel-price spikes, inflation, load growth, curtailment, forced outages, carbon or emissions-rule changes, utility-tariff changes and delayed interconnection. Require auditable invoices, raw meter-data access, benchmarking rights and a change-in-law mechanism that identifies which party pays and whether either party can terminate.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteAssign ownership of incentives and environmental attributes
Write down the legal owner of the generation asset, land rights, interconnection equipment, fuel infrastructure, RECs and every other environmental attribute. A customer cannot safely claim renewable on-site use merely because renewable equipment is located behind its meter.

| Item | Contract language to include |
|---|---|
| Tax incentives | Name the party claiming federal or state credits, require evidence of eligibility and state how monetized value reduces the customer’s price. |
| RECs | Identify who owns, transfers and retires each REC; prohibit duplicate claims and define replacement obligations. |
| Other attributes | Address emissions allowances, capacity credits, renewable claims and reporting rights separately from physical electricity. |
| Transfer or failure | Specify what happens if an attribute is invalidated, transferred to a third party or unavailable in a settlement period. |
DOE guidance notes that a third-party owner may claim incentives and pass savings through. Energy-services guidance places eligibility diligence on the energy-services company. Those arrangements still need documentary proof, audit rights and a price adjustment if the expected incentive is denied or reduced.

Define normal operation and outages
Define commercial operation, acceptance tests, planned-maintenance windows, forced-outage categories, fuel-curtailment procedures and grid-restoration priorities. State whether the plant must carry the entire critical load, a contracted fraction or only a specified block. Include black-start sequencing, synchronization, island duration and retransfer procedures when applicable.
Use objective testing and data
Specify meter accuracy, calibration, telemetry, data retention, test notices, independent witnesses and dispute procedures. Require monthly performance reports showing gross output, net output, availability, starts, trips, fuel use, emissions and maintenance. A seller should not be able to meet a guarantee by excluding auxiliary consumption or unreported derates.

Provide remedies and security
- Service credits or liquidated damages tied to measurable capacity and availability shortfalls.
- Step-in rights if the operator fails to maintain the plant or violates a permit.
- Lender cure periods that do not suspend critical reliability obligations.
- Performance security, parent guarantees and insurance minimums sized to replacement and outage exposure.
- Cybersecurity, physical-security, incident-notification and data-access duties.
Score competing proposals on the same axes
Use a weighted matrix rather than selecting the lowest headline rate. Require evidence for every score and mark an item “not stated” until the proposer supplies it.
Best Value
| Decision axis | Evidence to score |
|---|---|
| Dependable capacity and outage performance | Net dependable MW, availability guarantee, start time, island duration, maintenance plan and historical or tested performance. |
| Delivered-cost certainty | Fixed charges, escalators, fuel pass-throughs, standby costs, upgrade costs, taxes and replacement reserves. |
| Interconnection schedule and exposure | Study status, queue position, upgrade scope, utility milestones and delay allocation. |
| Permitting and community burden | Air, water, noise, traffic, hazardous-material, zoning and decommissioning requirements. |
| Fuel and supply-chain resilience | On-site storage, delivery contracts, alternate suppliers, fuel quality and emergency logistics. |
| REC and tax ownership | Eligibility evidence, ownership, retirement rights, replacement duties and price treatment. |
| Counterparty strength | Credit support, guarantees, insurance, lender rights, operator staffing and subcontractor dependence. |
| Termination and restoration | Buyout formula, removal, contamination cleanup, site restoration, permit loss and prolonged-force-majeure rights. |
Protect the exit and the end of the asset’s life
Termination rights should cover chronic underperformance, permit loss, prolonged force majeure, change in law, insolvency and utility refusal or withdrawal of interconnection approval. Define the buyout valuation method before a dispute arises: independent appraisal, a declining schedule, remaining book value or another agreed formula.
Specify who removes equipment, disposes of fuel and hazardous materials, repairs foundations, restores landscaping and pays for contamination. Require delivery of operating records, warranties, software credentials, spare parts and permit files if ownership changes. Align the contract term with equipment life, land rights, financing covenants and the utility agreement; an energy contract that survives the site lease can create an expensive stranded obligation.
A signature-readiness workflow
- Freeze the load definition. Approve peak, average, critical and expansion cases, with hourly profiles and power-quality requirements.
- Obtain independent engineering review. Validate the production model, net dependable capacity, heat rate, degradation, startup and islanding assumptions.
- Close the interconnection file. Collect studies, queue evidence, protection and metering designs, upgrade estimates, site-control documents and utility milestones.
- Complete the permit matrix. Obtain written federal, state and local conclusions for air, water, fuel, noise, traffic, zoning, fire and environmental review.
- Run the lifecycle financial model. Include energy, capacity, fuel, tariffs, upgrades, taxes, insurance, O&M, replacement, disposal and restoration under stressed scenarios.
- Document ownership and claims. Assign the asset, land, interconnection equipment, incentives, RECs and all environmental attributes.
- Negotiate measurable performance terms. Add tests, meters, reporting, remedies, security, cyber duties and outage procedures.
- Approve the exit plan. Set termination triggers, buyout valuation, lender rights, removal, contamination cleanup and site restoration.
Red flags that should stop signature
- A seller quotes nameplate MW without net dependable capacity or critical-load testing.
- The interconnection application is described as “in process” with no study, queue position or upgrade allocation.
- Fuel is a pass-through with no quality standard, storage requirement or delivery contingency.
- “All permits” is promised without a permit-by-permit matrix and responsibility for conditions.
- RECs, tax credits or renewable claims are described in marketing language rather than ownership and retirement clauses.
- The contract excludes auxiliary power, planned maintenance or utility outages from every performance metric.
- There is no remedy for chronic underperformance, permit loss, counterparty insolvency or a failed interconnection.
- End-of-term removal, contamination and site restoration are left to “mutual agreement.”
The practical test is simple: an operator should be able to show, in one controlled file, what load is being served, how the utility will connect it, which permits authorize operation, what the plant will cost in stressed conditions, who owns every benefit and attribute, how performance is measured, and how the site is restored. If any of those answers depends on an oral promise or an undefined future charge, the contract is not ready to sign.
