What Data Center Developers Need to Check Before Signing a Gas-Field Power Agreement

Do not sign on the strength of a gas reservation or a promised megawatt figure alone. A dependable gas-field power arrangement must prove, in linked contracts and permits, that fuel will reach the site at the required pressure and time, that generators will deliver measured net power through the data center’s ramp, and that every outage, curtailment, grid charge, permit delay and environmental liability has an identified owner and remedy.

Understand what “gas-field power agreement” actually includes

The phrase can describe several relationships rather than one document: a natural-gas supply contract; pipeline transportation and storage; a lateral, meter or compressor connection; on-site generation and balance-of-plant services; power operations and maintenance; and the utility, transmission or regional-market arrangements that remain when the facility is behind the meter. Review the master agreement together with every exhibit, interconnection agreement, tariff, permit and land-rights document.

Start with a single responsibility map. For each physical link and commercial obligation, name the counterparty, facility, performance standard, payment mechanism, permit and failure remedy. A supply promise that does not cover transportation, pressure, metering and curtailment is not proof that generators can run when the data center needs them.

Verify that the gas can arrive when the load needs it

Define the delivery point and physical specification

The contract should identify the seller, buyer and exact delivery point, including the meter or interconnection location. Specify gas quality, pressure range, heating value, allowable contaminants, measurement method and title transfer. State whether quantity is measured daily, hourly or at another interval, and how measurement disputes are tested and resolved.

Match the contracted profile to the project’s actual operating plan: construction testing, commissioning, phased expansion, seasonal conditions, maintenance outages and the final data-center load. A daily quantity that looks adequate on paper can fail during an hourly ramp or a cold-weather peak.

Separate firm supply from interruptible supply

“Firm” must have an operational meaning. Identify the shipper’s transportation reservation, curtailment priority, notice period, emergency-reduction rights and planned-maintenance rules. State whether the seller may interrupt for upstream shortages, pipeline constraints, imbalance or force majeure, and rank this site against the supplier’s other customers.

If the generators can burn another fuel, specify who supplies it, how much on-site storage is required, conversion time, emissions consequences and testing frequency. If replacement gas or power is required, define the source, lead time and price rather than leaving “commercially reasonable efforts” as the only protection.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Expose every price component

List the commodity index and pricing point, basis differential, transportation, storage, imbalance, fuel-retention, compression, taxes and other pass-through charges. State whether minimum-take, reservation or demand charges recur during construction and ramp-up. Add a procedure for an index becoming unavailable, being materially disrupted or ceasing to reflect the delivery point; do not leave market-dislocation pricing to a later negotiation.

Assign infrastructure and delay risk

Identify who designs, funds, owns, operates and maintains the lateral, pipeline facilities, meter, compressor, storage and interconnection equipment. The agreement should allocate easements, inspections, pressure responsibility, capacity expansions, testing and acceptance. Tie payment milestones to independently verified readiness, and specify compensation or termination rights if a connection, permit or capacity upgrade is late.

Convert the gas promise into dependable net megawatts

Use the generator fleet’s guaranteed heat rate and site derating, not a nameplate number, to test adequacy. In a simplified check, hourly fuel in MMBtu divided by heat rate in MMBtu per MWh equals gross MW; subtract auxiliary load and site-condition derating to obtain net dependable MW. Run the calculation for commissioning, the highest planned load, hot and cold conditions, minimum stable output, maintenance and the loss of the largest unit.

Check What the contract must state Why it matters
Fuel quantity Daily and, where needed, hourly MMBtu; seasonal profile and ramp-up Prevents a daily reservation from masking an hourly shortfall.
Generation output Net dependable MW at specified temperature, elevation, gas quality and auxiliary load Shows what reaches the data-center bus rather than the nameplate rating.
Fleet behavior Ramp rate, start time, minimum stable output, sequencing and largest-unit contingency Determines whether the plant can follow changing IT load and recover from a trip.
Availability Planned maintenance windows, forced-outage assumptions, testing and reporting Provides a measurable basis for service credits, replacement power or termination.

Require measured performance reports and a testing protocol. Define availability, heat-rate, emissions and power-quality guarantees where they are material, including the test conditions, independent verifier, cure period and remedy. A promise to “support” a capacity should not substitute for a guaranteed net output and an agreed test.

Define the generation and power-service scope

List equipment and ownership

Exhibits should identify engines or turbines, emissions controls, switchgear, transformers, protection systems, controls, fuel handling, water and cooling systems, spare parts and balance of plant. State which party owns each item, holds title during construction, bears casualty risk and removes or transfers it at the end of the term.

Set operating authority and maintenance standards

Clarify who dispatches units, approves starts and shutdowns, coordinates with the data-center operator and utility, and controls emergency load shedding. Specify staffing, remote operations, preventive maintenance, major overhauls, spare-parts inventories, inspection records and access rights. Maintenance windows must be consistent with the data center’s redundancy and customer-service commitments.

Cover power quality, backup and restoration

Address voltage and frequency limits, harmonics, synchronization, islanding, black start, restart sequence and protective settings. State whether the plant can export, import or provide grid support. Define backup generation or replacement power when gas is unavailable, a generator trips, controls fail or the grid is interrupted. Include the order of operations for a gas loss: automatic transfer, load shedding, safe shutdown, restoration and resynchronization.

Map the grid and market interface before relying on “behind the meter”

Classify the configuration as islanded, grid-connected or co-located with grid service. Identify the utility, transmission owner and, where applicable, the regional transmission organization or independent system operator. Review every interconnection study and agreement, tariff, service limit, telemetry requirement, operating instruction, security posting and network-upgrade estimate.

“Behind the meter” does not automatically eliminate grid obligations. A site may still need standby service, import capability, protection upgrades, transmission rights, telemetry or rules governing exports and flexible load. Allocate the cost of imports, exports, standby, backup, curtailment and future upgrades explicitly.

Account for the June 18, 2026 FERC action

On June 18, 2026, the Federal Energy Regulatory Commission said its orders directed the six jurisdictional regional grid operators to justify or reform rules for large users. The five listed reform areas were more efficient study processes, transmission-cost transparency, co-location and behind-the-meter generation, flexible large loads, and studies for generation serving nearby or co-located loads. Chairman Laura V. Swett said the action was intended to support a resilient grid, protect consumers and give investors greater certainty.

Those proceedings initiated tariff-reform work; they did not create one final nationwide tariff. Obtain the applicable regional filings and utility requirements for the project’s location, and include a change-in-law mechanism if a rule change alters study obligations, charges, operating limits or schedule.

Treat permits and community impacts as schedule-critical conditions

Build a permit matrix

For each generation unit, pipeline facility, air permit, water withdrawal or discharge, land-use approval, construction authorization and grid connection, record the agency, applicant, status, prerequisites, public-comment period, appeal risk, expected decision date and responsible party. State what happens if an approval is delayed, modified, conditioned or denied.

Make emissions and water obligations measurable

Specify fuel characteristics, operating-hour assumptions, emissions limits, control equipment, monitoring methods, reporting deadlines and responsibility for violations or rule changes. Do the same for water withdrawals, cooling, wastewater, stormwater and drought restrictions. A permit based on limited operating hours may not support a full-time baseload plan.

Check land, route and site constraints

Confirm title, easements, pipeline route, access roads, setbacks, subsurface conditions, construction laydown, security and restoration. Review environmental studies for cumulative air, noise, light, traffic and water impacts, not just the generator parcel.

Local opposition can change the schedule or make the site unsuitable. In Alberta, the Utilities Commission denied a proposed data-center power plant on August 17, 2026, finding the location too close to the surrounding community and inadequately justified. The application summarized approximately 1,400 MW of proposed combined-cycle gas generation and 1,800 MW of emergency or backup diesel generation; those were proposal figures, not operating capacity, and the decision is specific to that provincial process.

For Texas projects, ERCOT’s 2026 request for information covered developers pursuing ERCOT interconnection at a stated threshold of at least 25 MW. It asked about public financial assistance and tax benefits, grid dependence and on-site generation, water, cooling, noise, light, traffic and ownership or control. ERCOT listed October 12, 2026 as the submission deadline, which had passed by October 17, 2026; treat that date as a completed reporting window, not an open application period.

Align commercial protections across every linked agreement

Use conditions precedent that fail together

Make gas supply, transportation, generation, land rights, permits, financing and data-center lease or offtake obligations conditions precedent to the same commitment date. Tie term, minimum-take and reservation charges to realistic construction, commissioning and customer-ramp milestones. Do not let a fuel obligation survive the failure of the power project without a negotiated exit or assignment.

Allocate delay, shortfall and force-majeure risk

Define construction delay, cost overrun, fuel shortfall, imbalance, generator outage, grid interruption, change in law and force majeure. For each event, specify notice, mitigation, replacement fuel or power, priority of limited supply, payment treatment and the maximum duration before termination. Avoid a clause that excuses performance while continuing all minimum charges indefinitely.

Make remedies operational

Set cure periods, service credits, liquidated damages where negotiated, replacement-power costs, step-in rights, security and credit-support requirements. Remedies should be tied to measurable tests and should not conflict across the gas, generation and grid documents. State whether a parent guarantee, letter of credit or other support is required and how it changes with construction milestones.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Protect control, information and the end state

Review change-of-control and assignment rights, confidentiality, data ownership, meter and operating data access, audit rights, dispute forum and governing law. At expiration or termination, assign responsibility for fuel inventory, equipment removal or transfer, contaminated soil, permit closure, easement release and site restoration.

Use a documented sign-off sequence

  1. Model the load and fleet. Build hourly and seasonal cases for commissioning, expansion, normal operation, maintenance and the largest credible outage.
  2. Trace the physical chain. Draw the route from upstream supply through transportation, storage, meter, compressor and generator to the data-center bus; mark pressure, capacity and ownership at each interface.
  3. Reconcile documents. Compare gas quantities, generator guarantees, interconnection limits, permit operating hours and lease milestones. Any mismatch becomes a closing condition.
  4. Price the all-in service. Add commodity, basis, transport, storage, imbalance, fuel-retention, compression, taxes, standby, transmission, security, maintenance and replacement-power exposure under base, peak and curtailment cases.
  5. Stress-test failure. Simulate upstream curtailment, a late lateral, low pressure, generator trip, grid outage, permit denial, rule change and prolonged force majeure. Confirm who pays and what keeps the data center operating.
  6. Obtain independent evidence. Require capacity studies, pressure and quality data, equipment test results, permit schedules, insurance certificates and credit information, with audit and verification rights.
  7. Approve only with a closing checklist. Legal, engineering, operations, environmental, finance and utility teams should sign the same matrix of conditions precedent, open risks, owners and remedies.

How to interpret announced project terms

Public announcements illustrate scale but are not benchmarks or independent verification. Energy Transfer announced up to 450,000 MMBtu per day of firm natural gas for a CloudBurst project, conditional on CloudBurst reaching final investment decision, to support approximately 1.2 GW of direct power for at least 10 years from Phase 1. Those are announced, conditional terms, not proof of delivered fuel or a universal contract standard.

Kodiak Gas Services described a signed six-year agreement for 76 MW of behind-the-meter baseload capacity, including balance of plant and approximately 40 reciprocating natural-gas generation units. Its release described deployment timing as expected, so it should not be treated as completed performance.

When comparing real proposals, score firmness and curtailment rights; peak and daily capacity; delivery-point redundancy; index, basis and pass-throughs; term and ramp alignment; generator availability and guarantees; backup and grid obligations; permit status; emissions, water and community effects; credit support; and termination remedies. Weight each item against the site’s geography, load shape and tolerance for interruption rather than choosing the largest headline MW figure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Final decision test

Proceed only when the executed agreement set answers five questions without relying on an informal promise: Can the contracted gas physically reach the generators at the required pressure and interval? Is net dependable power, including derating and outages, enough for every load phase? Who controls and pays for the grid, permits, environmental obligations and backup? What is the all-in price when pass-throughs, standby and delay are included? If the project, permit or connection fails, can the data center exit without stranded fuel and infrastructure obligations?
