The phrase is not a standard contract category. A “capacity” deal might reserve instances in a particular zone, secure future facility power, or simply require a customer to spend a minimum amount for a discount. Those outcomes are materially different.
Before signing, identify the promised deliverable, its location and technical attributes, when billing starts, what happens if delivery is late or incomplete, and whether unused capacity still costs money. A usage or spend commitment does not automatically guarantee physical availability.

What a data center capacity agreement actually promises
The core question is what the provider must make available. The unit could be virtual machines with specified attributes, a quantity of servers, megawatts of power, floor space, racks, cabinets, network connectivity, or a combination. The agreement should state the unit, quantity, location, start date, term and acceptance method.
“Capacity agreement” therefore describes an outcome rather than one universal legal form. Cloud products, colocation contracts, utility arrangements and bespoke infrastructure deals use different terminology and remedies. Read the operative clauses instead of assuming that a label such as reservation, commitment or capacity means guaranteed supply.

Reservation versus price or spend commitment
A reservation holds a defined resource in a defined place. A committed-use or minimum-spend arrangement generally changes the price or requires consumption over a term; it may not hold any physical resource. Google Cloud’s documentation makes this distinction explicit: its one- and three-year committed-use discounts do not, by themselves, reserve zonal capacity. A separate reservation is needed to hold the relevant resources. The same documentation says, “A reservation makes sure that capacity is held in a specific zone even if the reserved VMs are not running.”
That distinction affects both availability planning and financial exposure. A customer can owe a commitment charge yet still be unable to launch the required resource in the desired zone unless a separate reservation exists.
How major cloud capacity products differ
| Product or arrangement | What is committed | Location and scope | Term and billing points | Important limitation |
|---|---|---|---|---|
| Microsoft Azure Future Capacity Reservations | Specified resources requested for a scheduled start and term | Named Azure region and requested resource configuration | Accepted capacity is billed whether deployed or consumed; reservation expires at term end | Microsoft may approve, decline or modify a request; terms depend on availability and do not provide dedicated hardware or a general discount |
| Google Cloud committed-use discount | One- or three-year usage or spend commitment | Commitment pricing does not itself hold a zone | Customer receives the stated discount while meeting the commitment | A separate reservation is required to hold zonal capacity |
| AWS EC2 On-Demand Capacity Reservation | Matching EC2 instances | Specified Availability Zone and matching instance attributes | Immediate-use reservations have no term commitment; future-dated reservations have a commitment duration | Early cancellation of a future-dated reservation may incur a charge; immediate-use reservations can be changed or canceled |
| Physical data-center capacity agreement | Facility space, power or cabinets, often measured per square meter, kilowatt, rack or cabinet | Specific building, suite or facility | Commencement may be an agreed date or a period after readiness and customer acceptance | Pricing and adjustment rights are issuer-specific; a disclosed example permits changes tied to power-tariff inputs |
The Azure terms cited here were current on October 13, 2026. Google Cloud and AWS descriptions were checked on that date. Product names, availability and terms can change, so the signed order and current service documentation control.
Azure Future Capacity Reservations
Under the cited Microsoft Product Terms, a customer requests specified resources in a region, together with a scheduled start and term. Microsoft can approve, decline or modify the request. An accepted reservation is not the same as dedicated hardware and does not inherently provide a discount. Once Microsoft has made the accepted capacity available, it bills that capacity regardless of whether the customer deploys or consumes it.

If Microsoft cannot supply the full amount on the agreed start date, the terms allow it to continue trying for up to 30 calendar days. Capacity that has not been made available is not charged during that shortfall period. The terms also state that no monetary service credits apply except where expressly provided. At the end of the term, the reservation expires.
“Capacity made available by Microsoft will be billable according to the accepted commitment regardless of whether Customer deploys or consumes such capacity.”
Google Cloud commitments and reservations
Google Cloud’s resource-based committed-use discounts illustrate why the commercial and operational questions must be separated. The commitment can run for one or three years and can reduce the price for eligible resource usage or require a defined spend. It does not, alone, reserve a particular zone. A separate reservation holds the relevant zonal resources, including when reserved virtual machines are stopped.
Check whether the reservation and the discount commitment have matching machine types, regions, zones, operating systems and other attributes. A mismatch can leave capacity held but unusable for the workload, or leave a discounted commitment without the capacity needed to run it.

AWS EC2 capacity reservations
AWS EC2 On-Demand Capacity Reservations apply to matching instances in a specified Availability Zone. An immediate-use reservation has no term commitment and can be modified or canceled. A future-dated reservation has a commitment duration, and early cancellation may create a charge. The practical test is whether the instance launch request matches the reservation’s Availability Zone and every required instance attribute; a different zone or incompatible attribute does not consume that reservation.
Physical facility agreements: space, power and delivery
For colocation or dedicated data-center capacity, the unit of measure may be physical rather than virtual. A public issuer filing dated April 28, 2025 describes agreements priced per square meter, kilowatt, rack or cabinet. It describes service commencement on an agreed date or within a period after the data center is ready and the customer accepts delivery. The same filing notes that changes in power-tariff inputs may allow price adjustments.
This is one company’s disclosed approach, not a market-wide rule. A customer should ask whether the contracted figure is usable IT load, total facility power, reserved space, or a combined amount. Clarify redundancy, cooling allocation, cross-connects, generator capacity and the point at which the provider considers delivery complete. If the contract uses a power figure, define the measurement point and how efficiency losses are treated.

Capacity can depend on agreements that the cloud customer never sees directly. A March 12, 2026 SEC-filed agreement between DTE Electric Company and Google LLC references a primary electric-service agreement for a data-center facility, a demand-response agreement and a line-extension agreement. It demonstrates that electric supply, grid work and demand-response obligations may sit in separate documents. It is not a standard customer-facing cloud contract, but it is a reminder to identify dependencies and responsible parties.

Terms to examine before signing
1. Deliverable and measurement
- Write the exact resource type, quantity and technical attributes: for example, instance family, processor generation, memory, accelerator, storage, network throughput or power rating.
- Define the unit of measure and whether it is nominal, usable, reserved or guaranteed.
- State whether the commitment is a reservation, a price discount, a minimum spend, or several of these in separate clauses.
2. Geography and facility identity
- Record the cloud region, Availability Zone or physical facility, not just the country.
- Specify whether the provider may substitute another zone, building or resource generation.
- For physical sites, identify the suite, floor, rack row, utility service point and any required network paths.
3. Start, delivery and acceptance
- Distinguish the contractual start date from the date the provider expects to be ready.
- Define delivery tests, customer inspection rights and the deadline for acceptance or rejection.
- State what happens when only part of the quantity is available. Azure’s cited terms use a 30-day additional fulfillment period; other contracts may use different windows.
4. Billing and unused capacity
Determine exactly when charges begin and whether they apply to capacity that is idle. Azure’s cited terms bill accepted capacity made available even when it is not deployed or consumed. A physical facility may charge for reserved power or space before equipment is installed. Ask whether ramp-up periods, partial delivery, maintenance outages and customer-caused delays change the bill.
5. Duration, flexibility and exit
- Check the term, renewal mechanics and expiration treatment.
- Look for rights to reduce quantity, move regions or zones, exchange resource types, transfer the commitment to another account or suspend it.
- Separate ordinary cancellation from early termination of a future-dated reservation, where a charge may apply.
- Confirm what happens to prepaid amounts and deposits at expiry or termination.
6. Remedies and service levels
Do not infer a reliability guarantee from the word capacity. Review delay remedies, replacement obligations, refund formulas, service credits and liability caps. The cited Azure terms say there are no monetary service credits except as expressly stated. A physical contract may offer a different remedy, but the market has no single standard remedy established by these examples.
7. Power, utility and pass-through adjustments
For facility deals, identify who pays for utility upgrades, line extensions, taxes, demand charges and tariff changes. A power-tariff adjustment clause should specify the index or tariff, notice period, calculation and any cap. Confirm whether a demand-response agreement can curtail the contracted load and what backup capacity remains during curtailment.

Common misunderstandings and how to avoid them
“A committed spend guarantees my servers.”
Not necessarily. Google Cloud’s documentation expressly separates committed-use discounts from zonal reservations. Require a written reservation right if physical or zonal availability is essential.
Best Value
“Reserved means discounted.”
A reservation can carry a normal usage price, while a separate commitment supplies a discount. Azure’s cited Future Capacity Reservation terms say the reservation does not provide a discount. Price protection must be stated independently.
“If I do not run the machines, I do not pay.”
That is unsafe. Azure bills accepted capacity made available whether deployed or consumed. Other products can use different billing models, so read the utilization and idle-capacity clauses for the exact service.
“The provider must deliver everything on day one.”
Some terms allow a fulfillment window or partial delivery. Record the agreed date, the maximum delay, the treatment of missing capacity and your cancellation or refund right if the shortfall persists.
“A reservation means dedicated hardware.”
Cloud reservations commonly hold access to a resource pool; they do not automatically assign a server exclusively to one customer. Dedicated hardware requires express language.
A practical review workflow
- Build a capacity schedule. List each resource, quantity, region or zone, attributes, start date, end date and monthly or one-time charge.
- Map the documents. Match the order form to product terms, service-level terms, pricing schedules, utility agreements, construction obligations and any demand-response or network documents.
- Test a launch or delivery scenario. Verify that an example workload matches every reservation attribute and that a physical delivery test measures usable capacity at the agreed point.
- Model underuse and delay. Calculate charges at zero utilization, partial delivery, late readiness and early termination. Include tariff or pass-through adjustments where applicable.
- Negotiate the failure path. Define notice, cure periods, refunds, credits, replacement capacity and termination rights for missed dates or persistent shortfalls.
- Assign operational ownership. Name the teams responsible for requesting capacity, accepting delivery, monitoring utilization, approving changes and giving cancellation notice.
- Reconfirm before expiry. Reservations expire or commitments renew according to their terms; set an internal date well before the contractual deadline.
Questions to put to the provider
- Is this a reservation of capacity, a spend or usage commitment, or both?
- What exact resource attributes and locations are guaranteed?
- When does billing begin, and do idle or undeployed units remain billable?
- Can you substitute a zone, facility, generation or instance type?
- What is the maximum fulfillment delay, and what is charged during a partial delivery?
- Can the commitment be reduced, transferred, exchanged or canceled?
- What remedy applies if capacity is late, unavailable or interrupted?
- Are service credits, refunds or monetary damages limited or excluded?
- Which utility, construction, network or demand-response agreements affect delivery?
- How are power tariffs and other pass-through costs calculated and changed?
When a capacity agreement is worthwhile
A reservation is most defensible when a workload has a known location and resource profile, availability is more important than flexibility, and the organization can tolerate paying for unused capacity. A spend commitment may be appropriate when the main objective is a predictable discount and workloads can move among eligible resources, but it should not be presented internally as an availability guarantee.
For physical facilities, the value depends on credible energization and delivery dates, transparent utility pricing, measurable acceptance tests and remedies strong enough to cover the cost of delay. If those points are missing, a headline power or space quantity may provide less protection than it appears to.
Bottom-line decision test
Approve a capacity agreement only after you can answer five questions in one sentence each: what exactly is delivered, where is it delivered, when does billing start, what do you pay when it is unused, and what happens if the provider cannot deliver. If any answer relies on a product name or sales description rather than an enforceable clause, the agreement is not yet sufficiently defined.
