A credit rating is a rating agency’s forward-looking opinion about a borrower’s relative ability to meet its financial obligations. For a company seeking money from investors or lenders in another country, the opinion can help markets compare risk, but it is not a repayment guarantee, a promise of lower interest, or an assurance that financing will be available.
Cross-border analysis adds issues that a domestic credit review may not capture: the currency written into the debt contract, access to foreign exchange, the ability to transfer money across borders, sovereign and regulatory actions, and the exact seniority and security of each instrument. The practical question is therefore not only “Can this company pay?” but also “Can it obtain and move the required currency to the creditor when payment is due?”

What a credit rating actually says
S&P Global Ratings defines credit ratings as “forward-looking opinions about an issuer’s relative creditworthiness.” The wording matters. A rating expresses an agency’s assessment using the information and methodology available at the time; it does not insure investors against default and does not eliminate uncertainty.
Investors normally treat a rating as one input alongside the company’s financial statements, covenants, industry outlook, market pricing, liquidity, legal documentation and their own analysis. A rating can make borrowers easier to compare, especially when an overseas investor knows less about a company’s local market, but the investor still has to assess whether the debt suits its mandate and risk tolerance.

Ratings can change. Agencies monitor rated entities and may revise an assessment when their view of credit risk changes. The result is not a permanent label attached to the company; it is an opinion that can move with leverage, cash flow, business conditions, regulation, management decisions, refinancing risk or sovereign developments.
Why raising money across borders is different
The debt currency creates a second ability-to-pay test
A company may generate revenue and hold cash in its home currency while borrowing in dollars, euros or another foreign currency. It might be financially healthy in local-currency terms yet unable to obtain enough foreign exchange on the payment date. The company’s ability to pay in local currency and its ability to meet a foreign-currency obligation are related, but they are not identical questions.
In its explanation of foreign- and local-currency ratings, S&P says foreign-currency analysis can include “the likelihood of foreign exchange controls and the imposition of other restrictions on the repayment of foreign debt.” Such transfer and other direct sovereign risks can delay or prevent conversion and movement of funds even when the underlying business has assets or income in its domestic currency. See S&P’s foreign-currency and local-currency explanation.
Transfer and convertibility risk
Cross-border debt service usually requires several steps: the company earns or raises local funds, converts them into the debt currency, sends the funds through the banking system, and pays an offshore creditor under the contract’s timetable. Exchange controls, capital restrictions, sanctions, payment-system disruption or a government rule limiting repayment of foreign debt can interfere with any of those steps. A foreign-currency rating therefore considers the payment channel and the country environment, not just operating profit.

Sovereign conditions influence, but do not mechanically determine, the rating
A government’s creditworthiness, foreign-exchange reserves, regulatory powers and willingness to permit transfers affect companies domiciled there. However, it is too broad to say that every company is automatically capped at its sovereign rating. S&P’s criteria on ratings above the sovereign describe circumstances in which some non-sovereign entities may be rated above the government, depending on their ability to withstand a sovereign stress scenario, the sensitivity of their sector to country risk, and applicable transfer-and-convertibility constraints. That is a methodology-specific possibility, not a universal rule for every agency, country or issuer.
Issuer ratings and issue ratings are not the same
An issuer rating describes the company’s general creditworthiness. It is an overall view of the obligor rather than a prediction about one particular security.
An issue rating addresses a specific bond, loan or other obligation. It can reflect the instrument’s seniority, collateral, guarantees, maturity, covenants, structural subordination and repayment terms. Two securities issued by the same company can therefore receive different ratings: a secured senior bond may have stronger recovery prospects than an unsecured, subordinated note, while a holding-company obligation may sit behind debt issued by an operating subsidiary.

| Assessment | What it evaluates | Cross-border question |
|---|---|---|
| Issuer rating | The company’s overall capacity and willingness to meet obligations | Can the enterprise remain solvent and generate cash across its jurisdictions? |
| Issue rating | A particular bond, loan or other obligation, including priority, security and terms | Where does this instrument rank, what secures it, and which currency and payment route apply? |
| Local-currency rating | Capacity to meet obligations denominated in the domestic currency | Can local earnings and assets support payment in that currency? |
| Foreign-currency rating | Capacity to meet obligations in a foreign currency, including transfer and sovereign risks | Can the company obtain, convert and transfer the required currency on time? |
Local-currency, foreign-currency and rating scales
A company can have different local- and foreign-currency ratings because the currencies expose creditors to different failure modes. Local-currency analysis may focus more heavily on the company’s domestic cash generation and payment capacity. Foreign-currency analysis adds the possibility that the state or financial system restricts access to, or transfer of, the currency owed to external creditors.
Always identify the scale used. A global-scale rating is designed for comparison across countries, while a national scale is designed to rank issuers within one country. Symbols on a national scale should not be assumed to be directly interchangeable with similarly shaped symbols on a global scale. S&P notes that national scales may exclude foreign-currency issues; read the agency’s definitions before comparing grades.
On S&P Global Ratings’ scale, BBB− and above is investment grade, while BB+ and below is speculative grade. Those thresholds apply to that agency’s scale. They are not a universal translation for every agency or national-scale framework.
How rating agencies form and monitor an assessment
S&P describes a combination of quantitative and qualitative analysis. For companies, its explainer identifies leverage, interest coverage, free cash flow, capital structure, competitive position, industry dynamics, geographic diversification, regulation and management effectiveness among the factors considered. A rating committee makes the determination, and the agency monitors the credit afterward. The methodology and weighting used by another agency may differ; S&P’s description should be read as that agency’s account of its own process.

Financial capacity
- Leverage: debt relative to earnings, assets or cash flow, including the effect of new borrowing.
- Interest coverage: the headroom between recurring cash generation and interest obligations.
- Free cash flow: cash remaining after operating needs and capital spending to service debt, build liquidity or reduce borrowings.
- Capital structure: maturity profile, secured and unsecured layers, guarantees, hybrids and refinancing concentration.
Business and country risk
- Competitive position and the resilience of demand in the company’s industries.
- Geographic diversification and exposure to one country, currency or regulatory regime.
- Regulatory quality, legal enforceability and the possibility of government intervention.
- Management effectiveness, strategy and willingness to preserve liquidity during stress.
Ratings are monitored, not set and forgotten
When these conditions change, an agency can upgrade, downgrade, place a rating on watch or revise an outlook under its applicable process. A company planning a foreign issue should therefore model how a weaker currency, a new capital-control rule, a large acquisition or a shorter refinancing runway could affect the rating after issuance.
What the historical default figures do—and do not—tell you
S&P’s ratings explainer presents the following historical three-year cumulative default rates for companies by rating category:
| S&P category | Historical three-year cumulative default rate |
|---|---|
| BBB | 0.91% |
| BB | 4.17% |
| B | 12.41% |
| CCC/CC | 45.67% |
These figures are historical statistics shown by S&P Global Ratings; the consulted page does not state their publication year. They are not a forecast for a particular company, not a universal probability of default, and not a guarantee that every issuer in a category will behave like the historical group. Ratings can also migrate between categories during the period being measured.
How a company should use a rating when planning an overseas issue
- Define the obligation first. Decide the currency, jurisdiction, maturity, ranking, security package, guarantees, covenants and intended investor base. The rating for the instrument will depend on these terms.
- Separate operating risk from currency-transfer risk. Build cash-flow cases in the debt currency, test exchange-rate stress, identify natural hedges and document how local receipts will be converted and transferred.
- Map sovereign and banking-system exposure. Review foreign-exchange rules, capital controls, payment restrictions, reserve conditions, sanctions exposure and the legal route for sending debt service offshore.
- Prepare quantitative and qualitative evidence. Assemble audited financial statements, debt and maturity schedules, liquidity sources, business plans, ownership information, regulatory data and management assumptions. A solicited rating may use non-public information supplied by the issuer.
- Compare the proposed rating with the instrument’s economics. Examine coupon, issue price, covenants, collateral and maturity alongside the rating. A rating is an input to pricing and investor analysis, not proof that the offered terms are attractive.
- Plan for surveillance after issuance. Establish reporting responsibilities and triggers for currency, leverage, liquidity or regulatory changes that could alter the agency’s view.
Public, confidential and solicited ratings
A public rating is available to market participants, while a confidential or non-public opinion is shared with the issuer or authorized recipients. A company choosing between them should consider whether broad investor visibility is useful, whether sensitive operating information must remain restricted, and whether the target lenders accept a private opinion.
Best Value
S&P says a solicited rating is requested by the entity being rated and may be informed by non-public information provided by that entity. It also describes an issuer-pays model in which agencies charge issuers for ratings while public ratings are made available to the market. Those statements describe S&P’s services and business model; they should not be generalized automatically to every rating agency.
Emerging and frontier-market context
Country context can be especially important where domestic capital markets are shallow or less liquid, or where reliable economic and corporate data are harder to obtain. S&P’s overview of emerging and frontier markets identifies those conditions as characteristics that can occur in frontier markets. They are examples of market context, not assumptions that apply to every issuer or country in those categories.
For a borrower, this may mean allowing more time to assemble evidence, explaining the legal and financial links between subsidiaries, and showing exactly how foreign-currency debt will be serviced during a market disruption. For an investor, it means checking whether the rating scale, available disclosures and transfer assumptions support a fair comparison with debt from a deeper market.

Common mistakes to avoid
- Calling a rating a guarantee: it is an opinion about relative creditworthiness, not insurance against loss.
- Using the issuer grade for every bond: instrument seniority, collateral and repayment terms can produce a different issue rating.
- Ignoring the debt currency: local-currency cash flow does not by itself prove access to foreign exchange.
- Assuming a sovereign ceiling is absolute: above-sovereign outcomes are possible under specific criteria, but they are not automatic.
- Mixing scales: global and national symbols require the issuing agency’s definitions before comparison.
- Promising cheaper funding or market access: the available material does not establish a universal causal benefit from obtaining a rating.
- Treating historical default data as a forecast: category statistics describe past groups, not the next three years for one company.
Questions to ask before relying on a cross-border rating
- Which agency issued it, and is it a global or national scale?
- Is the rating for the company, a guarantor, or the specific bond or loan?
- What currency and jurisdiction govern payment?
- What assumptions address exchange controls, convertibility and transfer to the creditor?
- How senior, secured or structurally subordinated is the instrument?
- When was the rating last reviewed, and what could trigger a change?
- Which information is public, and which conclusions depend on confidential issuer data?
