The necessary controls depend on what the token legally represents, whose obligation it is, where it is offered, and which parties perform issuing, custody, distribution, transfer, settlement and redemption. Start by classifying the instrument and mapping jurisdictions and roles; then design controls for rights, records, authorization, keys, financial-crime risk, resilience, data and third parties.
There is no single global blockchain-issuance checklist. U.S. securities-law analysis, the European Union’s Markets in Crypto-Assets Regulation (MiCA), and Basel banking standards have different scopes. Treat each as a source for the activities it covers, not as one universal rulebook.

1. Establish what the token legally is
The first control is a documented legal-classification decision. Describe the holder’s rights in ordinary legal terms: ownership of an asset, a debt claim, a fund interest, a redemption right, a payment claim, or something else. Identify the party that owes performance, the authoritative record of ownership or entitlement, and the events that create, transfer, suspend or extinguish the right.
Document whether the institution is issuing its own instrument or creating a representation of an instrument issued by someone else. A third-party structure can introduce additional counterparty, insolvency and enforcement questions. The blockchain record may be useful evidence, but it does not automatically replace the legal register or contract that establishes the right.

For a tokenized security, the relevant securities-law analysis remains relevant. In a July 9, 2025 statement, SEC Commissioner Hester M. Peirce summarized the point as: “Tokenized securities are still securities.” Her statement discusses direct issuer tokenization and third-party structures, but it is commentary from a Commissioner, not a substitute for applicable statutes, rules or transaction-specific legal advice.
Minimum classification file
- A plain-language description of the instrument and every holder right.
- The governing agreement, offering terms and applicable law.
- The identity and legal capacity of the issuer, obligor, custodian, distributor, transfer agent and technology operator.
- The authoritative ownership or entitlement record, and a rule for resolving conflicts between that record and a distributed-ledger entry.
- An analysis of offering, distribution, transfer, custody, payments, derivatives, money-transmission and other regulated activities implicated by the design.
2. Map jurisdiction, roles and regulatory scope
Create a jurisdiction-and-role matrix before selecting a network. List where the issuer, investors, intermediaries, reserve assets, servers, validators and service providers are located or deemed to operate. Then map each activity to the entity performing it. The same token can trigger different obligations depending on whether it is offered to the public, distributed privately, admitted to a market, held for customers, or transferred through an intermediary.
| Question | Control output |
|---|---|
| Which countries are connected to the offering or service? | A jurisdiction register with entry restrictions, local-law owners and review dates. |
| Who performs each regulated or operational role? | A responsibility map covering issuer, obligor, custodian, distributor, transfer agent, administrator, validator and technology provider. |
| Which source is binding for this activity? | A citation register distinguishing legislation and rules from regulator commentary, written submissions and supervisory standards. |
| What changes could alter the analysis? | Trigger events for legal review, such as a new investor group, secondary trading, a change in reserve assets or a new service provider. |
MiCA Article 34 applies specifically to issuers of asset-referenced tokens within the Regulation’s scope. The Basel Committee’s SCO 60 framework concerns bank cryptoasset exposures and related risk management. Neither should be presented as a direct obligation for every non-bank token issuer.
3. Assign accountable governance
Give named senior owners authority over legal classification, compliance, technology, custody, operations, financial crime and incident response. A committee can coordinate decisions, but it should not obscure who can approve issuance, stop transfers, authorize an emergency change or accept a residual risk.

Maintain policies, delegated authorities, escalation paths, a material-risk register, issue and deficiency logs, and evidence that controls were reviewed for effectiveness. Require management approval for the token terms, smart-contract release, custody model, transfer restrictions, reserve arrangements and material changes. Define independence for compliance review, internal audit or external assurance where the applicable regime requires it.
For covered asset-referenced-token issuers, MiCA Article 34 requires robust governance, clear lines of responsibility, risk identification and monitoring, internal controls and periodic review by the management body. Those requirements should not be generalized to unrelated tokens, but they provide a useful governance benchmark when designing a comparable control environment.
4. Control issuance, transfers and redemption
Treat the token lifecycle as a controlled financial process rather than a code deployment. The policy should identify who may mint, burn, freeze, pause, upgrade or otherwise alter the token contract, and require independent approval for high-risk actions. Reconcile every issuance and redemption to the legal register, reserve or other authoritative obligation record.

- Verify that the proposed holder is eligible under the offering and jurisdiction rules.
- Require dual approval or another proportionate authorization for minting and burning.
- Reconcile the quantity minted with the approved allocation and the institution’s liability or asset records.
- Preserve an immutable approval trail containing the request, approvers, transaction identifier and resulting balance.
Transfer controls
- Apply eligibility, sanctions, geographic and contractual restrictions before a transfer is accepted.
- Define validation, confirmation and settlement-finality assumptions, including what happens during a reorganization, outage or conflicting state.
- Record sender, recipient, amount, time, approvals, exceptions and the reason for any rejected or reversed instruction.
- Disclose restrictions, privacy limitations, transfer delays and dependence on network or service-provider availability.
Redemption and exception controls
- Specify who may approve redemption and how funds or assets are sourced.
- Set procedures for disputed ownership, failed payments, duplicate instructions, lost credentials, chain interruptions and legally compelled freezes.
- Reconcile burned tokens, released assets and outstanding obligations after each redemption cycle.
- Test the process under normal, peak and emergency conditions.
MiCA Article 34 expressly addresses reserve policies, holder rights, issuance and redemption, transaction-validation protocols and distributed-ledger functioning for covered asset-referenced-token issuers.

5. Protect custody, assets and cryptographic keys
Document who controls each private key and asset, under which legal authority, and with what separation between requesting, approving and executing personnel. A wallet architecture by itself does not satisfy a regulatory duty; the control objective is authorized, recoverable and auditable access to the asset and the legal record.
Key-management controls
- Use documented key-generation procedures, protected storage and tested backups.
- Limit privileged access, review it regularly and monitor administrative actions.
- Use multi-person authorization or equivalent segregation where the value and threat model warrant it.
- Maintain address allow-lists or transaction policies when appropriate, with a controlled emergency override.
- Define recovery, rotation, compromise containment, suspected theft and employee-departure procedures.
The Basel framework identifies private-key loss, theft, cyber threats, network reliability and validator design as risks banks should assess. MiCA Article 34 also requires covered issuers to address reserve custody and segregation and to assess reliance on relevant third parties.
6. Build AML, sanctions and traceability controls around actual roles
Map anti-money-laundering, counter-terrorist-financing and sanctions duties to the entities and services actually involved. The result should identify who performs customer due diligence, who screens parties, who monitors transactions, who investigates alerts, who files reports and who retains records.
- Define onboarding and beneficial-ownership requirements for each customer category.
- Screen customers, counterparties, wallets and relevant service providers against applicable sanctions and restrictions.
- Set transaction-monitoring scenarios for unusual size, velocity, layering, rapid redemption, blocked jurisdictions and attempts to evade transfer rules.
- Preserve the data needed to connect a network address, transaction and participant, subject to privacy and data-protection law.
- Establish investigation, escalation, reporting, case closure and record-retention standards.
The Basel material treats AML/CFT as a relevant risk-control theme and identifies traceability of network transactions and participants in its classification conditions. It does not establish a universal AML checklist or determine which obligations bind every issuer in every country. Obtain a role-specific analysis for each operating jurisdiction.

7. Engineer ICT security and operational resilience
Assess the full service chain: smart contracts, application interfaces, nodes, validators, key systems, cloud services, data stores, monitoring, customer communications and recovery facilities. Set measurable recovery objectives appropriate to the product and disclose material limitations to users.
Core resilience controls
- Independent code review and controlled release management for smart contracts and supporting software.
- Change approval, version control, rollback or migration procedures, and a record of every production change.
- Capacity, availability and latency monitoring for the network and critical dependencies.
- Incident classification, a 24-hour escalation path where needed, customer and regulator communication procedures, and post-incident analysis.
- Business-continuity and disaster-recovery exercises covering unavailable validators, compromised keys, corrupted data and provider outages.
- Controls for data confidentiality, integrity, availability, retention, deletion and lawful disclosure.
MiCA Article 34 requires covered issuers to identify and minimize operational risks, maintain continuity plans, establish ICT safeguards, safeguard relevant data, assess third-party reliance and arrange regular independent audits. Basel’s framework likewise addresses operational and third-party risk, resilience, data integrity and governance for bank cryptoasset functions and networks.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Govern third parties and reserve arrangements
Inventory every external dependency, including custodians, wallet operators, cloud and hosting providers, validators, oracle services, transfer venues, identity providers, auditors and reserve managers. Due diligence should cover financial condition, security, subcontractors, geographic exposure, incident history, recovery capability and access to evidence.
Contracts should specify service levels, audit and information rights, breach notification, cooperation with investigations, data location, subcontracting approval, exit assistance, portability and termination triggers. Maintain a tested replacement or wind-down plan for each material provider. For reserve-backed structures, reconcile reserve assets to outstanding obligations, define segregation and access rights, and monitor concentration and liquidity risks under the applicable legal regime.

9. Compare issuance models before choosing technology
No source establishes a universally compliant chain, permission model or custody arrangement. Compare the operating model against the control questions below rather than treating a technical feature as a legal conclusion.
| Model or feature | Questions to resolve | Primary control emphasis |
|---|---|---|
| Issuer-sponsored tokenized instrument | What claim does the issuer owe, and which record governs ownership? | Offering analysis, disclosures, issuance reconciliation, transfer eligibility and redemption authority. |
| Third-party representation | Who is the underlying obligor, and what happens if the intermediary fails? | Counterparty, insolvency, custody, segregation and enforcement analysis. |
| Public or broadly accessible network | Can participants and transactions be identified, restricted or traced as required? | Screening, privacy, address controls, network-risk assessment and incident procedures. |
| Permissioned network | Who admits validators and participants, and how are governance decisions challenged? | Admission, validator oversight, availability, change control and concentration risk. |
| Reserve-backed or asset-referenced token | How are reserves valued, segregated, safeguarded and redeemed? | Reserve governance, custody, liquidity, reconciliation, holder rights and third-party oversight. |
| Bank cryptoasset activity | How does the activity fit the bank’s prudential classification and risk framework? | Capital and risk governance, operational resilience, AML/CFT, custody and supervisory reporting. |
10. Use an implementation sequence with evidence gates
- Write the product paper. Describe rights, obligations, lifecycle events, jurisdictions, customer types, network design and all service providers.
- Obtain legal and compliance classification. Record conclusions, assumptions, unresolved questions and the trigger events that require reconsideration.
- Approve the target-control design. Assign owners, define segregation, set risk tolerances and document management acceptance of residual risks.
- Build the controlled prototype. Keep test and production keys separate; test minting, burning, transfer restrictions, pauses, upgrades, reconciliation and redemption.
- Validate financial-crime and privacy workflows. Run representative onboarding, screening, alert, investigation, reporting and data-subject scenarios.
- Test resilience and recovery. Exercise key compromise, provider outage, network reorganization, corrupted records, emergency freeze and orderly wind-down.
- Pass an independent readiness review. Require evidence that policy, code, contracts, operations and customer disclosures agree with one another.
- Monitor after launch. Track exceptions, failed transactions, reconciliation breaks, access violations, incidents, provider performance, complaints and regulatory changes; report material trends to the accountable management body.
11. Keep an evidence pack that can survive scrutiny
A credible control environment is demonstrated by contemporaneous evidence, not by a compliance slogan. Retain the approved legal memorandum and product terms, role matrix, risk assessments, board or management approvals, smart-contract versions and reviews, key-access logs, issuance and redemption reconciliations, screening and monitoring records, incident exercises, provider due diligence, audit reports, complaints and remediation tracking.
Test both design and operation. A policy that requires dual approval should be matched to system permissions and sampled transactions. A recovery plan should be exercised and timed. A transfer restriction should be tested with an ineligible participant. Record the result, owner, due date and closure evidence for every deficiency.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errors12. Common mistakes to avoid
- Calling the token a new asset class without analysis. Technology does not erase the legal character of a security, claim or payment instrument.
- Assigning compliance to the technology team alone. Legal, compliance, risk, custody, operations and senior management need explicit accountability.
- Assuming a permissioned chain solves every problem. It may improve participant controls while introducing validator concentration, governance and availability dependencies.
- Relying on an audit as a guarantee. A code audit can find defects; it does not prove lawful offering, adequate custody, effective AML or resilient operations.
- Ignoring the redemption path. A token that can be issued but not reliably redeemed creates legal, liquidity and conduct risk.
- Copying a bank or MiCA control list into another regime. Scope, definitions and obligations differ; verify national implementation and the institution’s actual role.
13. Understand what the cited frameworks do—and do not—decide
The U.S. material is Commissioner Peirce’s July 9, 2025 statement: it highlights that tokenized securities remain securities and discusses issuer and third-party structures, but it is not itself a binding Commission rule. An August 26, 2026 item hosted by the SEC’s Crypto Task Force is a written stakeholder submission, not a Commission regulation.
In the European Union, ESMA’s MiCA rulebook reproduces Article 34. Its detailed governance, reserve, rights, issuance, redemption, validation, continuity, ICT, data, third-party, complaints, conflicts and audit obligations apply to asset-referenced-token issuers within MiCA’s scope.
The Basel Committee’s SCO 60 framework is a banking standard concerning cryptoasset exposures and related risk management. The cited version is identified as in force from January 1, 2025; institutions should check for later revisions and national implementation. These distinctions determine whether a statement is a legal requirement, supervisory expectation or prudent design choice.
