What Buyers Should Check Before Signing a Commercial Shipbuilding Contract

Before signing a commercial shipbuilding contract, verify five things in the same set of documents: the vessel is defined in measurable terms, each instalment is protected by effective security, schedule relief and delay remedies are explicit, trials determine acceptance objectively, and governing law makes the promises enforceable. A standard form is only a starting point. The executed contract, technical specification, refund guarantee and applicable law control your actual exposure.

This is a transaction-review framework, not jurisdiction-specific legal advice. Have maritime counsel, naval architects, class specialists and finance advisers review the final wording together; a technically acceptable clause can still leave a payment or enforcement gap.

Start with the contract form, edition and amendments

Identify the exact form named in the draft, its edition, every amendment and the language that prevails if translations differ. BIMCO describes NEWBUILDCON as an international standard shipbuilding contract intended for any jurisdiction and type of ship; BIMCO’s page identifies 2007 as the latest edition shown there. A 2026 BIMCO seminar also lists SAJ, AWES, SHIP2000 and SHIP25 as forms used or considered in the market. That list does not establish that one form is universally best or that any form fits your project without revision.

Read the standard clauses against the commercial deal you actually negotiated. Mark who carries design responsibility, who supplies equipment, how payments are released, what constitutes delivery, and which disputes go to arbitration or court. Create a clause schedule showing every negotiated deviation, side letter and incorporated annex. If a term appears only in a quotation, meeting minute or email, move it into the signed contract or an expressly incorporated schedule.

Set document precedence

Shipbuilding agreements commonly contain a main contract, specification, drawings, maker lists, class rules, regulatory approvals and correspondence. State which document wins if two requirements conflict, and whether later-approved drawings can amend the signed specification. Without a hierarchy, a general promise in the contract may collide with a detailed technical annex at the moment you need to enforce it.

Make the vessel’s technical bargain measurable

Describe the ship as an operating asset, not merely a hull to be delivered. The specification should connect intended service, capacity, speed, fuel consumption, emissions or other performance characteristics, equipment, class notation and flag-state requirements. Add tolerances and the test method for every characteristic that affects revenue, compliance or financing.

Use a technical schedule that can be tested

Area What the contract should identify Evidence at acceptance
Service and capacity Intended route or duty, cargo or passenger capacity, loading assumptions and operating limitations Approved calculations, certificates and trial results under stated conditions
Speed and consumption Measurement method, draft, weather, loading, engine condition and permitted tolerance Instrumented sea-trial data and agreed correction formula
Class and regulation Classification society, notation, flag and statutory rules, including emissions or safety obligations Class and statutory certificates delivered at handover
Equipment and systems Maker, model or performance specification, interfaces, spares and software or control-system obligations Factory tests, commissioning records and operating manuals
Reliability or availability commitments Any guaranteed endurance, redundancy or uptime requirement and its calculation period Defined data set and an agreed remedy if the threshold is missed

The exact numerical standards must be tailored to the vessel; the available industry material does not establish universal values. Do not accept “in accordance with good shipbuilding practice” as a substitute for a measurable requirement where a shortfall would affect charter income, fuel budget or regulatory permission.

Allocate design and buyer-supply risk

State who is responsible for design integration, stability, structural calculations, software configuration and compliance when the buyer selects a component. For buyer-supplied equipment, assign interface drawings, delivery dates, storage, installation damage, commissioning, warranty, spare parts and the consequences of late or defective supply. A clause that makes the buyer responsible for an item should also identify the schedule relief and cost rule if the yard must redesign around it.

Protect every instalment with a usable refund guarantee

Map the payment schedule to objective milestones and to the security supporting each payment. BIMCO calls the refund guarantee an integral project feature and says it is “often regarded as the ‘financial cornerstone’ of a shipbuilding project.” The guarantee should be reviewed as carefully as the shipbuilding contract, not accepted as a bank’s routine attachment.

Build a payment-and-security matrix

Payment question Check before signing
Milestone What physical or documentary event must occur before payment, and who certifies it?
Amount covered Does the guarantee cover each instalment, permitted interest or other sums the contract says are refundable?
Guarantor Is the issuing bank or institution the one approved by the buyer, lenders and insurers, with acceptable credit and jurisdiction?
Demand conditions Can the buyer call without a prior judgment, or must it prove a default, obtain a termination notice or satisfy other conditions?
Expiry Does protection remain effective through postponed delivery, an extension, termination and the time needed to submit a demand?
Contract changes Do amendments, assignment, novation, currency changes or revised instalments require the guarantor’s written consent?
Dispute effect Can the yard argue that an arbitration, court action or technical dispute blocks or delays payment under the guarantee?

Obtain the executed guarantee, not only a draft form. Check governing law, notice address, presentation documents, payment currency, place of payment and whether the guarantor can set off amounts. Require a process for replacing the guarantee if the yard changes banks or if an extension pushes the original expiry date.

A 2015 Scottish Government document shows that staged payments and guarantee coverage can be contested in an individual vessel project. Its schedule is not a market standard; use it only as a reminder to test your own instalments against the security actually delivered.

Control delay, extensions and termination

Start with one contractual delivery date and define precisely when the date is extended. Separate permissible delay categories from force majeure, and require timely notices, evidence and mitigation. Specify whether an extension is automatic, requires buyer consent or is decided by an engineer, surveyor or tribunal.

Connect delay remedies

  • Permissible delay: list events that excuse delay, such as specified external events, and state notice and proof requirements.
  • Force majeure: define the event, causation standard, mitigation duty and maximum duration before either party may exit.
  • Liquidated damages: state the daily or periodic amount, start date, cap and whether claiming it is the buyer’s exclusive delay remedy.
  • Termination or rescission: identify the delay threshold, notice-and-cure process, refund timing and treatment of the vessel, materials and work in progress.
  • Interaction with performance: explain whether a late vessel that also fails trials gives cumulative rights or only one contractual remedy.

BIMCO identifies permissible delay, liquidated damages and rescission as central negotiation topics. A filed contract can show cancellation provisions tied to delay or vessel performance, but that is an example of negotiated wording, not an automatic rule. Confirm whether a termination notice also triggers the refund guarantee and whether the guarantor must receive a copy.

Make change orders and information flow disciplined

Require every change to be written and numbered. It should state the technical revision, price adjustment, schedule effect, effect on class or regulatory approval, impact on trials and acceptance, and any change to the refund guarantee or warranty. Name the people authorised to approve changes; prevent a superintendent, project manager or designer from creating an unintended contractual variation by email.

Set drawing-review deadlines

Include a submission calendar, response period, review categories and the consequence of silence. Distinguish approval for coordination from acceptance of design responsibility. If the buyer rejects a drawing, require reasons and a resubmission date. If the parties disagree on a change’s price or time effect, state whether work proceeds under an interim instruction, who funds it pending resolution and how the dispute is escalated.

Maintain a live register of drawings, deviations, open technical questions, class comments and approved changes. Link each entry to the specification paragraph and the payment or trial milestone it affects.

Define trials, acceptance and handover before construction starts

Acceptance should be a decision procedure, not a promise to “conduct sea trials.” Write the trial sequence, participants, instruments, calibration responsibility, weather and loading conditions, data format, repeat-test rights and performance thresholds into the contract or an incorporated trial protocol.

Decide what happens when a test fails

  1. Record the failed measurement, operating condition and instrument data in a signed trial report.
  2. Classify the issue as a correctable defect, a performance shortfall or a safety or regulatory failure.
  3. Give the yard a defined cure period and state who pays for repairs, retesting, additional fuel and delay.
  4. Provide a repeat-test method, including independent observers or experts if the parties disagree about the result.
  5. Set the buyer’s remedy: acceptance with a documented price adjustment, deferred acceptance, rejection, or termination when the agreed threshold is not met.

Clarify whether minor defects can be listed on a punch list without delaying delivery, and set a completion deadline and security for that work. Define the delivery moment, the documents and certificates required, and when title, risk, insurance and operating expenses pass. Include manuals, as-built drawings, software credentials, spare-parts lists, class records and customs or flag documents in the handover package.

Preserve meaningful post-delivery warranty rights

Review warranty duration, start date, covered systems, notice method, response and repair times, travel or docking costs, exclusions, caps and any exclusive-remedy language. Match the remedy to operational reality: a defect in propulsion, cargo handling or safety equipment may require a faster response than a cosmetic deficiency.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Identify who remains liable if a subcontractor made the component, and whether the buyer may assign warranty rights to a lender, purchaser or replacement operator. Require records of defects and repairs, and state whether a repaired or replaced part receives a fresh warranty period. A cap that appears acceptable for ordinary defects may be inadequate for repeated failures or a class-related grounding.

Align governing law, forum and regulatory requirements

Specify governing law and a dispute clause that names the seat, rules, language, tribunal or court process, allocation of technical experts and availability of interim relief. Check whether the chosen forum can grant the injunction, evidence order or security you may need before delivery. Have counsel assess recognition and enforcement where the yard, guarantor, vessel and buyer are located in different countries.

Review approvals, currency controls, foreign-exchange registration, tax, import, sanctions, licensing and guarantee formalities for every payment flow. A public 2025 shipbuilding contract includes PRC-specific commitments to register and document a refund guarantee for foreign-exchange purposes. That illustrates why regulatory wording must be transaction-specific; it is not a general requirement for every shipbuilding project.

Compare competing bids on the same risk axes

When yards propose different forms or mark-ups, normalize the offers before comparing headline price or delivery date. Record the actual wording, not a score inferred from a brochure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison axis Questions for the bid matrix Value if not established
Design responsibility Who owns design adequacy, integration and approval risk? Not stated until the contract and specification allocate it.
Specification and changes Which document prevails, and how are price and schedule changes approved? Not stated.
Payments and security What milestone releases cash, and what sums does the refund guarantee cover? Not stated.
Delay remedies What events extend time, what damages apply, and when can the buyer terminate? Not stated.
Trials and acceptance Which tests decide acceptance and what follows a failed result? Not stated.
Warranty What is covered, for how long, with what exclusions and caps? Not stated.
Assignment and lender rights Can the buyer assign the contract, security or warranties to financiers or a purchaser? Not stated.
Law and disputes Which law, seat, rules and enforcement route apply? Not stated.

The available BIMCO material identifies these as core issues but does not provide a complete, current side-by-side comparison or a single best form. Treat any commercial ranking as your own risk assessment after reviewing the executed documents.

Assemble a closing file before signing

Do not release the signature version until the following items are cross-checked and dated:

  • Final contract, all amendments, incorporated annexes and language-precedence clause.
  • Technical specification, approved maker list, class and regulatory requirements, and document hierarchy.
  • Instalment schedule tied to milestone evidence and an original, executable refund guarantee.
  • Delivery-date calculation, permissible-delay and force-majeure notices, damages formula and termination procedure.
  • Change-order form, drawing register, approval timetable and escalation route.
  • Trial protocol, acceptance certificates, failed-test remedies and punch-list procedure.
  • Warranty schedule, exclusions, caps, repair obligations and assignment wording.
  • Governing-law and dispute documents, corporate approvals, powers of attorney and any registration or currency filings.
  • A list of unresolved deviations with an owner, deadline and explicit statement that no unresolved item is treated as silently waived.

If any item conflicts, stop signing until the conflict is resolved in the contract itself. The safest agreement is not the one with the most familiar form; it is the one in which the vessel, money, schedule, acceptance test and remedy can all be proved from a coherent set of enforceable documents.
