Basel III generally does not prohibit a bank from paying dividends or repurchasing shares. It requires the bank to maintain minimum capital ratios and buffers above those minima. As capital approaches the minimum, distribution limits tighten progressively: the bank can keep operating, but it must retain more earnings instead of returning them through dividends, buybacks, discretionary payments on certain capital instruments or discretionary bonuses. The amount a particular bank can distribute depends on its applicable buffers, surcharges, earnings, capital mix, supervisor and jurisdiction.
Basel III’s basic effect on shareholder payouts
The Basel Framework is a set of international minimum standards, not a single worldwide dividend rule. It establishes risk-based capital requirements and a capital-conservation mechanism. A bank that is comfortably above all of its applicable requirements can normally make distributions under its domestic rules. A bank that moves into its conservation-buffer range faces graduated restrictions tied to how far its capital has fallen and how much it has earned.

The central idea is conservation, not closure. The Basel Committee describes the buffer as capital that can absorb losses while giving the bank an incentive to rebuild its position. Its explanation is explicit: “The constraints imposed only relate to distributions, not the operation of the bank.” A bank may continue lending, taking deposits and conducting other ordinary business while its dividends or repurchases are limited.

Those limits are applied at the relevant distribution date. They are not a one-time test performed when a board first announces a payout. Capital ratios, buffers, earnings and any supervisory requirements must be evaluated under the rules that apply when the distribution is made.

Minimum capital ratios and the conservation buffer
Basel III’s minimum risk-based ratios are the starting point for the analysis:
| Measure | Basel minimum | What it represents |
|---|---|---|
| Common Equity Tier 1 (CET1) | 4.5% | The highest-quality loss-absorbing capital, measured against risk-weighted assets. |
| Tier 1 capital | 6% | CET1 plus additional Tier 1 instruments that meet the framework’s criteria. |
| Total capital | 8% | Tier 1 capital plus qualifying Tier 2 capital. |
| Capital conservation buffer | 2.5% CET1 | An additional CET1 layer above the applicable minimum, designed to be used in stress and rebuilt afterward. |
The 2.5% conservation buffer is not a universal “CET1 must be above 7%” payout line that can be read without context. Capital used to satisfy the higher Tier 1 and total-capital minima cannot simultaneously be counted as spare conservation-buffer capital. A bank can therefore show a CET1 ratio that looks high in isolation while having less usable headroom after its other capital requirements are met.
In addition to the standard buffer, a bank may have a countercyclical capital buffer, a global or domestic systemically important bank surcharge, and other requirements imposed by its supervisor. These layers can raise the capital level at which distribution restrictions begin. The Basel minimums are floors; national authorities may apply more conservative requirements.

The conservation framework links the maximum payout to the bank’s position within its applicable buffer and to its earnings. As the bank moves closer to its minimum requirements, it must retain a larger share of earnings. The restriction applies to the combined amount of relevant distributions rather than to dividends alone.
The Basel Framework’s numerical illustration
The Basel text illustrates the mechanism with a CET1 ratio between 5.125% and 5.75%. Under the assumptions in that illustration, the bank must conserve 80% of earnings for the subsequent payment period. It may distribute up to 20% through dividends, share repurchases and discretionary bonuses.

Those percentages are a framework example, not a forecast for every bank. The applicable minimums, conservation buffer, countercyclical buffer, systemic surcharge and domestic implementation can shift the relevant thresholds. A bank’s board cannot turn the 20% figure into a general payout promise without calculating its own requirements and earnings under the governing rule.
What happens as capital falls further
The restrictions become more severe as the bank approaches the minimum ratios. A bank in the upper part of its buffer has more distribution capacity than one in the lower part. If the bank’s capital falls below the applicable minimums or a domestic capital-distribution requirement, the restrictions can be stronger than the Basel illustration and may become automatic under local law.

The Basel capital-definition FAQ states that positive net distributions are restricted when earnings are non-positive and CET1 is below 7%, or below a higher threshold where the buffer has been expanded. This rule prevents a bank with both weak earnings and inadequate capital from using accumulated resources to make a new positive distribution without regard to its current condition.
Which payments count as distributions?
For conservation-buffer purposes, dividends and share buybacks are treated as distributions. The same category includes discretionary payments on additional Tier 1 instruments and discretionary staff bonuses. A bank cannot avoid the intended constraint simply by shifting the economic return from a cash dividend to a repurchase or another discretionary payment covered by the framework.
Dividends
Common dividends are distributions, and preferred dividends can also be included where the applicable rule treats them as capital distributions. A dividend paid from reserves accumulated in earlier years is not automatically exempt. The Basel Committee’s FAQ says a bank may use prior reserves if it still satisfies the relevant minimum ratios, buffers and other requirements at the distribution date.

Share repurchases
Buybacks reduce common equity in much the same way that a cash dividend does. They therefore consume the distribution capacity available under the buffer calculation. A repurchase authorization, however, is not necessarily the same as an immediate purchase: the bank and its supervisor must apply the domestic definition of a distribution and the requirements in force when shares are actually repurchased.
Payments that may receive different treatment
Some transactions do not deplete CET1 in the same way. The framework identifies certain scrip dividends as not being distributions under the stated standard, because shareholders receive shares rather than a cash outflow that reduces CET1. The treatment is technical and depends on whether the instrument meets the rule’s conditions; a bank should not assume that every stock-dividend arrangement qualifies.
The framework also describes limited treatment for a dividend that is legally non-cancellable, has already been removed from CET1 and was declared in accordance with the applicable conservation standards. That exception is narrow and does not turn an otherwise impermissible payout into a permitted one.
Can a bank still pay a dividend after its buffer falls?
Often, yes—but only within the payout limit produced by the bank’s applicable capital requirements and earnings. Entering the buffer is not an across-the-board ban. It means the bank must retain a prescribed portion of earnings, with the retained percentage increasing as capital moves toward the minimum.
To determine whether a proposed dividend or buyback is permissible, work through these questions in order:

- Identify the applicable CET1 floor. Start with the 4.5% Basel minimum, then add the conservation buffer and any countercyclical or systemic-bank buffers that apply to the institution.
- Check the other capital ratios. Confirm that the bank has enough capital for the 6% Tier 1 and 8% total-capital minima, plus any higher domestic requirements. Capital supporting those ratios cannot be counted again as excess conservation-buffer capital.
- Measure the bank’s position within the buffer. The relevant band determines the fraction of earnings that must be retained.
- Calculate distributable earnings. Use the earnings measure and payment period required by the governing rule. A bank with non-positive earnings may face an additional prohibition on positive net distributions when its CET1 is below the applicable threshold.
- Aggregate all covered payouts. Include dividends, repurchases, discretionary payments on covered capital instruments and discretionary bonuses where the rule requires them to be counted together.
- Apply supervisory and local-law constraints. A national authority or supervisor may require a larger capital cushion, a revised capital plan or prior approval even when the Basel minimum calculation appears to permit a payout.
Why a headline CET1 ratio is not enough
Investors often see a bank’s CET1 ratio in an earnings release and try to infer its buyback or dividend capacity. That shortcut can be misleading because the ratio is only one input into the distribution test.
- Buffer composition: The conservation buffer must be met with CET1, while other minima draw on Tier 1 and total capital. The same capital cannot satisfy two requirements at once.
- Countercyclical settings: The countercyclical buffer can change with national authorities’ assessments of credit conditions.
- Systemic surcharges: A global or domestic systemically important bank may have an extra surcharge that raises its effective payout threshold.
- Leverage and other constraints: Risk-based ratios do not replace leverage requirements, liquidity rules or bank-specific conditions in a capital plan.
- Earnings: The buffer formula limits a share of earnings, so the same capital ratio can produce different payout capacity in a profitable quarter and a loss-making quarter.
- Supervisory expectations: Supervisors may expect a credible plan to rebuild a depleted buffer over an appropriate timeframe, even when a strictly mechanical calculation leaves some distribution capacity.
For that reason, a reported CET1 ratio should be compared with the bank’s full stack of requirements and its planned capital actions, not with the 4.5% minimum alone.
How the U.S. framework changes the calculation
The Basel Committee sets global standards but does not write every domestic rule. In the United States, covered bank holding companies with at least $100 billion in consolidated assets, along with certain other covered entities, are subject to Federal Reserve capital-planning and stress-capital-buffer provisions.
| U.S. element | How it affects distributions |
|---|---|
| Minimum CET1 ratio | 4.5% under the large-bank capital framework. |
| Stress capital buffer | An institution-specific buffer of at least 2.5%, based on stress testing and related rules. |
| G-SIB surcharge | An additional requirement for a bank designated as a global systemically important bank. |
| Capital distributions | The Federal Reserve definition includes share repurchases and common or preferred dividends. |
| Below-total-requirement consequence | Automatic restrictions on distributions and discretionary bonuses can apply when the bank falls below its total requirement. |
The Federal Reserve’s large-bank requirements therefore combine the 4.5% CET1 minimum with an institution-specific stress capital buffer of at least 2.5% and any applicable G-SIB surcharge. This U.S. structure is an example of national implementation, not a rule that can be applied to every bank worldwide. A smaller U.S. bank, a foreign bank, or an institution in another jurisdiction may be subject to a different scope, calculation or approval process.

Step 1: Establish the reporting date and legal regime
Determine which domestic rule, Basel implementation and effective date govern the payment. The Basel Framework page lists chapters effective in 2026 and changes scheduled for 2027, so a time-sensitive analysis should verify the version in force rather than assume that a current summary covers a future distribution.

Step 2: Build the capital stack
List CET1, additional Tier 1 and Tier 2 capital, then compare each category with its relevant minimum. Add the conservation, countercyclical and systemic buffers that apply to the bank. This reveals how much of the reported CET1 ratio is genuinely available as buffer headroom.
Step 3: Determine the buffer band
Place the bank’s capital ratio in the applicable conservation-buffer range. Do not substitute the Basel illustration of 5.125% to 5.75% for the bank’s own thresholds; that range demonstrates the mechanism under stated assumptions.
Step 4: Test earnings and every proposed distribution
Calculate the earnings available for the payment period and aggregate dividends, buybacks and other covered discretionary payments. Apply the required retention percentage. If earnings are non-positive, test the separate rule on positive net distributions.

Step 5: Check supervisory conditions
Review the bank’s capital plan, stress-buffer result, distribution approval process and any written supervisory direction. A board may need to reduce, defer or cancel a payout to preserve a credible plan for rebuilding capital.
What Basel III does—and does not—tell shareholders
Basel III tells shareholders that capital pressure can reduce or delay returns before a bank reaches a point where ordinary operations must stop. It does not predict the exact dividend yield, buyback authorization or timing for an individual institution. Management may retain more than the regulatory minimum, and supervisors may demand more conservative treatment.
The rules also do not establish a measured, universal percentage reduction in aggregate bank buybacks or dividends. The figures commonly quoted—2.5% for the conservation buffer, 4.5%/6%/8% for the minimum risk-based ratios, and the 5.125%–5.75% illustration with up to 20% of earnings distributable—are regulatory thresholds or examples, not statistics showing how much banks actually return to shareholders.
The most reliable conclusion is therefore conditional: a well-capitalized bank may continue dividends and repurchases, while a bank using its buffers must retain an increasing share of earnings. The precise limit comes from the bank’s complete capital stack, earnings, domestic implementation and supervisory instructions at the time of payment.
