The token may be the share itself, an indirect security entitlement to a share held by a custodian, or a separate instrument whose value follows a stock. Those structures can provide very different rights.
Buying a token with a company’s ticker or logo does not automatically mean you own that company’s shares. Your legal position depends on the instrument’s terms, who issued it, who holds any underlying shares, how transfers and redemptions work, and which country’s law applies.

What are tokenized stocks?
Tokenized stocks put a security or stock-linked claim into a blockchain or another distributed-ledger system. The ledger can record ownership, transfers, settlement instructions or all three. Tokenization changes how an instrument is represented and moved; it does not, by itself, define the legal rights attached to it.
There are three questions to keep separate:
- What is recorded? A token balance, an entry in an issuer’s securityholder register, or an interest in an account holding conventional shares.
- Who owes you something? The public company, a securities intermediary, a token issuer, or a derivative counterparty.
- What can you enforce? Voting, dividends, corporate-action participation, redemption, delivery of shares, or only a cash payment linked to the stock price.
The ticker symbol, token name and marketing description cannot answer those questions. The offering documents, custody agreement, transfer rules and applicable law can.

How tokenized stocks work
1. An issuer or intermediary defines the legal instrument
Before a token appears on a network, someone creates the legal claim it represents. A company may issue a class of shares directly in token form. A broker or custodian may hold ordinary shares and create tokens representing customers’ security entitlements. Alternatively, a financial firm may issue a linked note, certificate or swap whose return is based on a referenced stock without issuing any share.
The legal documents should identify the issuer, the class or type of security, the holder’s rights, the relevant custodian, and the events that cause a token to be created, transferred, frozen or redeemed.
2. The ledger records issuance and transfers
A smart contract or comparable ledger process records balances and transfers. In an issuer-sponsored design, that ledger may be integrated with the company’s official master securityholder file, so transferring the token also transfers the security. In a custodial design, the ledger may track an entitlement while the custodian’s books remain the authoritative record of the underlying shares. In a synthetic design, an on-chain transfer can simply move a contract between holders; it does not move a share.
3. Trading and settlement follow the product’s rules
Some tokens trade continuously on a digital-asset venue, while others can move only between approved investors or through a regulated securities platform. A transfer may settle atomically, meaning delivery of the token and payment occur in one coordinated transaction, or it may use conventional clearing and settlement steps.
For comparison, the conventional U.S. equity market uses a T+1 cycle: a trade executed on day T generally settles one business day later. Tokenization could shorten that process, but faster settlement is a design possibility, not a guaranteed feature of every tokenized stock.

4. Dividends and corporate actions are processed
When the referenced company declares a dividend, conducts a split, makes a tender offer or seeks a shareholder vote, the token’s documents determine what happens. An issuer-sponsored or custodial security may pass through the same event to the holder. A synthetic product may instead calculate a contractual cash adjustment, omit the event, or give the issuer discretion. Read the corporate-action provisions rather than assuming that a stock token behaves like a brokerage-held share.
The three main structures
| Structure | What the token represents | Who is obligated to you | Possible rights | Main uncertainty |
|---|---|---|---|---|
| Issuer-sponsored tokenized security | A share issued by the company or its agent in token form, with ledger records connected to the official securityholder register. | The issuing company, subject to the instrument’s class and governing documents. | Voting, dividends and ownership rights associated with that class may apply. | The token may be a different share class, and transfer restrictions or technical rules may limit use. |
| Custodial token or security entitlement | An indirect interest in conventional shares held through a broker, bank or other securities intermediary. | The intermediary and the custody arrangement; the underlying issuer remains responsible for the shares it issued. | Rights, obligations and benefits can be equivalent to holding the security through an intermediary. | Your claim depends on account records, custody, segregation and insolvency treatment. |
| Synthetic or linked security | A note, certificate, derivative or other instrument whose return follows a referenced stock or related events. | The third-party issuer or derivative counterparty, not necessarily the company named by the reference asset. | Price exposure and contractual payments; voting, information and dividend rights may be absent. | Counterparty default, valuation, collateral and contract terms determine what you can recover. |
Issuer-sponsored tokens
In this model, the company or an appointed agent issues the security as a token and incorporates the distributed-ledger record into its master securityholder file. A transfer can therefore be a transfer of the security itself. Investor.gov describes issuer-sponsored tokens as carrying the same legal rights as a traditional share of the same class, including voting, dividends and ownership, while warning that the tokenized security could belong to a different class. The class designation and its governing terms matter.

Custodial tokens and security entitlements
A custodian holds conventional shares and the token represents the customer’s indirect interest or security entitlement. This resembles owning shares through a securities intermediary: the customer’s rights are mediated by account and custody records rather than by direct registration on the company’s books. A token transfer may change which customer is credited in the intermediary’s system without transferring the issuer’s registered share on-chain.
Synthetic or linked products
A third party can issue a product that tracks a stock’s price, dividends or other events without giving the holder an ownership interest in the referenced company. The SEC has explained that some crypto assets may be linked securities or security-based swaps. A security-based swap typically does not convey equity, voting, information or other rights in the referenced issuer. The holder’s claim is against the product issuer or counterparty under the contract.
What do you own when you buy one?
You own the legal claim described in the instrument’s documents, not automatically the asset named in its marketing. Determine which of these descriptions applies:
- Direct share: the token is a share of a specified class and the issuer’s register recognizes the holder.
- Security entitlement: a custodian holds the share and you have an account-level interest with rights defined by the custody arrangement.
- Contractual exposure: an issuer promises a return linked to the stock, but you have no ownership of the company or its shares.
The SEC Investor Advisory Committee uses two additional axes that help expose differences. A token can be native, issued directly on a blockchain, or wrapped, representing an interest in a position held in custody. It can also be issued by or for the company, or by an unaffiliated third party. A third-party wrapped token can therefore differ from an issuer-sponsored native security in voting rights, bankruptcy treatment and the identity of the party you must pursue if something fails.
Do tokenized stocks pay dividends?
Some do, but there is no universal rule. If you hold an issuer-sponsored share or a custodial entitlement with dividend rights, the dividend may be paid, credited or passed through according to the instrument’s procedures. A synthetic product may make a contractual payment based on a dividend, retain the amount in its pricing formula, or provide no dividend equivalent at all.
Check the record date, ex-dividend treatment, payment currency, withholding rules, fees and what happens when the token is transferred around the record date. A statement that a token is backed by shares does not prove that you personally receive the issuer’s dividend.

Do tokenized stocks have voting rights?
Voting rights attach only when the legal instrument gives them and the system can deliver them. An issuer-sponsored share may allow direct voting or appoint a voting agent. A custodial entitlement may transmit proxy materials and voting instructions through the intermediary. A linked security normally gives no vote in the referenced company unless its contract expressly provides one.
Ask who is listed as the shareholder, how votes are collected, whether fractional positions can vote, and what deadline applies. A token balance visible on a blockchain is not by itself evidence of a vote being counted.

How custody, insolvency and redemption affect ownership
Custody
Find out whether underlying shares exist, where they are held, whether they are segregated from the custodian’s assets, and whose name appears on the issuer’s records. Also identify who can create or destroy tokens and whether creation requires delivery of a share.
Insolvency
If a custodian or token issuer fails, your outcome depends on whether you own segregated property, a priority claim, or an unsecured contractual promise. A token described as backed by shares can still expose you to the intermediary’s records, collateral arrangements and insolvency law.
Redemption
Some products let holders exchange tokens for shares or cash; others permit redemption only by authorized participants, during specified windows, or subject to fees and identity checks. Read the minimum amount, notice period, settlement method, suspension clauses and circumstances in which redemption can be refused.

Potential benefits and trade-offs
| Potential benefit | What it could improve | Why it is not automatic |
|---|---|---|
| Atomic settlement | Token delivery and payment could occur in one transaction, reducing the risk that one side delivers while the other does not. | The venue, payment rail, legal records and participants must all support the design. |
| Integrated operations | Trading, settlement, custody, portfolio records, dividends and corporate actions could share a common ledger. | Different systems, jurisdictions and intermediaries may still remain in the process. |
| Fractional ownership | A product can divide economic exposure into smaller units. | Fractional exposure may not include fractional voting, direct registration or redemption rights. |
| Extended trading hours | Digital venues may operate beyond traditional exchange hours. | Liquidity, pricing, disclosure and investor-protection arrangements may be weaker outside regular sessions. |
| Transparency | Ledger activity can make transfers and supply easier to audit. | On-chain visibility does not reveal off-chain custody, collateral or the issuer’s solvency by itself. |
The IMF’s April 2026 analysis adds an important caution: removing settlement lags can shift liquidity needs into continuous real time and move risk toward smart contracts, data feeds, consensus systems and infrastructure governance. Automated actions can transmit stress faster, so technical efficiency does not eliminate financial risk.

U.S. regulation in 2026
In the United States, tokenized securities remain securities. Investor.gov’s summary of the SEC’s March 17, 2026 interpretive release says that tokenized securities are subject to SEC regulation and investor protections. A January 28, 2026 joint SEC staff statement likewise emphasizes that crypto format does not displace securities-law treatment. Registration or an exemption, transfer restrictions and other requirements depend on the instrument’s actual structure and applicable federal and state law.
The SEC Investor Advisory Committee says federal and state securities laws, SEC rules and FINRA requirements apply to tokenized equity securities as they do to traditional equity securities, while recognizing that new market structures may raise policy questions. This is a U.S. framing; another country may classify, license or restrict the same product differently.
A Federal Reserve FAQ dated March 5, 2026 addresses banking-capital treatment. It generally treats eligible tokenized securities like their non-tokenized form, but only when the token confers identical legal rights, including ownership rights. Tokens that do not provide those identical rights fall outside that FAQ. It should not be read as saying that every crypto-linked stock product receives equivalent regulatory or capital treatment.

How to evaluate a tokenized stock before buying
- Identify the instrument. Write down its legal name, issuer, security class and whether it is a share, entitlement, note, derivative or swap.
- Read the rights section. Look specifically for voting, dividends, information rights, corporate actions and treatment of fractional units.
- Trace the custody chain. Find the underlying custodian, the account holder of record, segregation arrangements and the documents governing customer assets.
- Check transfer mechanics. Determine where the token can trade, who may hold it, whether transfers are restricted, and whether an on-chain transfer legally transfers the security or only changes an internal balance.
- Examine creation and redemption. Confirm who can mint or burn tokens, whether one token must be backed by one share, and the conditions, fees and timing for redemption.
- Test failure scenarios. Read what happens if the issuer, custodian, platform, blockchain, oracle or payment provider becomes insolvent, unavailable or compromised.
- Confirm jurisdiction and protections. Identify the governing law, regulator, dispute forum, investor-compensation scheme and any eligibility limits.
- Verify current terms. Product availability, legal interpretations and platform rules can change; use the latest offering documents rather than an old description or ticker page.
A current announced example: Nasdaq’s planned design
On March 9, 2026, Nasdaq announced an intention to develop an issuer-centered equity-token design that would link blockchain records with issuers’ official share registries. The announcement also described a partnership with Payward, the parent company of Kraken, to design an equities transformation gateway connected to the xStocks ecosystem.
This was an announced plan, not evidence that a broadly available retail product already existed. The announcement did not establish final eligibility rules, retail access or completed product terms. Nasdaq President Tal Cohen said, “We believe that public companies should always remain at the center of the equity market ecosystem.” That is Nasdaq’s stated view, not a regulatory finding or proof of ownership rights for any particular token.
Are tokenized stocks real shares?
Sometimes, but the answer must be made instrument by instrument. An issuer-sponsored token can be a real share if the company issued it as such and the register and governing documents grant share ownership. A custodial token can represent a real share held for you through an intermediary, while your legal claim remains an entitlement against that custody arrangement. A synthetic token can track the same stock price without being a share at all.
SEC Commissioner Hester M. Peirce captured the distinction in a July 9, 2025 statement: “While blockchain-based tokenization is new, the process of issuing an instrument representing a security is not.” The technology is new in many markets; the legal question of what the instrument represents is familiar.
Bottom line: the token is not the ownership answer
Tokenized stocks can make issuance, trading, settlement and corporate actions more programmable, but tokenization alone does not grant shareholder rights. Before treating a token as a stock, establish whether it is a direct share, a custodial security entitlement or synthetic exposure; identify the obligated party; verify custody and insolvency protections; and read the voting, dividend, transfer and redemption terms. Only those details tell you what you own.
