Tokenization changes how ownership records, transfers and parts of the bond’s lifecycle are handled; it does not automatically change the issuer’s promise to repay principal and interest. Depending on the design, the token may be a direct bond, an indirect claim held through a securities intermediary, or synthetic exposure created by a third party. Those structures can give holders very different legal rights.
What a tokenized bond actually is
A conventional bond records an issuer’s obligation to pay interest and return principal under specified terms. A tokenized bond puts the security, a claim to it, or exposure linked to it into a digital-token framework running on distributed-ledger technology (DLT). The ledger can record subscriptions, transfers, coupon events and redemption, while software can coordinate the movement of the bond and payment asset.

The token is not automatically the same thing as the underlying debt instrument. Read the offering document and the token terms to determine whether you have a direct claim against the issuer, a security entitlement through a custodian or intermediary, or only a contractual claim against the token provider. The U.S. Securities and Exchange Commission’s Investor.gov explainer distinguishes three broad structures and warns that rights, obligations and benefits can differ substantially, especially for synthetic instruments. That explanation concerns U.S. securities law and should not be generalized to another jurisdiction.
Issuer-sponsored or native securities
In an issuer-sponsored structure, the issuer or its agent creates the security directly on a blockchain or other DLT platform. The token’s terms are intended to be the bond’s terms, subject to the governing law and platform rules. A native design can let the platform handle issuance, transfer and servicing without maintaining a separate conventional security record, although legal recognition and operational safeguards still matter.
Custodial or indirect securities
A token can instead represent an indirect interest in a bond that remains immobilized at a central securities depository (CSD) or held by a custodian. The token holder may have a security entitlement or contractual right through an intermediary rather than direct title to the bond. Coupons, corporate actions, records and insolvency treatment may still depend on the conventional infrastructure and the intermediary’s terms.

Synthetic exposure
A third party can issue a token whose value tracks a referenced bond without giving the holder rights against that bond’s issuer. The holder’s counterparty is the token provider, and the exposure can include additional collateral, derivative, liquidity and insolvency risks. A price that follows a government or corporate bond is not proof that the token holder owns that bond.
Two infrastructure models
The Bank for International Settlements (BIS) describes two broad approaches for government securities. In one, a token represents a claim on a security immobilized at a CSD. Existing intermediaries continue many servicing functions, while the DLT layer handles selected records or transfers. In the other, the bond is native: issuance and ongoing ownership reside on the platform itself, allowing more direct programmability.

| Question | Indirect token | Native tokenized bond |
|---|---|---|
| Where is the underlying bond? | Usually in a CSD or custodian arrangement | On the DLT platform, subject to legal recognition |
| Who performs servicing? | Existing intermediaries often continue coupons, records and corporate actions | Platform contracts and appointed operators may perform more functions |
| Main legal focus | Intermediary entitlement, custody and insolvency treatment | Whether the ledger record constitutes the security and how errors are corrected |
| Programmability | Limited by links to legacy systems | Potentially broader, but dependent on code, governance and reliable data |
Neither model is automatically safer or cheaper. The important question is what the bond documentation makes the token legally represent and how the platform connects to established securities and payment systems.
How issuance and ownership can work
- Terms are set. The issuer specifies principal amount, maturity, coupon, payment dates, denomination, governing law, investor eligibility and transfer restrictions.
- The platform is configured. A permissioned ledger, public blockchain or interconnected ledgers are set up with identity, compliance, issuance and settlement rules. Institutional projects generally restrict participation rather than offering an unrestricted retail market.
- Investors subscribe or bid. Eligible investors submit orders through an approved platform or intermediary. The system records allocations and may deliver tokens when the payment leg settles.
- Ownership is recorded. Transfers update the ledger according to the token’s rules. Permissioning can limit who may hold or transfer the instrument and can enforce holding periods or other restrictions.
- Coupons are processed. At each payment date, a smart contract can calculate amounts and instruct distribution to eligible addresses. In practice, it needs authoritative data about holder balances, payment dates, holidays and any withholding or tax rules.
- Redemption occurs. At maturity or on an optional redemption date, the system can burn or lock the bond token and release principal, subject to the issuer’s ability to pay and the settlement arrangement.
- Secondary trading may occur. An approved venue can match buyers and sellers and coordinate delivery of the bond token with payment. A token existing on a ledger does not guarantee that a willing buyer or seller will be available.
What smart contracts automate—and what they cannot solve
Smart contracts are software rules that execute when predefined conditions are met. They can automate bidding, allocation, transfer restrictions, coupon calculations, redemption and trade settlement. Automation reduces manual reconciliation only when the rules are complete and the data feeding them is accurate.

Bond contracts contain details that are difficult to reduce to a simple formula: business-day calendars, failed payments, tax withholding, sanctions screening, partial redemptions, consent solicitations, restructurings and disputes. Platforms therefore rely on administrators, governance procedures and oracles—services that provide external prices, dates or event data. A coding error, faulty oracle, compromised key or unclear authority to pause the system can produce an incorrect or irreversible result.
Settlement: the bond leg and the cash leg
Delivery-versus-payment (DvP) links delivery of the security to payment so one should not complete without the other. Atomic settlement is a synchronous form of exchange in which both transfers succeed or neither does. DvP can reduce principal risk when the payment asset, ledger and legal settlement arrangements are reliable.
The cash asset matters as much as the bond token. A platform may use commercial-bank deposits, tokenized deposits, a stablecoin or central-bank money. The BIS notes that each has a different credit, liquidity, convertibility and legal-risk profile. A token transfer can appear complete on a ledger while legal finality, redemption rights or access to the payment asset remain uncertain.
- Central-bank money: generally avoids commercial-bank issuer credit exposure, but access is usually limited to eligible institutions and technical integration can be complex.
- Commercial-bank or tokenized deposits: can integrate with existing accounts but retain the bank’s credit and operational risks.
- Stablecoins: may support transfers across platforms, yet holders must assess reserves, redemption, governance, de-pegging and regulatory treatment.
Even atomic settlement does not remove issuer default risk, bond price risk, liquidity needs, cyber incidents or operational failure. It addresses the timing of exchange, not the quality of the asset or every risk around the transaction.

What official projects have demonstrated
Project Samara in Canada
In March 2026, the Bank of Canada, Export Development Canada (EDC), RBC and TD reported completion of Project Samara, a real-world DLT experiment. EDC issued one 100 million Canadian-dollar bond with a term of less than three months to a closed investor group. The purpose-built Samara platform supported issuance, bidding, coupon payment, redemption and secondary trading. Payments settled in wholesale central-bank deposits.
Participants reported improved operational efficiency and data integrity, along with reduced counterparty and settlement risk. They also identified system complexity, liquidity costs, governance requirements, new technology and auditability risks, and barriers to integration with existing systems. Ron Morrow, Executive Director for Payments, Supervision and Oversight at the Bank of Canada, said: “Project Samara shows how the public sector and industry can work together to harness innovation in the payment ecosystem.” This was a limited single-bond experiment, not evidence of an open or mature market.

Project Venus was a 2022 experiment whose results were published on June 25, 2024 by Banque de France and Banque centrale du Luxembourg. An EIB tokenized bond was issued on a private DLT, listed on a stock exchange and settled in central-bank money using a wholesale central-bank digital-currency solution. A hashed timelock contract connected separate cash and securities DLTs and supported atomic settlement.
The project achieved same-day settlement. The two central banks described the contrast this way: “Traditional issuance can take up to T+5 days, but project Venus achieved same-day settlement.” That statement describes the experiment’s design and result, not a universal issuance time for tokenized bonds. The central banks said further experimentation and policy work were needed before deciding whether to issue a wholesale CBDC.

What the early market evidence says
Available figures are snapshots of a young market, not guarantees for every offering.
| Measure | Reported result | Qualification |
|---|---|---|
| Tokenized government-bond issuance | About $8 billion | BIS Bulletin 107 snapshot published July 10, 2025; not a continuously updated live total |
| Bid-ask spread | 17 basis points for tokenized bonds versus 30 basis points for matched conventional bonds | BIS Annual Economic Report 2025; data as of March 26, 2025, matched by issuer, currency and coupon type |
| Issuance cost | No significant difference | BIS matched comparison; issuance cost means the difference between the initial public offering price and the price paid by the underwriter to the issuer |
The narrower average spread in that matched sample is encouraging, but it does not establish that tokenization generally creates superior liquidity. The sample is limited, market experience is short and legal and regulatory uncertainty remains. A bond can show a low quoted spread while trading rarely or in small size.
Risks a buyer must evaluate
Legal and structural risk
Identify the exact claim: direct issuer obligation, indirect security entitlement or synthetic exposure. Check governing law, insolvency treatment, whether the token record is legally authoritative, and what happens if the platform fails or the token provider becomes insolvent. A U.S. Investor.gov explanation states that tokenized securities are securities subject to SEC regulation and investor protections and references a March 17, 2026 SEC interpretive release; other jurisdictions have different rules.
Issuer and market risk
Tokenization does not improve the issuer’s creditworthiness. The issuer can default, and the bond’s market value can fall as interest rates, inflation expectations or credit conditions change. A short maturity does not eliminate price or reinvestment risk.
Best Value
Liquidity and maturity mismatch
Fractional or near-continuous trading is a design possibility, not a promise. Limited investor demand, transfer restrictions, small issue size and dependence on a single venue can make exit difficult. If a fund or intermediary promises frequent redemption while holding a thinly traded tokenized bond, a maturity and liquidity mismatch can amplify stress.
Settlement-asset and counterparty risk
Assess who issues the payment token or deposit, how it is redeemed, when payment becomes final and whether the bond and cash ledgers can remain synchronized. Bridges between ledgers add another dependency.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteTechnology, key and governance risk
- Smart-contract defects can miscalculate coupons, block transfers or execute an unintended action.
- Lost or stolen private keys can prevent access or enable unauthorized transfers.
- Administrators, developers, custodians and oracle providers may be able to pause, alter or recover assets.
- Irreversible transactions require tested correction and dispute procedures.
- Outages, cyberattacks and weak audit trails can interrupt servicing.
Systemic and interconnectedness risk
Reuse of tokenized bonds as collateral can increase leverage. Common platforms, custodians or stablecoins can create concentration points, while bridges and interoperability layers can spread a failure across markets. The BIS Financial Stability Institute also highlights valuation risk, collateral reuse, operational fragility and dependence on developers, custodians and oracles.
How to compare two tokenized-bond offerings
Do not treat “tokenized” as a quality rating. Use the following questions before comparing yields or fees.
| Comparison axis | Questions to ask |
|---|---|
| Legal claim | Is the holder a direct creditor, an intermediary entitlement holder or a synthetic counterparty? |
| Underlying and custody | Is the bond native to the platform, or held at a CSD or custodian? Who segregates assets? |
| Settlement asset | Is payment made in central-bank money, a bank deposit, tokenized deposit or stablecoin? When is settlement legally final? |
| Lifecycle coverage | Which of issuance, coupons, redemption and secondary trading actually occur on-platform? |
| Access and liquidity | Who is eligible, where can the token trade, what are transfer restrictions and what evidence supports liquidity claims? |
| Resilience and governance | Who controls the ledger and keys, audits the code, handles errors and provides a fallback? |
| Regulation and interoperability | Which jurisdiction governs, and can the system connect safely to conventional securities and payment infrastructure? |
Practical due diligence checklist
- Read the offering memorandum, token terms and custody agreement rather than relying on the product label.
- Confirm issuer credit quality, maturity, coupon mechanics, call or redemption provisions and default remedies.
- Verify investor eligibility, minimum denomination, transfer restrictions and tax reporting responsibilities.
- Ask what happens during a ledger outage, key loss, oracle failure, disputed transaction or platform insolvency.
- Establish whether quoted liquidity is based on completed trades or merely displayed orders.
- Determine whether the payment asset can be redeemed at par and who bears its failure risk.
- Check independent code audits, access controls, incident history and the authority to upgrade or pause contracts.
- For cross-border purchases, obtain advice on local securities, custody, tax and insolvency law.
Bottom line for readers
Tokenized bonds combine a debt instrument with a digital record and programmable transaction process. They may shorten settlement, reduce reconciliation and automate parts of servicing, as the Samara and Venus experiments illustrate. Those benefits depend on legal recognition, reliable data, robust governance, interoperable systems and a trustworthy cash leg. The token’s label tells you very little by itself: the decisive facts are the holder’s legal claim, the custody model, settlement finality, liquidity conditions and the controls around the platform.
