Investing in Ether (ETH), Ethereum’s native asset, can result in a substantial loss or the loss of your entire investment. Its price is speculative and depends in significant part on expectations about the Ethereum network and how Ether is used. Investors also face network, security, custody, regulatory and—if they stake ETH or buy an exchange-traded product—additional arrangement-specific risks.
First, distinguish Ethereum from Ether
Ethereum is the network; Ether, usually written ETH, is the asset investors buy, hold or stake. Owning ETH is not the same as owning shares in a company: the Invesco Galaxy Ethereum ETF’s 2024 annual report says Ether does not represent a claim on company cash flows or government backing. The report says that expectations for the network, transactions and Ether’s use account for a significant part of its valuation.

That distinction matters because a network can continue operating while the market price of its native asset falls. Conversely, expectations about network use can change even without a single event that makes the network stop working.

What can make an Ether investment lose value?
Volatility and speculation
Ether’s price can move sharply, and speculation can amplify those movements. In its September 9, 2024 investor bulletin on products providing exposure to Bitcoin and Ether, the SEC’s Office of Investor Education and Advocacy wrote: “Investors should understand that bitcoin and ether are highly speculative investments.” That warning describes the nature of the investment, not a forecast of a particular decline.

The Invesco Galaxy Ethereum ETF’s annual report for the year ended December 31, 2024 states: “The value of the Trust’s investments in ether could decline rapidly, including to zero.” This is a risk disclosure about that trust’s Ether holdings, not a prediction or an estimate of the likelihood of a total loss.
Adoption, development and competition
ETH’s market value is exposed to uncertainty about whether people and businesses will continue to use the Ethereum network and Ether. In its 2024 annual report, Invesco describes the possibility that adoption could slow, stop or reverse, adversely affecting Ether’s price. The report also identifies risks around scaling, technical improvements, software changes and coordination among developers in an open-source project without a controlling issuer or software-development administrator.
Network upgrades may require agreement and reliable implementation; forks or changes to software could affect an investment. Other networks may compete for users and activity. These are factors to consider, not evidence that a particular upgrade has failed or that one network currently leads another. The cited filing does not provide a comparative ranking of networks.

Network and application code
Invesco’s 2024 annual report says flaws have been found in Ether-related source code in the past, with consequences that have included theft, disabled functionality and exposed personal information. The SEC Crypto Task Force’s April 17, 2025 Digital Economy Initiative memorandum also lists potential risks such as malicious exploitation of code flaws, forks and inadvertent transfers to the wrong address. These examples describe possible pathways to loss; they do not establish that every Ethereum application or transaction has the same risk.
Wallets, exchanges and custodians
Wallet security and service-provider security are separate from the security of the network itself. Invesco warns that custodians, transfer services and trading entities have been targets of successful cyberattacks. A hardware wallet can change who holds the keys and reduce some online exposure, but it cannot prevent ETH’s market price from falling or make an erroneous transfer reversible.
What are the custody risks of holding ETH directly?
The SEC’s December 12, 2025 custody bulletin explains that a crypto wallet does not hold the crypto asset; it holds private keys that authorize transactions. For self-custody, the holder is responsible for safeguarding keys and recovery information. The SEC states: “If you lose your private key, you permanently lose access to the crypto assets in your wallet.”
Self-custody and third-party custody shift responsibility rather than eliminate it:

| Choice | Who controls access? | Key risk to consider |
|---|---|---|
| Self-custody | You control the private keys and recovery information. | A lost, stolen or damaged key or backup can mean loss of access; protecting it is your responsibility. |
| Third-party custody | A provider controls access to the keys. | You depend on the provider’s security and continued operation; a hack, shutdown or bankruptcy may leave you unable to access assets. |
The SEC describes hot wallets as connected to the internet and cold wallets as typically physical devices that are not. It says cold wallets are generally more secure from cyberthreats than hot wallets, while noting that physical devices can be lost, damaged or stolen. The choice also affects convenience and transaction access; neither custody method removes ETH’s market risk.
What extra risks come with staking ETH?
Staking adds operational and liquidity risks to the risks of holding ETH. The SEC Division of Corporation Finance’s May 29, 2025 staff statement describes proof-of-stake validation and several staking arrangements, including solo, self-custodial third-party and custodial staking. Protocol rules may lock assets while they are staked, limiting access. The statement also describes penalties, or slashing, for conduct such as validating invalid blocks or double-signing.
Liquid staking can add another layer of dependence. In its August 5, 2025 staff statement, the Division describes providers that receive assets and issue receipt tokens, provider control over deposited assets, fees that reduce rewards, and possible slashing losses. Redeeming a receipt token may be subject to an unbonding period, so it may not provide immediate access to the underlying ETH.

What regulatory risks should investors consider?
Rules can change in ways that affect Ether’s use, trading venues or investment arrangements. Invesco’s 2024 annual report warns that regulatory changes could restrict Ether use, network operation or trading, and says acquiring, holding, selling or using Ether could become difficult or illegal in one or more countries. Such changes could affect demand and price.
The SEC materials discussed here are U.S. materials. They do not establish the legal status of Ether, exchanges, staking services or investment products in every jurisdiction. Check the rules that apply where you live and where any platform or product operates; do not assume that treatment in the United States applies elsewhere.
Does a spot Ether ETP remove the risks of buying ETH directly?
No. A spot Ether exchange-traded product (ETP) can avoid some direct wallet and private-key tasks, but it introduces product-level risks and still exposes an investor to Ether’s price movements. The SEC’s September 9, 2024 bulletin describes spot Ether ETPs as exchange-traded commodity trusts holding Ether, rather than ETFs registered under the Investment Company Act of 1940. It notes that these products are not subject to requirements of that Act, such as the valuation and custody requirements that apply to registered investment companies.

|---|---|---|
| What you hold | Ether itself, held by you or through a custodian. | Shares or units in a product that holds Ether; the product’s structure and disclosures matter. |
| Custody | Self-custody requires you to manage keys; third-party custody depends on a provider. | The product’s custody arrangements apply; you do not personally manage a wallet key for each share. |
| Price exposure | Your holding’s value changes with ETH’s market price. | The share price may not track Ether exactly and may trade at a premium or discount to net asset value (NAV). |
| Costs | Transaction and network costs may apply, depending on how you acquire or transfer ETH. | Sponsor fees and other product expenses can reduce returns; the cited sources do not establish a current fee comparison among products. |
| Additional exposure | Wallet mistakes, key loss and the security or solvency of a chosen intermediary may matter. | Product structure, sponsor expenses, tracking differences, and fraud or manipulation risk in the underlying market may matter. |
The SEC bulletin says an ETP may provide price exposure without some risks of personally transacting on a crypto platform or managing wallet keys. It does not eliminate the possibility of loss. Before buying one, read its disclosure documents and consider its fees, tracking, market price versus NAV and custody arrangements. The applicable product and platform rules also depend on jurisdiction.
Quick Recap
How to assess which risks apply to you
- Identify the exposure. Decide whether you are considering direct ETH, a spot Ether ETP, staking, or a combination; each adds different operational and product risks.
- Consider the possibility of a major loss. Do not rely on a forecast or assume that past network use guarantees future demand or price.
- For direct ownership, choose a custody approach deliberately. Weigh personal responsibility for keys and backups against reliance on a provider, including what happens if access is lost or the provider fails.
- For staking, understand the arrangement. Find out who controls assets, what can trigger slashing, how fees affect rewards, and how long withdrawal or redemption can take.
- For an ETP, examine the product itself. Review its structure, custody, fees, tracking behavior and possible premium or discount to NAV rather than treating it as identical to holding ETH.
- Check local rules. Regulatory protections and treatment can differ by country and by product or service.
