When a garment supplier misses a deadline, first establish exactly what is late and why, then obtain a written recovery schedule with named owners and dates. Compare priority production, partial shipments, reallocation, and transport changes against their cost, quality and compliance risks. Before charging, cancelling, buying replacement goods, or claiming customer losses, read the accepted purchase order, incorporated terms, notice and cure clauses, force-majeure wording, remedies and governing law. Keep downstream customers informed with realistic dates, and examine whether the brand’s own forecasts, approvals or requested delivery dates contributed to the delay.
1. Confirm the exposure before choosing a remedy
A missed ex-factory date is not enough information to make a sound decision. Build a line-by-line exposure register for every affected purchase order. Record the style, colour, size run, ordered units, promised completion date, promised ship date, launch or customer date, destination, and any downstream commitment. Separate a production delay from a transit delay: a container that has passed final inspection needs a different response from fabric that has not arrived.

Map the affected order
- Identify the purchase-order number, supplier entity, factory and any approved subcontractor.
- Show quantities completed, in work-in-progress, waiting for materials, rejected in inspection and not yet cut.
- List the contractual delivery point and the date that matters commercially: ex-factory, vessel departure, warehouse receipt, launch or retail delivery.
- Flag marketing campaigns, retailer appointments, regulatory dates and customer orders that cannot move without the goods.
- Assign an internal owner for operations, merchandising, finance, legal and customer communication.
Ask for a usable explanation
Request a written account rather than a general statement that production is “behind.” Ask when the problem began, when the supplier first knew it might affect the order, which process is the bottleneck, and what evidence supports the explanation. Fair Wear Foundation’s Fair Working Hours Guide (2021) recommends visibility into where and when production occurs so a brand can assess capacity and transparency.

- Cause and start date: material shortage, machine failure, labour constraint, quality rework, power interruption, transport issue or another event.
- Current work-in-progress by style and quantity, with photographs, production records or inspection results where appropriate.
- Material status, including fabric, trims, labels, packaging and any items still awaiting approval.
- Production locations, subcontractors, shifts and available capacity.
- Any claimed force-majeure event, the contract provision relied on, the date of notice and the expected duration.
- Specific actions already taken, such as overtime, an additional line, reallocation or urgent material sourcing.
Test the revised dates
Ask the supplier to distinguish a target from a committed date. A credible schedule shows remaining operations, quantities by milestone, inspection and packing dates, the shipping cutoff, transport mode and expected arrival. Require the supplier to identify assumptions—for example, an approval needed by a particular day or a material arriving from a named location. If the schedule depends on unlimited overtime or an unconfirmed subcontractor, treat it as a scenario rather than a promise.

2. Put the recovery effort on a written cadence
Once the facts are known, agree a recovery plan that can be checked every few days. Fair Wear’s shipment guidance points to explicit responsibilities, priorities, partial shipments, transport choices, vessel schedules and cutoffs. Put those points into a dated record signed or acknowledged by both parties.
- Name the decision owners. Identify one supplier contact and one brand contact who can approve production, quality, freight and commercial changes.
- Set milestones. Record dates for material completion, cutting, sewing, finishing, inspection, packing, handover and departure.
- Define update frequency. Use a daily update during a critical recovery window or a fixed weekly update for a longer plan. Require immediate notice of any milestone slip.
- Agree evidence. Specify the documents or photographs that demonstrate progress, such as inspection reports, carton counts, packing lists and booking confirmations.
- Set a decision gate. Choose the date by which the brand will decide on air freight, a partial shipment, customer-date changes or alternate sourcing if the plan is not on track.
- Record every change. Date each notice, approval, cost allocation and revised commitment. Preserve the original purchase order and all incorporated terms.
A recovery plan should state who pays an incremental cost only after the contract and the facts have been reviewed. It should also protect quality: an accelerated line that skips inspection can create returns, chargebacks and safety problems that exceed the original delay.
3. Compare recovery options against the whole order
No single response fits every order. Compare options using the units and styles protected, days gained, incremental production or transport cost, feasibility, quality and compliance risk, customer effect, and consequences for supplier workers. The table below is a decision framework, not a promise that every option is available.

| Option | What it can protect | Schedule effect | Cost and risk questions | When it fails |
|---|---|---|---|---|
| Prioritise key styles or quantities | Launch colours, core sizes or the units tied to a firm customer date | Can bring a smaller, commercially important lot forward while the balance follows | Check line changeover, minimum quantities, fairness to other orders and whether lower-priority units become stranded | There is no finished work or the bottleneck affects every style |
| Partial shipment | Completed cartons or a first allocation to the most time-sensitive destination | Moves available goods without waiting for the full order | Compare extra handling, split customs entries, warehouse capacity, carton integrity and the contract’s delivery and freight terms | Quantities are too small to be useful or goods cannot be released before inspection |
| Reallocate production | Styles that another approved line or factory can make | May shorten the remaining sewing or finishing window | Confirm technical packs, approved materials, social-compliance status, quality controls and capacity; obtain required approvals | Transfer time, new sampling or unapproved subcontracting erases the gain |
| Change transport mode | Goods already finished, inspected and ready to move | Air, sea-air or courier can reduce transit time relative to a booked vessel | Obtain a quote, compare the exact days saved, check export and import requirements, and allocate the incremental cost in writing | Production is still the bottleneck; faster freight cannot move unfinished goods |
| Reset the downstream date | The full order, when no operational fix is credible | Does not accelerate production but prevents an unrealistic promise | Renegotiate retailer or customer milestones, campaign timing and service-level consequences | The customer date is legally fixed or the commercial loss is unacceptable |
| Alternate sourcing or cancellation | Future units or a replacement order when recovery has failed | Depends on available capacity, materials and approvals elsewhere | Review termination, cover, notice, payment for work in progress, tooling, confidentiality and worker effects before acting | The contract does not permit the step or a replacement cannot meet specifications |
CBI’s apparel-export guidance, written for European buyer situations, notes that a buyer may request a discount or alternative transport at the supplier’s cost. That is not a universal entitlement. Whether the supplier must pay depends on the purchase order, negotiated terms and applicable law. Treat any freight proposal as a quantified business decision: compare the booking cutoff, transit time, capacity, emissions, customs exposure and the value of the units that will actually arrive earlier.
4. Read the purchase order and incorporated terms before imposing remedies
Late-delivery charges, cancellation, cover purchases and claims for lost customer revenue are not automatic. Have legal or experienced commercial staff identify which document controls and whether terms were accepted and incorporated into the order. Check the following points before sending a demand or withholding payment.
- Delivery obligation: Is the date a firm commitment, an estimate, or expressly “of the essence”? Does the obligation apply to ex-factory, shipment or arrival?
- Notice and cure: How must a breach be notified, when does a cure period begin, and can the supplier propose a revised schedule?
- Delay charges: Are liquidated damages stated, and are they a genuine agreed measure or subject to limits under the governing law?
- Termination and cancellation: Can the brand cancel all or part of the order after a missed date, and what happens to completed goods, materials, patterns, tooling and deposits?
- Cover and additional freight: Does the contract permit replacement purchasing or urgent transport, and does it require prior notice or mitigation?
- Loss categories: Are consequential, indirect or customer-contract losses excluded or capped?
- Force majeure: What events qualify, what notice and evidence are required, and does the clause suspend, extend or terminate obligations?
- Governing law and dispute process: Which law, forum, arbitration clause or escalation procedure applies?
PMI purchasing terms illustrate how a negotiated contract can allocate these issues through written notice, mitigation such as overtime or urgent freight, liquidated damages and termination rights. Their stated charge of 2% per complete week, capped at 10%, belongs only to those sample terms; it is not an apparel-industry standard and must not be applied unless the actual order contains the same provision.

5. Treat force majeure as a specific contractual question
“Force majeure” is not a synonym for ordinary supplier lateness, poor planning or a capacity shortfall. Under the UNIDROIT Principles of International Commercial Contracts 2010, Article 7.1.7, a party relying on the framework must prove an impediment beyond its control that could not reasonably have been anticipated when the contract was made or avoided or overcome. A temporary impediment excuses performance only for a reasonable period in view of its effect, and the affected party must notify the other party.

The contract’s wording and governing law control. Ask for the event, dates, causal link to the missed obligation, mitigation steps and the expected end of the impediment. A notice that merely says “force majeure” without those details may not satisfy the agreed clause.
6. Account for responsible purchasing and worker impacts
Recovery decisions affect people as well as calendars. Fair Wear links unrealistic delivery demands and late-delivery penalties with downward pressure on suppliers, which can encourage excessive overtime or unsafe production practices. Review whether the brand contributed through late forecasts, changing specifications, slow approvals, fragmented orders, payment delays or a delivery date that was implausible from the outset. If the brand caused part of the delay, a punitive response may be commercially and ethically counterproductive.

Ask the supplier how any acceleration will be staffed. Require lawful working hours, safe conditions, adequate rest, approved subcontracting and normal quality controls. If a partial shipment or revised schedule is accepted, document how the change affects worker planning and payments. Responsible Contracting Project’s Supplier Model Contract Clauses 1.0, released in September 2023, provides apparel-focused examples of allocating responsibilities and addressing disruption; use such resources to improve the contract, not as a substitute for the terms actually signed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Communicate realistic dates to retailers and customers
Use the verified recovery schedule to update merchandising, marketing, finance, logistics and customer-service teams. Give each team the same distinction between a committed date and a scenario. If a retailer or end customer must be told, explain the affected product and the realistic next milestone, offer available alternatives where appropriate, and avoid promising a date that depends on an unconfirmed booking or unfinished production.
Recommended Free Tools
Where the downstream agreement permits it, negotiate a revised launch, allocation or delivery window before the original date passes. Keep records of customer notices and any costs or concessions. Do not describe a supplier event as force majeure to a customer unless the brand has established that the contractual standard is met; an upstream notice does not automatically excuse the brand’s own obligation.

8. Decide when recovery is no longer credible
At the agreed decision gate, compare the supplier’s actual milestone performance with the recovery plan. Escalate if evidence is missing, quantities are repeatedly revised, quality failures increase, a subcontractor is undisclosed, or the proposed date moves without a new cause-and-effect explanation. Then choose among a documented partial acceptance, a downstream date reset, alternate sourcing, partial cancellation or termination.
Before alternate sourcing or termination, calculate remaining material and work-in-progress exposure, deposits, tooling ownership, intellectual property, confidentiality, inspection rights, customs requirements and the time needed to approve another factory. Send any contractual notice in the required form and preserve mitigation evidence. Record why the decision was proportionate, how supplier workers were considered and which customer commitments it protects.
9. Build prevention into the next order
- Use a purchase-order calendar with approval, material, production, inspection, packing and transport milestones rather than one end date.
- Define who may approve substitutions, subcontracting, specification changes and revised delivery dates.
- Require early-warning notice when a milestone is at risk, with evidence and a proposed recovery action.
- State shipment responsibilities, booking cutoffs, partial-shipment rules, inspection release and transport-cost allocation.
- Align retail launch dates with realistic capacity and working-hour assumptions; leave time for inspection and customs.
- Include proportionate notice, cure, mitigation, delay-damage, force-majeure and termination language reviewed for the governing law.
- Maintain visibility of production locations and subcontractors. OECD’s current garment and footwear due-diligence topic page records that its guidance was adopted by 50 governments; that figure describes government adoption of the guidance, not the frequency or cost of supplier delays.
