A company takes a shorter-period amount or the current value of active recurring contracts and expresses it as a 12-month figure. Reported revenue is different: it is the amount recognized for a defined reporting period under the applicable accounting rules.
Because the two figures can use different inputs, dates, contract populations and recognition rules, annualized revenue can be much higher or lower than reported revenue. The label alone is not enough; you must read the issuer’s definition.

Annualized revenue in plain English
Annualized revenue answers a hypothetical question: “If the activity measured today continued at the same rate for 12 months, what would it amount to?” The calculation may use one month of recognized revenue, a quarter’s revenue, subscription billings, or the annual value of contracts active on a measurement date.

That makes annualized revenue a run rate. It describes the pace implied by a selected snapshot. It does not prove that customers will renew, that services will be delivered for the rest of the year, or that the amount has already been recognized in the income statement.

Companies use several labels for related measures:
- Annualized revenue: a shorter-period amount scaled to a year, or another company-defined annual run-rate calculation.
- Annual revenue run rate: a point-in-time estimate of what current activity would produce over 12 months.
- Annualized recurring revenue (ARR): commonly the annual value of recurring or active contracts at a particular date, although each issuer sets its own inclusions and exclusions.
These labels are not interchangeable by default. One company may annualize recognized monthly subscription revenue; another may total the contractual value of active subscriptions. Both can call the result ARR.
Annualized revenue versus reported revenue
| Feature | Annualized revenue or ARR | Reported revenue |
|---|---|---|
| What it measures | A scaled run rate or annual value of a selected contract portfolio | Revenue recognized during a stated quarter, fiscal year or other reporting period |
| Time basis | Often a single month or a measurement date | The entire defined reporting period |
| Accounting status | Often a non-GAAP operating metric; definition varies by issuer | Recognized under the applicable accounting framework |
| Contract scope | Usually recurring or active contracts, subject to company rules | Can include recurring, nonrecurring, services and other recognized categories |
| Future assumptions | May implicitly assume the measured pace continues; renewals and churn are not guaranteed | Reflects performance obligations satisfied in the period |
| Typical use | Monitoring momentum, subscription scale and sales changes | Assessing historical financial performance and accounting results |
Reported revenue is tied to recognition, not simply to invoices or signed contract totals. SEC Staff Accounting Bulletin No. 101 (1999) says SEC staff generally considers revenue earned when specified conditions are met, including delivery or performance of services and a fixed or determinable price. The bulletin is staff interpretive material, not a Commission rule or formal Commission interpretation.
Consequently, an annualized figure should not be described as full-year GAAP revenue unless the filing explicitly says that it is reported revenue for that period.

How companies calculate an annualized figure
Monthly revenue multiplied by 12
The simplest method is:
Annualized run rate = selected monthly revenue × 12
If a company recognized $2 million of recurring subscription revenue in December, a simple run rate would be $24 million. That arithmetic assumes December represents the ongoing pace. A seasonal business, a month containing an unusual deal, or a month affected by a partial service period can make the result unrepresentative.

Quarterly revenue multiplied by four
Some issuers annualize a recent quarter:
Annualized run rate = selected quarterly revenue × 4
This smooths a single month but still assumes the quarter is a reliable baseline. A quarter with a large one-time implementation or unusually high renewals can distort the result.
Annual value of active recurring contracts
ARR often starts with contracts active on a measurement date rather than revenue recognized in that month. A company may add the recurring value scheduled under those contracts for the next 12 months, then exclude contracts or components that do not meet its definition of active.
Active-contract rules can be precise. In a SEC-filed response, PTC describes not counting a contract until its service term begins and excluding future ramp components that are not yet active. A contract signed today therefore may not enter ARR until the qualifying service period starts.
Other issuer-defined inputs
Annualization can use subscription billings, committed amounts or another stated measure. The source of the number matters more than the label. A contract-value ARR and a revenue-based run rate are not directly comparable without reconciling their formulas.

Why annualized and reported revenue diverge
They cover different periods
A December run rate is a snapshot at year-end. Reported fiscal-year revenue accumulates every recognized month in that fiscal year. If sales accelerated late in the year, the December run rate can exceed the full-year average. If sales slowed, it can be lower.
They include different types of revenue
ARR definitions often focus on recurring subscriptions or active contracts. Reported revenue may also contain professional services, implementation work, usage fees, hardware, one-time projects or other non-subscription categories. Similarweb’s filing describes exclusions from its ARR measure and warns that ARR is not a substitute for recognized revenue.
Recognition timing is different from invoicing or contract value
A customer can sign a multiyear contract or pay an invoice before the company has delivered all promised services. Contract value and cash collection therefore do not automatically become reported revenue at signing or billing. Revenue is recognized as performance obligations are satisfied under the applicable accounting framework.
Starts, renewals, churn and expansions change the snapshot
An active-contract portfolio can change immediately when a customer starts service, expands, contracts, cancels or fails to renew. A run rate measured before those events will not match the revenue eventually recognized. A contract that is active at the measurement date may also end before 12 months have elapsed.
Seasonality and one-time events distort simple multiplication
Multiplying a holiday-season month by 12 can overstate a normal pace. Multiplying a launch month that includes a large nonrecurring project can do the same. The reverse occurs when a business has a temporary shutdown or a delayed customer start in the selected period.

A run rate is not automatically a forecast
Rapid7 states the limitation plainly: “ARR is not a forecast of future revenue.” That is the company’s description of its metric, not a universal accounting rule, but it captures the central risk. A run rate reports what the measured portfolio or period implies today; it does not guarantee future renewals, delivery or pricing.
A filed example: Rezolve AI’s December 2025 figures
Rezolve AI Limited’s 2026 SEC-filed disclosure illustrates the distinction. The company reported $19.4 million of December 2025 revenue and described an annualized run rate of over $232 million based on that month’s recurring revenue. The arithmetic is approximately $19.4 million × 12, or $232.8 million.
The December revenue was included in the company’s audited US GAAP results for fiscal 2025. The run-rate figure was expressly labeled a non-GAAP operating measure. Rezolve AI also reported $232.8 million of committed revenue for 2026 under its stated calculation.
Those numbers should not be read as proof that $232 million was reported as 2025 revenue. One is a month’s recognized revenue and the other is an annualized, point-in-time measure based on recurring activity. The committed-revenue figure is a separate company-defined amount. The example demonstrates why the definition and date must accompany every annualized number.
How to evaluate an annualized revenue or ARR disclosure
Use the issuer’s footnote, earnings release or filing definition before comparing the number with reported revenue or another company’s ARR.
Best Value
- Identify the input. Determine whether the calculation uses recognized monthly revenue, quarterly revenue, contract value, subscription billings, committed amounts or another measure.
- Record the measurement date. Note the month, quarter or exact date and the fiscal year-end. A point-in-time figure is not equivalent to a period total.
- Check the contract population. Find out which contracts are considered active and whether service must have started. Look for treatment of short-term contracts, ramp schedules and contracts signed but not yet commenced.
- List inclusions and exclusions. Determine whether services, usage, one-time fees, non-subscription products, expansions or other categories are included.
- Read the future-change language. See whether the issuer assumes renewals, includes scheduled increases, excludes anticipated terminations or simply holds the measured portfolio constant.
- Check the accounting label. Identify whether management calls the metric non-GAAP, says it is not a forecast, or warns that it is not a substitute for reported revenue.
- Compare like with like. Match formula, scope, date, geography, contract status and accounting basis before drawing a trend or cross-company conclusion.
Comparing two companies without being misled
Suppose Company A annualizes December recognized subscription revenue while Company B reports the annual contract value of active subscriptions. Company B’s figure could be higher even if the companies have identical cash collections, because contract value may include services that have not yet been recognized as revenue. Conversely, Company A’s number could include a December spike that Company B’s active-contract method excludes.
A useful comparison table should therefore include at least:
- the exact formula and source input;
- the measurement date and fiscal calendar;
- recurring and nonrecurring categories included;
- rules for contracts that have not started, are ramping or may terminate;
- whether the metric is GAAP, non-GAAP or another operating measure; and
- the issuer’s stated warning about forecasts or substitution for reported revenue.
Rapid7 describes ARR as independently viewed from revenue and deferred revenue. Similarweb likewise cautions that ARR is not necessarily indicative of future GAAP revenue. These disclosures reinforce that ARR is an operating lens, not a replacement line item for the income statement.
Common mistakes to avoid
- Calling annualized revenue “full-year revenue.” Use that wording only when the amount is actually reported for the full period.
- Assuming every ARR number equals monthly revenue times 12. Some companies use active-contract values or other methods.
- Treating ARR as cash collected. A run rate can be based on contracts or recognized revenue and may not match billing or cash timing.
- Ignoring nonrecurring revenue. A one-time project can inflate a monthly annualization unless the issuer excludes it.
- Comparing dates casually. A year-end ARR and a midyear ARR describe different contract portfolios.
- Assuming active means permanent. Active contracts can churn, expire, contract or expand after the measurement date.
- Using one issuer’s definition as an industry standard. Definitions are company-specific and may differ across jurisdictions and accounting frameworks.
What annualized revenue can and cannot tell you
What it can show
- The approximate scale of a recurring business at a stated date.
- Whether the current contract portfolio or recent revenue pace is rising or falling.
- A management operating metric for tracking subscriptions, renewals and sales momentum.
What it cannot establish by itself
- The amount of revenue already recognized for a fiscal year.
- Guaranteed renewals, future delivery or future GAAP revenue.
- Profitability, cash generation or the amount customers have paid.
- A valid cross-company comparison when formulas and scopes differ.
Bottom line: read the definition, not just the number
Annualized revenue is a scaled estimate of a current pace or contract portfolio. Reported revenue is period revenue recognized under accounting rules. They differ because they can use different dates, populations, inputs and timing assumptions. Before relying on an annualized figure, identify what was annualized, which contracts counted, what was excluded, whether the measure is non-GAAP and what limitations the issuer states. Only then can you decide whether it is a useful indicator of momentum or an apples-to-oranges comparison with reported revenue.
