But neither an IPO nor a gain for Amazon or Alphabet shareholders is assured. Amazon’s exposure is unusually clear in its filings: equity, a potential financing facility, AWS compute and Claude distribution. Google’s exposure includes cloud distribution and TPU capacity, but the sources reviewed do not establish Alphabet’s exact current equity stake.
Anthropic has filed confidentially, but is not yet public
On June 1, 2026, Anthropic said it had confidentially submitted a proposed IPO filing to the SEC. The Associated Press reported that the filing gave the company the option to go public after SEC review; Anthropic said the offering would depend on market conditions and other factors. It had not decided the number or price of shares. On September 29, Reuters reported reviewing a copy of a confidential IPO prospectus. The underlying filing was not publicly available in the sources reviewed, so the financial figures attributed to that prospectus below are Reuters’ reporting, not figures readers can verify in a public filing.

A listing could eventually provide a public share price and more information about Anthropic’s finances. It would not, by itself, mean Amazon or Alphabet receives cash, that either company’s shares rise, or that Anthropic’s proposed offering goes ahead.
Amazon’s exposure combines equity, financing and AWS business
What Amazon has disclosed about its investment
Amazon’s Q2 2026 Form 10-Q says it invested $5 billion in Anthropic Series G and another $5 billion in Series H during Q2. Amazon also describes a financing facility of up to $20 billion. Initially, nothing was available to draw until compute-delivery milestones were reached; after the Series H investment, the remaining facility was $15 billion. If Amazon draws after an IPO or another liquidity event, the draw may take the form of Anthropic common stock, subject to an ownership cap. Amazon expects a customary post-IPO lock-up, followed by applicable securities-law restrictions. This is a conditional route to shares and possible later liquidity, not a promise of immediate cash or a realized gain.

Why the investment can affect reported results before an IPO
Amazon recorded approximately $50.5 billion of upward fair-value adjustments on Anthropic nonvoting preferred stock in Q2 2026 and $62.8 billion in the first half of 2026. In its Form 10-Q, Amazon attributed the changes to observable price changes related to Anthropic financings and classified the valuations as Level 3 measurements. Amazon said its methods included estimates about the timing and type of liquidity events and discounts for lack of marketability. These accounting marks can affect reported results before any sale; they are not cash proceeds from selling shares and do not establish what Amazon would ultimately realize.
The commercial relationship is also material
In an April 20, 2026 announcement, Anthropic said it would commit more than $100 billion over ten years to AWS technologies under an expanded arrangement, securing up to 5 gigawatts of new capacity for Claude. Anthropic described AWS as its primary training and cloud provider for mission-critical workloads and said more than 100,000 customers ran Claude on Amazon Bedrock. The announcement said Amazon was investing $5 billion then, with up to an additional $20 billion in the future, building on $8 billion previously invested; Amazon’s later Q2 filing gives the more current investment and financing-facility details. The arrangement can support AWS and custom-chip demand if Anthropic grows and uses the capacity, while exposing Amazon to the risks of demand, delivery and utilization.

Google’s exposure is commercial, but its equity stake is not quantified here
Reuters reported that Amazon and Google together routed 47% of Anthropic’s 2025 customer sales through their cloud marketplaces. That is a combined figure, not Google’s individual share. Reuters characterized both companies as investors, compute suppliers, distributors that collect customer bills, and AI competitors. The marketplace channel can therefore create commercial value while also giving Anthropic significant reliance on a small set of partners.
Alphabet’s Q2 2026 Form 10-Q discusses a limited number of TPU supply agreements for customers with specialized, high-scale workloads. It warns that long-duration commercial agreements can create obligations, excess capacity, and risks if counterparties or vendors fail to perform. A September 2026 Broadcom SEC filing says Anthropic is expected, beginning in 2027, to access approximately 3.5 gigawatts through Broadcom, as part of multiple gigawatts of next-generation TPU-based AI compute capacity Anthropic committed under its expanded collaboration with Google and Broadcom. This supports the case for potential Google Cloud and TPU demand; it does not show that all capacity will be consumed or disclose Alphabet’s current Anthropic equity holding.

What Reuters reported from Anthropic’s confidential prospectus
The following are figures Reuters reported on September 29, 2026, from Anthropic’s confidential prospectus or its analysis of that material. They are not from an underlying public prospectus available in the sources reviewed.
| Reported item | Figure and qualification |
|---|---|
| 2025 revenue | Nearly $4.6 billion, according to Reuters’ account of the confidential prospectus. |
| 2025 operating losses | More than $8 billion, according to Reuters’ account of the confidential prospectus. |
| Revenue by type | About $3.8 billion from consumption-based Claude usage and $789 million from subscriptions, Reuters reported from the confidential prospectus. Anthropic expected consumption-based revenue to remain the substantial majority. |
| Cloud marketplace sales | About $2.16 billion in 2025, equal to 47% of annual revenue, according to Reuters’ analysis of the confidential prospectus. |
| Distribution fees | Approximately $351 million paid to cloud platforms, according to Reuters’ analysis of the confidential prospectus. |
| Hosting and computing commitments | $54.6 billion in non-cancellable commitments at 2025 year-end, according to Reuters’ account of the confidential prospectus. |
| Long-term commitments by early 2026 | More than $417 billion in total, covering 3.5 gigawatts of dedicated computing capacity, according to Reuters’ account of the confidential prospectus. |
Taken together, these reported figures show rapid revenue growth alongside large losses, dependence on cloud marketplaces, and substantial long-term infrastructure obligations. Their significance for investors depends on whether Anthropic can convert demand into revenue and use the capacity it has committed to fund.

Amazon and Alphabet: the investor-relevant differences
| Exposure | Amazon | Alphabet / Google |
|---|---|---|
| Disclosed equity terms | Amazon’s Q2 2026 Form 10-Q reports $5 billion invested in Series G and $5 billion in Series H during Q2. It also reports a facility of up to $20 billion, with $15 billion remaining after Series H; potential post-liquidity-event draws may be common stock, subject to an ownership cap and an expected lock-up. | The sources reviewed do not state Alphabet’s exact current Anthropic equity holding or comparable investment terms. |
| Cloud distribution and compute | AWS is Anthropic’s primary provider for mission-critical workloads, and Anthropic said more than 100,000 customers ran Claude on Bedrock in its April 2026 announcement. | Reuters reported Google and Amazon together handled 47% of Anthropic’s 2025 customer sales through cloud marketplaces; Google’s individual share is not stated. Google and Broadcom’s expanded collaboration includes next-generation TPU-based capacity. |
| Infrastructure duration and utilization | Anthropic said it would commit more than $100 billion over ten years to AWS technologies, with up to 5 gigawatts of new Claude capacity. This creates demand potential and utilization exposure. | Alphabet’s Q2 2026 filing warns about long-duration TPU agreements and excess-capacity risk. Broadcom’s September 2026 filing says Anthropic is expected to access approximately 3.5 gigawatts beginning in 2027; actual utilization is not established. |
| Reported earnings sensitivity to valuation | Amazon’s Q2 2026 Form 10-Q reports Level 3 fair-value adjustments on Anthropic preferred stock: approximately $50.5 billion in Q2 and $62.8 billion in the first half of 2026. | Not stated for Alphabet’s Anthropic holding in the sources reviewed; the exact holding itself is not disclosed there. |
| Partner and competitor tensions | Amazon is an investor, cloud supplier and distributor, as well as an AI competitor, according to Reuters’ characterization of the relationship. | Google is also described by Reuters as an investor, supplier, distributor and AI competitor. Anthropic’s confidential prospectus, as quoted by Reuters, said reliance on a limited number of partners and suppliers could create conflicts and adversely affect access to compute. |
What could help or hurt Amazon and Google investors
Potential benefits
- If Anthropic’s usage expands, cloud marketplace sales and compute demand could support AWS and Google Cloud activity, including demand for custom chips and TPU capacity.
- Amazon’s preferred-stock interest may be affected by later financings and has a conditional path to conversion into common stock following a qualifying liquidity event, subject to the disclosed cap and lock-up.
- A completed public listing could make Anthropic’s valuation and financial position more observable once public disclosures are available.
Risks investors should weigh
- Anthropic’s reported operating losses and very large computing commitments make execution, funding needs and the economics of future growth important—not just headline revenue.
- Concentrated cloud marketplace distribution can create dependence and bargaining conflicts. Reuters quoted the confidential prospectus describing access to partners’ sales networks as a way to reach customers at scale, while also acknowledging potential conflicts and compute-access risks.
- Long-term capacity can be valuable if demand arrives, but delayed, underused or hard-to-redeploy infrastructure can become an obligation. Neither the announced capacity nor the prospectus figures establish actual future utilization.
- Amazon and Google are simultaneously commercial partners and AI competitors. Their interests may not always align with Anthropic’s, and Anthropic’s reliance on them may create its own operational or negotiating risks.
- For Amazon, an IPO valuation would not alone determine the value shareholders ultimately receive: share conversion, ownership limits, lock-up, dilution and the timing of any sale matter. For Alphabet, the undisclosed equity position prevents a comparable stake-value calculation from these sources.
How to read the IPO headline as an investor
Separate three questions that headlines can blur: whether Anthropic actually completes an IPO; what the offering and eventual public disclosures say about its valuation, losses and commitments; and how much of any benefit or risk reaches Amazon or Alphabet through equity, cloud sales and infrastructure use. The current evidence is strongest on Amazon’s disclosed investment mechanics and on both companies’ commercial roles. It does not support a prediction that an Anthropic IPO will lift AMZN or GOOGL.
