What an All-Cash Acquisition Offer Means for a Target Company’s Shareholders

An all-cash acquisition offer states how much cash a buyer proposes to pay for each target-company share—but shareholders receive it only if the offer’s conditions are met and the buyer accepts their shares. The offer may also include contingent rights or deductions, and a tender offer can be followed by a merger that affects holders who do not tender. The filed offer documents set the actual price, deadline, conditions, payment mechanics and any rights that may remain.

What “all cash” promises—and what it does not

In a cash acquisition, the stated consideration is cash rather than shares in the buyer. Depending on the transaction’s structure, shareholders may be asked to tender their shares to the buyer, or their shares may convert into a right to receive merger consideration when the merger closes. The offer document and merger agreement control the terms.

For a current U.S. example, Copart’s 2026 offer for ACV shares states a price of $10.50 per share, payable in cash, without interest and subject to applicable tax withholding. That is a term of this particular transaction, not an average offer price or a prediction about another deal. The ACV Offer to Purchase explains the price and payment terms.

Cash consideration means a shareholder does not have to value buyer shares as the payment itself. It does not establish that the price is fair, that the deal will close, or that a cash offer is necessarily better than another form of consideration. To compare proposals, consider the conditions, timing, completion risk, taxes and any contingent value rights—not just the headline amount. A 2025 Baker McKenzie guide notes that cash can offer greater certainty of value than securities consideration, while the practical result depends on the deal and applicable rules. Read the guide.

Cash may not be the only consideration

Read the exact description of what each share receives. An offer described as cash consideration can include an additional contingent right, and cash payments may be subject to withholding. For example, a 2025 offer by Flying Tigers Acquisition Corporation for Adverum shares provided $3.56 in cash per share plus one contingent value right, potentially tied to future milestones. The right is not the same as guaranteed cash at closing. The Adverum offer document describes that transaction’s terms.

A broker or nominee may also charge a fee to process a tender. Ask the intermediary that holds the shares whether a fee applies; the offer price alone does not answer that question.

What must happen before shareholders are paid

An announced offer is not a completed acquisition. The ACV offer is subject to conditions that include a minimum number of shares being tendered, expiration or termination of the U.S. antitrust waiting period, and the absence of specified injunctions. Other deals can have different conditions, including a financing condition or different regulatory approvals.

In the ACV filing, the scheduled offer expiration is September 30, 2026, but the offer may be extended or terminated under its terms. Shares accepted for purchase are to be paid for promptly after expiration, once the conditions have been satisfied or waived. These dates and mechanics belong to that filing; they are not standard deadlines for other offers. Check the latest filings for amendments and current status.

Before deciding, locate the offer’s minimum tender requirement, regulatory conditions, financing terms, outside date, termination rights and extension provisions. A condition that is unmet can delay or prevent payment, even when the offer price is clear.

How tendering works—and what happens if you do not

In a tender offer, shareholders choose whether to submit their shares under the offer’s instructions and before its deadline. If shares are held through a broker or other nominee, contact that intermediary about how to submit them and its processing deadlines; a broker’s internal cutoff may differ from the offer’s expiration.

The ACV transaction contemplates a second-step merger after the offer. Under the agreement, the buyer expects remaining shares to receive the same cash per-share price in that merger, subject to the agreement’s conditions. But if an offer is completed and the merger does not occur as expected, the ACV filing warns that so few shares might remain publicly held that a liquid public market no longer exists. Non-tendering can therefore leave a shareholder holding shares that are harder to sell, at least while the transaction’s next step is unresolved.

The offer document puts the point plainly: “THIS OFFER TO PURCHASE AND THE RELATED LETTER OF TRANSMITTAL CONTAIN IMPORTANT INFORMATION, AND YOU SHOULD CAREFULLY READ THE DOCUMENTS IN THEIR ENTIRETY BEFORE YOU MAKE A DECISION WITH RESPECT TO THE OFFER.”

Appraisal rights are not an automatic way to get more

Appraisal rights may let eligible shareholders ask a court to determine the value of their shares under applicable law. A 2025 Baker McKenzie global guide says target shareholders in an all-cash merger, including some second-step squeeze-out mergers after a tender offer, generally have statutory appraisal rights. That is a general overview, not a guarantee that a particular shareholder qualifies.

The ACV offer describes a Delaware-law process in which eligible holders generally must not tender, must properly demand appraisal and must satisfy statutory procedures. Holders who tender generally do not retain that appraisal path for the tendered shares. The process has strict deadlines and formalities, and the court-determined value may be more or less than the offer price. Appraisal is not simply a way to reject the price and receive a higher amount; check the transaction’s appraisal section and obtain advice about the governing law before acting.

A practical checklist before deciding

  • Payment: Confirm the per-share amount, whether consideration is cash only or includes a contingent value right, and whether interest is excluded or withholding may apply.
  • Conditions: Identify the minimum tender threshold, regulatory approvals or waiting periods, injunction conditions, financing condition and other requirements.
  • Timing: Check the stated expiration, extension rights, payment timing and latest amendments.
  • Submission: Follow the tender instructions and ask your broker or nominee about its process, cutoff and any fee.
  • Non-tendered shares: Find out whether a second-step merger or shareholder vote is planned and how the transaction treats shares not tendered.
  • Appraisal: Review eligibility, deadlines and required steps before tendering or taking another action that could affect rights.
  • Taxes: The headline price cannot determine your individual tax result; that depends on factors such as your basis, holding period, account type and jurisdiction.

For an actual offer, rely on the target’s filed offer documents, merger agreement, board recommendation and subsequent amendments. The examples here concern U.S. public-company transactions; specific deadlines and appraisal rules should not be carried over to private companies, another jurisdiction or a differently structured deal.
