A stock split increases or decreases the number of shares outstanding without, by itself, changing each holder’s proportional ownership or creating company value. In a proportionate forward split, every shareholder receives additional shares in the same ratio; the share count rises, per-share figures fall proportionately, and the holder’s overall economic interest generally stays the same. A reverse split combines shares into fewer shares. For a private company, the practical consequences depend on its incorporation state, charter, bylaws, share classes, shareholder agreements and any transaction being completed at the same time.
What a stock split changes—and what it does not
Suppose a corporation completes a 2-for-1 forward split. Each outstanding share becomes two shares. A shareholder with 100 shares receives 100 additional shares and holds 200 afterward. If every holder of the affected class receives the same ratio and no rights are changed, the shareholder still owns the same percentage of that class and the same proportion of the company.

The split changes the unit in which ownership is measured, not the company’s underlying assets, earnings, voting power per percentage point or total equity value. In a private company there may be no continuously quoted market price, so a split does not establish a new valuation or make the shares easier to sell. Any change in valuation, liquidity or investor rights must come from a separate financing, sale, buyback, recapitalization or amendment.

“Proportionate” is the important qualification. The result can differ if some classes or holders are excluded, if a class has special conversion or voting terms, or if the company changes rights, authorized shares or the capital structure in the same action. Those issues should be analyzed separately rather than treated as an automatic effect of the split.

How a forward split works in a private-company cap table
Share count and ownership percentage
Assume a company has 1,000 issued common shares. An investor owns 100, or 10%. In a 2-for-1 split, the company issues one additional share for every existing share. The company now has 2,000 issued shares and the investor has 200. The investor remains at 10% because both the numerator and denominator doubled.
The same arithmetic applies to other ratios. A 3-for-1 split turns each share into three; a 10-for-1 split turns each into ten. The board and corporate records must use the approved ratio consistently, including for every holder and certificate or electronic ledger entry covered by the action.
Per-share numbers
Per-share amounts move in the opposite direction to the share count. If a private-company valuation model uses a notional $30 per share before a 2-for-1 split, the mathematically equivalent post-split figure would be $15 per share, assuming the valuation and all other terms are unchanged. That illustration is not a new appraisal or a promise that a buyer would pay either amount.
Recommended Free Tools
Likewise, a split does not automatically increase the number of authorized shares. “Issued” shares are those the company has actually issued; “authorized” shares are the maximum permitted under the charter. A company can subdivide issued shares while leaving the authorized amount unchanged, or it can amend the charter to increase authorized shares as a separate step. The distinction matters for approvals and filings.

Forward split versus reverse split
| Issue | Forward split | Reverse split |
|---|---|---|
| Share count | Increases the number of shares. In a 2-for-1 split, each old share becomes two. | Combines shares into fewer shares. The SEC’s example of a 1-for-10 reverse split turns ten old shares into one new share. |
| Proportional ownership | Generally unchanged when all relevant holders and classes receive the same ratio. | Generally unchanged when the same combination ratio and treatment apply to all relevant holders. |
| Per-share basis in an ordinary split | Total basis generally stays the same while basis is spread over more shares. | Total basis generally stays the same while basis is allocated across fewer shares, subject to the transaction’s specific tax treatment. |
| Fractional shares | Often avoided when the ratio produces whole shares; the governing documents control. | Fractions can arise. Transaction documents may provide cash instead of a fractional share; check the actual terms. |
| Approvals and filings | Depend on the incorporation jurisdiction, charter, bylaws, classes and series, shareholder agreements and whether authorized shares, par value or rights also change. | |
The SEC explains the mechanics of a reverse split and the possibility of cash in lieu of fractional shares on its Reverse Stock Splits page. Its separate Going Private guidance discusses public-company transactions in which a reverse split can reduce the number of record holders. That reporting context should not be presented as an automatic consequence for an ordinary private corporation.
U.S. federal tax treatment and cost basis
Receiving ordinary split shares
For a standard U.S. stock split, the Internal Revenue Service says receiving the additional shares generally is not a taxable event. The IRS states: “Stock splits don’t create a taxable event; you merely receive more stock reflecting the same ownership interest in the corporation that issued the stock. You don’t report income until you sell the stock.” Read the statement with its limits: it addresses the ordinary split described by the IRS, not every recapitalization, exchange, distribution or transaction in another country.
The IRS also states that “Your overall basis doesn’t change as a result of a stock split, but your per share basis changes.” If shares are later sold, the holder uses the adjusted basis and holding-period information applicable to the shares and the sale. A private company’s lack of a public trading market does not remove the need to preserve accurate records.
The IRS basis example
The IRS gives this worked example in its FAQ “Stocks (options, splits, traders) 7”: a shareholder owns 100 shares with a $15 basis per share, for a $1,500 total basis. In a 2-for-1 split, the corporation issues one additional share for each share owned. The shareholder then owns 200 shares, but the total basis remains $1,500, or $7.50 per share.

That is a recordkeeping allocation, not a gain or loss. Keep the pre-split basis, the split ratio, the effective date and the resulting share count together so a later sale does not mistakenly use the old per-share figure.
Form 8937 and unusual transactions
The IRS instructions for Form 8937 list a stock split as an example of a nontaxable stock distribution that can be a reportable organizational action affecting basis. Whether a company must file or furnish information depends on the actual action and the instructions in force for it; Form 8937 is not automatically required for every transaction described informally as a split.
Ask a tax professional to review the facts when the split is bundled with a redemption, merger, exchange, option or convertible-security modification, cash payment, non-U.S. ownership or another recapitalization. Those facts can produce tax questions that the ordinary split guidance does not answer.

- the state or country of incorporation;
- the certificate of incorporation or charter, including authorized shares, par value, classes and series;
- bylaws and any shareholder, investor-rights or voting agreements;
- all outstanding classes, options, warrants, convertibles and other instruments whose terms may refer to the share count; and
- whether the proposed action also changes rights, preferences, conversion ratios, voting power or authorized shares.
Those documents determine whether the board can approve the action alone, whether shareholders must vote, whether a separate class vote is needed and what governmental filing makes the amendment effective. A corporate lawyer can map the required resolutions and notices to the company’s jurisdiction.
Delaware example (not a nationwide rule)
Delaware illustrates why a blanket answer is unsafe. Section 242 of Title 8 permits amendments involving subdivision of issued shares. The statute contains a limited exception from a stockholder vote for an amendment subdividing issued shares into a greater number of shares of the same class when the corporation has only one outstanding class, that class is not divided into series and the certificate does not require a vote. The Delaware source notes an amendment effective August 1, 2026. Read the current text at the Delaware Code, Title 8, § 242.
The same statute separately addresses amendments that increase or decrease authorized shares, change par value or adversely affect the powers, preferences or special rights of a class or series. Those changes can trigger stockholder or class approvals even when a simple subdivision of issued shares might qualify for the narrow exception. A Delaware result therefore cannot be copied to a corporation incorporated elsewhere or to a company whose charter sets stricter requirements.

What the corporate record should show
Once the required approvals are identified, the company should document the ratio, affected classes, effective time, treatment of fractions, any charter amendment, and the authority for each approval. Update the cap table and stock ledger, issue replacement certificates or electronic statements if used, and provide holders with a notice explaining their new share count and basis allocation. Keep the resolutions, filing evidence and before-and-after ownership records with the company’s permanent books.

A practical implementation checklist
- Define the transaction. State whether it is a forward or reverse split, the exact ratio, the effective date and whether any cash, redemption or rights amendment is included.
- Reconcile the capitalization table. List every class and series, each holder’s pre-split shares, and any instruments whose adjustment provisions must be reviewed. Confirm that the intended ratio applies consistently.
- Check authority. Compare the charter, bylaws and shareholder agreements with the incorporation statute. Determine board, shareholder and class-vote requirements and whether authorized shares or par value will change.
- Approve and file. Adopt the necessary resolutions, obtain votes and consents, and file any charter amendment or certificate required by the jurisdiction. Do not assume an internal resolution alone changes the public record.
- Update records. Multiply or combine the ledger entries, address fractional shares under the transaction documents, and preserve an audit trail from the old entries to the new ones.
- Communicate accurately. Tell holders their post-split share count, ownership percentage if unchanged, effective date, and any action they must take. Avoid describing a split as a valuation increase.
- Preserve tax information. Carry each holder’s total basis forward, reallocate it per share, and retain the documents needed for a later sale or basis report. Check whether Form 8937 applies.
Common mistakes and how to avoid them
“More shares means more ownership”
That conclusion is wrong when everyone is treated proportionately. Compare both the holder’s shares and the total shares after the split. If one class or holder is omitted, the percentage can change, so the company must explain the difference rather than call it a routine split.
Confusing a split with an authorized-share increase
Subdividing issued shares and increasing the number of shares the charter permits are different actions. Combining them in one proposal can change the approval path and may affect future dilution capacity. Identify each action explicitly in the resolutions and filing.
Using the old per-share basis
A holder who doubles the share count but keeps the old per-share basis has doubled the recorded total basis by mistake. Apply the IRS allocation: preserve total basis and divide it across the new number of shares.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsAssuming a private-market price will adjust automatically
There may be no quoted price to adjust, and a split does not create a valuation. If a financing or appraisal uses a post-split per-share figure, label that figure as part of the separate financing or valuation analysis.
Copying a public-company explanation
Public-company disclosure, reporting and going-private rules can involve facts absent from a private corporation. Use SEC educational material for the mechanics it describes, but follow the private company’s governing documents and incorporation law for approvals and filings.
Ignoring fractional shares and related instruments
Reverse ratios can produce fractions, and options, warrants or convertible securities may contain their own adjustment language. Read the actual instruments and transaction documents; do not infer cash treatment or conversion results from the split ratio alone.
What shareholders should ask before signing or recording the split
- What is the exact ratio and effective date?
- Are all classes, series and holders included on the same terms?
- Does my percentage ownership remain the same, and if not, what separate transaction causes the change?
- Is the company changing authorized shares, par value, voting rights or preferences?
- How will fractional shares be handled?
- What total basis will carry over, and what will the new per-share basis be?
- Which resolutions, consents and governmental filings make the action valid?
- Is any financing, redemption, option-pool change or recapitalization occurring at the same time?
Those answers distinguish a simple proportional split from a broader capital-structure transaction. The split itself is usually an accounting and legal re-denomination of equity; the surrounding terms determine whether anything economically or legally different is happening.
