It does not force founders, employees, venture capital funds or executives to sell, and it does not by itself prove that a company is overvalued or weakening. The main risk is a sudden increase in potential share supply: if many newly eligible shares reach the market while demand is limited, the price can fall. Investors should therefore treat the date as a supply-and-information event, not as an automatic buy or sell signal.
What an IPO lockup is and what expiration changes
The contract behind the restriction
An IPO lockup is a contractual promise made before a company goes public. Founders, employees, early executives, venture capital investors and other pre-IPO holders agree not to sell specified securities for a defined period. The restriction helps stabilize the initial trading market by preventing a large block of insiders from immediately competing with public buyers.

The U.S. Securities and Exchange Commission says most lockups last 180 days, although the exact term varies. An agreement can cover common stock, options, warrants or other securities, and it can limit the number of shares sold during a later period rather than release every share on one date. The company’s IPO prospectus and amendments are the controlling sources for the actual terms.

On the expiration date, the contractual restriction ends for the shares and holders covered by that release, subject to any remaining securities-law, registration or company-policy requirements. A holder may still decide to keep the shares, sell only part of the position, or sell gradually. Some agreements also contain waivers, early-release triggers, trading-volume limits or several release dates.

The legal event and the market event can occur at different times. Traders may sell before the date because they expect additional supply. Conversely, a large number of shares may become eligible without changing the price if holders do not sell or if public demand absorbs the stock.
Why the stock can move before or after the unlock
Potential supply creates an overhang
Immediately after an IPO, the public float can represent only a fraction of all outstanding shares. Because insiders and early investors are temporarily restricted, the tradable float is artificially limited. Investor.gov describes this as market overhang and warns that “when lock-up agreements expire, the share price may decline significantly if a large number of shares become available for sale all at once.”
More eligible shares do not guarantee more executed sales, but they change the balance of possible supply. A stock with a small float and a large locked position is more sensitive than one in which the newly eligible block is small relative to normal trading volume.

The SEC notes that “a company’s stock price may drop in anticipation that locked up shares will be sold into the market when the lockup ends.” Investors may reduce positions, hedge, or demand a lower price before the first eligible sale appears in public records. If the market has already discounted the event, the actual expiration can produce little additional movement. If selling is heavier or lighter than expected, the largest move may come after the date.

Demand and market conditions determine the outcome
Price impact depends on the number of shares eligible, the existing public float, normal daily liquidity, investor demand, valuation, the company’s recent performance and broader market conditions. A strong sector rally can absorb new supply; a weak market can magnify it. A highly valued stock that has risen sharply since its IPO may face more profit-taking than a stock whose early investors are still below their purchase price.
How to measure the potential supply
Compare unlocked shares with the public float
The most useful first calculation is:
Unlocked-share ratio = shares becoming eligible ÷ shares in the public float before the release.
For example, if 30 million shares are scheduled for release and the public float is 20 million, the eligible block equals 150% of the existing float. That does not mean 30 million shares will be sold, but it signals a materially different supply risk from a release equal to 5% of the float.

Identify who can sell
Seller identity affects how the market may interpret transactions:
- Founders and senior executives: sales can attract attention because investors may view them as information about management’s confidence, although executives also sell for taxes, diversification or personal liquidity.
- Venture capital and private-equity investors: funds may distribute or sell positions as part of portfolio management, a process that does not necessarily signal a negative view of the company.
- Employees: sales can reflect compensation-related liquidity needs and may be spread across many smaller accounts.
- Strategic or other pre-IPO holders: their incentives depend on the original investment agreement and relationship with the issuer.
Concentration matters as much as the headline share count. One holder with a large block can create a different trading pattern from thousands of employees with small allocations.
Check whether release is staggered
A prospectus may specify several dates, a percentage-based release, or an early release if the stock reaches a price threshold. Staggering can reduce one-day supply pressure, while a single large release can concentrate it. A waiver may move the date forward or alter the number of shares covered, so read the latest amendment rather than relying on an IPO calendar.
What published studies show—and what they do not prove
Academic evidence supports a possible expiration effect but does not provide a universal forecast for an individual company.

| Study | Sample or setting | Reported result | How to use it |
|---|---|---|---|
| Laura Casares Field and Gordon Hanka (2001) | 1,948 lockup agreements | Average trading volume increased permanently by about 40%; the study also reported a statistically prominent -1.5% three-day abnormal return around expiration, with larger effects for venture-capital-financed firms. | Useful historical evidence that liquidity and price can change, not a guaranteed one-company estimate. |
| James C. Brau, David A. Carter, Stephen E. Christophe and Kimberly G. Key (2004) | IPO lockup expirations | Statistically significant negative abnormal returns around expiration, linked to information asymmetry and declining incentive alignment. | Supports the idea that investors may reassess information and incentives when insiders become free to sell. |
| Chen (2012) | Insider selling and subsequent returns | Long-run returns were negatively associated with abnormal selling by senior executives but were unrelated to selling by other insiders; other-insider sales were consistent with diversification. | Seller type and unusual selling intensity matter more than a raw insider-share count. |
| Marc Goergen, Khelifa Mazouz and Shuxing Yin (2010) | 272 Hong Kong IPOs | Trading volume and bid-ask spreads rose after lock-in expiry, but there was no significant share-price change. | Shows that market structure and ownership patterns can produce a liquidity effect without a statistically significant price drop. |
These are historical samples from particular periods and markets. The reported 40% volume increase and -1.5% return are study results, not current expectations for every IPO.
How to investigate a specific company
- Open the latest IPO prospectus and amendments in SEC EDGAR. Find the sections titled “Shares Eligible for Future Sale,” “Lock-Up,” or similar language, and read any incorporated lockup agreement.
- Write down every release date. Record the number and class of shares, the holders covered, and whether the date is a single expiration or one of several scheduled releases.
- Calculate the unlocked-share ratio. Compare each block with the public float immediately before the release. Also note the total locked ownership that could become eligible later.
- Look for exceptions. Search for waivers, early-release provisions, registration rights, volume limits, price triggers and contractual sales restrictions that survive the main date.
- Separate eligibility from selling. After the date, review Form 144 notices and other insider-transaction disclosures, then compare reported sales with trading volume. Eligibility alone is not evidence that a sale occurred.
- Measure the market reaction correctly. Compare the stock with a relevant market or sector benchmark over the same period. A market-wide decline should not be attributed entirely to the lockup.
- Review the seller and transaction size. A large, unusual executive sale may carry different information content from routine diversification by a venture fund or employee group.
How to compare two IPOs facing lockup expirations
A calendar date is meaningful only in context. Use the same dimensions for each company:
| Comparison axis | Questions to answer |
|---|---|
| Unlocked shares versus float | What percentage of the existing public float becomes eligible, and how does that compare with normal daily volume? |
| Ownership concentration | Is the block controlled by one or two holders, or dispersed among employees and many funds? |
| Seller type | Are executives, venture investors, employees or strategic holders the primary potential sellers? |
| Release pattern | Does one date release everything, or are shares staggered across multiple dates? |
| Venture-capital backing | Was the issuer financed by venture investors whose holdings historically may be associated with larger expiration effects? |
| Valuation and run-up | Has the stock risen sharply or reached a valuation that could encourage profit-taking? |
| Actual selling and liquidity | Are Form 144 or other disclosures showing sales, and can ordinary volume absorb them? |
| Market and sector conditions | Is the broader market supportive, neutral or already under pressure? |
Is lockup expiration a buy or sell signal?
Why it is not a standalone sell signal
Expiration does not establish that insiders believe the shares are overvalued. Holders may retain stock, sell for diversification, meet tax obligations or distribute assets to investors. A price decline may also have been anticipated before the date. Selling solely because a lockup expires can therefore miss companies where demand is strong and little stock is offered.
Why it is not a standalone buy signal
A lower price after an unlock is not automatically a bargain. New supply can expose a valuation that depended on a small float, and executive selling may contain information when it is unusually large or inconsistent with past behavior. The event should be analyzed alongside earnings, guidance, cash needs, competitive position and valuation rather than treated as a temporary discount.
Best Value
A practical decision framework
- High potential pressure: a release much larger than the float, concentrated ownership, a sharp prior run-up and evidence of active selling. Investors may wait for volume and price discovery before adding exposure.
- Moderate or uncertain pressure: a sizable release but staggered dates, diversified sellers or strong liquidity. Monitor filings and relative performance instead of making a binary trade.
- Lower potential pressure: a small block relative to float, dispersed holders, limited selling and stable or improving fundamentals. The expiration may have little lasting effect.
Worked example using hypothetical numbers
Assume a company has a 25-million-share public float and 75 million shares held by locked investors. On the first expiration date, 20 million shares become eligible; another 15 million unlock three months later. The first block equals 80% of the existing float, so the event deserves attention even though only one quarter of all locked shares are released.
Suppose the 20 million shares are split among 12 million held by venture funds, 5 million held by employees and 3 million held by executives. If filings show no immediate executive sales and only modest fund transactions, the actual supply may be far below 20 million. If instead one fund files to sell most of its 12-million-share position while daily volume is 2 million shares, the market may need several sessions to absorb the order. Neither outcome can be inferred from the expiration date alone.
Common mistakes and how to avoid them
- Confusing outstanding shares with float: use the tradable float for the ratio, then separately track total shares eligible.
- Using an old IPO calendar: amendments and waivers can change dates and quantities; verify the latest filing.
- Assuming every eligible share is sold: inspect Form 144 and transaction reports for evidence of actual sales.
- Ignoring staggered releases: one expiration may be only the first of several supply events.
- Attributing every price move to the unlock: compare with sector and market returns and check for earnings, guidance or macroeconomic news.
- Treating all insiders alike: executive selling can carry different information from diversified fund or employee selling.
- Overgeneralizing historical statistics: the 40% volume figure and -1.5% abnormal return came from a specific academic sample and are not forecasts.
Bottom line for shareholders
A post-IPO lockup expiration changes who is allowed to sell, not who must sell. The market’s reaction depends on potential supply relative to float, the concentration and identity of holders, the timing of any staggered releases, actual transaction filings, valuation and the broader market. Read the latest prospectus, calculate the unlocked shares as a percentage of float, then verify real selling and compare the stock’s performance with an appropriate benchmark. Used that way, the expiration date is a valuable risk-management checkpoint—but never a complete investment thesis.
