What a Mortgage Portfolio Sale Means for Borrowers

A mortgage portfolio sale transfers ownership of loans, but it does not automatically change the company that collects your payments. The loan’s owner and its servicer are separate: check your official notices before changing where you pay. A sale or servicing transfer does not, by itself, rewrite your loan terms.

What a mortgage portfolio sale changes—and what it does not

A lender or other loan owner may sell a group of mortgages as a portfolio. The buyer becomes the owner of the loans, but the existing servicer may continue sending statements, collecting payments, managing escrow, and handling customer-service or loss-mitigation matters. The owner can also sell servicing rights, or keep ownership and hire another company to service the loans.

That distinction matters because an ownership change and a servicing change are not the same event. The CFPB explains what happens when a mortgage is sold; do not assume payment instructions have changed just because you hear that your loan was sold.

A sale or servicing transfer does not itself change unrelated loan terms. Regulation X requires the servicing-transfer notice to say that the transfer does not affect any loan term or condition other than terms directly related to servicing. The CFPB likewise says a sale cannot change the agreement’s terms.

Ownership transfer vs. servicing transfer

Question Ownership transfer Servicing transfer
What changes? The owner of the loan changes. The company handling payments and servicing changes.
Does the payment destination necessarily change? No. The existing servicer may remain in place. Usually, payment routing or the company accepting payments changes; follow the notice’s instructions.
What notice should you look for? A notice identifying the new owner and the effective transfer date. A notice identifying the old and new servicers, transfer date, and when each accepts payments.

The CFPB’s guidance on what happens when your mortgage payment company changes addresses servicing transfers. Use the notice—not a general announcement or an assumption—to determine whether you need to redirect a payment.

What notices to expect and when

If the loan owner changes

For a loan ownership transfer, the new owner generally must notify you within 30 days after the effective transfer date. The notice must identify the transfer date and the new owner’s name, address, and phone number. It must also provide a contact for payment issues if that contact is different.

If the servicer changes

Under the general federal rule, the former servicer generally sends notice at least 15 days before the effective date, and the new servicer generally sends notice within 15 days afterward. They may instead send one combined notice at least 15 days before the transfer. The notice identifies the transfer date, when each company stops or starts accepting payments, and contact details.

There are exceptions. Regulation X allows notice within 30 days after the effective date for certain transfers preceded by termination for cause, a servicer bankruptcy proceeding, or FDIC or NCUA conservatorship or receivership proceedings. Some transfers between affiliates, and some that do not change the payment routing or amount, are excluded from these notice rules. The text of Regulation X § 1024.33 sets out the federal servicing-transfer requirements.

What to do when a notice arrives

  1. Mark the dates. Note the effective transfer date, the last date the old servicer accepts payments, and the first date the new servicer accepts them.
  2. Verify the new instructions. Check the new servicer’s name, contact information, payment address, and account instructions in the notice.
  3. Update payments you control. Change automatic bill pay through your bank or credit union if the payment destination is changing. Allow extra time for mailed payments.
  4. Check the next statement. Confirm that your payment was received and credited correctly.
  5. Keep your records. Save the notices, payment confirmations, and relevant loan documents. If a payment, escrow item, or pending loss-mitigation matter appears disrupted, contact both servicers and consider sending an information request or notice of error.

If you accidentally pay the former servicer

Federal law provides a 60-day protection period beginning on the servicing-transfer date. If the former servicer receives your payment on or before its due date—including any applicable grace period—during that period, it cannot treat the payment as late or charge a late fee because it went to the old servicer. The former servicer must promptly forward the payment for application or return it and tell you where to pay.

This protection applies to a payment mistakenly sent to the former servicer; it is not a reason to ignore the new notice or delay updating your payment instructions. For the rule’s details, see Regulation X § 1024.33(c).

Check escrow and any active loss-mitigation matter

Servicing records should carry over the loan terms, unpaid principal balance as of a specific date, escrow information, and loss-mitigation applications and agreements. CFPB guidance on mortgage-servicing transfers notes that incomplete records can cause problems, including delays in paying property taxes or insurance from escrow.

After a transfer, promptly contact the servicers if an escrow balance or payment is missing, a tax or insurance payment appears delayed, or an application or agreement is not reflected in the new servicer’s records. Keep copies of what you send and any responses.

What this means for your next payment

A portfolio sale alone does not tell you where to send your next payment. If the servicer is unchanged, the payment process may stay the same; if servicing transfers, use the dates and routing instructions in the servicing notice. Keep proof of payment and review your next statement.
