On S&P Global Ratings’ long-term scale, a rating below BBB− is speculative-grade, commonly called “junk.” It means the issuer can currently meet its obligations but faces significant uncertainties that could weaken repayment capacity. It is not a declaration of default, insolvency, poor technology or low equity value. Nor does a privately held company automatically have a private rating: ownership and rating distribution are separate questions.
What “junk” means on S&P’s scale
“Junk” is market shorthand. S&P Global Ratings generally uses speculative-grade for debt below the investment-grade boundary. On its long-term scale, BBB− is the lowest investment-grade category. BB+ is the highest speculative-grade category, so BB+ and every lower category fall on the speculative-grade side.

| S&P long-term category | Meaning in the rating framework | What it does not establish |
|---|---|---|
| BBB− | Lowest investment-grade category on this scale | It is not a guarantee that repayment will occur. |
| BB+ | Highest speculative-grade category; below BBB− | It does not mean the issuer has defaulted. |
| B | The issuer is more vulnerable, but currently retains capacity to meet financial commitments. | It is not a finding that the business has no viable product or future. |
| D | Payment default or specified default-related circumstances | A speculative-grade rating is not the same as D. |
S&P’s 2024 Guide to Credit Rating Essentials describes non-investment-grade or speculative-grade debt as debt whose issuer currently has the ability to repay but faces significant uncertainties, including adverse business or financial circumstances that could affect credit risk. The important distinction is between present capacity and future vulnerability: a junk-rated borrower may be paying on time while carrying materially more uncertainty than an investment-grade borrower.

What the rating says about a private AI company
The rating is an opinion about relative credit risk: how likely the entity or a particular obligation is to meet its financial commitments as they come due. It is not a technical assessment of an AI model, a judgment about the quality of an app, or a valuation of the company’s shares.

AI does not create a special rating category
A private AI company is evaluated under the same credit-rating concept as another corporate borrower. Its industry, revenue model, funding structure and financial circumstances can affect the analysis, but the label itself does not establish that AI businesses are inherently speculative-grade. The title alone supplies no evidence that any particular AI company has been rated.
“Currently able to repay” matters
A speculative-grade designation can describe a company that is meeting payments today. The concern is that business or financial conditions could change enough to impair repayment. A B rating, for example, signals greater vulnerability while retaining current capacity. The distance between that rating and D is significant: D is reserved for payment default or specified default-related situations.
It is not an equity verdict
S&P advises investors to consider other factors and perform their own analysis. A credit rating does not guarantee repayment, measure the company’s complete prospects, or tell an equity investor whether the shares are attractive. It also does not by itself prove insolvency, product failure or weak engineering.

First identify what has been rated
“The company has a junk rating” can be imprecise. Credit analysis distinguishes an issuer rating from an issue rating, and the difference can change how a reader should interpret the symbol.
| Rating type | What it covers | Why the distinction matters |
|---|---|---|
| Issuer rating | The entity’s general creditworthiness and capacity to meet obligations as they come due | It is a broad view of the company’s credit profile, not a rating of every individual debt instrument. |
| Issue rating | A particular loan, bond or other obligation | Seniority, collateral and repayment terms can make that instrument’s risk differ from the issuer-level view. |
For example, a private AI company could have an issuer rating in speculative-grade territory while a specific secured loan receives a different assessment because its collateral and priority provide additional protection. Conversely, a junior or unsecured obligation may carry more risk than the general issuer view suggests. The rating symbol must therefore be read together with the instrument’s legal terms.
Private ownership is not the same as a private rating
Privately held describes who owns the company. Private rating describes who receives the rating. These are separate dimensions.

Public ratings
A rating on a private loan transaction can be made public. The company can remain privately owned while the rating and related information are distributed broadly.

S&P describes a private rating as one shared with a limited set of recipients. Distribution is restricted, but the rating is still a formal credit opinion for the agreed audience.
Confidential issuer ratings
A confidential rating is prepared for internal use and is not distributed externally. A reader who cannot find a public rating cannot automatically conclude that the company has no rating; the opinion may be private or confidential, or the entity may simply be unrated.

Credit estimates and private credit analysis
S&P also distinguishes a credit estimate from a formal rating. A credit estimate can indicate the credit standing of an otherwise unrated entity. Its private credit analysis is described as a more detailed, point-in-time opinion without a public rating or ongoing surveillance. These products should not be presented as interchangeable with a publicly monitored issuer rating.
How to read a junk rating correctly
- Name the agency and scale. “Below BBB−” has the meaning established here for S&P Global Ratings’ long-term scale. Symbols and regulatory treatment can differ by agency and jurisdiction.
- Write down the exact symbol. BB+ is the highest speculative-grade category; a lower symbol indicates a position farther down that scale, but it still is not automatically a default.
- Check the unit being rated. Determine whether the symbol applies to the company as an issuer or to a specific loan, bond or other obligation.
- Read the debt terms. For an issue rating, examine seniority, collateral and repayment structure. Those features can make the instrument’s risk different from the issuer-level assessment.
- Check how the opinion is distributed. Establish whether it is public, shared privately with a limited audience, confidential, a credit estimate or a private credit analysis.
- Use independent analysis. Review the company’s actual financial information, obligations and circumstances rather than treating the rating as a guarantee or a complete business assessment. S&P’s own guide says a rating is one input among others.
What a speculative-grade label does—and does not—tell stakeholders
For company management
The label communicates that lenders should expect greater uncertainty around repayment than they would for an investment-grade borrower. It does not prescribe one financing structure or prove that the company cannot raise money. The practical effect depends on the specific instrument, counterparties, information available and negotiated terms; the rating alone does not establish a price, maturity or covenant package.
For lenders and other creditors
The rating provides a standardized view of relative credit risk, but creditors still need to analyze the obligation they may hold. A loan’s collateral, seniority and repayment structure can change its risk compared with the issuer rating. A private distribution also limits who can rely on the opinion, so access to the rating should not be confused with public market transparency.
Best Value
For equity investors, employees and business partners
A debt rating should not be used as a standalone measure of equity value, product quality or employment prospects. It addresses repayment of obligations, not the full range of commercial or technological outcomes. A company can have promising technology and still face material credit uncertainty, or have a speculative-grade rating for financial reasons that say little about the quality of a particular model.
Why private-credit context can make the label harder to interpret
S&P Global has described private credit markets as largely unrated and less transparent than broadly syndicated loan markets. Its discussion also notes that private-credit valuations do not receive the same secondary-market price signals. That context is about market structure, not proof that every private AI company is speculative-grade and not a current forecast. A limited-distribution rating can be useful to its recipients while remaining invisible to the wider market.
In one S&P Global article, the agency reported that about 75% of borrowers rated B and below—about 50% of all speculative-grade corporate borrowers in the stated population—were fully or partially private-equity owned. Those figures describe that article’s borrower population and should not be generalized to all private companies, private AI companies or current market conditions.

Example 1: private ownership, public distribution
Suppose a privately held AI software company receives a BB+ issuer rating and the rating is published. BB+ is speculative-grade on S&P’s long-term scale, but it is also the highest category below BBB−. The company’s ownership remains private; the rating’s distribution is public. Nothing in that combination indicates a default.
Example 2: different risk for a specific obligation
Suppose the same type of company has a B issuer rating, while a senior secured loan receives a separate issue rating. The issuer-level symbol communicates greater vulnerability with current capacity to meet commitments. The loan’s seniority and collateral may cause its assessment to differ. Readers must examine both the issuer symbol and the loan’s terms rather than treating “the company’s rating” as a single risk number.
The essential takeaway
For S&P Global Ratings, “junk” means speculative-grade debt below BBB−, beginning at BB+. It signals meaningful uncertainty about future credit risk, not an automatic default. To interpret a private AI company’s status, keep three questions separate: how risky the credit is, whether the rating covers the issuer or a particular instrument, and who is allowed to receive the rating. Private ownership answers none of those questions by itself.
