It does not normally make an office tenant a borrower or replace the tenant’s lease. Your right to occupy the suite comes from the lease, while the mortgage gives the lender rights against the owner’s property and, in many loan documents, the leases and rents associated with it.
The mortgage becomes important if the owner defaults, the lender seeks rent directly, foreclosure changes ownership, or a successor landlord takes over. The practical result depends on your lease, any subordination, non-disturbance and attornment agreement (SNDA), the notices you receive, and the law governing the property.

The mortgage and your lease are different interests
The Office of the Comptroller of the Currency (OCC) describes the owner’s leased-fee interest as ownership of the property subject to rights conveyed by a lease. The tenant has a separate leasehold interest: the contractual right to use and occupy defined space. The OCC’s Commercial Real Estate Lending Comptroller’s Handbook, version 1.1, states that “the leasehold interest is the right held by a tenant (the lessee) for use and occupancy as conveyed by the landlord.”

|---|---|---|
| Commercial real estate mortgage | The lender and property owner | The lender’s security interest in the building and related enforcement rights if the loan is not performed |
| Lease | The tenant and landlord | Term, rent, premises, services, repairs, use restrictions, defaults and remedies |
| Leasehold interest | The tenant | The tenant’s right to use and occupy the premises under the lease |
| Assignment of leases and rents | Usually the lender as collateral beneficiary | Potential lender rights to collect rent or enforce lease-related collateral after a defined event |
| SNDA | Tenant, landlord and often lender | Whether the lease survives mortgage enforcement, whether the tenant recognizes a successor owner, and related notice and cure terms |
Signing a lease generally does not make you responsible for the owner’s mortgage payments. Conversely, the existence of a mortgage does not by itself tell you whether the lender can terminate, ignore or modify your lease. Priority rules, the lease language, an SNDA and applicable state law determine that outcome.

How a mortgage can affect normal office operations
The building may operate normally
Many mortgaged office buildings continue operating without any tenant-facing change. The owner remains landlord, rent is paid as the lease specifies, and building services continue under the lease. A mortgage alone is not evidence that a default has occurred.
Loan documents may cover leases and rents
Federal Reserve commercial real estate underwriting guidance identifies assignment of leases and rents as a possible part of a lender’s collateral package. That means the loan documents may give the lender contractual rights over rent streams, but it does not tell you when those rights become enforceable against your tenancy. Look for the lease’s payment provisions and any separate notice that is legally effective under the governing law.
A new payment instruction needs verification
An unexpected email, letter or portal change directing rent to a different account may be legitimate, but a tenant should not rely on an unverified request. Confirm the sender’s authority, the property and suite covered, the effective date, the amount due, and whether the instruction cites the lease, a court order, a receivership, an assignment of rents or a transfer of ownership. Keep paying undisputed amounts on time while promptly seeking written clarification; do not simply stop paying.
What happens if the owner defaults?
Default does not produce one automatic result. The OCC lists several possible workout paths, including renewal or extension of the loan, additional credit, restructuring of terms and foreclosure. A lender and owner may negotiate for months, cure the problem, sell the property or pursue enforcement. A tenant cannot predict the result from a rumor or a single missed payment.

| Possible path | What a tenant may see | What controls your rights |
|---|---|---|
| Loan extension or renewal | No immediate change, although ownership or management communications may change | Your lease, any amended agreements and valid notices |
| Restructuring or additional credit | Continued operation, sometimes with a new manager or lender contact | The lease and the authority of whoever communicates with you |
| Sale or receiver appointment | New payment instructions, management company, service contacts or access procedures | Transfer documents, applicable law, lease recognition and notice requirements |
| Foreclosure or other enforcement | A successor owner may demand attornment or seek to enforce its rights | Mortgage priority, SNDA terms, lease language and jurisdiction-specific law |
Do not assume that a landlord’s default automatically ends your lease. Do not assume the opposite either. A lease signed after a mortgage, a lease recorded in public records, a non-disturbance promise and local foreclosure rules can materially change the analysis.
SNDA: the agreement that can preserve occupancy
SNDA stands for subordination, non-disturbance and attornment agreement. Pennsylvania’s Department of General Services describes an NDAA as “a legal document used in real estate, particularly in commercial leasing.” Its explanation separates three functions:
Subordination
Subordination addresses priority between the lease and the mortgage. A tenant may agree that the mortgage has priority, often in exchange for protections elsewhere in the agreement. Priority language should be read with the non-disturbance promise; subordination by itself is not a promise that the tenant will be removed.

Non-disturbance is the lender’s commitment, subject to stated conditions, not to disturb the tenant’s possession if the mortgage is enforced. The operative text may require the tenant to be current, to recognize a successor and to follow other lease obligations. The initials “SNDA” do not guarantee protection unless the signed agreement contains an enforceable promise.

Attornment
Attornment is the tenant’s agreement to recognize a lender, foreclosure buyer or other successor as the landlord after a defined event. It can provide continuity by identifying who may collect rent and perform landlord duties. It may also bind the tenant to a new owner even when the original owner no longer controls the building.
Whether an SNDA is required, who signs it, and when it becomes effective are document- and jurisdiction-specific questions. Keep the fully executed version with the lease and amendments.
Lease and SNDA terms an office tenant should review
The South Carolina government office lease form illustrates the kinds of provisions parties can negotiate. It is an example, not a universal commercial lease rule. Review your own documents for these points:
- Mortgage priority: Is the lease subordinate to existing or future mortgages? Is there a non-disturbance commitment from the lender?
- Attornment: Must you recognize a lender, foreclosure purchaser, receiver or other successor as landlord, and after which event?
- Rent direction: Can the lender collect rent directly? What written notice, proof of authority or payment address is required?
- Security deposits and advance rent: Does a successor have to recognize amounts already paid, and must those funds be transferred?
- Notice and cure: How long does the landlord have to cure a breach? Does the lender receive notice and an additional cure period?
- Landlord obligations after transfer: Must the successor continue maintenance, services, insurance, repairs, options and other promises?
- Tenant remedies: What can you do if a successor will not perform, and are there limits on setoff, termination or damages?
- Recording and estoppel: Does the lease require a memorandum, tenant estoppel certificate or confirmation of lease status?
Definitions matter. “Mortgagee,” “successor landlord,” “foreclosure,” “default” and “notice” may each have a narrower meaning in the document than in ordinary conversation.

How to respond to a rent-redirection notice
Use a deliberate process when anyone other than your landlord asks you to change where rent goes.
- Compare the request with the lease. Check the payment address, permitted notice methods, required lead time and any clause concerning assignment of rents or a change in ownership.
- Authenticate the sender. Call a known landlord or property-management number, not only the number in the unexpected message. Ask for the legal name of the owner, lender, receiver or manager and the authority under which the instruction is issued.
- Request supporting documents. Ask for a signed notice, assignment, court or receivership order, closing or transfer notice, or other document identified by the lease and applicable law. Protect confidential tenant information when transmitting records.
- Confirm the effective date and scope. Verify which premises, rent components, deposits and recurring charges are covered. A new account for base rent may not answer who receives operating-expense reconciliations or other charges.
- Record your communications. Save letters, emails, delivery confirmations, payment receipts and call notes. These records can show that you acted promptly and consistently.
- Escalate a dispute quickly. If two parties demand the same rent, a payment deadline is near, or a lockout is threatened, have counsel review the lease and notices under the property’s governing law before taking an irreversible step.
Do not pay twice merely because two parties send conflicting demands. Do not redirect rent to an account that cannot be tied to an authenticated, legally effective instruction.
What foreclosure or a successor owner can change
A foreclosure purchaser or other successor may become the party asking for rent and enforcing building rules. The successor’s duties depend on the lease, the SNDA, the transfer documents and applicable law. Some agreements expressly require the successor to honor the term, options, deposits and continuing services; others preserve only narrower rights.

Check whether the successor must assume every landlord obligation or only obligations arising after it takes title. A clause may address future repairs but say little about prepaid rent, tenant improvements, outstanding service failures or claims against the former owner. Keep separate records of conditions that existed before the transfer and notices sent to the original landlord.
Best Value
A new owner may also ask for an estoppel certificate confirming rent, term, options, defaults and amendments. Compare the certificate with your lease before signing. An inaccurate certificate can undermine rights you later need to prove.
Comparing two leases or SNDAs
If you are choosing between office spaces or negotiating a renewal, compare the mortgage-related protections directly rather than treating an SNDA as a box to check.
| Decision axis | Questions to ask | Why it matters |
|---|---|---|
| Disturbance risk | Can mortgage enforcement terminate or disturb possession? Is non-disturbance unconditional or tied to tenant performance? | Determines how much occupancy security survives an owner default. |
| Notice and cure | Must the lender receive notice? Does it receive a separate cure period, and how are notices delivered? | Creates time for a lender to cure a landlord breach before enforcement affects the tenant. |
| Rent and deposits | Who may redirect rent, what proof is required, and will a successor recognize deposits and prepaid rent? | Reduces payment disputes and the risk of paying an unauthorized recipient. |
| Successor performance | Must the successor perform repair, service, option, insurance and improvement obligations? | Clarifies whether the building’s operating promises continue after a transfer. |
Ask for written answers to unresolved points. A business-critical tenant may seek a lender-signed SNDA before signing or moving in, while a smaller tenant may at least require clear notice, payment and successor-obligation language.
Practical records to keep
- The signed lease, every amendment, exhibit, renewal and side letter
- The executed SNDA or lender recognition agreement
- Proof of security deposits, advance rent and tenant-improvement payments
- Rent ledgers, cancelled checks or electronic receipts
- Landlord notices, lender notices, management changes and delivery confirmations
- Open repair, service, insurance and access requests with dates and photographs where appropriate
Store copies outside the premises and give access to the people responsible for finance, facilities and legal decisions. A successor or lender may ask for documents on a short deadline.
Why the answer is jurisdiction-specific
Federal OCC and Federal Reserve materials explain lending and collateral concepts; a Pennsylvania government page explains SNDA terminology; and a South Carolina government lease form demonstrates provisions parties can write into an agreement. None creates one nationwide rule for every office tenant.
The controlling questions include the property’s state law, mortgage and lease priority, whether documents were recorded, the wording of any SNDA, the validity of notices, and whether a court, receiver or foreclosure process is involved. No property-specific mortgage, lease, title record, foreclosure filing or lender notice has been reviewed here. For an actual default, foreclosure, disputed rent demand or proposed estoppel certificate, have a lawyer licensed where the property is located review the documents and deadlines.
