It tells you that a large reported trade took place—not why the client traded, whether the client will retain the shares, or where the stock price will go next.
To evaluate one, first verify the exchange notice and its quantity, price, date and client details. Then place the quantity against the company’s listed-share count, examine price and volume around the trade, and check later shareholding or company filings. Treat the disclosure as one piece of evidence, not as an automatic buy or sell signal.

What “bulk deal” means in India
In the Indian regulatory framework, a bulk deal is a transaction, or a set of transactions, in one stock where the total quantity bought or sold during the day is more than 0.5% of the company’s equity shares listed on that exchange. The threshold uses the listed-share denominator for the relevant exchange. It is not a percentage of that day’s trading volume.
Recommended Free Tools
A single normal-market trade can cross the threshold. Several normal-market trades by the same client, or trades that are reportable under the exchange’s disclosure process, can also reach the threshold when counted for the day. The key features are the cumulative quantity, the security and exchange involved, and execution in the normal market segment.

A simple threshold example
Suppose a company has 20 crore equity shares listed on an exchange. Half of one percent is 10 lakh shares. A normal-market purchase of 12 lakh shares would cross the bulk-deal threshold. The same conclusion could result from several qualifying trades whose total reaches more than 10 lakh shares during that day.
This calculation does not tell you whether the buyer’s eventual holding is 12 lakh shares, much larger, or much smaller. It only establishes that the reported day’s transaction quantity crossed the disclosure threshold.
What the exchange disclosure tells you
The broker reports the transaction to the exchange immediately after execution. The exchange then makes the information public after market hours on the same day. The prescribed disclosure identifies the trade rather than the client’s complete investment case.

Fields normally included
- The stock or scrip.
- The client’s name.
- Whether the reported side was a purchase or a sale.
- The quantity bought or sold.
- The traded price.
- The relevant trade date and exchange disclosure.
Client-level reporting improves transparency around unusually large transactions. NSE’s original implementation circular described the purpose as helping prevent rumours and speculation about large trades from creating unnecessary volatility.
Information the filing does not provide
- The client’s reason for trading.
- The client’s broader portfolio or existing holding in the company.
- The investment horizon or intended exit date.
- Whether the client will continue buying or selling.
- Whether the disclosed quantity represents the client’s entire position.
- A forecast of the stock’s next price move or future return.
A disclosed name can therefore be useful for identification without being a complete explanation. Even when the client is well known, the notice alone does not prove that the trade was a long-term investment, a short-term position, a transfer or a sale of a lasting stake.
Bulk deal versus block deal
“Bulk” and “block” describe different regulatory concepts. A bulk deal is identified by the quantity accumulated during the day in the normal market. A block deal is a large transaction executed as a single trade through a separate exchange window.
| Comparison point | Bulk deal | Block deal |
|---|---|---|
| How it qualifies | More than 0.5% of the company’s equity shares listed on the relevant exchange, reached in one or multiple same-day normal-market transactions. | A single large transaction executed through the exchange’s block-deal mechanism. |
| Execution venue | Normal market segment. | Separate block-deal window. |
| Size condition | More than 0.5% of listed equity shares. | Minimum order size of ₹10 crore under SEBI’s consolidated Trading chapter dated December 2024. |
| Price condition | The bulk-deal definition does not add the block window’s price-band condition. | Orders must be within ±1% of the applicable reference price. |
| Current windows specified by SEBI | No separate bulk-deal window is created by the definition. | Morning window: 08:45–09:00; afternoon window: 14:05–14:20. |
| Settlement condition | The bulk-deal definition concerns the disclosure threshold and normal-market execution. | Delivery is required; same-day squaring off or reversal is not permitted. |
| Public dissemination | Exchange disclosure after market hours on the same day. | Exchange disclosure after market hours on the same day. |
The ₹10 crore minimum, ±1% reference-price range, windows and delivery rule are block-deal conditions. They are not additional requirements for a bulk deal. Older descriptions of block-deal rules, including the framework discussed in SEBI’s 2005 circular, should not replace the current conditions in the consolidated December 2024 chapter.

How to read a bulk-deal notice correctly
- Identify the exchange. Confirm whether the notice came from NSE or BSE. The 0.5% denominator is the equity shares listed on the exchange whose disclosure you are reading.
- Check the security and date. Make sure the notice refers to the exact company and the intended trading day, rather than a similarly named security or an older disclosure.
- Separate buy from sell. A client name appearing in a notice is not enough; determine whether the reported quantity was bought or sold.
- Record quantity and price together. Quantity shows the scale of the reported transaction, while price shows the level at which it was executed. Neither field reveals the client’s average cost or total position.
- Confirm that it is a bulk, not block, disclosure. A single large trade through a block window follows a different rule. Do not apply the 0.5% normal-market test to infer block-deal compliance, or the ₹10 crore block minimum to infer a bulk deal.
Keep a copy or dated record of the original exchange notice. Later articles may paraphrase the trade or omit whether it was a buy or sell, which can change the interpretation completely.
A practical method for evaluating the deal
1. Put the quantity against listed shares
Calculate the disclosed quantity as a percentage of the company’s listed equity shares on that exchange:
reported quantity ÷ listed equity shares × 100
Compare the result with the “more than 0.5%” trigger. This tells you how close the transaction was to the disclosure line and whether the quantity was substantially larger than the minimum. It does not measure the trade’s importance relative to daily turnover, free float, market capitalisation or the client’s total ownership.
Do not substitute daily volume for listed shares. A trade can be a bulk deal even when the day’s turnover is unusually high, and a transaction’s percentage of daily volume is a separate calculation requiring suitable volume data.
2. Examine price and volume around the trade
Look at the stock’s price and trading activity before, during and after the disclosed session. Ask:
- Did the price move before the disclosure, during the session or only afterward?
- Was the move broad-based across the market or specific to this stock?
- Was there unusual volume, or was the stock trading thinly?
- Did another company announcement, sector event or market-wide event occur at the same time?
This is context, not proof of causation. The after-hours filing identifies a trade, but it does not establish that the trade caused a same-day price move. A price reaction can reflect other news, liquidity conditions, expectations or the behaviour of many unreported participants.
3. Look for corroborating disclosures
Review subsequent company and exchange filings before describing the transaction as a lasting stake build or exit. Useful corroboration can include later shareholding information, promoter-related notices and other material company disclosures.

A bulk-deal notice by itself cannot establish that a promoter has exited, that an institution has begun a long-term accumulation programme or that a new strategic investor has taken control. Those conclusions require evidence beyond the prescribed trade fields.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →4. Consider plausible transaction purposes
Large reported trades can have more than one explanation. NSE research has noted that bulk trades may reflect institutional transfers or private arrangements, including family and group-company transfers. The same research also observed that revealing the participants can influence market perception and prices.
Those are possible categories, not a diagnosis of any particular current deal. The client name, quantity and price do not disclose the private agreement, financing arrangement or portfolio decision behind the trade. Use a conditional description unless later filings confirm the purpose.
5. Check whether the buyer or seller kept trading
One disclosure is a snapshot of reported activity for a day. Subsequent notices may show additional purchases or sales, but an absence of another notice does not prove that the position was closed or retained. The bulk-deal fields do not provide a live position ledger.
When assessing a continuing stake, distinguish between what is reported in exchange notices and what is established by later shareholding disclosures. A single client-level transaction should not be converted into a claim about the client’s total holding.

6. Match the conclusion to the evidence
A disciplined conclusion might say that a named client bought or sold a specified quantity at a specified price and that the amount crossed the regulatory threshold. It should avoid turning that fact into an unsupported valuation, motive or return forecast.
- Supported: the transaction details published by the exchange.
- Reasonable context: the transaction’s size relative to listed shares and the stock’s surrounding price and volume.
- Unestablished without more evidence: motive, total ownership, duration of the position, causation and future performance.
Does a bulk-deal buy mean the stock will rise?
No. A disclosed buy can attract attention because the participant may be perceived as informed or financially sophisticated, but the filing does not establish that the buyer has superior information, that the purchase is long term or that the price is undervalued.

The buyer could be reallocating assets, transferring shares within an institution or group, implementing an arrangement agreed for reasons unrelated to the public market price, or taking a position that will later be reduced. The trade price is the execution price for that transaction, not a target price.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Does a bulk-deal sell mean the stock will fall?
No. A disclosed sale does not prove that the company’s prospects have worsened or that the seller expects a decline. A seller may be rebalancing, meeting liquidity needs, transferring shares, or reducing a position for reasons that do not apply to other investors.
Price may fall after a large sale because available liquidity is limited, or it may rise if the market interprets the transaction positively. Neither outcome proves that the disclosed trade caused the move or predicts what happens next.
Common mistakes and how to avoid them
Calling every large trade a bulk deal
Size alone is not enough. Verify the 0.5% listed-share test and whether the trades occurred in the normal market. A single transaction in a block window belongs to the block-deal framework.
Using daily turnover as the threshold
The regulatory trigger is based on listed equity shares, not the number of shares traded that day. Daily turnover can add useful context but cannot replace the denominator in the rule.
Assuming the disclosed quantity is the client’s full stake
The notice reports the transaction, not the client’s complete portfolio. Avoid statements such as “the investor now owns exactly this amount” unless another filing establishes that holding.
Treating the client name as an investment recommendation
Identification is not endorsement. A client’s resources, mandate, risk tolerance and time horizon may be entirely different from those of a reader evaluating the stock.
Best Value
Reading an after-hours notice as a real-time signal
The exchange disseminates the information after market hours on the same day. By the time it is public, the market has already traded through the session in which the transaction occurred. A notice is therefore a dated disclosure, not a guaranteed early entry signal.
Applying old block-deal rules to current trades
Historical circulars explain why separate large-trade mechanisms were created, but current block-deal windows, value and price conditions should be taken from SEBI’s consolidated December 2024 Trading chapter. Do not carry an old window or value requirement into a current analysis without checking its date.
A repeatable checklist for investors and reporters
- Save the NSE or BSE notice and note the publication date.
- Write down the scrip, client, buy or sell side, quantity and traded price.
- Find the listed equity-share count for the relevant exchange.
- Calculate the reported quantity as a percentage of listed shares.
- Confirm that the transaction was reported as a normal-market bulk deal rather than a block deal.
- Review price and volume before, during and after the session.
- Check other company, promoter and exchange disclosures for corroboration.
- Record alternative explanations instead of choosing a motive from the client name alone.
- Label statements as fact, context or inference.
- Do not make a buy, sell or return prediction from the notice alone.
Why the disclosure exists
The bulk-deal disclosure initiative was designed to improve visibility around large trades and reduce the scope for rumours or speculation to drive volatility. Reporting the client, quantity and price gives the market a common factual record after the session.
The separate block-deal framework addresses a related but different market need. SEBI’s 2005 circular described a “felt need of the market to execute large trades through a single transaction easily without putting either the buyer or the seller in a disadvantageous position.” That historical rationale explains the existence of a dedicated block window; it does not turn a bulk-deal notice into a forecast.
What a careful conclusion looks like
A sound reading of a bulk deal stays close to the evidence: “On the stated date, the named client bought or sold the reported quantity of the stock at the reported price, exceeding 0.5% of the equity shares listed on that exchange.” You can then add measured context about the stock’s price, volume and later filings.
Do not add that the client is necessarily informed, that the trade caused a price change, that the client has taken a permanent stake, or that the stock will rise or fall. The reviewed regulatory material does not establish a predictive performance rate for bulk deals. The useful decision is whether later evidence supports a stronger interpretation—not whether the headline itself feels bullish or bearish.
