Broadly, buy is favorable, hold or neutral is more restrained, and sell is unfavorable. The precise meaning depends on the firm’s definitions, benchmark, and time horizon.
What a broker stock rating tells you
Sell-side analysts typically work for broker-dealers and publish research and recommendations on securities they cover. A rating compresses an analyst’s view into a short label; it does not explain the full reasoning behind that view. The U.S. Securities and Exchange Commission (SEC) advises investors to read the definitions in the specific research report because firms do not use rating terms uniformly. How buy, hold, and sell differ
| Rating | Broad reading | What the label alone does not tell you |
|---|---|---|
| Buy | The analyst’s view is favorable under that firm’s rating system. | It does not guarantee a gain, set a universal expected return, or establish that the stock suits every investor. |
| Hold or neutral | The analyst’s view is comparatively restrained or not a strong directional call under that firm’s definitions. | It does not automatically mean “sell.” Check the report’s exact definition, benchmark, and horizon. |
| Sell | The analyst’s view is unfavorable under that firm’s rating system. | It does not by itself establish that every investor should sell immediately. |
Firms may use other terms, including “strong buy,” “accumulate,” “over-perform,” and “under-perform.” Even when two reports use the same label, their definitions may differ. A historical joint SEC and FINRA report says rating definitions should be consistent with plain meaning; it gives “hold” as an example of a rating that should not mean or imply that an investor should sell. What to examine in the research report
- Rating key and horizon: Find the firm’s definition of the rating and whether it is tied to a time period or performance relative to a benchmark. Do not compare labels mechanically across firms.
- Thesis and risks: Identify the company facts and assumptions supporting the analyst’s view, plus the risks or developments that could undermine it. FINRA recommends considering a company’s operations, finances, industry position, and risks when evaluating a stock. FINRA: Evaluating Stocks
- Price target, if included: Read it with the assumptions and time horizon behind it. A target is part of an analyst’s analysis, not a certain future price. SEC guidance describes report disclosures that can include historical price charts marked with rating and target changes. SEC: Analyzing Analyst Recommendations
- Disclosures: Check for relevant financial interests and investment-banking relationships involving the analyst or firm. The SEC discusses these potential conflicts and rating-distribution disclosures in its investor alert. A conflict is a reason to weigh the analysis carefully, not proof that its conclusion is wrong. SEC investor alert
- Corroboration: Compare the thesis with company information and other research. FINRA identifies independent analyst research and consensus reports as options, while cautioning that material from other sources may not carry the same protections. Treat claims on social media especially carefully if financial interests are not clear. FINRA: Evaluating Stocks
- Your circumstances: Consider whether the analysis fits your goals, risk tolerance, time horizon, and portfolio context. A sell-side rating is not an individualized investment plan.
How to interpret ratings when analysts disagree
Do not settle a disagreement by counting buy, hold, and sell labels. Compare each analyst’s rating definitions, horizon, benchmark, assumptions, evidence, stated risks, and disclosures. Different conclusions may reflect different assumptions, not necessarily an error by either analyst. Treat disagreement as a reason to inspect the analysis and seek corroboration.
#1 Best Overall
A rating can influence a share price, particularly when it is widely disseminated, but it should not replace your own research. The SEC’s Investor.gov guidance says not to rely solely on analyst recommendations when deciding whether to buy, hold, or sell a stock. Investor.gov: Securities Analyst Recommendations
