Your number of shares increases, but in a proportional issue your percentage ownership of the company generally stays the same. Because the company now has more shares outstanding, the theoretical price per share is adjusted downward; that arithmetic adjustment alone does not make you richer.
The actual result depends on the issuer’s terms, the relevant share class, market dates, trading conditions, settlement process and your jurisdiction’s tax rules.

What a bonus issue is
A bonus issue is an allotment of new shares to existing holders without requiring them to pay additional cash. HM Revenue & Customs describes a scrip issue as new shares issued in proportion to existing holdings, while the Australian Securities and Investments Commission explains bonus shares as extra shares supplied at no extra cost.

Read the ratio in words because notation varies between markets. “One for four” means one new share for every four already held. “Two for one” means two new shares for every one already held.

A bonus issue generally applies to all holders of the relevant class on the stated eligibility terms. It is not a cash payment and does not, by itself, give one shareholder a larger proportion of the company than another holder who receives the same proportional entitlement.
How the ratio changes your share count
Calculate the entitlement by multiplying your eligible holding by the number of new shares per existing share, or by dividing when the announcement is expressed as a block ratio.
- Identify the eligible number of shares you hold on the issuer’s record date.
- Convert the announced ratio into a per-share entitlement.
- Calculate the new shares: eligible shares × (new shares per existing share).
- Add the new shares to your original holding.
HMRC’s one-for-four example
With 100 existing shares and a one-for-four bonus, divide 100 by four to get 25 new shares. Your total becomes 125 shares. The new shares are issued free under the terms of the bonus.
A two-for-one illustration
An investor-facing calculation published by Zerodha illustrates a 2:1 bonus. A holder of 100 shares receives 200 additional shares, ending with 300. If the pre-adjustment price is ₹10, dividing ₹10 by three gives an arithmetic theoretical price of about ₹3.33 per share. The example’s aggregate value remains ₹1,000 before any other market movement: 100 × ₹10 before the issue and approximately 300 × ₹3.33 after it. Zerodha presents this as an illustration, not a guaranteed market price or forecast.
Does a bonus issue increase your ownership?
In a proportional issue, your share count and the company’s total share count rise in the same ratio. Suppose you own 100 of a company’s 10,000 shares, or 1%. After a one-for-four bonus you hold 125 shares, and the company has 12,500 shares. Your stake is still 125 ÷ 12,500 = 1%.
This assumes the issue covers the relevant class on the same terms and that no other capital change alters the calculation. A bonus issue alone does not give you a larger percentage claim on voting rights, dividends or assets. It gives you more units representing the same proportionate interest.

Why the theoretical price falls
When more shares represent the same company, the value represented by each individual share is divided across a larger number of units. If the ratio is r new shares for each old share, the simple theoretical adjustment is:
Theoretical post-bonus price = pre-bonus price ÷ (1 + r)
For a one-for-four issue, r is 0.25, so the theoretical price is 80% of the pre-adjustment price. For a two-for-one issue, r is 2, so the theoretical price is one-third of the prior price.
This is an arithmetic reference point, not a promise about the price at which the shares will trade. Prices also respond to earnings, news, supply and demand, market conditions, investor expectations and the company’s actions. A share can trade above or below the theoretical adjustment once trading resumes.
What changes and what does not
| Item | Effect of a proportional bonus issue |
|---|---|
| Your number of shares | Increases according to the announced ratio. |
| Cash paid by you | No subscription cash is required for the bonus shares. |
| Your percentage ownership | Generally unchanged when all holders in the relevant class receive the same proportion and no other capital changes occur. |
| Total shares outstanding | Increases by the number of bonus shares issued. |
| Theoretical price per share | Adjusted downward to reflect the larger share count. |
| Actual market price | Not fixed by the formula; trading can move for other reasons. |
| Company cash raised | A bonus issue does not require shareholders to subscribe cash, so it is not a cash fundraising offer in the way a rights issue is. |
Educational material from the Saudi Capital Market Authority describes the accounting concept as a transfer from reserves to the share-capital account, alongside a corresponding theoretical price adjustment. That is useful background, but accounting and legal mechanics differ by jurisdiction and issue terms; do not treat the description as a universal rule.
Bonus issue versus a rights issue
The most important distinction is whether you must pay for the new shares. HMRC and securities-regulator education materials distinguish free bonus shares from rights issues, where shareholders are offered the opportunity to buy additional shares, often at a stated subscription price.

| Question | Bonus issue | Rights issue |
|---|---|---|
| Must the holder pay to receive or subscribe? | No payment for the bonus allotment. | Yes, payment is required to subscribe for the offered shares. |
| How is entitlement set? | By the announced bonus ratio and eligible share class. | By the rights ratio, subscription price and offer terms. |
| Primary purpose | Reclassify capital and distribute additional shares to existing holders. | Raise new money for the company. |
| What if you do nothing? | Eligible shares are allotted under the issuer’s process, subject to its terms. | You normally forgo the subscription unless the rights can be sold or transferred under the market’s rules. |
| Price effect | Theoretical per-share price is adjusted for the increased share count. | Price and value depend on the offer price, rights trading and market response. |
Do not call a paid subscription offer a bonus issue merely because existing shareholders receive priority. The economic and procedural consequences are different.
Bonus shares are not automatically the same as stock dividends
“Stock dividend” can have a specific legal and tax meaning. HMRC’s UK guidance treats stock dividends separately from ordinary bonus shares in some circumstances. Therefore, the fact that you receive shares instead of cash does not establish the tax treatment.
Read the issuer’s description carefully and check the rules in the country where you are tax-resident. A free allotment may have different consequences from a dividend paid in shares, even if both increase your share count.

Dates, eligibility and when the shares appear
There is no single worldwide timetable. The issuer’s official corporate-action notice should be your starting point. Check each of these items:
- Ratio: the number of new shares per existing share and whether the ratio applies to ordinary shares or another class.
- Record date: the date used to determine eligible holdings.
- Ex-date or equivalent: the market date from which shares trade without the entitlement, where that concept applies.
- Allotment and credit date: when the new shares are legally issued and expected to reach the broker, depository or account.
- Settlement convention: local settlement rules that determine which trade is considered settled for eligibility.
- Fractional entitlements and trading restrictions: the notice’s treatment of fractions, rounding, cash-in-lieu payments or temporary restrictions.
As an example of a jurisdiction-specific operational rule, a Securities and Exchange Board of India circular dated 16 September 2024 concerns enabling T+2 trading of bonus shares where T is the record date. That rule should not be generalized to another market or assumed to be the latest rule everywhere.
Your broker’s app may show a pending corporate action, an adjusted cost display or no new shares for a period after the record date. The final credit depends on the market’s settlement and corporate-action process. If the shares are missing after the date stated in the issuer, exchange, depository or broker notice, contact the broker with the corporate-action reference rather than relying on an early portfolio screen.

Tax treatment depends on your jurisdiction
There is no safe global answer such as “bonus shares are tax-free.” Tax treatment can depend on your tax residence, account type, acquisition history, the legal form of the distribution and what you later do with the shares.

United Kingdom
HMRC’s share-reorganisation guidance, updated 2 September 2026, explains treatment of bonus shares for UK capital-gains purposes and discusses stock dividends separately. The relevant calculation can involve the original holding and the reorganisation rules rather than treating the free allotment as an ordinary cash purchase. Use the current HMRC guidance for your circumstances.
India
The Indian Income Tax Department states that, for shares allotted without payment on the basis of an existing holding, the holding period of the bonus shares is reckoned from their date of allotment. This is an India-specific rule and should not be applied to another country.
Everywhere else
Check the tax authority for your residence and the rules for the account in which the shares are held. Keep the issuer’s notice, allotment date, number of shares and any broker-adjusted records. If you sell, a tax calculation may require separate records for the original and bonus shares. A qualified adviser can address cross-border holdings, retirement accounts, corporate structures and unusual distributions.
A practical checklist for an announced bonus issue
- Read the issuer’s announcement, not just a broker notification.
- Confirm the exact ratio and the share class covered.
- Record your eligible holding and calculate the expected allotment.
- Mark the record date, ex-date or equivalent, and stated credit date.
- Check the exchange, depository and broker instructions for settlement, fractions and trading.
- Expect the per-share price display to be adjusted; do not interpret the lower number alone as a loss.
- Save the allotment confirmation and update your own records.
- Ask the relevant tax authority or a qualified adviser how the distribution is treated in your jurisdiction.
Common mistakes and how to avoid them
“I have more shares, so I own more of the company.”
Not in a proportional issue. Compare your shares with the company’s new total, not with your old count alone.
Quick wins for a faster PC:

The lower theoretical price is the mathematical result of dividing the same reference value among more shares. Actual company value and market price can change independently.
Best Value
“Free shares are always tax-free.”
Tax rules differ, and stock dividends may be treated differently from bonus shares.
“The record-date rule is the same in every country.”
Eligibility, settlement and trading dates are market-specific. Follow the issuer and local market infrastructure.
“My broker has not shown the shares, so I was excluded.”
Corporate-action credits can lag the record date. Check the stated allotment process and contact the broker if the issuer’s deadline has passed.
How to judge what the issue means for you
Use five questions: Is the distribution free or paid? What is the exact ratio? Which shares and dates determine eligibility? How will the theoretical price and your total holding change? What do your local tax rules say?
If the answers show a free, proportional issue with no other capital change, the mechanical result is straightforward: more shares, the same percentage ownership and a lower theoretical price per share. Whether the investment becomes more or less valuable afterward is determined by the market and the company’s future performance, not by the bonus label.
